SPONSORSHIP BOOKING FORM

SPONSORS: In these terms and conditions, CSA (Services) Ltd (“CSA Services”) sells a sponsorship opportunity to a person or company wishing to buy same (the “Sponsor”), contracting solely with CSA Services and no other third parties. The completion and signature of a booking form by the Sponsor serves as an acceptance of these terms and conditions by the Sponsor.

PAYMENT: The final balance of the total fees set out overleaf (the “Final Balance”) is due and payable no later than 45 days before the event starts (“Final Balance Due Date”). All exhibitor packages are subject to VAT at 20%. Where a booking is made less than 45 days before the date the event starts the total amount of the fees set out overleaf becomes payable at the time of booking.

The following charges will apply to card payments:

NON-PAYMENT: In the event of the non-payment of the Deposit at the time of booking, the sponsorship package remains for sale with the Sponsor being given first refusal.

In the event the Deposit is paid, but the Final Balance remains outstanding after the Final Balance Due Date CSA Services reserves the right to immediately offer for sale the sponsorship package to a replacement sponsor. In this case, the Deposit will not be refunded. The Sponsor will also remain liable to pay the Final Balance to CSA Services unless CSA Services is able to sell or re-allocate the sponsorship package to a replacement sponsor. All production costs incurred by CSA Services and any costs and expenses reasonably incurred by CSA Services in seeking to find a replacement sponsor shall be payable by the Sponsor to CSA Services.

MARKETING: Inclusion of the Sponsor’s details in marketing materials is dependent on the dates the booking is made and receipt of the necessary information/materials before deadlines for the production of these materials. It is the responsibility of the Sponsor to ensure that deadlines are known and adhered to, though CSA Services will make every effort to ensure the Sponsor is made aware of the necessary deadlines and requirements from time to time.

DELEGATE CHANGES: Any changes to names of delegates and contact details included as part of the sponsorship package, made within 14 days before the event starts will be liable to an administration charge of £10 per change.

GENERAL

VARIATION: Any changes to these terms and conditions will only be considered by and at the sole discretion of the Credit Services Association’s chief executive. No changes to these terms and conditions shall be effective unless in writing and signed by CSA Services and the Sponsor.

FORCE MAJEURE: Neither party shall be in breach of these terms and conditions nor liable for delay in performing, or failure to perform, any of its obligations under these terms and conditions if such delay or failure results from events, circumstances or causes beyond its reasonable control (including but not limited to acts of God, fire, flood, storm or earthquake, strikes, civil commotion, riots, acts of war or terrorist activity).

ENTIRE AGREEMENT: These terms and conditions together with the booking form details overleaf constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior proposals, assurances, representations and agreements between them, whether written or oral.

THIRD PARTY RIGHTS: No one other than a party to these terms and conditions shall have any right to enforce any of the terms.

GOVERNING LAW: These terms and conditions, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with the laws of England and Wales.

JURISDICTION: Each party agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these terms and conditions or their subject matter or formation (including non-contractual disputes or claims).
