    Dear friends,

Recently I was caught by a newspaper article which had the story of Mountain Man of India. Admittedly, that 300 words article not only inspired me but also made me think. The man overwhelmed by the pain of losing his wife due to having no direct paths to any hospitals in emergency, he broke the mountain. He then decided to carve out a path through the mountain, so that no one else would suffer with the same fate as his. For 22 years, all by himself, with just a hammer and a chisel.

For me its an inspiring story of the triumph of the human will, an undenied dedication and a true passion much like what Spark Minda family thrives on. The story made me pause for a while and enforced me to give it a thought. If one single man can carve a path out of the mountain, what an 11,200 people Group can achieve?

When I come across such amazing stories & experiences I always relish the joy of sharing it with you. And what could be the best way to share things with you other than this newsletter?

I think ups and downs of the automotive component industry have always been like a treasure box of what will come next is totally unpredictable. We didnt break the mountain yet but the challenges in automotive component sector are nothing less than that. And I personally believe our family never passes any chance to play the hulk game for taming down the challenges.

Indias auto component industry has conventionally relied on export to generate profits; the domestic market is itself full of opportunities and prospects for Indias auto market looks bright. But remember, you always have to be prepared to accept challenges or grab opportunities. If one man can break a mountain, if one man can create history then a bunch of people can create miracle. This issue carries news of such big and small achievements in the company and also success stories of some renowned stalwarts from the industries. Having said that, this newsletter will be an interesting read.

I follow one mantra of success: Dont do work just to finish it, work to inspire. So friends, inspire, get inspired and keep reading.

    Cheers!

    GCEOS MESSAGE

    Dear Friends,

The year 2013-14 was a special one for us as in the face of significant challenges, we made significant progress. We continued our endeavor for customer delight and value through focused initiatives and along the way, we achieved several important milestones. Our consistent customer focus has gained us recognition and rewards across all our Business Group Companies. I thank you for your continued commitment and all that you do to deliver on purpose to support customers and other stakeholders of our Group seize opportunity at every stage.

Moving into 2014-15, our pledge is to continue doing more of the same, as a Preferred Supplier and Employer and to create value for all our Stakeholders. And while there is much work to do this year and there may be further challenges ahead, we will emerge stronger and better able to serve customers and different stakeholders of our Group. There is ample evidence that we are moving forward on the course we set few years ago. We remained focus on improving our existing businesses, expanding our operations in growing markets, to build capital, and to manage through the slow-growth, high interest rate and sluggish global economy. As a stronger, more straightforward Group better organized to serve our customers and stakeholders we are building deeper relationships with them, improving our operations and helping them strengthen their confidence on us.

The Indian automotive industry is one of the largest markets in the world. It had once bore the coveted crown of being one of the fastest growing globally. Indias passenger car and commercial vehicle manufacturing industry is the sixth largest in the world and the auto components industry is gearing up to compliment the vehicle industrys growth with an annual production that shows the sign of a potential leader. But presently, the Indian automotive Industry continues to be in turmoil which calls for concerted effort on the part of all stakeholders. Economists say that the current phase is short-term and that the Indian long-term growth story remains intact. So friends, short term pain had to be endured for long term growth. Global auto companies are closely watching the Indian market to exploit the future demand potential and to use India as a global sourcing hub. The ever-increasing development in infrastructure, huge domestic market, increasing purchasing power and stable government framework is making India a favorable destination for investment.

While the domestic market would continue to be in the mainstay of auto companies, there would also be increased focus on enhancing revenues through exports. More importantly, manufacturers are exploring newer markets for a wider customer base, since the traditional markets of the US & Europe etc. are experiencing slower growth. The euro zone is slowly coming out of recession and it is crucial that they continue to carry out reforms. Going forward, Brazil, South Africa, Iran and Russia are some of the key export markets being explored by the Indian auto components manufacturers. Several are looking beyond Sri Lanka and Bangladesh, and targeting West Asia, Africa, CIS, ASEAN and Latin America, either to push exports or initiate

local operations. Such geographical diversification will enable companies to hedge against economic cycles in countries across the globe.

The Indian auto component industry is estimated to have a US$ 66 billion turnover by 201516 and is expected to grow at a 14 per cent compound annual growth rate (CAGR) by 20132021, according to Automotive Component Manufacturers Association of India (ACMA) the nodal agency for the Indian auto component industry. In addition, industry exports are estimated to reach US$ 12 billion by 201516.

In many ways, India stands at crossroads, with a unique potential to seize the moment and set upon an extended period of high growth. So, its evident that we are riding a high tide. But, this will call for visionary statesmanship and long term leadership. The automotive industry is the engine of growth for the manufacturing sector as it supports key industries like auto components, capital goods, raw materials, electronics, chemicals, plastics, and software. Revived growth in the automotive industry would have significant positive impact on these key downstream and upstream manufacturing sectors that largely depend on the performance of the auto sector. This could hopefully herald a revival of the manufacturing sector in the days to come.

Our Group strives to build a portfolio of good businesses leveraging enterprise strengths, new technologies and carefully nurtured competencies. Our R&D team drives innovation with a sole purpose of delivering perfection. Leveraging key new technologies across multiple regions and on global platforms helps drive tremendous scale and efficiency savings that is being carefully looked and reinvested by our Group, thus enabling us to venture into other new territories. Our product line, which we are continually transforming and improving, is the foundation on which we have built our strong business and it helped our Group foray into yet another competitive market, Russia. Growth drivers such as automobile demand growth, the OEMs thrust on localization, growing sophistication of vehicles in the form of evolving safety emission and other specifications that is going to support realization led growth besides the aftermarket opportunity and the exports opportunity.

Even as we strive to improve our products & services and enhance our business, we recognize that doing our part to contribute to a better world is at the core of our business. In addition to economic goals, we also pursue environmental and social objectives. Serving in our communities is another important part of building a better world. Remember this: We have made huge leaps in improving our environmental, social and ethical practices thanks to Performance with Purpose. And Powered by Passion has set out even more challenging goals to improve our sustainability and ensure we work for the good of our customers, associates, and wider communities.

The year will bring its own mix of successes and challenges, but our direction is clear and we know what we must do. Our job is to continue to focus intently on what we can control: providing our customers and stakeholders with the best service, managing our costs, strengthening our brand, and doing our part to keep the economy moving forward. Our long-term value will come through and will reflect in the image of our Group over time if we do that.

Lets keep the focus, the passion, the drive and the commitment to those ideals.

    With Pride and Gratitude,

    Ashok MindaGCEO, Spark Minda Group

Being first in the market need not be every-bodys strategy. Who can come second or third in the market, can still be a winner but one needs to keep coming up with better plans to improve their products and services.Mr. Hemant Sikka, Chief Purchase Officer -Auto & Farm Sectors, Mahindra & Mahindra Ltd.

A simple man with great achievements, Mr. Hemant Sikka has given the automobile industry his 23 fascinating years and is still surging ahead with the winning streak. Mr. Hemant Sikka started his career with Maruti Suzuki as Graduate Engineer Trainee; he then joined Mahindra in 2000 and was inducted into the Scorpio team as Head Supplier Technical Assistance. Since April 2012 he is designated as the Chief Purchase Officer for Automotive and Farm sectors. Life is a wonderful journey, we have still miles to go and many more targets to achieve says Mr. Sikka.

Needless to say, he is a professional everyone looks up to and a leader who drives the Automobile Industry with finesse and professionalism.

Q: Welcome Mr. Sikka, its our pleasure to have you in our official newsletter, Spark Minda Times. Kindly tell us something about yourself and your family members.

Ans: The pleasure is all mine. I have utmost regards for the Ashok Minda Group and having being interviewed by them is an honour. I hail from modest town of Faridabad in Haryana. I did my schooling from Faridabad. I acquired my engineering degree from NIT Kurukshetra and after that I did my MBA from FMS, Delhi University. My journey in the automotive industry began with Maruti. What I learned there is much more than

theoretical knowledge. Later I shifted my base to Mumbai as I joined Mahindra. My wife and I are blessed with two daughters.

Q: You have a rich experience in the industry and have been responsible for very prestigious projects. Kindly share with us your experience in the industry. Where and how did you start your journey and how has it been so far?

Ans: After completing my engineering from NIT Kurukshetra, I joined Maruti as a GET and worked there in the domain of Supplier Quality for 9 years. In 2000, I moved to Mahindra and soon got inducted as the core member of team Scorpio, wherein, I was responsible for the quality of parts that we develop and procure from suppliers. In the year 2002, when Scorpio was launched, it was an instant success and things have not been the same ever since. It turned out to be the ace off the deck. Scorpio brought a paradigm shift in the lives of all those who were associated with the project. After the launch of Scorpio, the profile of Mahindra went through a sea change. At Mahindra we refer to years as Pre-Scorpio days and Post-Scorpio days. Those who were on this incredible journey will remember it till the end of time. I am glad, I am one of them. For me, the Scorpio has proved to be a dream come true. Since then I have been offered various roles in the company, moving from supplier quality to new part development, sector sourcing head, head manufacturing, head of purchase for Ssangyong Motors South Korea and now as Chief Purchase Officer (CPO) of Auto and Farm Sectors. All these appointments have added to my experience and knowledge. My journey has only begun. I was fortunate enough to get the golden opportunity to travel to South Korea for an expat assignment. I have learned a lot in this assignment. Days I spent in Korea changed my perspective and I still apply those valuable lessons I learned there. Things have been good so far and I look forward to future days with optimism.

Q: How do you see M&M business developing in India and overseas? How will suppliers benefit from this in the long run?

Ans: Mahindras Post-Scorpio days are worth a discussion. As you already know that Mahindra is a very old company and it has done some tremendous work in the past. But I believe that the real growth of Mahindra has come after Scorpio launch. It amplified the growth rate, skyrocketed the sales graph and grabbed the top market share. Not just that, youll be delighted

to know that our annual compounded growth rate has been 19% from 2003 to 2013. We are the fastest growing auto OEM in the country. We have shown this to ourselves as well as to the industry that Mahindra has got what it takes to lead from the front. Apart from being a leader in Automotive Utility Vehicles, were also the global leaders in Farm Tractors in terms of number of units sold. So we are a fairly large business. We have gone abroad and acquired companies and expanded our business. We are the majority stakeholder in Ssangyong, South Korea, we have 73% of the equity. All these bring in a lot of excitement. We are the only company in the Indian automobile industry which makes electric vehicle, Mahindra REVA. We are into two wheelers space. Our motorcycle Centuro is doing good. So right from two wheelers to 3 wheelers, SUVs, Pickups, Farm tractors, Trucks & Buses, mReva, Earth-moving equipment to Ssangyong - which is again a known name in the world of SUV manufacturers, we believe there is a lot for suppliers to gain by working with us.

Q: What are the challenges and the outlook for the Indian market? How do you place yourself as a tool in overcoming these challenges?

Ans: Its been 23 years in this industry and I still feel like a new comer who came with eyes full of dreams and a heart full of ambitions. The passion to do something in this dynamic industry is still the fuel that keeps me going. To your question about challenges, yes, the industry has been facing quite a few challenges. The last two years have been years of de-growth. In FY14, we degrew and clearly it has been challenging for Mahindra and other companies as well. Our 2 wheelers are doing fine but as of now we are not a big player. Our farm tractors are doing great, as Ive told you earlier, were the market leaders in that segment. SUVs are facing challenges. The medium and the heavy commercial industry is going through a hard time for the third year in a row. This has been the longest slow down we have ever witnessed in the heavy commercial vehicle industry. I believe, this is the time to get our house in order. We need to cut the flab in the system. We need to buckle up for the next 10-15 years and need to devise a strategy that would support us in future growth. In the last 10 years of unprecedented growth, I am sure weve added some flab in the system and its time to axe it out and be ready for the long term growth. India is a very good medium to long term growth story. The demographics are favorable and the people are so enterprising. The penetration of automobiles is so less. Were still 36 vehicles per 1000 persons. So, we have a long way to go. We are using this challenging time to strategize for the future and be ready when the upturn happens.

Q: M&M sales have declined in the recent past especially in automotive segment, how do you plan to cope up with it?

Ans: We have various strategies in place for this. We have analyzed the reasons and our solutions are ready for implementation. We have noticed that there has been a shift in

the UV-A segment to UV-B segment which is sub 4meter and monocoque type of SUVs where we dont have a strong foothold. Now, we are in public domain with certain projects and we will launch these products in next two years. And this will revive the growth. In the meantime, we are taking corrective measures, which include improving the quality, lowering the cost in our current businesses and looking forward to gain momentum in sales. Our new projects will enable us to get into these newer segments, which have come out of the large UV segment.

Q: What is your forecast and planning to maintain leadership position of M&M in your core business of MUV, SUV etc:- due to intense competition in your strong domain?

Ans: The competition is cut throat. Thats why we have come up with 2 new programs in this new segment of UVs. Both these programs are in public domain and we are fairly advanced in these program. One is called S101 and the other one is U301. These programs will help us achieve our growth plans.

Q: How do you foresee integration of 2W, 4W, Tractors, other segments in future in your role?

Ans: Thats the question of the day. Very recently we have taken a decision to integrate all the purchase functions across automotive and farm businesses. As CPO, Ill be responsible for the entire Sourcing of automotive business of Mahindra that includes all UVs, pickups, and 3 wheelers. Ill also be responsible for trucks & buses, tractors and two wheelers business. So entire Sourcing has been integrated into One Sourcing from 1st April 2014.

We are the fastest growing auto OEM in the country. We have shown this to ourselves as well to the industry that Mahindra has got what it takes to lead from the front.

  • 8

Q: What are your expansion plans for the future? What are the changes you would like to implement in terms of good business sense in the auto component industry?

Ans: The auto component industry is a sunshine industry and here, to stay ahead of the curve, one must excel in accepting its own learning curve. I really value Mahindras relationships with some of the best suppliers of auto parts that are available in the country and across the globe. Some of the Indian groups have done really well and we have respect for these groups. Ashok Minda Group is one of such groups. There are no such pain areas but there are a couple of improvement areas. For that I have two humble requests to make. First, The Indian automobile industry should focus on its R&D. Its high time and we must start developing our own in-house R&D facilities. When I was in South Korea I witnessed that South Koreans have learned a lot about the importance of having a well equipped R&D facility where they can exercise their creative minds without any hitch. Their R&D facility enables them to innovate and create better solutions for their customers. I want the leaders of the Indian automobile industry to invest not just their money but also their time in developing R&D facility. With proper money and attention, we can develop our own R&D facility which will give our growth plans the much needed boost. My second request is a more of a concern which often gives me sleepless nights - The issue of skill gap. This issue looms in many industries. During my visit, whenever I meet South Koreans and other nationalities, this skill gap seems like a huge void which we need to fill as early as possible. Some of our finest engineers dont want to work in the automobile industry. They opt for IT or any other industry, which is worrisome. I believe that the automobile industry demands great passion. And I think the onus rests on us to motivate young talents to choose automobile industry as their field of interest. We, at Mahindra are doing our part but I also request our suppliers to contribute to ignite passions and excitement in younger people. Its my request that the market leaders should work towards creating excitement around the industry then only we will attract the best minds to join the industry. Thats a very important factor that can decide the future of the Indian automobile industry. There are number of skill classes we conduct in Mahindra, we call them Dexterity class. The sole purpose of these classes is to enhance the level of skills an individual holds in our company. Once we successfully fill these gaps then theres no stopping for us.

Q: How would you characterize your management style?

Ans: My management style is no rocket science. Together we achieve more is my mantra. I believe that no effort is bigger than the team effort. Thats why most of my waking hours go into thinking about various ways to motivate the team and take out the best from the people. I also like to interact with people and understand their problems. And I always think of myself as a facilitator who enables good performance.

Q: China is making news every day, be it introducing faster rail lines or selling automobiles or rapidly emerging as a cost-effective alternative for sourcing auto components. On the contrary, there has been concern about not-so-good quality levels of Chinese products and local manufacturers are closing the quality gap faster. What is the M&M stance? What is the level of localization?

Ans: Indian Industry has not learned much from Chinas success. China has been a great driver of global economy in the last 20 years. We somehow have not been looking at China as a true partner in progress in terms of learning from them. China is now the number 1 Auto market of the world. Theres so much to learn from them. As OEMs we need to learn and as Auto parts company you need to learn as well. In Chinese Auto part industry, there are a lot of new things happening which we can replicate here. We, at Mahindra, always look forward to leverage on the strength of China and learn from them. In fact, we have a team which is stationed in China and a team that is in Mumbai who focuses majorly on China. Were currently sourcing about USD 100 million of parts every year from China and the quality is very good. I think the India market must look at China with a positive stand point, must learn from them and effectively collaborate with them.

Q: Your role seems to be very challenging since it entails interaction in with countries with different mindsets. What are the challenges of operating in such a challenging role?

Ans: I believe adaptation is the key. It always has been. How quickly you accept and get acclimatized with various mindsets and different work culture of the countries defines the outcome. I stayed in South Korea for some time and one thing I did good was to embrace their culture. I believe it is very important for the leaders to embrace different cultures as if it is their own

Mr. Hemant Sikka with Mr. Pawan Goenka (Executive Director & President Automotive, Farm Equipment & Two Wheeler Sectors.)

culture. Once we do that everything else falls in place and success ensured.

Q: As an automotive professional you operate in several global markets. What are the markets across the world that, according to you, has potential in the future? Are these the traditional markets or new markets?

Ans: Indian market has great potential and those which are around India are also considered as untapped zones. Also, there is Africa and South America with huge potential. They could be the game changer for the Indian Automobile industry. I think we should look at like markets such as our neighboring countries. Also we must tap the potential of Africa. The whole African continent is just opening up and there is immense potential in it. We cant afford to miss out on that.

Q: Even large suppliers are followers rather than leaders when it comes to technological capabilities and innovation. Being an expert where do you see the gap?

Ans: Being first in the market need not be everybodys strategy. Who can come second or third in the market, can still be a winner but one needs to keep coming up with better plans to improve their products and services. In the market, there are very few examples of companies who have capitalized fully on the advantage of being the first mover. The early mover, if they stop innovating, eventually lose to the second or the third player.

Q: How important is procurement management in the growth of a company? What is it about your current job, at this particular company, that sets it apart from other chief purchase positions?

Ans: First of all procurement is extremely essential for any business. More so, it is much more important in automotive industry. Almost 70-75% value of the automotive parts are bought from suppliers. In that sense, for getting the price and quality right, procurement plays a very important role in automotive industry. So procurement is core to automotive industry and Im very happy being a procurement professional. How is my role different from other CPOs, is very difficult today because, I am sure, role of a CPO in any industry is extremely challenging and very exciting. I see my role in the same light. One thing that sets my role apart from others is that I am able to work on various product lines within my company. I am responsible for purchase of two wheelers, three wheelers, and passenger cars to electric cars, SUVs, Trucks & buses, Tractors. I think it is a profile that is very varied and that makes my role exciting and challenging. I dont think any other CPO would have this kind of profile and handle so many different products in one company.

Q: What expectations do you have from Suppliers like Spark Minda?

Ans: Primarily, I request you to focus on 3 areas. a). Having a state of the art R&D facility is the need of the hour. Without it the growth will be stalled. R&D provides the much needed impetus to the automobile industry to move forward and achieve more. New ideas and innovation will help you to

push your boundaries and this way in the next 5 years, you will be a much better and stronger company that what you are now.b). How do you fill the skill gap? Both at the management staff level and worker level. Well this problem is universal in nature and there is no quick fix for it. This demands a great deal of planning and active initiation. You need to understand this problem before you put your finger on anything.
