3 CLOSING DATE 3.1 The closing date for the tender is 29 January 2016 at 12.00 hours. Any tender

received after the closing date/time will not be considered. Please provide sufficient time (e.g. to take into account mail delays and traffic jams) to ensure timely submission of your Tender.

4 VALIDITY OF TENDER 4.1 The contractor’s offer shall be valid for a period of six (6) months from the closing date

of the tender. On expiry of the offer, the contractor shall, if SIA requires, extend the validity of the offer for a further period to be mutually agreed.

5 ACCEPTANCE OF THE TENDER 5.1 SIA is not obliged to accept the lowest or any tender submitted. SIA reserves the right to

accept the whole or part of the tender. SIA will not enter into any correspondence or discussion with any contractor regarding the reasons for the acceptance, non-acceptance of a tender submission or a non-award of a tender.

5.2 SIA will notify the selected contractor (if any) by letter within 120 days, during which, by

Paragraph 4 above, the tender will remain valid. The selected contractor will within fourteen (14) days of the receipt of the letter of acceptance (i) execute the Articles of Agreement, (ii) lodge a security deposit as set out in the Form of Performance Guarantee, (iii) put in place the Work Injury Compensation and Public Liability Insurance Policies and will produce for inspection the receipts for premiums paid, all as referred to in the Conditions of Contract. SIA may extend the period for executing the Articles of Agreement if the SIA officer receiving the tender is satisfied that there is an acceptable reason for doing so.

5.3 The award will be subject to any additional terms and conditions that may be agreed

upon between SIA and the selected contractor. 6 NOTICES TO CONTRACTOR 6.1 SIA will post any notice to the contractor to the contractor’s address/E-mail given in the

Particulars of Contractor and such posting will be deemed good service of such notice. 7 DEFINITIONS 7.1 The word “Contractor” in these conditions is deemed to include two or more persons.

The Word “his” may also mean “her” or “their” and the word “he” may also mean “she” or “they”.

7.2 All terms, expressions and words used in these Conditions of Tenders will bear the same meaning as in the Conditions of Contract and will have reference to specifications, annexes and schedules contained in the Tender Documents.

8 CONTRACTOR TO VISIT SITES

8.1 The Contractor must visit and examine the sites and satisfy himself as to the local conditions, the accessibility of the sites, the full extent and character of the operation,

the supply and conditions affecting supplying of labour, materials, the transportation of labour, material, plants, etc. prior to the execution of the contract as no claim on the grounds of lack of knowledge in such respects will be considered.

9 NO PRICE AMENDMENT 9.1 SIA will not consider any price amendment after the tender has been submitted. 10 TERMS AND CONDITIONS 10.1 Submission of the tender by the Contractor constitutes acceptance by the Contractor of

all terms and conditions and all other attachments herewith. 11 TAXES 11.1 The offered price of the goods to be supplied or services to be rendered will be

exclusive of any Goods and Service Tax (“GST”), i.e., quotes will not include any GST component. The contractor must also indicate whether it will charge GST.

12 DECLARATION BY CONTRACTOR 12.1 The Contractor must declare the shareholding of (i) the directors of SIA, (ii) the Chief

Executive Officer of SIA, (iii) Temasek Holdings (Private) Limited and (iv) their respective associates (for the directors and the Chief Executive Officer of SIA, both their own direct shareholding and shareholding in combination with their immediate family members’) in the Contractor’s company, if the shareholding of any one of them is at least 30% of the Contractor’s issued share capital. SIA require this information to comply with Chapter 9 of the Listing Manual of the Stock Exchange of Singapore.

13 STAMP DUTY 13.1 Any stamp duty payable on the contract, if applicable, shall be borne by the Contractor. 14 RULES 14.1 Tender submissions must be in ink. Tender figures written in pencil or erasable ink will

invalidate the tender. 14.2 Erasures or alterations of essential details on the Form of Tender will invalidate the

tender.

TENDER FOR THE METAL ROOF REPAIR AND WATERPROOFING WORKS IN HANGAR 1

2 I/We have read and understood the Tender Document, in particularly the "Conditions of Tender", “Conditions of Contract”, “General Specifications”, "Technical Specifications" and specimen copy of the “Articles of Agreement” and hereby undertake to comply with the following conditions in addition to the terms and conditions of the Tender Document:

(a) to adhere strictly to the Conditions of Contract, General Specifications, and

Technical Specifications as set out in Parts III, IV, and VI of the Tender Document;

(b) to deposit with Singapore Airlines Limited (hereinafter referred to as “SIA”)

within fourteen (14) days of the receipt of the Letter of Acceptance an amount equal to five percent (5%) of the total Contract Sum as security deposit. This security deposit after deduction of liquidated damages if any will be refunded to us after the expiry of the Contract;

(c) to acknowledge acceptance of and execute the Contract with SIA within two

weeks of receiving the “Letter of Acceptance” and to deposit with SIA upon execution of the Agreement, the Work Injury Compensation Insurance Policy and Public Liability Insurance Policy;

(d) to employ only healthy persons of good character acceptable to SIA; and (e) to keep this tender valid for six (6) calendar months from the final date for

submission of Tenders. 3 I/We hereby submit the whole set of Tender Document which includes “Form of

Tender”, “Summary of Tender” and “Particulars of Tenderer” duly completed, and I/We hereby agreed that the breakdown price quoted shall form a basis for the determination of payment for variation of work that may be ordered by SIA.

4 I/We acknowledge that until a formal Contract is prepared and executed, this Tender and the terms and conditions of the Tender Document, together with SIA’s “Letter of Award” shall constitute a binding contract between us.

CONDITIONS OF CONTRACT 1. DEFINITIONS 1.1 In the Contract the following words and expressions shall, unless the context

otherwise requires, have the meanings herein assigned to them: (a) "Contract" shall mean the documents forming this agreement, viz., Articles of

Agreement, Conditions of Contract, Work Specifications, and Schedule of Unit Rates referred to therein and all these documents taken together shall be deemed to form one contract and shall be complementary to one another.

(b) "SIA” shall mean Singapore Airlines Limited and includes SIA representatives

or successors. (c) "Superintending Officer" (or “SO”) shall mean the Head Properties

Services, SIA, or his successors in office and also such person or persons as may be deputized by him in writing to act on his behalf for the purpose of this Contract.

(d) "Contractor" shall mean the person or persons, partnership, firm or company

who was or have been awarded the contract to carry out and complete the Works and who has or have signed this Contract and shall include his or their heirs, executors, administrators, assignee, successors and duly appointed representatives.

(e) "Works" shall mean any of the works described in the Work Specifications

and/or including all modified, extra or additional works and obligations to be performed under this Contract.

(f) “Approved” and “Directed” wherever appearing hereinafter and in all the

Tender Documents shall mean approved and directed, as the case may be, in writing by SIA.

(g) "Contract Area" or "Premises" shall mean 25 Airline Road, Airline House. (h) "Site" shall mean the land or place of the Contract Area where work is to be

carried out under the Contract and any adjacent land or place, which may be allotted or used for the purpose of carrying out the Contract.

(i) "As specified" means as specified in the Annexes, Works Programme,

Priced Schedules of Rates or Particular Requirements. (j) Words importing the singular only also include the plural and vice versa where

the context requires, and any reference to the masculine gender includes the feminine and neuter genders.

2 SCOPE OF WORKS 2.1 The Contractor is to carry out and complete the Works in accordance with the

Contract in every respect in accordance with the direction and to the satisfaction of the Superintending Officer.

3 CONTRACT PERIOD 3.1 The contract period is Five (5) months (‘Works Period”) from the date of award

plus a twelve (12) months defects liability period upon the certified practical completion (“Contract Period”).

3.2 The SO will certify the date of completion when, in his opinion, the Works have

been practically completed.

4 CONTRACTOR TO PROVIDE EVERYTHING NECESSARY FOR THE WORKS

4.1 Unless otherwise stated to the contrary under this Contract, the Contractor will

provide everything inclusive of labour, tools, machines and etc, necessary for the proper execution of the Works to the true intent and meaning of the items as described in the Tender Documents, whether the same may or may not be particularly shown or described provided that the same is reasonable to be inferred therefrom.

5 SECURITY DEPOSIT 5.1 The Contractor will pay a deposit (“Security Deposit”) in Singapore currency

equivalent to five percent (5%) of the total Contract sum. If the deposit is below S$2,000, the amount will be paid by a crossed cheque (for a Singapore Contractors) in favour of SINGAPORE AIRLINES LIMITED. If the deposit is S$2,000 and above, a banker’s guarantee in the Employer’s standard format (specimen provided) duly stamped by the relevant government department will be acceptable, provided such guarantee undertakes to meet all claims arising during the period of the Contract.

6 RELEASE OF SECURITY DEPOSIT 6.1 The Security Deposit will be retained for the duration of the Contract and will, after

any damages have been deducted, be refunded in Singapore currency to the Contractor at the end of the Contract period by the way of a cheque drawn on a bank in Singapore or by way of the banker’s guarantee, as the case may be. No interest will be paid on the Security Deposit and any gain or loss resulting from currency exchange will be borne by the Contractor.

7 COMMENCEMENT OF WORK 7.1 No work on this Contract will commence unless and until the Agreement has been

executed by all parties thereto and the Security Deposit has been deposited with the Employer and the receipt thereof produced by the Contractor to the SO.

8 TERMS OF PAYMENT 8.1 The Contract Sum may be paid in interim payments, upon completion of defined

stages of the Works and based on periodical valuation of the completed Works. 8.2 In the case of periodical valuation, the sum invoiced shall be 95% of the valuation of

the Works completed and remaining unpaid (no allowance made for unfixed material on site.) The value of completed Works that remain unpaid shall be known as “Retention Monies” but shall be subject to the sum or percentage stated as the Retention Sum. The Retention Sum will be equivalent to 5% of the Contract Sum and shall only be released to the Contractor after the defects liability period and upon satisfactory completion of the work in the defects list.

8.3 The Employer will pay the Contractor within thirty-five (35) days from the date of

receipt of invoice or from the date of completion of the Works, to the satisfaction of the Employer, whichever is later. Monthly invoices must be accompanied by certified service reports as ascertained and agreed to by the Employer or its authorised representative.

8.4 The Contractor will not submit a tax invoice to the Employer unless the quantum

stated in the service report has been agreed to by the Employer, failing which any such invoice submitted by the Contractor will be invalid.

8.5 If the Contractor intends to make a payment claim pursuant to section 10 of the

Building and Construction Industry Security of Payment Act (Act No.57 of 2004) (“SOP Act”), the Contractor will state expressly that it is a claim made pursuant to the SOP Act (herein referred to as the “Payment Claim. If a Payment Claim does not state that it is a claim made pursuant to the SOP Act or it is not in the format set out in Appendix A, it will not be construed as a Payment Claim and both parties agree that the Contractor had no intention of making a Payment Claim whatsoever.

8.6 If the Contractor makes a Payment Claim, the Employer will have 21 days from the

date the Payment Claim is received by the Employer to make a response as required by section 11 of the SOP Act.

9 DEDUCTIONS FROM MONEY DUE TO CONTRACTOR 9.1 The Employer will be entitled to deduct any money the Contractor will be liable to

pay under the Contract to the Employer, from the Security Deposit or any sum which may become payable to the Contractor hereunder.

9.2 The Works shall be completed within the Works Period stated in Clause 3 hereof. If

the Contractor fails to complete the Works by the said Works Period, it shall pay the Employer liquidated damages at S$500 per day for the period during which the Works shall so remain incomplete.

10 DRAWINGS AND SPECIFICATIONS, ETC 10.1 The Contract Document, floor plans/drawings, specifications and the schedule of

rates will remain in the custody of the Employer and will be produced as and when required by the Contractor.

10.2 The description of work in the Work Specifications will not define or limit the work to be executed under the Contract.

11 VARIATION AND EXTRAS 11.1 The Contract Sum will remain fixed and only adjusted in accordance with the terms

herein for the whole Contract period. 11.2 The SO may at any time during the Contract Period, by order in writing under his

hand, make or cause to be made any variations from the original Scope of Work or Contract Areas or Works Specifications by way of additional or omission or otherwise deviating therefrom and the said works will be executed according to the said variations or deviations under his direction and to his satisfaction as if the same had been included to the said original priced Scope of Work, Contract Areas and Works Specifications and any work or materials which will be ordered not to be done or used will be omitted or will not be used by the Contractor.

12 PAYMENT OF VARIATIONS AND EXTRAS, FINAL MEASUREMENT 12.1 No variation will vitiate either this Contract or a Works Order. 12.2 No claim for additions to the Works will be considered unless authorised in writing by

the SO prior to the execution of the additional Works. Should any additional work be instructed verbally or be required owing to the unforeseen reasons during the duration of Contract, the Contractor will immediately forward a statement of claim for the additional work to the SO to enable the Employer to investigate and sanction the additional work, if applicable.

12.3 If, consequent upon any agreed changes to the Scope of Work or Contract Areas,

the costs incurred by the Contractor in carrying out the Works are verified by the Employer, any adjustment to the Contract Sum shall be discussed and agreed between the Contractor and the Employer before the additional Works commence.

12.4 Where Works of similar character which the SO wanted the Contractor to execute

and there are no rates in the Schedule of Rates that can be applied, then such Works will be priced at rates pro rata to those with the closest job description.

12.5 Where Works that have no rates in the Schedule of Rates or Breakdown of Tender

Price and not of any item similar in the Schedule of Rates or Breakdown of Tender Price, a fair valuation thereof will be made based upon rates for similar works in the locality current at the time the Works are executed.

12.6 The said rates in the Priced Schedule of Rates or rates derived from above in so

far as it is agreeable with the Contractor will also determine the valuation of items omitted.

12.7 When Work comprising a Works Order is completed, the Contractor will inform the

SO who will check the work as detailed therein on the Site in the presence of the Contractor if he so desires, and any addition, alteration or omission from the Works Order will be agreed and valued in accordance with the Schedule of Rates or as agreed before commencement of the relevant Works.

12.8 The Contractor shall not be entitled to submit for any Works or circumstances on account of which he may consider that he is entitled to extra payment, if such payment had not been agreed to by the Employer prior to the commencement of such Works or occurrence of such circumstances.

12.9 No account will be taken by the Employer of any amount by which any cost

incurred by the Contractor will have been increased whether by reason of the making after the date of his tender in the Republic of Singapore or elsewhere of any law or any order, regulation or bye-law having the force of law or by reason of any rise in the rates of wages payable to labour or in the cost of material or transport or otherwise above such cost ruling at the dates of his tender.

12.10 Unless otherwise stated in the Schedule of Rates herein, all Works will be

measured and billed to the nearest two (2) decimal points. 13 LOCAL AND OTHER AUTHORITIES’ NOTICES AND FEES 13.1 The Contractor will comply with and give notices and pay all fees required by any

written law, regulation and by-laws of any local Authorities and/or public service companies or authorities relating to execution of the works or with whose system the same are or will be connected and he will keep the Employer fully indemnified against any fees or charges demandable by law thereunder in respect of the works or any penalties and liabilities of every kind arising from the breach of such law or regulation, or by-laws.

14 ASSIGNMENT AND SUB-CONTRACTING 14.1 The Contractor will not assign or sub-contract, either wholly or in part, the Contract

without the written consent of the Employer. 14.2 In the event of the Works being sub contracted with the written consent of the

Employer, the Contractor will be solely and personally responsible for the due observance by such authorised sub-contractors of all teams, stipulations and conditions herein expressed.

14.3 The Employer may give at least one (1) week’s prior notice to the Contractor to assign

or transfer the whole or any part of this Contract to another party. 15 INDEMNITY 15.1 Injury to Persons - The Contractor will be liable for and indemnify SIA and its

subsidiaries in respect of any liability, loss claim or proceedings whatsoever arising at common law or by statue in respect of personal injuries to or death of any person whomever arising out of or in the course of the execution of the Works and throughout the Contract Period.

15.2 Damage to Property - The Contractor will be liable for and will indemnify SIA and its

subsidiaries in respect of any liability, loss, claim or proceedings and for any damage whatsoever arising out of or in the course of or by reason of the execution of Works and throughout the Contract Period, to any property real or personal due to any

negligence, omissions or default of himself, his agents or his servants or of any authorised sub-contractor or to any circumstances within his control.

16 INSURANCES 16.1 Without prejudice to the Contractor's obligations to indemnify SIA under Clause 15

(Indemnity) above, the Contractor will forthwith and as a condition precedent to the commencement of any Works under this Contract insure in the joint names of SIA and its subsidiaries and the Contractor against the aforesaid risks or matters with an insurance company to be approved by the Superintending Officer in writing and for such amount as he may direct and will make all payments necessary for the above purpose on the first day on which the same ought to be paid. The Contractor will deposit the policies for such insurance with SIA before the commencement of any Works under this Contract and will produce on demand to the Superintending Officer, the receipt of each of the said payments. Provided always that if the Contractor will at any time fail to keep himself insured as aforesaid, the Superintending Officer may do all things necessary to effect or maintain such insurance and deduct monies expended by him for that purpose from any monies due or to become due to the Contractor.

16.2 The Contractor is required to takeout Work Injury Compensation (with Endorsements

A and B as shown in Clause 17.2) and Public Liability policy covering the full Contract Period. For Public Liability, the Limits of indemnity will be:-

(i) For any one accident, minimum S$1,000,000 (II) For any one period of Indemnity Unlimited 16.3 All policies must include SIA and its subsidiaries as joint insured. The Public Liability

Policy should be endorsed with the cross liability clause containing a waiver of subrogation in favour of SIA and its subsidiaries.

17 WORK INJURY COMPENSATION 17.1 The Contractor shall forthwith and as a condition precedent to the commencement of

any Works under this Contract take out at its own expense, policies of insurance indemnifying the Contractor and SIA including for this purpose every officer, servant or agent and department thereof from all liabilities arising out of claims by any and every workman employed in furtherance and for the performance of this Contract for payment of compensation under or by virtue of the Work Injury Compensation Act or any other law amending or replacing such Act and from all costs and expenses incidental or consequential thereto.

17.2 The said policy or policies so taken out must be endorsed as follows:-

Endorsement A - If any workman employed by the within insured or by the Insured's Contractors as referred to in Endorsement B herein or any dependant of such workman, brings or makes a claim under the Work Injury Compensation Legislation in force in Singapore against Singapore Airlines Limited (“SIA”) and its assigns, related and associated companies for personal injury or disease sustained whilst at work on any contract covered by the terms and conditions of the within policy which the Insured may be carrying out for the Employer, the Insurance Company will indemnify the Employer and its assigns, related and associated companies against such claim,

and any costs, charges and expenses in respect thereof. Provided always that the Insurance Company may have the sole conduct and control of all proceedings connected with claims covered by this endorsement. Nothing in the endorsement will be construed as affecting the Insured's right to recover damages in any other way under the said Legislation.

Endorsement B – It is hereby understood and agreed that the indemnity herein granted is intended to cover the legal liability of the insured to workmen in the employment of contractors performing work for the insured while engaged in the business and occupation in respect of which the within policy is granted but only so far as regards claims under the Work Injury Compensation Act, common law or any other legislation in force in Singapore.

17.3 The said policy or policies so taken out (and the receipts evidencing the payment of

insurance premiums) will be deposited with the Employer within fourteen (14) days of the Employer’s letter of award and Contractor will maintain it or them in full force and effect by payment of all premiums from time to time on the first day on which the same ought to be paid and until the completion of this Contract and upon demand the Contractor will produce to the SO the receipt of payment for such premiums.

17.4 If any default is made by the Contractor in complying with the terms of this Clause,

the SO may without prejudice to any other remedy available to the Employer for breach of any terms of this Contract:-

(i) withhold all payment which would otherwise be due to the Contractor

under this Contract, and out of such monies so withheld, satisfy any claims for compensation by workmen that would have been borne by an insurance company had the Contractor not made default in maintaining a policy of insurance; and/or

(ii) Pay such premiums as have become due and remain unpaid and

deduct the amount of such premiums from any monies due or to become due to the Contractor.

17.5 Nothing in this Clause will be construed to take away or waive in any manner to

modify the right of the Employer to be indemnified by the Contractor in respect of all compensation, costs and other expenses whatsoever which, by reason of the Contractor's default or otherwise, become payable by SIA under the said Act or other law.

17.6 It is hereby declared that nothing contained in Clauses 16 and 17 (Insurances and

Work Injury Compensation respectively) will in any way derogate, detract from or reduce the Contractor's liabilities under Clause 15 (Indemnity) of this Contract.

18 CONTRACTOR’S FAILURE TO INSURE 18.1 If the Contractor fails to effect and keep in force the insurance referred to herein SIA

may effect and keep in force any such insurance and pay such premiums as may be necessary for that purpose and from time to time deduct the amount so paid (plus interest) by SIA as aforesaid from any monies due or which may become due from SIA to the Contractor or recover the same as debt due from the Contractor.

19 EFFECTS OF WAR, RIOT AND FLOODS ETC 19.1 If during the performance of this Contract a state of war in which the Employer is

involved or any state of riot, civil commotion or general strike or any earthquake, flood or tempest arises or exists which has materially affected the fulfilment of this Contract any question respecting the continuance, suspension or determination of this Contract will be settled by mutual agreement between the Employer and the Contractor or failing such agreement will be settled as provided in clause 33 of this Contract.

20 ACCESS FOR SUPERINTENDING OFFICER TO WORKS 20.1 The Superintending Officer and/or his representative will at all reasonable times have

access to the Works, sub-store, offices and to the workshops or other places of the Contractor where work is being prepared for the Contract.

21 FAIR WAGES 21.1 The Contractor will recognise the freedom of all his workers to be members of trade

unions. 21.2 In this Clause, the expression “established industrial rates and conditions” means

rates of wages and hours and conditions of employment established for the trade of industry concerned by agreement, negotiation or arbitration the parties to which are organisations of employers and trade unions representing respectively substantial proportions of the employers and workmen engaged in the said trade or industry.

21.3 If established industrial rates and conditions of employment exist in Singapore, the

Contractor will in respect of all workmen employed by him in and for the performance of this Contract pay rates of wages and observe hours and conditions of employment not less favourable than such established industrial rates, hours and conditions of employment.

21.4 If no established industrial rates and conditions exist in Singapore, the Contractor will

in respect of the said workmen pay rates of wages and observe hours and conditions of employment not less favourable than the general rates of wages, hours and conditions observed by other employers of labour whose circumstances in the trade or industry in which the Contractor is engaged, is similar.

21.5 The Contractor, if required, notify the Commissioner for Labour of the names and

addresses of all sub-contractors. 22 DISPUTE AS TO WAGES 22.1 In the event of any dispute or difference arising as to the rates of wages to be paid or

the conditions of employment to be observed in accordance with Clause 21 hereof, such dispute or difference will, unless otherwise disposed of, be referred to the Commissioner for Labour for decision. In the event of any person interested being dissatisfied with the decision or order of the Commissioner, he may, within 14 days after the decision or order, file a memorandum of appeal in the High Court of the Republic of Singapore.

23 WAGES BOOKS AND TIME SHEETS 23.1 The Contractor will keep proper wage books and time sheets showing the wages paid

to and the time worked by all workmen employed by him in and for the performance of this Contract and will produce such wages books and time sheets on demand for inspection by any persons dully authorised by the Employer or the Commissioner for Labour on that behalf, and the Contractor will furnish to such persons such information relating to the wages and conditions of employment of such workmen as the Employer or the Commissioner for the Labour or such duly authorised persons may from time to time require.

24 DEFAULTS IN PAYMENT OF WAGES 24.1 In the event of default being made in the payment of any money in respect of wages

of any workmen employed by the Contractor in and for the performance of this Contract and if a claim thereof is filled in the office of the Ministry of labour and proof thereof is furnished to the satisfaction of an officer of the said Department, the Employer may, failing the payment of the said money by the Contractor, make payment of such claims to the Commissioner or Labour or his representative out of any monies at any time due to the Contractor under this Contract and such payment will be deemed to be a payment made to the Contractor under and by virtue of this Contract.

25 EMPLOYMENT OF ILLEGAL FOREIGN WORKERS 25.1 The Contractor undertakes that it will (whether by itself or by its servants, agents,

employees) ensure that no illegal foreign workers are employed by it or any of its sub-contractors in the execution of any parts of the Works performed for the Employer under this Contract.

25.2 “Illegal foreign worker” means a foreign worker who”

(i) Has not lawfully entered or remained in Singapore, in contravention of the Immigration Act (Chapter 133); or

(ii) Is employed by an employer without a valid work permit, in contravention of the Employment of Foreign Workers Act (Chapters 91 A).

25.3 If any illegal foreign worker is found to be so employed by the Contractor or any of its

sub-contractors, the Employer will, without prejudice to its rights under any contract with the Contractor, be entitled to withhold any payment due to the Contractor for a period of two (2) months and the Employer will not be liable for any loss or damage suffered by the Contractor as a result of any payment so withheld.

25.4 Further, the Contractor will indemnify the Employer against any costs and/or

expenses, including legal expenses, which the Employer may incur as a result of the Contractor employment of illegal foreign workers. The Employer may also reserve the right to impose such other measures, including but not limited to, forfeiture of the Contractor’s security deposit and/or debarring the Contractor.

25.5 The Contractor will submit updated and duly certified copies of the following

documents to the Employer weekly for its inspection and record:

(i) Personal particulars (including name, address, nationality, passport number and work permit numbers) of all workers employed by the Contractor or its sub-contractors in the execution of any part of the Works performed for the Employer under this Contract, regardless of their length of employment.

(ii) The work permits of these workers.

(iii) The passports, entry permits and re-entry permits of these workers showing

that they have lawfully entered and remained in Singapore.

25.6 The Employer or the SO reserves the right to conduct random on-site checks on the workers employed by the Contractor or any of its sub-contractors for the purpose of verifying that the Contractor has complied with this undertaking, and that the Contractor will provide all necessary assistance and facilities in order for the Employer or the SO to the perform these checks.

26 DISCHARGE OF WORKMEN 26.1 The Contractor will employ only such cleaning staff, supervisors and workers on the

work, who are efficient and of good character. If in the sole opinion of the SO, any person employed by the contractor including such part-time workers or sub-contractors misconduct himself or has caused quarrels or delays or is incompetent the Contractor when so directed by the SO in writing will at once remove such person from the Works and he will not again be employed on the Works without the written permission of the SO.

27 CHILDREN UNDER SIXTEEN (16) 27.1 No child under the age of sixteen (16) years by English reckoning shall be employed

in any work to be performed under this Contract. 28 POWER TO TAKE WORKS OUT OF CONTRACTOR’S HANDS 28.1 If the Contractor, after receipt of a written notice from the SO requiring compliance

with any of the instructions, the SO may without prejudice to the exercise of his power under any of the conditions hereof employ and pay other persons to execute the works whatsoever which may be necessary to give effect thereof and all additional costs incurred by the Employer in connection therewith over and above these which would have been incurred had the Contractor complied with such instructions will be recoverable from the Contractor by the SO as a debt or may be deducted by him from any monies due to the Contractor.

29 DETERMINATION OF CONTRACT 29.1 Default If the Contractor defaults in any of the following respects namely:

(i) Without reasonable cause wholly or partly suspends the Works on any or all Works Orders not completed; or

(ii) Fails to proceed with the Works Orders with reasonable diligence; or

(iii) Refuses or to a substantial degree persistently neglects in writing from the SO

to remove defective work or improper materials. Then if any such default continue for seven days after a notice sent by post to the Contractor form the SO specifying the same, the SO may (without prejudice to any other rights herein contained) thereupon by notice sent by post determine this Contract. Provided that a notice hereunder will not be given unreasonably or vexatiously and such notice will be void if the Employer is at the time of the notice in breach of this Contract

29.2 Bankruptcy or Assignment If the Contractor:

(i) Commits an act of bankruptcy; or

(ii) Becomes insolvent or compounds with or makes any assignment for the benefit of his creditors; or

(iii) Assigns the Contract or sub-contract or any portion thereof of the Works without the written permission of the Employer.

then, and in such event, the Employer may without prejudice to any other rights herein contained by a notice sent by post determine this Contract.

29.3 Anti-Corruption/Anti-Bribery Representations and Warranties

The Contractor represents and warrants that it is in compliance with all laws of those countries in which it operates, including all anti-corruption and anti-bribery laws, and will remain in compliance with all such laws during the term of this Contract. The Contractor further represents and warrants that it has not made, authorized or offered to make payments, gifts or other transfers of value, directly or indirectly, to any government official or private person in order to (1) improperly influence any act, decision or failure to act by that official or person, (2) improperly induce that official or person to use his or her influence with a government or business entity to affect any act or decision by such government or entity or (3) secure any improper advantage.

The Contractor agrees that should it learn or have reason to know of any payment, gift or other transfer of value, directly or indirectly, to any government official or private person that would violate any anti-corruption or anti-bribery law, it shall immediately disclose such activity to the Employer. If, after consultation by all Parties to this Contract, any concern cannot be resolved in the good faith and reasonable judgment of the Employer, then the Employer, on written notice to the Contractor, may withdraw from or terminate this Contract.

The Employer shall have the right to terminate this Contract if the Contractor breaches this, or any other, representation, warranty or undertaking set forth in this Contract, or if the Contractor or any person employed by the Contractor or acting on his behalf commits any offence under the Penal Code (Chapter 224) or Prevention of Corruption Act (Chapter 241) or has abetted or attempted to commit such an offence

or will have given any fee or reward the receipt of which is an offence under the said Act(s).

29.4 Consequences of Default If any of the above cases occurs, the following will apply, namely:-

(i) The Employer may deploy and pay a contractor or other person or persons to carry out and complete the Works and he or they may enter upon the Site and use all materials, plant and appliances thereof, and may purchase all necessary for the purpose aforesaid;

(ii) The Contractor will, if so required by the SO, assign to the Employer without further payment the benefit of any contract for the supply of materials and/or works intended for use under this Contract for the execution of any works and the Employer will pay the agreed price (if unpaid) for such materials or works supplied or executed after the said determination;

(iii) The Contractor will during the execution or after completion of the Works

under this Clause as and when required remove from the Site his temporary buildings, plant, appliances and any materials within such reasonable time as the SO may specify in a written notice to him and in default the Employer may (without being responsible for any loss or damage) remove and sell the same, holding the proceeds less all costs incurred to the credit of the Contractor;

(iv) Until Completion of the Works under this Clause, no payment will be made

to the Contractor under this Contract,

Provided that, upon completion as aforesaid and the verification within a reasonable time of the accounts thereof, the SO will certify the amount of expenses properly incurred by the Employer; and if such amount added to the monies paid to the Contractor before such determination exceeds the total amount which would have been payable on due completion the difference will be a debt payable to the Employer by the Contractor, and if the said amount added to the said monies be less than the said total amount, the difference will be a debt payable by the Employer to the Contractor; and

(v) In the event of the completion of the Works being undertaken by the Employer, allowance will be made when ascertaining the amount to be certified as expenses properly incurred by the Employer, for the cost of supervision, interest and depreciation on plant and all other overhead charges and profit, as would be incurred were the work carried out by the Contractor.

30 TERMINATION 30.1 Notwithstanding any other provision herein to the contrary, the Employer reserve the

right to terminate this Contract at any time without assigning any reason whatsoever upon giving to the Contractor at least one (3) months’ prior written notice. The Contractor may terminate the Contract by giving the Employer at least six (6) months’ notice in writing.

31 LIQUIDATED AND ASCERTAINED DAMAGES

31.1 Without prejudice to any right of action or remedy of the Employer against the Contractor for any antecedent breach of the terms of the Contract by the Contractor, in the event that the Contractor does not carry out the Works stipulated in Clause 3 hereof, the Employer reserves the right, without terminating this Contract, to impose sum of $500 per day for the period during which the Works shall be remain incomplete.

32 LAWS OF SINGAPORE 32.1 The Contract will be governed by and interpreted in accordance with the laws of the

Republic of Singapore, and the parties hereto hereby submit to the non-exclusive jurisdiction of the Courts of the Republic of Singapore.

33 MEDIATION 33.1 Any disputes, controversy or difference will be referred to the Singapore Mediation

Centre for resolution within fourteen (14) days from the time it arises , in accordance with the mediation procedure, unless any party serves a written notice (‘the Notice’) on the other party and the Singapore Mediation Centre stating that it will not submit the matter to mediation, or that it will submit the dispute for arbitration or litigation. The parties will participate in mediation in good faith and abide by the terms of any settlement reached.

33.2 The right to arbitration and litigation arises when one party serves the Notice on the

other party and the Singapore Mediation Centre. 34 SERVICE OF NOTICES 34.1 Within seven (7) days of the signing of the Contract, the Contractor shall by

notification in writing to the SO, provide the name and address of the person in Singapore who is authorised to accept service on its behalf of any notice to be given to the Contractor under the terms of the Contract; such person and such other person as may be named from time to time by the Contractor and notified in writing to SIA as authorised to accept service on behalf of the Contractor, being hereinafter referred to as "the Authorised Person".

34.2 Any notice to be given to the Contractor under the terms of the Contract shall be

deemed to have been given if served upon the Authorised Person (i) Personally; or

(ii) By registered post addressed to the authorized person's address as provided by the Contractor pursuant to Clause 4(a) above.

34.3 Any notice to be given to the SO under the terms of the Contract shall be served by

sending the same by registered post to or leaving the same with acknowledged receipt at the office of the employer.

35 FOREIGN WORKERS 35.1 All foreign workers employed by the Contractor must possess valid work permits

relevant to the trade or occupation of their employment. They have to produce their original work permits at the guard posts to enter the Employer’s premises to carry out the Works.

36 REMOVAL OF PROPERTIES 36.1 The Contractor will not remove any property, including discarded and unused items,

from the site without written authorisation from the SO. 36.2 To remove items from the Site, the Contractor must submit to the duty officer at the

security post a copy of a Removal Authorisation Form (which he must prepare in triplicate) signed by the SO.

36.3 The Contractor will ensure that no item is removed by its employees or staff from

the Employer’s premises. If any of the Contractor’s employees or staff is found to be in possession of any item belonging to the Employer regardless of how the said item has come into his/her possession, the Contractor will pay the Employer a sum not exceeding $2,000/ as damages.

37 SAFETY REQUIREMENTS 37.1 The Contractor will at all times observe and comply with all prevailing laws and

regulations now and thereafter in force relating to safety, including but not limited to the Workplace Safety and Health Act (Cap 354A) and conducting of risk assessments, and will bear all costs connected with the compliance of the same.

38 SECURITY SCREENING 38.1 The Contractor will liaise with the relevant authorities for the security screening of

all its employees who will be deployed by the Contractor for the performance of the services hereunder. The Contractor will also comply with any additional security requirements imposed by the Employer.

39 SECURITY PASSES 39.1 The Contractor will pay all expenses in connection with the application and issue of

security passes for all persons employed by it in pursuance of this Contract. 40 CONFIDENTALLY 40.1 The Contractor agrees that the contents of this Contract are strictly confidential and

undertakes not to disclose them to any third party whatsoever Any information revealed, obtained or developed in the course of and in connection with this Contract will be kept confidential by the Contractor and will not be disclosed to any third parties, including the Contractor’s agents and sub-contractors, without the prior written consent of the Employer.

40.2 The Contractor will not communicate with the media or any third party on the existence or subject matter of this Contract, or on any matter relating to the Employer and its associated Companies, without the prior written consent of the Employer.

40.3 This provision will survive the expiry or early termination of this Contract.

General Specification GS-1

GENERAL SPECIFICATIONS 1 GENERAL 1.1 The preliminary items included hereunder apply to the whole of the Works

contained in Quotation Summary and Schedule of Rates and the rates and/or amounts inserted by the Contractor shall be deemed to apply to the whole of the Works carried out under this Contract including all variations to the Contract.

In the event of a lump sum only being inserted in respect of this Bill, the Contractor will be required to provide an itemized breakdown of the amount so included. In the event of no amount is being inserted by the Contractor in respect of this Bill, no relative payment whatsoever will be included in interim payments.

1.2 Materials and Workmanship

The Contractor shall as directed, furnish by the SO with approved document to prove that the materials are as specified. All reference to local or foreign standards and/or Codes of Practice will be deemed to be inclusive of the latest amendments to these standards and/or codes of Practice.

Samples of materials may be required to be submitted to the SO for approval before order is placed with the supplier.

1.3 Care of Works and Materials The Contractor shall be responsible for the care of the Works and the safe custody

of all materials delivered to site by his specialists, suppliers or sub-contractors, against all risks arising from weather, negligence, damage or loss until the Works are certified complete by the SO. The Contractor shall also allow for all necessary watching and security lighting.

1.4 Damage to Public/Private Property In the event that damage is done to public/private services or property such as

cables, pipes, etc by the Contractor whether by accident or otherwise causing black-out or other nuisance or inconvenience to public or which is likely to bring SIA into disrepute, all expenditure for such necessary reinstatements or repairs incurred shall be recoverable by SIA from the Contractor by direct payment or by deduction from monies due or becoming to the contractor or as a debt due by the Contractor to SIA.

1.5 Periodic Cleaning Up All rubbish and debris will be deposited in proper and cleared from the site daily after

work done or when so directed by the SO. Particular attention is to be directed to those areas where service vehicles, SIA staff or other contractors shall be working in.

1.6 Dumping of Debris and Rubbish The Contractor will dispose of all unwanted debris, rubble or excess earth at

approved National Environment Agency dumping grounds. All charges levied for use of the dumping grounds shall be borne by the Contractor.

If the Contractor is found to have dumped debris or rubble on any land owned by the Employer or the Government without written permission it shall be liable for the removal of all the debris, rubble, and other matters found at the dumping sites.

1.7 Inspection of the Works Prior to Certified Completion The Contractor shall conduct detailed checks on the works and rectify all defects

before arranging for the SO to inspect the works for the purpose of certifying completion of the works.

The Contractor shall ensure that all items, materials, etc, to be incorporated into the

works have been so incorporated before arranging for inspection by the SO. The SO may not inspect the Works if any of the above said items are not incorporated into the works. The Contractor shall not be entitled to any claims and to any extension of time on account of such failure to ensure that all items are incorporated into the Works.

After the first inspection by the SO, the SO shall give the Contractor a list of defects

punch list and the Contractor shall rectify all defects on the list within seven (7) days.

If any of the defects in the list is not rectified on the second inspection by the SO, the Employer may also at its discretion, exercise its right under the Nuisance and Irregularities Clause 4 to impose charge against the Contractor. The Contractor shall be given another seven (7) days to rectify these defects. Should any of these defects be found not rectified on the third inspection, the Employer shall employ and pay another contractor to rectify the defects and all costs and expenses incurred by the Employer shall be recovered from the contractor. The Contractor may also be debarred from tendering for a specified period.

1.8 Cleaning up on Completion

The Contractor shall remove all rubbish, plant and surplus materials, wash or scrub clean floors, staircases, paving, drains, and all parts of the building and leave the work site in a clean and hygienic condition fit for habitation on completion. The site and periphery shall be cleared of all rubbish resulting from the Contractor’s work.

1.9 Rectification of Defects after Certification of Completion The Contractor shall within ten (10) working days from the date of the written

notification by SIA at the Contractor’s own cost repair, rectify and make good to the satisfaction of SIA all defects, imperfections, shrinkages and other faults arising from or out of the use of materials or workmanship not in accordance to comply with any obligation in his part under the contract which may appear, arise or become manifest.

If the Contractor fails to repair, rectify and make good as aforesaid. However, SIA

may at its discretion exercise, its rights under the Nuisance and Irregularities Clause 4 to impose charges against the Contractor for the defect, imperfection, shrinkage or

other fault as aforesaid per day for each day until the same are repaired, rectified and made good all to the satisfaction of SIA.

Without prejudice to the aforesaid, SIA shall have the right to engage other

person(s) or contractor(s) to repair rectify and make good after ten (10) working days from the date of written notification by SIA, and the cost of repair, rectification and making good the same plus a 20% charge shall be recovered from the Contractor by deducting the same from any monies due to becoming due to the Contractor or recovered as a debt due by the Contractor to SIA.

The decision of SIA on the interpretation and implementation of this clause shall be

final and binding on and conclusive against the Contractor. 1.10 Research Work

The Contractor shall provide access to the site and render all necessary assistance to the SO conducting research work into various aspects of work.

1.11 Foreman

The Contractor shall provide a competent foreman on site and any verbal/written instructions given to him shall be held to have been given to the Contractor. He shall be provided with a mobile phone and remain contactable at all times during the duration of the works.

1.12 Employer of Illegal Immigrants

The Contractor shall be responsible to ensure that no illegal immigrants are employed by him/or any sub-contractor in the execution of the Works.

1.13 Programme/Schedule

The Contractor shall submit a work programme/schedule for SO’s approval two weeks before commencement of the Works.

1.14 Housekeeping The Contractor shall maintain and ensure a safe working environment by keeping

the site neat and tidy and free from all hazards and debris. 2 MATERIAL 2.1 Approval of Samples and Trade Names Where trade names or catalogue numbers are specified herein, they are intended

only to serve a guide to the respective type and quality of material required. Other material proposed by the contractor may be used subject to the prior approval of the SO. In this respect, the Contractor shall submit sample or samples of the proposed material to the SO for approval.

2.2 Local Products Where two or more alternative material are proposed by the Contractor under

Clause 2.1 (Approval of Samples and Trade Names), the SO may at his sole discretion give preference to the use of material manufactured locally in lieu of

imported materials provided that, in the opinion of the SO, the locally manufactured materials is considered equivalent or better in performance and quality. In cause of doubt, the Contractor shall refer to the Employer or the SO before tendering to establish whether such locally manufacture materials are acceptable and permitted for use in the works.

2.3 PSB Quality Certificate Where two or more alternative materials proposed by the Contractor under Clause

2.1 (Approval of Samples and Trade Names) are manufactured locally, the SO may at his sole discretion give preference to the use of a material that is approved under any of Productivity & Standards Board (PSB) quality certification schemes.

2.4 Storage Facility for Materials Storage of materials on-site will have to be liaised with the Custodian Contractor.

The Contractor shall take all necessary precautions to prevent spillage, damage of SIA properties, and shall make good all areas disturbed with the approval of the SO.

In the event of insufficient storage space at the site, the Contractor will either have to provide off-site storage (at Contractor’s own cost) or will be required to schedule the delivery of the necessary equipment to tie-in with the installation schedule.

3 SAFETY 3.1 Site Safety Measures

A high standard of site safety is to be carried out. The contractor shall ensure that site safety measures are carried out in full compliance with the relevant authorities’ regulations, safety circulars by MOM and or any by-laws requirements.

The Contractor must conform to and meet all the requirements of the Workplace

Safety and Health Act. It shall be the duty of the Contractor to comply with all such requirements of the Regulations, as affect him or any person or person employed by him, and as related to any work, act or operation performed or about to be performed by him. The Contractor shall not permit any person to do anything not in accordance with the generally accepted principles of sale and sound practice.

The Contractor shall ensure a safe environment on the site at all times. All safety provisions shall be properly maintained and shall not be removed without the written approval of the SO. The Contractor shall ensure that necessary and sufficient precautions are taken by his workmen when safety provision to be used, unless he has satisfied himself that the provision is safe.

The Contractor shall ensure that the requirements of the Regulations and the following requirements are strictly complied with at all times:- The Contractor shall conduct the risk assessment and submit to SO at least one week before commencement date of the Contract. No work on site shall proceed prior to the acceptance of the risk assessment by the SO.

It is required in this project for contractor to propose in both writing and sketch plan for signage position and etc. for S.O approval prior to start work. (a) Safety Helmets

The Contractor will provide safety helmets to all workmen on the site and shall ensure that they are properly used at all times. The safety helmets shall be of the type approved by PSB.

(b) Safety Belts

The Contractor will provide safety belts, lifelines and all devices for the attachment of lifelines, to all workmen who are required to work in or at areas where they are liable to fall. All safety belts, lifelines and devices for the attachment of lifelines will be of adequate strength and of the type approved by PSB. The Contractor will ensure that the safety equipment provided will be used by the workmen.

(c) Warning Signs and Blinkers

The Contractor will erect and maintain proper warning signboards and barriers during the progress of Works that may endanger the safety of the staff working there. The warning signboards and barrier will be sufficiently large to attract attention and shall include words as “Danger”, “Keep Out”, etc. as appropriate.

(d) Temporary Hoarding The Contractor shall erect the hoarding properly that are supported by metal poles to a height of 2 metres. The hoarding shall be checked once a day to ensure proper testing during the period of it being on site.

(e) Personal Protective Equipment

The Contractor shall provide all PPE such as safety boots, appropriate gloves, reflective vest, goggles, etc., for all workers on site and maintain suitable personal protective equipment to all workmen employed on the Site. The Contractor shall ensure that such personal protective equipment comply with the requirements of the Regulations. The Contractor shall also ensure that all equipments are properly used by his workmen during the course of their work. The Contractor shall record the issuance of all equipment to his workmen in the prescribed forms and such forms shall be kept in the Contractor’s office and made available for inspection at all times.

3.2 Reporting of Accidents All accidents on site shall be reported immediately to the SO. Notwithstanding the

provision of the Injury Compensation Act, the Contractor shall give notice in writing to SIA within ten (10) days of the occurrence of any accident where the accident results in death of temporary incapacity of any workman employed by him or his sub-contractors. If the Contractor fails to report the occurrence of the accident within the stipulated time, SIA shall at its absolute discretion exercise its rights under the Nuisance and Irregularities Clause to impose charges against the Contractor.

4 NUISANCE AND IRREGULARITIES 4.1 If the Contractor is found to have committed any of the following irregularities:-

(i) Omitting building materials or labour, reducing the sizes of the materials, using inferior materials; or materials constructed not according to the Specifications or Drawings;

(ii) Creating nuisance at the Site thereby causing inconvenience to the SO or

the public or committing similar acts (such as not complying with site safety requirements, etc) which are likely to bring SIA into disrepute;

(iii) Non-compliance with any part of the Specifications or Drawings, or non-

fulfilment of any contractual obligation, 4.2 In addition to the above charges, the SO is empowered either:-

(a) To order any irregular work to be removed and made good to the satisfaction of the SO at the Contractor’s expense; or

(b) In lieu of correcting work not done in accordance with the contract, the SO

may allow such work to remain and shall recover any cost differences between the specified requirements and the non-compliance.

For nuisance on site, the contract must take immediate action to cease the nuisance

committed upon instruction given by the SO. 5 CONTRACT SUM 5.1 The Contract sum includes labour, materials, tools and equipments and everything

necessary for the proper completion of the whole works. 6 MEASUREMENT 6.1 The dimension shown in the drawings are only indicative. The Contractor shall take

site measurements during the site inspection and clarify with the SO on any discrepancy before commencement of works. SIA shall not consider any claim for extra cost due to lack of information.

7 WORK DELAYS / STOPPAGES 7.1 During the course of the Works the Contractor may as and when instructed by the

Employer /the SO have to stop works if the Employer /the SO deem that such stoppages are necessary to facilitate SIA’s operations.

7.2 The Contractor will allow for in his quotation, cost for delays in his works due to

the above-mentioned stoppages, partial handing over of site/work areas to him and rescheduling of his works as instructed by the Employer /the SO. The Contractor will not be entitled to any claim for extra cost due to such delays.

8 COMPLETION CERTIFICATE AND ACCEPTANCE PROCEDURE 8.1 The Contractor shall submit the details of the commissioning Superintending

Officer (SO)s whose qualifications must be to the satisfaction of the Superintending Officer (SO). The Superintending Officer (SO) reserves the right to reject any unsuitable person.

8.2 The installation shall be ‘Practically Completed’ following satisfactory

commissioning and the submission of the completed final commissioning data and the Contractor will be duly issued a Certificate of Completion. This in effect starts the Defects Liability Period and Maintenance Period.

8.3 A joint inspection will be held between SIA, Superintending Officer (SO) and

Contractor to establish an outstanding works and defects list. All outstanding works/defects shall be completed within one month from the when the Certificate of Completion was issued.

8.4 If, at the end of the one month’s period from the date of issuing the Certificate of

Completion, any defects/outstanding works mentioned in the list still exist, the Superintending Officer (SO) is empowered to appoint a body to rectify all defects/outstanding works and deduct the cost involved from the retention money.

8.5 One month before the end of the Defects Liability Period, a final defects

inspection will be made and the Contractor has one month to clear the final defects before release of the retention money.

SCOPE OF WORKS 1. GENERAL

This section detailed the repair works requires for the defects identified and the contractors shall propose better alternatives, more effective or more sustainable solutions. 1.1 SITE PREPARATION

a. Washing of roof

i. Contractor is to wash the entire roof with pressure jet to remove grimes, dirt, shoot, loose paint, rust flakes, etc. However the pressure and angle shall be adjusted to ensure no water seeps thru the gaps and drip into the hangar. No jet washing near corroded spots or lap joints, etc.; instead use brush to wash.

ii. During this wash, the contractor must not cause choke to the rain water

down pipe. Flushing & Clearing of the down pipe will have to be done.

b. Minor Repair Works

i. Contractor is to inspect the entire roof to identify and to carryout patch repair on corroded surfaces or hole, joints, overlapping joints, flashing edges, etc. before the actual waterproofing system is applied.

ii. All rusty overlapping joints shall be de-rusted by rust converter. Rust

Converter shall be used prior to application of red oxide primer and enamel paint on metal surfaces. Rusty surface to be treated before membrane coating is applied.

iii. Replace all corroded and missing fasteners and screws, tighten with a

performed rubber washer and sealed with appropriate sealant before application of waterproofing membrane..

iv. Roof gutter rectangular strainer to be cleaned, de-rusted and repainted v. All mounting bracket if rusty shall be treated and all corroded brackets

shall be replaced or repair. vi. Cable trays that are rusted and corroded shall be disposed and

replaced with new trays located on roof surface. vii. Care should be taken while handling the lightning conductor. At all

times, the lightning conductor should not be “disconnected”. viii. Existing metal roofing that are rusted and which cannot be repaired by

painting must be replaced with equivalent to the existing metal roof.

Proper protection against rain or any excessive water shall be taken into consideration on site during the dismantling and installation works. Hangar will be 24hrs operation and no disruption of Hangar operation shall be allowed.

c. Minor painting and touch up work shall be included for adjacent metal surfaces or RC walls as seen on site. All painting shall be neat and with proper straight line. This item shall fall under 07 Part VII Summary of Tender Bill No. 2, 2.3-Others.

d. All surfaces shall be checked and cracks shall be repaired or filled as per the wall repair method.

1.2 WATERPROOFING WORKS

i. The Primer a. Apply Red Oxide Primer; this shall be capable of enhancing the

adhesion of the metal surface and the waterproofing membrane. The primer shall be applied at a spread rate of 8m2/liter onto the clean surface using roller, brush or airless spray.

b. No thinning is required. c. A curing period of approximately 24 hours, subject to atmospheric

condition should be allowed prior to the application of waterproofing membrane. As soon as the primer is “touch dry”, commencement of the spray/apply on (roller or brush) membrane shall begin. This is to avoid the priming coat being left too long to collect contaminants which is likely to impair the adhesion of the membrane.

ii. Carry out the waterproofing works with solvent free water base liquid membrane Cold applied waterproofing system using either be manually applied or by spraying. The waterproofing membrane shall be applied in accordance with the manufacturer’s recommendation by an approved specialist applicator.

iii. Waterproofing work shall be carried out on a cleaned, dry and prepared

surface. . The final thickness of the system shall meet manufacturer requirements.

iv. The membrane is sprayed/applied at a coverage rate of at least

2m2/liter. v. The works site shall be kept neat and tidy all times. All debris to be

cleared and transported off-site to ensure no materials are left on the roof and blown on to the airfield.

vi. Waterproofing shall be allowed to cure and bond properly on each layer.

Allow minimum of 24 hours to cure before foot trafficking by following trades. Should the weather turn wet, if waterproofing has been applied but not cured, contractor may have to remove their work for re-work.

vii. The finished coating must be firmly adhere to background and be free

from pinholes, blisters, embitterment, foreign matter and other defects likely to permit the passage of water.

viii. For metal flashing and joints, reinforcement mesh is recommended to

enhance the tensile strength of the waterproofing system. ix. All cladding joints and flashing shall be lined with flexible sealing tapes,

self-adhesive or manual applied adhesive, to manage the width of the gaps caused by deformation.

x. The completed waterproofing membrane is to be provided with a Ten (10)-years warranty upon the completion of the whole works. Contractor shall provide the said warranty in accordance to the “Warranty for Waterproofing Works” specimen attached.

xi. Adjacent walls or parapets or extractor fan necks, chamber for skylight

roof etc. shall be included in the waterproofing works. All upturns on vertical wall shall not be less than 300mm high.

xii. The work shall include the repair and waterproofing works for metal roof

on Airline House adjacent and/or parallel to Hangar 01 roof. xiii. Upon the completion of the waterproofing works, contractors need to

carry out a thorough washing of the surrounding areas of work to wash down all dirt from the roof and the gutters.

xiv. Contractor may also propose the most appropriate and effective

waterproofing system and material based on the site survey and condition evaluation for this exercise as alternative and has to state clearly in the tender submission the types of waterproofing system including the catalog for evaluation.

All waterproofing system proposed shall be tested for suitability to use under local environment and temperature range.

1.3 QUALITY ASSURANCE

i. The contractor shall provide adequate measures to protect the completed waterproofing system from being damaged during the application subsequent activities.

ii. There shall be a wet weather program and contingent protection works over the treated waterproofing membrane during the rain while in the process of the application of membrane.

iii. Prior to commencement of any waterproofing application or works, the

Contractor shall submit relevant shop drawings/ method statements on the waterproofing detail to the SO.

iv. A water spray test shall be conducted at random, to check on “weak

spot” of the metal roof upon the request of SO. v. Be vigilant on the above during the entire installation process and

continually re-examine surfaces immediately prior to installation. This is particularly important where works are stopped and resumed after a period of time.

1.4 DAILY SITE SAFETY MANAGEMENT

i. Safety is utmost important and contractor to take note of the weather

condition especially wind and lightning. ii. In case of strong wind or lightning, all works to stop immediately and all

resources shall be removed from the roof to a safe shelter.

iii. Proper barricade shall be erected for the safety of pedestrian as well as

vehicle. iv. Signage shall be place in various locations to inform of the work in

progress. v. Provide safety line or life line for workers to anchor to while moving

around the roof.

Since the work is on open roof with strong winds and slippery surfaces, all workers shall comply to MOM requirements for working at height with proper life line to be provided by the contractor and be certified safe for use by the professional bodies.

Contractor is to provide an option for temporary and permanent life line in their costing as Airline House might wish to retain the life line upon the project completion and let the life line be the assets of airline house.

vi. Provide all certification of the safety provision and also site supervision

with daily tool box briefing.

Contractor is to ensure the relevant safety personnel or supervisors to be full time on site as per the latest MOM or BCA requirements and contractor is to submit all relevant document to ensure compliance to MOM and BCA requirements for site work.

SCHEDULE 1 – SCHEDULE OF UNIT RATES

The brief description listed in the following Schedule of Unit Rates shall be read in

conjunction with the Tender Document, Specifications and Drawings.

Rates shall be inclusive of all necessary accessories including labour, handling, detailing,

and setting out, use of tools, Plant and equipment; and also overhead charges, and profit.

The contractor’s unit rates for items required for the Works, whether or not expressed on the

Drawings or in the Specifications, shall be deemed to include the cost of shop drawings,

production, supply, installation, and painting etc.

The following rates shall be used to determine the costs of authorised variations or deletions

during the course of this Contract. Unit rates shall include supply of equipment and/or

materials and all installation labour costs. The unit prices quoted below are also to be used

during the 12-months Defects Liability Period.

TENDER FOR THE METAL ROOF REPAIR AND WATERPROOFING WORKS IN

HANGAR 1

25 AIRLINE ROAD, SINGAPORE 819829

THIS CONTRACT is made the ________ day of ________________ 2016 BETWEEN

SINGAPORE AIRLINES LIMITED (“SIA”) having its registered office at Airline House, 25

Airline Road, Singapore 819829 of the one part and

_____________________________________________________ (“the Tenderer”) having

its registered office at ___________________________________________ of the other

part.

WHEREAS the Tenderer has agreed to carry out the Metal Roof Repair and Waterproofing Works in Hangar 1, 25 Airline Road, Singapore 819829 and SIA has agreed to engage the Tenderer to provide the Works on the terms and conditions hereinafter contained.

NOW THEREFORE the parties in consideration of the mutual covenants and agreements herein contained hereby agree as follows:- SIA will pay to the Tenderer the lump sum of Singapore Dollars _____________________________________________________(S$___________) (GST-exclusive) or such other sum as may become payable under the provisions of this Contract (“the Contract Sum”) for the Works.

1 CONTRACT PERIOD

1.1 Time being the essence of this Contract, the whole Works shall be completed within

Five (5) Month/s from the date of award. 1.2 The Works shall commence on _______________________ and shall be completed

by __________________________. 1.3 The Defects Liability Period for this Contract shall be twelve (12) months upon

certification of the completion of Works.

2 TENDERER TO VISIT SITES 2.1 The Tenderer, prior to the execution of the Contract, will visit the Sites and familiarise

itself on the local conditions, accessibility of the Sites, the full extent and character of the operation, the supply and conditions affecting labour and materials, the transportation of labour, materials, equipment, etc. After execution of the Contract, SIA shall not consider any claims by the Tenderer on the grounds of lack of knowledge in such respects.

3 WORKERS 3.1 The Tenderer will take all reasonable precautions to ensure that all its Workers are

suitably qualified, efficient, sober and honest. The Tenderer will remove and replace any Worker who in SIA's opinion is incompetent or otherwise unsuitable for the job, immediately upon notification by SIA.

3.2 All Workers shall be in uniform bearing the Tenderer’s name and logo.

4 POSSESSION OF SITE 4.1 Possession of Site will be given to the Tenderer, immediately after the issue of the

“Acceptance Letter”. The Works shall then be carried out with due diligence and expedition and shall be completed within the time frame stipulated in paragraph 1.1 above.

5 DAYS AND HOURS OF WORKING 5.1 Normal Working Hours 5.1.1 Normal work hours shall be:- Monday to Friday from 0830 hours to 1730 hours 5.2 Overtime 5.2.1 No Work will be executed outside normal working hours without the prior consent of

the Superintending Officer (SO). Should overtime work be necessary beyond the normal hours for the completion of Works by the agreed time frame, no extras will be paid for such overtime work.

6 WATER AND ELECTRICITY SUPPLY FOR THE WORK 6.1 Water and normal electricity supply required for the Works will be provided free-of-

charge by SIA. 6.2 The Tenderer will not waste water by indiscriminate use or leaking taps/hoses. 6.3 Where electricity is available in a building, it may be used by the Tenderer provided the

Tenderer complies with all relevant electrical regulations and any special instructions of Superintending Officer (SO).

7 TENDERER TO PROVIDE AND DO EVERYTHING 7.1 The Tenderer will provide everything necessary (including all labour, tools, equipment,

machinery, scaffolding etc.) for the proper execution of the Works according to the true intent and meaning of the Contract, scope of work, technical specifications and drawings , regardless of whether such requirements are stated in the Tender Documents, provided that the same is reasonably to be inferred therefrom.

8 EVASION 8.1 The Tenderer may not evade or seek extra payment for obvious requirements due to

any discrepancy or omission in the scope of work, specifications and drawings or the conditions herein. Any queries on the meaning and intent of the terms and conditions of the Tender Documents should be referred to the Superintending Officer (SO) for clarification.

9 STATUTORY OBLIGATIONS FEE AND CHARGES 9.1 The Tenderer shall comply with all notices required by any rule or order or any

regulation or by-law applicable to the Works and shall pay all the necessary fees and charges in respect of the Works.

10 TENDERER'S REPRESENTATIVE 10.1 The Tenderer will at all times keep a competent English-speaking person in charge on

the Site.

11 ASSIGNING, SUB-CONTRACTING AND TRANSFER 11.1 The Tenderer will not sub-contract or assign the Contract or any part thereof to any

person, firm or company without the written consent of SIA. 11.2 SIA may, after notification in writing to the Tenderer assign or transfer the whole or any

part of the Contract to any associated company of SIA.

12 FAILURE BY TENDERER TO COMPLY WITH SIA’S INSTRUCTIONS 12.1 If the Tenderer, after receipt of a written notice from the Superintending Officer (SO)

requiring compliance within seven (7) days, fails to comply with the Superintending Officer's instructions, the Superintending Officer (SO) may pay other persons to execute any Works which may be necessary and the Tenderer will reimburse SIA for all costs incurred in the execution of such Works or SIA may deduct the amount from any monies due or to become due to the Tenderer.

13 REMOVAL OF PROPERTY 13.1 The Tenderer will not remove any property, including discarded and unused items,

from the Site without written authorisation from SIA. 13.2 To remove items from the Site, the Tenderer must submit to the duty officer at the

security post a copy of the “Removal Authorisation Form” (which it must prepare in triplicate) signed by the Superintending Officer (SO) of SIA.

13.3 Any unauthorised removal of items, whether discarded or not, may be referred to the

Police, in addition to the exercise of other rights of SIA in such a situation.

14 CORRESPONDENCE 14.1 Any notice, request, waiver, consent or approval required or permitted to be made to

the Tenderer under this Contract shall be in writing and shall be deemed to have been duly given or made if addressed to the Tenderer and left at or sent by registered post to the Tenderer's usual or last known place of abode or business in Singapore.

15 DISPUTE RESOLUTION

15.1 All disputes, controversies or differences arising out of or in connection with this

Contract shall be submitted to the Singapore Mediation Centre and the Singapore International Arbitration Centre for resolution by med-arb in accordance with the SMC-SIAC Med-Arb Procedure for the time being in force, which procedure is deemed to be incorporated by reference into this clause.

16 STAMP FEE AND AIRPORT PASS 16.1 The Tenderer will pay the stamp fee for this Contract and all expenses in connection

with the issue of airport passes for all its Workers.

17 EMPLOYMENT OF ILLEGAL FOREIGN WORKERS 17.1 The Tenderer undertakes that it will (whether by itself or by its servants, agents,

employees) ensure that no illegal foreign workers are employed by it or any of its sub-contractors in the execution of any part of the Works performed for SIA under this Contract.

17.2 "Illegal foreign worker" means a foreign worker who: (i) has not lawfully entered or remained in Singapore, in contravention of the

Immigration Act (Chapter 133); or (ii) is employed by an employer without a valid work permit, in contravention of the

Employment of Foreign Workers Act (Chapter 91A). 17.3 If any illegal foreign worker is found to be so employed by the Tenderer or any of its

sub-contractors, SIA may, without prejudice to its rights under any contract with the Tenderer, withhold any payment due to the Tenderer for a period of two (2) months and SIA shall not be liable for any loss or damage suffered by the Tenderer as a result of any payment so withheld.

17.4 Further, the Tenderer will indemnify SIA against any costs and/or expenses, including

legal expenses, which SIA may incur as a result of the Tenderer's employment of illegal foreign workers. SIA may also take such other measures, including but not limited to, forfeiture of the Tenderer's security deposit and/or debarring of the Tenderer from participating in future tendering exercises.

17.5 The Tenderer will submit updated and (where relevant) duly-certified copies of the

following documents to SIA for its inspection and record:

(i) Personal particulars (including name, address, nationality, passport number and work permit number) of all foreign Workers deployed by the Tenderer in the execution of the Works under this Contract. .

(ii) The work permits of the foreign Workers.

(iii) The passports, entry permits and re-entry permits of the foreign Workers, showing that they have lawfully entered and remained in Singapore.

17.6 SIA may conduct random on-site checks on the Workers for the purpose of verifying

that the Tenderer has complied with the requirements, and the Tenderer will provide all the necessary assistance and facilities in order for SIA to perform these checks.

18 CONDITION OF CONTRACT DOCUMENT 18.1 All clauses of the Conditions of Contract document (Part III) shall form part of this

Contract and will be considered repeated in this document. All references to the “Contractor” in the Condition of Contract’s document shall be read as the “Tenderer”.

19 DEFINITIONS 19.1 Unless defined otherwise, the words stated in uppercase in this Contract shall have the

same meaning as defined in the Conditions of Contract (Part III) and Conditions of Tender (Part I) documents.

20 TENDER DOCUMENTS 20.1 The Tender Document comprises the following documents, which are attached shall

form part of this Contract:

21 APPLICATION OF DOCUMENTS

21.1 In the event of any inconsistencies, the clauses of the following documents as set out

in order shall take precedence: First: Condition of Tender; Second: Conditions of Contract; Third: The formal executed Contract; Fourth: General Specifications;

Fifth: Technical Specifications; Sixth: Summary of Tender; Seventh: Schedules and Appendices

22 MISCELLANEOUS 22.1 The titles to the clauses in this Contract are for convenience only and shall not in any

way affect the interpretation of the clauses. 22.2 The several documents forming the Contract are to be taken as mutually explanatory

of one another. In the event of any conflict or overlap between any two more provisions in this Contract or its attachments, the wider obligation or more stringent requirement (as the case may be) shall apply as against the Contractor.

22.3 The Contractor expressly recognizes and acknowledges that SIA is the sole and

exclusive owner of SIA’s service-marks, trademarks and logos and the Contractor agrees that it will not at any time make any use of any of SIA’s service marks, trademarks or logos without the prior specific written consent of SIA.

22.4 Any person who is not a party to this Contract has no rights under the contracts

(Rights of Third Parties) Act (Cap 53B) to enforce any term of this Contract. 22.5 In connection with this Contract, each party is an independent contractor and as

such will not have any authority to bind or commit the other. Nothing herein shall be deemed or construed to create a joint venture, partnership, and fiduciary or agency relationship between the parties for any purpose.

22.6 If any term or provision of this Contract is found by a court of competent jurisdiction

to be invalid, illegal or otherwise unenforceable, the same shall not affect the other terms or provisions hereof or the whole of this Contract, but such term or provision shall be deemed modified to the extent necessary in the court’s opinion to render such term or provision enforceable, and the rights and obligations of the parties shall be construed and enforced accordingly, preserving to the fullest permissible extent the intent and agreements of the parties herein set forth.

22.7 No delay or omission by either Party to exercise any right or power it has under this

Contract shall impair or be construed as a waiver of such right or power. All waivers must be in writing and signed by the Parties.

22.8 This Contract may be executed in counterparts, each of which will be deemed an

original, but all of which taken together shall constitute one single agreement between the Parties.

22.9 All information or data, oral, electronic or written disclosed by SIA to the Contractor

in connection with the Works (including but not limited to the SIA Documents and the terms of this Contract) (collectively, “Confidential Information”) are considered

confidential to SIA. The Contractor shall not disclose the Confidential Information to third parties without the prior written approval of SIA. SIA’s prior written consent must be obtained before any news release to the media, public disclosure or reference to the obligations of this Contract is made. SIA reserves the right to require the Contractor to provide documentary evidence that the obligations herein have been complied with. For the avoidance of doubt, the obligations under this clause shall survive the expiration or termination of this Contract.

The obligations of confidentiality herein shall not apply to any information which: a) at the time of supply is in the public domain; or b) subsequently comes into the public domain, other than through breach of this

Contract; or c) is already in the recipient’s lawful possession without an obligation of

confidence in relation to it; or d) subsequently comes lawfully into the possession of the recipient from a third

party who does not owe to the provider of such information an obligation of confidence in relation to it; or

e) is required to be disclosed by law, regulation or any governmental or

competent regulatory authority.

22.10 The Contractor represents and warrants that it is in compliance with all laws of those countries in which it operates, including all anti-corruption and anti-bribery laws, and will remain in compliance with all such laws during the term of this Contract. the Contractor further represents and warrants that it has not made, authorized or offered to make payments, gifts or other transfers of value, directly or indirectly, to any government official or private person in order to (1) improperly influence any act, decision or failure to act by that official or person, (2) improperly induce that official or person to use his or her influence with a government or business entity to affect any act or decision by such government or entity or (3) secure any improper advantage.

The Contractor agrees that should it learn or have reason to know of any payment, gift or other transfer of value, directly or indirectly, to any government official or private person that would violate any anti-corruption or anti-bribery law, it shall immediately disclose such activity to SIA. If, after consultation by all Parties to the Contract, any concern cannot be resolved in the good faith and reasonable judgment of SIA, then SIA, on written notice to the Contractor, may withdraw from or terminate this Contract.

SIA shall have the right to terminate this Contract if the Contractor breaches this, or any other, representation, warranty or undertaking set forth in this Contract.

DEED OF WARRANTY AND INDEMNITY FOR METAL ROOF REPAIR AND WATERPROOFING WORKS IN HANGAR 1 AT AIRLINE HOUSE

THIS DEED OF WARRANTY AND INDEMNITY is given on (Date) by (Name of Contractor) having its registered office at (Address) (hereinafter called “the Contractor” which term shall include its assigns and successors in title) to SINGAPORE AIRLINES LIMITED (hereinafter called “SIA” which term shall include its assigns and successors in title). WHEREAS: - 1. By an agreement made between SIA and the Contractor dated _________

(hereinafter called “the Contract”), SIA has engaged the Contractor to carry out METAL ROOF REPAIR AND WATERPROOFING WORKS IN HANGAR 1, for SINGAPORE

AIRLINES LIMITED (hereinafter called “the Works”). 2. The Contractor has agreed to warrant and indemnify SIA, in the manner hereinafter

against water seepage and discoloration to the Works in the above-mentioned project for ten (10) years.

THE CONTRACTOR HEREBY AGREES with SIA as follows: -

1. In the event of water ingress (as shall be determined by SIA) appearing in the Works,

SIA shall forthwith upon notice from SIA and within such time as SIA may direct, effect remedial works to the defective area or areas and shall make good to the absolute satisfaction of SIA all damages to surface finishes including but not limited to plaster, painting and other similar works, mechanical, electrical or other installations or other property arising directly or indirectly out of the said failure or defects.

2. In the event that the remedial works undertaken by the Contractor prove ineffective as determined by SIA whose decision shall be final and conclusive, or are not to the satisfaction of SIA, the Contractor shall effect such additional works in such a manner and within such time as SIA may direct and shall carry out all tests as directed by SIA until all the defects have been remedied to the absolute satisfaction of SIA.

3. Should the Contractor fail to perform its obligations under Clauses 1 and 2 above

within the time directed by SIA or in the absence of such direction, within a reasonable period, SIA shall be entitled to remedy the said defects and the Contractor shall forthwith on demand reimburse SIA all costs and expenses incurred by SIA for making good the said defects including reimbursements by the Contractor of all consequential damages and all legal costs on a Solicitor and Client basis incurred by SIA in enforcing this Clause.

4. All costs and expenses arising out of the performance of the obligations under this Warranty and Indemnity shall be borne solely by the Contractor.

5. The giving of time or the neglect or forbearance of SIA in requiring or enforcing its

rights under this Warranty and Indemnity or other indulgence to the Contractor shall not in any way prejudice or affect the obligations of the Contractor and the rights of SIA under this Warranty and Indemnity.

6. This Warranty and Indemnity shall be freely assignable by SIA to any party

(hereinafter called “the Assignee”) and after such assignment, the Contractor shall perform all its obligations under this Warranty and Indemnity as if the Assignee had been the party to whom this Warranty and Indemnity was given instead of SIA.

IT IS HEREBY EXPRESSLY AGREED hereto that this Warranty and Indemnity shall be valid for the period of TEN (10) years from the date of practical completion of the Works as stated in the Certificate of Practical Completion. This Warranty and Indemnity shall have full force and effect notwithstanding any limitation or termination of the Contractor’s liability and/or responsibility under the Contract. This Warranty and Indemnity is in addition to and without prejudice to any other rights and remedies which SIA may have against the Contractor or any other person whether in contract, tort or otherwise. deteriorating with spots of rust on surfaces, fasteners’ areas and lap joints.
