Sealed item rate Tenders are invited on behalf of DHULE TEXTILE PARK PVT. LTD., for Land Development, soil retaining and Compound wall structure works of proposed factory premises at Kundane, Dhule, Maharshtra. PREAMBLE § GENERAL

Dhule Textile Park Pvt. Ltd. is intending to construct a Greenfield Textile Park project at Kundane, Dhule (Maharashtra). For this tender the work is limited to Land Development and construction of soil retaining structures along with Compound wall at said address.

The owner further intents to carry out the said work(s) by appointing contractor(s) by calling competitive offers. The owner shall enter in contract(s) with the successful bidder(s) for carrying out the works as per specifications & conditions detailed hereunder. Not-with standing above the owner reserves the right to reject any or all the offers, without assigning any reason thereof. The bidder shall not be entitled for any compensation/claims towards the cost of preparation and submission of the offer. § INTENT OF DOCUMENT

The intent of this document is to describe, through specifications & drawings, the requirements of the works to be carried out by the contractor. The specifications and the accompanied drawings shall be read in conjunction & are intended to be complementary, and what either requires shall be treated as if required by all.

§ DEFINITIONS

The following definitions shall be applicable for this contract:

The words imparting the singular only also include the plural and vice versa where the context requires, while applying the definitions given below:

• "Employer"/"Owner" shall mean Dhule Textile Park Pvt. Ltd. or their heirs/legal or authorized

representative, assigns and the successors. • "Project Consultant" shall mean M/s. Rass Project Consultants Pvt. Ltd., or their

heirs/legal or authorized representative, assigns and the successors. • "Bidder/Bidder” shall mean the firm or company desirous for securing the aforesaid work and to

whom the tender document is issued. • "Site” shall mean the site of contract works as shown bounded on the site plan attached hereto

including any building and erections thereon and any other land adjoining thereto (inclusively) as aforesaid allotted by the employer or the consultants for the contractor's use.

• "Tender" shall mean the documents as listed below:

o Tender Notice& Tender Form. o Preambles o General Conditions of Contract. o Commercial Conditions of Contract. o Special conditions of Contract o Safety rules and regulations o Bill of Quantities. o Tender Drawings issued herewith.

• “Contract” shall mean the Tender duly signed by Owners and Contractor, Articles of Agreement, Deviations to tender terms accepted by both owners and Contractor, accepted correspondence / corrections / communications etc.

• “Specifications” shall mean any terms specifying Owner’s requirements pertaining to the

contract – General / Commercial / Technical / Special Conditions of Contact including the detailed Item Specifications and Drawings.

§ SCOPE OF THE WORK

The scope of the work includes the works mentioned in the Schedule Of Quantities for various items as per the item description in BOQ. The works shall be carried out strictly in accordance to the tender conditions.

§ PAYMENT AS PER ITEM RATE Being an item rate contract the contractor shall be paid as per the actual work carried out duly measured, approved and certified by the Project Consultant/ Owners representative, based on the approved rates as per BOQ.

§ COMPLETENESS OF TENDER The bidder is advised to quote the rate against each item of BOQ in figures and words and also to calculate accurately the final column of totals and the final amount. If the bidder does not calculate the totals and the final totals, the tender carries the risk of rejection, which may please be noted. In the event of discrepancies in the rates as quoted by bidder, in words and in figures, the rates as indicated in words shall be considered for evaluation of the offer. Although, the bill of quantities has been divided in various sub-sections the rates quoted for a particular items of work in one sub-section shall be applicable to similar items of work in any other sub-sections. Each page of tender document including the schedule of quantities and bid drawings be signed and dated by the bidder in ink as a token of having examined the same. Any corrections in the rates in the schedule of quantities shall also be signed and dated by the bidder before submitting the tender. Non-compliance with these conditions will make the tender liable for rejection. In case of partnership firm, the tender shall be duly signed and stamped by a member of the firm. In case of tender being submitted by a company, it shall be signed and stamped by its Managing Director or a duly authorized person. In both the cases the bidder shall attach a copy of Power of Attorney in favor of signatory. § SITE VISIT The bidder is advised to visit and inspect the site (and existing premises, trail, holes, nature of ground etc.) prior to tendering, as no claim will be allowed on the grounds of ignorance of the conditions under which the work will be executed. In submitting proposals for this work, each bidder will be held to have previously examined the site and satisfied himself as to the conditions under which he will be obliged to operate in performing his part of work or which will, in any manner, affect work under the contract.

§ PRE-BID CLARIFICATION Should the bidder find any discrepancy, omission, ambiguity or conflict in or among the documents forwarded or be in doubt as to their meaning and interpretation; such matter should be called to the attention of the Project Consultant at the office of M/s. RASS PROJECT CONSULTANTS PVT. LTD., Pune not later than 3 days prior to the date of submission of tender. On receipt of such query the Project Consultant will issue a clarifying bulletin in writing which will also form a part of the contract. Neither the employer nor the Project Consultant will be responsible for any oral instructions.

§ PROCEDURE FOR SUBMISSION OF OFFER The offer shall be submitted, as per the procedure laid down in special conditions of contract. Please note that the Offer(s) not complying the procedure and/or incomplete offer(s) shall be liable for rejection.

§ PROCEDURE OF EVALUATION Please note that lowest offer is not the criteria for acceptance. The experience of the bidder for the similar works, technical competence, understanding about the works & previous track record of the bidder shall be taken into consideration while selecting the offer. The bidders are advised to refrain from submitting the unbalanced offers.

§ RIGHT OF OWNER FOR ACCEPTING AND/OR SPLITTING THE WORK The owner further reserves the right to accept the tender in part and place separate contract(s) for various types of works as mentioned in the tender notice.

§ CONTRACT AGREEMENT Successful bidder shall have to enter into a written contract agreement with the Owner, in a standard Performa, as given in Appendix, on non-judicial stamp paper of appropriate value within 7 days from the date of issue of detailed work order. Contract Agreement shall have to be signed/witnessed by the representatives of both Owner and Bidder.

§ SUBMISSION

The offers completed in all respects and placed in sealed envelopes super scribed with the name of the work as mentioned in the tender notice and also the name and address of the bidder shall be submitted at the office of Dhule Textile Park Pvt. Ltd. on or before 05/11/2016 up to 04.00 pm. The Tender received after the specified time is liable for rejection.

GENERAL CONDITIONS OF TENDER

1. Client will pay 20% of contract amount as a Mobilisation advance to the contractor..

2. Contractor shall work out the quantities of cutting and filling as per the contour survey plan and made-up ground level shown in the drawing. He will submit the “Item Rate Offer “for the said work. It will be contractor’s responsibility to dispose off excess material out of the site (as directed by Engineer In charge) and procurement of external murum for filling.

3. The bidder can take necessary trial pits at site to identify and understand the strata available over there.

4. The boulders more than 0.5 Cum in size shall be stacked separately in site premises as directed by site engineer.

5. Water for murum compaction and drinking purpose shall be contractor’s responsibility at his own cost. All the banks shall be made up in successive layers of not more than 50 to 60 cms in depth over the whole width between the toes of the slopes. Side slopes shall be carried out simultaneously with the rest of the work and not filled in afterwards. In setting up profiles due allowances for subsidence must be made and must be added to all the heights of the actual height of formation level.

6. Compaction of the back filled murum shall be carried out by means of 12 tons Vibro Rollers. A smaller weight roller may be used only if permitted by client/ consultant’s Engineer. As a rolling proceeds water sprinkling shall be done to assist consolidation.

7. The contractor will arrange electricity power for his operating equipments at his own cost if required. No any extra amount claim will be entertained on account of electricity.

8. Contractor should ensure that there would not be any dispute between other contractors as well as labors working at site.

9. Addition/deletion of any work mentioned in the tender shall be at sole discretion of the owner. Quantities shown in schedule are estimated. Payment will be done as per actual executed quantities and agreed quoted item rates.

10. Land for labor hutments/ colony shall be contractor’s responsibility at his own cost.

11. In the event of failure of Contractor to complete the work within the stipulated period the Contractor shall be liable to pay liquidated damages at the rate of 1.0 % (one percent) value of incomplete portion of the work per week , subject to a maximum amount of 5% of the total contract value.

12. Contractor shall register his establishment under Workmen’s Compensation Act & P. F. Act

and shall indemnify owner about any claims by Government Authorities under these to the extent of number of workers. Payment of all statutory compliances will be contractor’s responsibility.

13. The Contractor shall allow for sales tax, duty, any other tax or octroi legally payable and it shall be presumed that the total cost quoted by contractor deemed to include all taxes, duties, Government royalties and no claim on this account will be entertained.

14. Running Bills – Frequency of submission: Contractor can submit Running Bills once in 15 days. Contractor shall submit entire bill in Microsoft excel format with all relevant test certificates.

15. Period of honoring final certificate for payment shall be (10 days) from the submission of the running bill complete in all respects. The bill amount shall not be less than Rs. 40 Lakh.

16. The defects, shrinkage, settlements or other faults which may appear within "the defects liability period” within twelve months after the virtual completion of the works, arising in the opinion of the employer from material or workmanship, not in accordance with the contract, shall upon the directions in writing of the employer and within such reasonable time as shall be specified therein, be amended and made good by the contractor at his own cost, and in case of default the employer may employ and pay other persons to amend and make good such defects, shrinkage, settlements or other faults and all damages, loss and expenses consequent thereon or incidental thereto shall be made good and borne by the contractor and such damage, loss and expenses shall be recoverable from him by the employer or may be deducted by the employer from any money due or that may become due to the contractor, or the employer may in lieu of such amending or making good by the contractor deduct from any money due to the contractor a sum equivalent to the cost of amending such works, and in the event of the amount retained being insufficient, recover the balance from the contractor together with any expenses the employer may have incurred in connection therewith. Should any defective work have been done or materials supplied by any sub-contractor employed on the works who has been nominated or approved by the employer as provided in the contract, the contractor shall be liable to make good in the same manner as if such work or material had been done or supplied by the contractor.

17. The contractor shall remain liable under provisions of this clause notwithstanding the signing by the consultants of any certificate or the passing of accounts.

18. SECURITY DEPOSIT: From each RA bill and from final bill of the contractor, an amount of 5 % (Five percent only) of the gross bill value of the respective bill, shall be retained, as "SECURITY DEPOSIT", for due fulfillment and completion of the work.

21 REFUND OF SECURITY DEPOSIT 50% (Fifty percent) of the amount of total Security Deposit shall be refunded to the Contractor on successful completion of all the works and the balance amount shall remain with the Employer till defect liability period. The security deposit shall not carry any interest.

22 The defect liability period is for twelve months from the date of completion of work.

23 The contractor shall pay a sum of Rs. 5,00,000/- (By demand draft only) as earnest money deposit in favor of Dhule Textile Park Pvt. Ltd.. Payable at Mumbai, when he submits his offer.

24 This deposit of successful bidder shall be held by the client as a Security deposit for the due execution and fulfillment of the contract till the completion of the work and will not bare any interest.

25 ALLTHE DISPUTES ARISING OUT OF OR IN ANYWAY CONNECTED WITH THE AGREEMENT OR CONTRACT IN RESPECT OF THE ABOVE WORK SHALL BE DEEMED TO HAVE ARISEN IN MUMBAI AND ONLY THE COURTS IN MUMBAI SHALL HAVE JURISDICTION TO DETERMINE THE DISPUTES.`

TECHNICAL CONDITIONS OF CONTRACT INTENT The intent of this document is to define the technical requirement and the quality standards of the materials to be incorporated in the works and the workmanship during the execution of the works. GENERAL All works shall be as per the relevant IS / CPWD specifications unless otherwise mentioned below: SECRECY Contractor shall not disclose any information furnished by the owner/consultants nor any drawings, reports and any other information prepared by the contractor for the project, without the prior written approval of the owner, except in so far as disclosure is necessary for the performance of contractors work and services under this contract. TECHNICAL SPECIFICATIONS The various items indicated in BOQ shall be read in conjunction with the technical specifications of the tender, and IS/CPWD specifications as applicable to such items. In the event of variance and /or ambiguity or incompleteness between Technical specifications, IS specifications, CPWD stipulations, and BOQ description, the following order shall prevail . a) BOQ Description b) Technical Specifications c) IS specifications d) CPWD specifications

TECHNICAL SPECIFICATIONS FOR CIVIL AND STRUCTURAL WORKS 1. EARTHWORK AND LEVELLING – SETTING OUT AND LEVELING The contractor shall set out and level the works and shall provide all instruments and attendance required by the Architect for checking the work. The contractor shall all time maintain in good working condition a Dumpy Level and Theodolite at site to enable the site engineers to check the line & levels of work. EARTH WORK The contractor shall carry out survey of the site before any earth work and set properly all the lines and establish levels for various works such as earth working excavation for grading, basement, foundations, plinth filling, road works and embankments, drains, cable trenches, pipelines etc. Such survey shall be carried out taking accurate cross sections of area perpendicular to established reference/ grid lines at intervals as specified by the engineer in charge based on the ground profile. These shall be checked by the engineer and thereafter properly recorded. CLEANING Before commencement of excavation work the area shall be cleared off small trees (the trees not exceeding 15 cm girth at 1.2 m height from ground level), roots, heavy grass, logs, stumps, rubbish, slush etc. and other objectionable matter. The material so removed shall be burnt or disposed off as directed by the engineer. Where earthfill is intended the area shall be stripped off all loose and soft patches, and top soil containing objectionable matter before the earthfill commences. The trees other than the small trees (as defined above) shall not be cut and shall be brought to the notice of Owner/Consultant if fouling within the construction area. EARTHWORK IN EXCAVATION CLASSIFICATION – The earthwork will be classified under any of the following categories: a) Soft or Loose Soil : Generally any soil which yields to ordinary application of pick and shovels or to phawara, or other ordinary digging implements, such as organic soils, turf-gravel, sand, silt, loam, clay, peat, soft shale, loose murum. b) Hard or Dense Soil : Generally any soil which requires the close application of picks or jumpers or scarifies to loosen such as silt clay, gravel, cobble stones and boulders up to .03 cum in volume, hard shale, compact and hard murum, soft conglomerate. etc. This will also include hard core soling, macadam surfaces, tarmac, stone and brick masonry works. c) Soft Rock : Rocks or boulders which may be quarried or split with crow bars. This will also include laterite and hard conglomerate and PCC works. d) Hard Rock : Any rock excluding the soft rock, or boulders for the excavation of which the blasting is required. This also includes RCC works.

e) Hard rock (Blasting prohibited) Hard rock which requires blasting as described in (d) above, but where the blasting is prohibited for any reason and excavation has to be carried out by chiseling or by pneumatic implements. EXCAVATION TO THE CORRECT PROFILE – When the excavation work is carried out for road works, open drainage works or any other works other than foundation works, the profile shall be maintained as per the approved drawings. EARTHWORK IN EMBANKMENT All the fill material will be subject to consultants approval. If any material is rejected by consultant the contractor shall remove the same forthwith from the site at no extra cost to the owner. Surplus fill materials shall be deposited or disposed off as directed by the consultant after the fill work is completed. No earthfill shall commence until surface water discharges and the streams have been properly intercepted or otherwise dealt with as directed by engineer. ALLOWANCE FOR SETTLEMENT – Work before being finally paid, shall be brought to the correct level. Final measurements will be made on allowing the filling works for settlement, for one complete monsoon. In the event the measurements are to be finalised before, hand allowance shall have to be made by extra earthwork for which no payment will be made. Until the certified completion of the contract, all banks and cuttings are to be maintained by the contractor. PRESERVATION OF BANKS – The contractor shall make good all losses due to subsidence, wastage or guttering due to rain, wind, wear, or from any cause whatsoever and shall have no claims for extra works on this account. FILLING IN LAYERS – All the filling work shall be made up in successive layers of not more than 30 cms in depth over the whole width between the toes of the slopes. Side slopes shall be carried out simultaneously with the rest of the work and not filled in afterwards. In setting up profiles due allowances for subsidence must be made and must be added to all the heights of the actual height of formation level. Filling shall be carried out with approved material as described herein before in layers not exceeding 30 cm., watered and compacted with mechanical compaction machines. Engineer may however permit manual compaction by hand tampers in case he is satisfied that mechanical compaction is not possible. When filling reaches the finished level, the surface shall be flooded with water, unless otherwise directed, for atleast 24 hours, allowed to dry and then the surface again compacted as specified above to avoid settlements at a later stage. The finished level of the filling shall be trimmed to the level/slope specified. Where specified in the schedule of works, compaction of the plinth fill shall be carried out by means of 12 tone rollers smooth wheeled, sheep-foot or wobbly-wheeled rollers. A smaller weight roller may be used only if permitted by Engineer. As a rolling proceeds water sprinkling shall be done to assist consolidation. Water shall not be sprinkled in case of sandy fill.

a. Storage The reinforcement shall not be kept in direct contact with the ground but stacked on top of an arrangement of timber sleepers or the like. Bars of different classification size and length should be stored separately. If the reinforcing rods have to be stored for a long duration, they shall be coated with cement was before stacking and/or be kept under cover or stored as directed by the consultant. Fabricated reinforcement shall be carefully stored to prevent damage, distortion, corrosion and deterioration. All expenses for the material storage are to be considered in the quoted rates by the contractor. No any separate/extra amount will be paid on this account. Concrete Grade Concrete grade shall be as designated on drawings. In concrete grade M15, M20, etc. the number represents the specified characteristic compressive strength of 150 mm cube at 28 days, expressed in N/sq. mm as per IS:456. Mix Design It shall be contractor's sole responsibility to carry out the mix designs at his own cost. He shall furnish to consultants at least 10 days before concreting operations, a statement of proportions proposed to be used for the various concrete mixes and the strength results obtained. The strength requirements of the concrete mixes ascertained on 150 mm cubes as per IS:516 shall comply with the requirements of IS:456. Conversion to volumetric proportion On designing the mix the contractor shall be allowed to convert the same into volumetric proportion. The concreting at the site shall be allowed by using the volumetric proportion as derived from the mix design. Testing a. Slump Test Slump tests shall be carried out as often as demanded by the consultant and invariably from the same batch of concrete from which the test cubes are made. Slump tests shall be done immediately after sampling.

b. Concrete Cube and other Ingredient Testing All testing shall be done as per approved field quality plan. The field quality plan shall be prepared in line with IS:456. Contractor shall produce the test results of the cubes in time and shall maintain proper record of it. CONSTRUCTION JOINTS Construction joints shall be properly planned and shall be as per the consultant's instructions. They shall be made at right angles to the member, and shall be made against firm stop boards. The stop boards shall be removed as soon as possible after placing the concrete. The concrete shall be well brushed off with steel brush and be provided with a key for next lift. Before the next lift is over the joint shall be well scrubbed to remove all loose materials. FORM WORK All form work for RCC water retaining structures shall be either waterproof plywood or steel plates only. After each use form work should be thoroughly cleaned, checked for accuracy and damage. Damaged form work shall not be used. All the concrete of grade M20 and above, shall be fair face concrete. Extra care shall be taken to ensure proper cover to the reinforcement. Ready made plastic cover moulds or mortar cubes shall be used for all concrete work. A smooth finish shall be obtained with the use of lined or plywood forms having smooth and even surfaces. Upon removal of the forms the joint marks shall be smoothened off, and all blemishes, projections etc. shall be removed properly leaving the surface smooth. Design of form work The design and engineering of form work as well as its construction shall be the responsibility of contractor. If so instructed, the drawings and/or calculations for the design of form work shall be submitted to the consultants for their approval at no extra cost. Consultants approval however, shall not relieve the contractor of the full responsibility of the design and construction of form work. Defective work :-

All defective work shall be replaced / rectified as the case may be by the contractor at his own cost. Any charges incurred by purchaser either directly or indirectly because of defective workmanship will be deducted from the amount due to contractor before payment is made.

3. MODE OF MEASUREMENT Note : The method of measurements for various items of the work shall be as under. However for any of the items for which specific mention is not made, the same shall be referred to the Architects and consultants. Their decision shall be final and binding to the contractors. A . EXCAVATION

a) Footing and Basement Raft : Area of excavation for footing and basement raft with walls shall be measured equal to the area of the lowest concrete as shown on the drawing. Depth shall be measured vertically from ground level to bottom of concrete course or dry rubble packing as the case may be. The extra excavation carried out by the contractor of any to facilitate his working for formwork or waterproofing or plastering etc shall not be paid. Contractor shall consider any such additional excavation required in the item rate as per the mode of measurements described above.

b) Plinth Beams

Depth of excavation for plinth beam shall be measured from ground level upto bottom of beam and width equal to width of beam. If a leveling course is ordered, it shall be measured upto and bottom of the leveling course

c) Where excavation is made in trenches, measurements for cutting shall be taken by means of tape and staff and the width of concrete or rubble packing as shown on the drawing shall be considered as width of excavation.

d) Where excavation is made for leveling the site, levels shall be taken before start and after completion of work and total quantity of excavation computed from these levels in manner approved by the consultant.

1. Earth & murum filling :

Filling shall be measured from cross sections of embankments, levels of which are recorded by means of levels before start of work and after completion of work. When it is not possible to measure filling from cross sections it may be measured from loose stacks or lorry measurements with previous written permission from the consultants and 20% deduction shall be made from the measured quantity to arrive at the net quantity payable.

FACILITIES BY THE OWNER The owner shall provide the following facilities at project site, free of charge to the contractor: Reference points Owner/consultant shall provide two points at reasonable distance to form the base line and to facilitate layout and survey work by the contractor and the reference Bench mark for levels. If available, space shall be provided for labour camps free of cost by the client. The contractor shall clean/vacate make good the space as and when instructed by the Engineer in Charge. It shall be contractor’s responsibility to maintain clean and hygienic condition in and around labour camps/site premises. The contractor shall also provide temporary toilet facility for labourers and demolish the same as and when instructed by the Engineer in Charge. DEVIATIONS No deviations are permitted from the tender specifications. Any conditional offers shall be summarily rejected. Any market fluctuation will not be considered for the material rate considered by the bidder while quoting the item rates. Rate escalation will not be applicable for any material.

SAFETY RULES & REGULATIONS 1. Safety Code

The Contractor shall take all safety precaution relevant to work he has been contracted to execute. A few of the more important measures are listed below. The Contractor shall implement any further measures that the Construction Manager may call for during the execution of the work.

Proper scaffolding shall be provided for workmen for all work that cannot safety be done from the ground or from solid construction except such short period work as can be done safely from ladders. When a ladder is used an extra labourer shall be engaged for holding the ladder and suitable footholds and handholds shall be provided on the ladder and the ladder shall be given an inclination not steeper than ¼ or 1(¼ horizontal and 1 vertical).

Scaffolding or staging more than 3.25 meter above the ground floor or floor swung or suspended from the overhead support or erected with stationary support, shall have a guard rail properly attached, bolted, braced and other wise secured at least 1 meter high above the floor or platform of such scaffolding or staging and extending along the entire length of the outside and ends there of with only such opening as may be so fastened as to prevent it from swaying from the building or structures.

Working platform, gangways and stairways shall be so constructed that they do not sag unduly or unequally, and if height of a platform or gangway or stairways is more that 3.25 meters above ground level or floor level, it shall be closely boarded, have adequate width and be suitably fenced provided with guard rail as described above.

Safe means of access shall be provided to all working platforms and other working places. Every ladder shall be securely fixed. No portable single ladder shall be over 5 meters in length. Width between side rails in a rung ladder shall in no case be less than 30 cm for ladder up to and including 3 meters in length. For longer ladders this width shall increased at least 6 mm. for each additional 30 cm of length. Uniform step spacing shall not exceed 30 mm.

Requirements laid down in IS: 3696 part I & II, IS: 2750, IS: 4014 part I & II shall be strictly followed in erection and use of scaffolding, staging ladders etc. Adequate precautions shall be taken to prevent dangerous exposure to electrical equipments. No materials on any of the sites shall be so staked or placed as to cause danger or inconvenience to any person or the public. The Contractor shall provide all necessary fencing and lights to protect public accidents and shall be liable to bear expenses of defense of every suit, action or other proceeding at law that may be brought by any person for injury sustained owing to neglects of the above precautions and to pay any damages and cost which may be awarded in any such suit, action or proceedings to any such person or which may with the consent of the Contractor be paid to compromise any claim by any such person. Motors gearing, transmission, electric wiring and other dangerous parts of hoisting appliances shall be provided with efficient safeguards. Hoisting appliances shall be provided with means to reduce risk of accidental descent of load to minimum. Adequate precautions shall be taken to reduce to the minimum risk of any part of a suspended load becoming accidentally displaced.

All scaffolds, ladders and other safety devices mentioned or described herein shall be maintained in a safe condition and no scaffolds, ladder or equipment shall be altered or

removed while it is in use. Adequate washing facilities shall be provided at or near places of work.

These safety provisions shall be brought to the notice of all concerned by display on a notice board at prominent places at the worksite. Persons responsible for ensuring compliance with the Safety Code shall be named therein by the Contractor.

To ensure effective enforcement of the rules and regulations related to safety precautions, arrangements made by the Contractor shall be open to inspection by the Construction Manager or his representatives and the Inspecting Officers.

2. First Aid and Industrial Injuries

Contractor shall maintain first aid facilities for his workmen. First aid appliance including an adequate supply of sterilized dressings and sterilized cotton wool should be maintained in a readily accessible place. Appliances should be kept in good order and they should be placed under the charge of a responsible person who should be readily available during the working hours.

All critical industrial injuries shall be reported promptly to Owner, and a copy of Contractor’s report covering each personnel injury requiring the attention of a physician shall be furnished to the Owner.

3. Other Safety Measures

Every receptacle used for raising or lowering of heavy material or other objects should be enclosed, constructed or designed so as to prevent the accidental fall of such objects. All gears, tools, goods or loose material should be properly loaded into the bucket or receptacle in which they are being raised or lowered. If necessary, they should be properly secured or effective precaution should be taken to prevent their fall. No timber or material with projecting nails should be used in any work because they can be a source of danger to people. Contractors shall use all safety equipments for Welding like Welding Helmet, Rubber Gloves, Apron and Rubber Soled Shoes etc. • Safety Regulations The contractor shall be responsible for all the safety regulations, housekeeping measures, to be taken at site for the safe execution of the contract. Barricade The contractor shall also allow for necessary barricades, fencings, sign boards, warning system etc so as to comply the required statutory and safety norms. The contractor shall provide for all necessary barricades fans, screen etc. for the protection of the work people occupants & adjoining property of the public & shall alter adopt and maintain, the same during the progress of the work.

Protective Clothing The contractor shall provide & maintain all necessary protective & safety clothing and equipment & helmets for the work people and site staff. • LAW Law Enforcement The contractor shall allow for ascertaining and complying the law of the land and all costs incurred in connection therewith. Nuisance to Public The bidder shall allow all the costs for taking suitable measures, such as avoiding the movements of heavy vehicles during peak traffic hours, avoiding the hindrance to public utilities, controlling menace due to dust etc, and for avoiding the nuisance to on any other account to third party. Protection of Public Property The contractor shall protect public and private carriageways, footways, herbs, pipes, ducts, sewers service mains, over head and underground cables etc., and keep approaches to the site clear of mud through-out the execution of work and make good or pay for the reinstatement of any damages thereto directly or indirectly by the execution of the work. The contractor shall allow for taking all reasonable precautions to ensure the efficient protection of all streams and waterways against pollution arising out of or by the reason of execution of the work. Validity of Licenses The contractor shall be responsible for complying all the statutory regulations and shall possess all the valid licenses as required during execution of the work. In case of electrical work, sanitation and plumbing work, the bidder must either possess the required license himself or get the work executed or certified through any agency possessing such a license. • STATUTORY REGULATIONS

The contractor shall comply with and give all notices required by any Govt. authority and instrument, rule, or order made under any act of parliament or any regulations or proclamations or byelaws of any local authority, relating to the work. The contractor making any variation from contract drawings or BOQ by such compliance shall give the consultant a written notice specifying and giving reasons for such variations and consultant may issue instructions in regard. If within 10 days of having given said written notice the contract does not receive any instructions he shall proceed with the work confirming to the regulations and any variations thereby necessitated shall be deemed to be a variation required by an architect. RIGHT OF OWNERS Access- The Contractor shall provide at all times during the execution of the works and the defects liability period proper means of access, with ladders, gangways etc., and the necessary attendance to move and adopt same as directed, for the inspection or measurement of the work by the Architect, quantity surveyor or their representatives.

The Consultant and his representatives shall at all reasonable times have access to the Works and to the workshops or other places of the Contractor where work is being prepared for the Contractor where work is being prepared for the Contract and when work is to be so prepared in workshop or other places of sub-contractor, the contractor shall have a term in the sub-contract, the contractor shall have a term in the sub-contract so as to secure a similar right of access to those workshops or places for the Architect and his representatives and shall do all things reasonably necessary to make such right effective. Personal non-grata The Consultant or the Engineer In-charge shall be at liberty to object to any & request the contract to remove from the work any such person employed by the contractor in or about the execution of the work in the opinion of the Engineer in charge a misconducts himself or is incompetent or negligent in the proper performance of his duties and such persons shall not be again employed upon the works without permissions of the Engineer in charge. Partial Occupation The employer shall be entitled to and at liberty to occupy the partially completed building or any portion thereof by themselves or through their agent and servants if they so desire.

• ARBITRATION All disputes and differences of any kind whatever arising out of or in connection with the contract or the carrying out of the works (whether during the progress of the works or after their completion and whether before or after the determination, abandonment or breath of the contract) shall be referred to and settled by the consultants who shall state their decision in writing, such decision may be in the form of a final certificate or otherwise. The decision of the consultants with respect to any of the excepted matters shall be final and without appeal. But if either the employer or the contractor be dissatisfied with the decision of the consultants on any matter, question of the dispute of any kind (except any of the excepted matters) or as to the withholding by the consultants of any certificate to which the contractor may claim to be entitled, then and in any such case either party (the employer or the contractor) may within twenty-eight days after receiving notice to such decision give a written notice to the other party requiring that such matters in dispute be arbitrated upon. Such written notice shall specify the matters which are in dispute and such dispute or difference of which such written notice has been given and no other shall be and is hereby referred to the arbitrator being a member of Institution of Engineers (Civil Chapter) to be agreed upon and appointed by both the parties or in case of disagreement as to the appointment of a single arbitrator, to the arbitration of two arbitrators being both member of Institution of Engineers one to be appointed by each party, which arbitrators shall before taking upon themselves the burden of reference appoint an umpire. The arbitrator, the arbitrators or the umpire shall have power to open up, review and revise any certificate, opinion, decision, requisition or notice save in regard to the excepted matters and to determine all matters in dispute which shall be submitted to him or them and of which notice shall have been given as aforesaid. Upon every or any such reference the cost of an incidental to the Reference and Award respectively be in the direction of the arbitration, or arbitrators or the umpire who may determine the amount thereof, or direct the same to be taxed as between Attorney and Client or as to between party and party, and shall direct by whom and to whom and in what manner the same shall be borne and paid. The submission shall be deemed to be a submission to arbitration within the meaning of the Indian Arbitration Act, 1940 or any

Statutory modification thereof. The award of the arbitrator or arbitrators or umpire shall be final and binding on the parties. Such reference except as to the withholding by the consultants of any certificates to which the contractor claims to be entitled, shall not be opened or entered upon until after the completion or alleged completion of the works or until after the practical cessation of the works arising from any cause unless with the written consent of the employer and the contractor. Provided always that the employer shall not withhold the payment of the interim certificate nor the contractor in any way delay the carrying out of the works by reason of any such matter, question or dispute being referred to arbitration be shall proceed with the works with the works with all due diligence and shall until the decision of the arbitrator or arbitrators or the umpire be given, abide by the decision of the consultants and no award of arbitrator or the arbitrators or the umpire shall relieve the contractor of his obligations to adhere strictly to the consultants' instructions with regard to the actual carrying out of the works. The employer and the contractor hereby also agree that arbitration under this clause shall be a condition precedent to any right of action under the contract. ALLTHE DISPUTES ARISING OUT OF OR IN ANYWAY CONNECTED WITH THE AGREEMENT OR CONTRACT IN RESPECT OF THE ABOVE WORK SHALL BE DEEMED TO HAVE ARISEN IN MUMBAI AND ONLY THE COURTS IN MUMBAI SHALL HAVE JURISDICTION TO DETERMINE THE DISPUTES.

COMMERCIAL CONDITIONS OF CONTRACT INTENT This document describes the commercial conditions as applicable to this contract. VALIDITY OF OFFER The offer of the tender(s) shall remain open for acceptances by the employer for 60(Sixty) days from the last date of submission and till such date the terms of the tenders will be binding on the bidders. SECURITY DEPOSIT From each RA bill and from final bill of the contractor, an amount of 5 % of the gross bill value of the respective bill, shall be retained, as "SECURITY DEPOSIT", for due fulfillment and completion of the work. REFUND OF SECURITY DEPOSIT 2.5% (Out of 5%) Security Deposit shall be refunded to the Contractor on successful completion of all the works and the balance 2.5% shall remain with the Employer till the end of defect liability period. The security deposit shall not carry any interest. DATE OF COMMENCEMENT The date of commencement of the work shall be considered as the date of handing over of the site or the date of issue of the work-order whichever is earlier. TIME OF COMPLETION The time of completion of this contract, inclusive of all rainy season(s) and the mobilization period as required by the contractor, and inclusive of all holidays and non working days etc, shall be 75 days from the date of commencement, plus the authorized time extension if allowed by the consultant / owner in terms of the conditions of this contract. ADVANCES Mobilization Advance of 20% of Contract Value shall be release to the contractor against the Contract. No other advances, unless otherwise specified in Special Conditions of Contract, shall be admissible. Mobilisation advance will be recovered from each running bill proportionately. INSURANCE The contract rates deem to include all the premium charges payable against the Insurance Policies as applicable to and specified in this contract. RUNNING ACCOUNT BILLS Frequency of submission: 15 days. Contractor shall submit the bill in duplicate in electronic format. Period for honoring the final certificate of R.A. bill shall be 07 days after submission along with all required documents.

FINAL PAYMENT

a) Period for certification of final bill: 15 days from the date of receipt of Complete bill inclusive of all material reconciliation account. LIQUIDATED DAMAGES. In the event of failure of Contractor to complete the work within the stipulated period the Contractor shall be liable to pay liquidated damages at the rate of 1 % (one percent) of Contract value per week, subject to a maximum amount of 5 % of the total contract value.
