1 FORM OF TENDER

1.1 Project Description

The Tenderer shall provide for high pressure cleaning as per the scope of work document and Foskor’s requirements.

1.2 Closing Date and Validity of Tender

Tenders must be submitted in sealed envelopes, and clearly marked Tender No. FT252/11/KS and

Closing Date ,Tenders must be deposited in the tender box, situated at Foskor (Pty) Ltd – Richards

Bay Division’s main reception, before 12h00 of the 14th of February 2012 and must be addressed to:

2 CONDITIONS OF TENDER

2.1 By the submission of this tender the Tenderer offers and agrees to contract for, execute and

complete the works (as per Scope / Technical Specification) for the Total Tender Sum as stated

on the Pricing Schedule unless otherwise negotiated with the relevant parties

2.2 The successful Tenderer will be appointed in terms of Foskor (Pty) Ltd conditions of Contract

attached here to.

2.3 The lowest tender will not necessarily be accepted and no reasons for non-acceptance will be

given.

2.4 This tender shall remain in full force during the validity period.

4 SUBMISSION OF TENDER AND CORRESPONDENCE

4.1 Submission of tender

Tenders may be submitted in the following manner:

The tender, together with the covering letter and supporting documents, shall be enclosed in a plain

sealed envelope or parcel/s clearly endorsed with the relevant enquiry number but without the

Tenderer's name displayed on it, and addressed to:

Alternately, the submission of the tender can be emailed to [email protected] before 12h00 of the 14th of February 2012. The size of the email should not exceed 5 MB and it should be on a PDF format

The electronic tender must be submitted 24 hours prior to the tender closing date to allow for network delays. Foskor will not be held responsible for any electronic tender not delivered or delivered late to the [email protected].

Late tenders will not be accepted.

4.2 Late tenders

Late tenders, i.e. tenders received by Foskor after the closing date and time will not be accepted.

The onus still remains with the tenderers to ensure that the tender has indeed been received.

4.3 Correspondence

All relevant correspondence shall be signed and submitted in duplicate to the Buyer and the enquiry

number and description should be quoted.

4.4 Contents of tender

To enable Foskor to evaluate the Tenderers offer in detail, and to evaluate / adjudicate tenders on

the same comparative basis, the tender shall contain all information requested in these Instructions,

the Specification and the schedules of these enquiry documents.

The Tenderer shall complete accurately and in every detail, sign and date the schedules contained in

this enquiry document and submit the completed schedules with the tender.

Failure to submit the schedules, completed in all respects may render the tender liable to rejection.

Any schedules, which merely refer to the tender specification or other information such as catalogues

and pamphlets, will be considered as incomplete. Should a schedule not be applicable or only in part

applicable to the tender, such schedule should be endorsed accordingly.

5 TERMS AND CONDITIONS FOR THE SUBMISSION & ACCEPTANCE OF TENDER DOCUMENTS & APPOINTMENT OF CONTRACTORS BY FOSKOR

5.1 The tenderer must ensure that this tender is signed and completed in full and that the tenderer has included all documents required in terms of paragraph 4 and any other information requested, failing which this tender will not be considered by Foskor

5.2 The tender documents must be prepared by the tenderer at the tenderer’s cost and risk.

6 EVALUATION AND ACCEPTANCE OF THE TENDER

6.1 The tender document will be evaluated by Foskor on a technical and commercial basis which may include but not limited to the adherence to the quality and/or quantity of the services; delivery times or turnaround times of the services; technical skill and competence, price and adherence to Foskor’s health and safety requirements.

6.2 By inviting a tenderer to submit a tender, Foskor does not warrant that it will accept a tenderer’s documents and/or appoint a tenderer to supply the services.

6.3 Foskor may accept more than one tender document and appoint more than one tenderer to supply the services, either in whole or in part or none at all.

6.4 If Foskor wishes to extend the evaluation period, Foskor will notify each tenderer in writing, which communication will be sent to the tenderer’s postal address of the its intention to extend the evaluation period and the new period of evaluation by Foskor

6.5 If the tenderer’s documents are accepted by Foskor, Foskor will notify such tenderer that Foskor wishes to appoint such tenderer as the supplier of the services and that Foskor wishes to conclude the agreement with such tenderer.

6.6 .Foskor will not notify the unsuccessful tenderers of the names of the successful tenderer(s).

6.7 Foskor will not furnish reasons to tenderers for tender documents that are not considered by Foskor or not accepted by Foskor or the non-appointment of tenderers.

6.8 Foskor may at any time, on notice to the tenderers withdraw this tender or Foskor’s acceptance of a tenderer’s RFQ or Foskor’s appointment of a tenderer. Foskor will not be required to furnish reasons in this regard.

6.9 The tenderer must at Foskor’s request immediately return any documents, agreements, specifications, drawings and exhibits to Foskor.

7 AMENDMENTS TO THE RFQ DOCUMENTS

7.1 Foskor may, without notice to tenderers, after the closing date and closing time request a tenderer(s) to amend any part of the tender documents submitted by such tenderer(s).

7.2 Foskor may adjust any arithmetical errors found in the tender documents and will accordingly advise the tenderer in writing.

8 THE PRICE

8.1 The tenderer must state whether the price quoted is fixed for the duration of the agreement or whether the price is subject to escalation. In the absence of an indication in this regard, the price will be considered as fixed for the full period of the agreement.

8.2 If the tenderer’s price is based on any trade and/or settlement discounts, such discounts must be reflected in the price.

9 ALTERNATIVE ADVANTAGES

9.1 The tenderer may submit alternatives or variations to the services set, which in the opinion of the tenderer, are to Foskor’s advantage both economically and technically. In so doing, the tenderer must provide details of such alternatives and variations to the services, details of the prices, delivery times and quantities to such alternatives or variations and any other relevant information. Such alternatives and deviations must be clearly set out in schedule 1 to annexure “A” i.e. the alternative or varied services.

9.2 If the tenderer wishes to provide alternative services to Foskor in terms of paragraph 9.1, the tenderer must, in addition provide the prices for the specified services as required by Foskor in this tender.

10 ASSIGNMENT

10.1 The successful tenderer(s) must not transfer, cede, assign or delegate any part of any order from Foskor resulting from this tender to any person without the prior written consent of Foskor.

11 CONFIDENTIALITY

11.1 The tenderer undertakes to keep secret and confidential all information relating directly or indirectly to this tender and the tender document, except to the extent necessary for the preparation of the tender documents such as obtaining prices or information from sub-contractors. In such event the tenderer must endeavour to ensure that such third parties are also bound by this confidentiality undertaking.

12 TERMS AND CONDITIONS CONTAINED IN THE AGREEMENT

12.1 The terms and conditions contained in the agreement are the terms and conditions between Foskor and the successful tenderer for the supply of the services.

12.2 No amendments, additions or variations to such terms and conditions by the tenderer will be negotiated or accepted by Foskor. However, Foskor may at any time before conclusion of the agreement with the successful tenderer, amend, vary or add to the terms and conditions, in which event, such amendments or additions will be forwarded to the tenderer.

13 ACCEPTANCE OF THE TERMS AND CONDITIONS CONTAINED IN THIS TENDER AND THE AGREEMENT

13.1 By the tenderer’s signature and submission of the tender documents, the tenderer hereby accepts and agrees to the terms and conditions contained in this tender document

13.2 Nothing contained in the tender documents legally or contractually binds Foskor to any terms or conditions, purchase order, order, agreement or acceptance.
