Woven Mill located in Albury NSW.

TIGER ASSET GROUP has been appointed by Kimberly-Clark Australia.

1. TENDER DEADLINE

All tenders must be received by not later than 4pm (AEST) on Thursday the 30th of July 2015.

2. TENDER SUBMISSION

To submit a complying tender you are required to send the following:

(a) A completed Tender Application, including the Offer Schedule (Annexure 1), executed by the

tenderer where indicated.

(b) A deposit equal to 10% of the offer price (see 4. DEPOSIT overleaf).

TENDER APPLICATION

1. The party whose details appear in the attached Schedule hereby submits its offer to purchase the Plant and

Equipment indicated by the Tenderer in Annexure 1 of this Tender Application.

2. A bank cheque or evidence of an electronic direct transfer to Tiger Asset Group is enclosed for the amount of

AUD$ , representing the required deposit of 10% of the Offer Price including buyers

premium and GST for each Parcel and/or Lot.

3. The Tenderer acknowledges and agrees that:

(a) The successful Tenderer must pay a Goods and Services Tax (GST) of 10% and a 10% Buyers Premium,

i.e. successful bid price is $100 + 10% buyers premium + 10% GST = Invoice Total $121.00;

(b) This Tender Application forms an irrevocable offer to purchase from the Vendor each Parcel and/or Lot

as indicated by the Tenderer in the Offer Schedule (Annexure 1);

(c) The Vendor may sell all or part of the Plant and Equipment at any time prior to the Closing Date and any

Tenderer or proposed Tenderer will have no claim against the Vendor or its Agent by reason of the sale

of all or part of the Plant and Equipment on or prior to the Closing Date;

(d) The Vendor is under no obligation to accept any Tender. In the event of a Tender not being accepted,

the Vendor reserves the right to negotiate with one or more of the Tenderers to the exclusion of other

Tenderers. A Tender may only be withdrawn with the consent of the Vendor; and

(e) It will abide by the Tender Conditions as outlined in Annexure 2.

4. If payment of the Deposit is made by way of bank cheque, the Tenderer authorises Tiger Asset Group to place

that cheque in its trust account pending a decision on the Tender.

The two (2) dry loaders suck pellets from silos,either virgin or regran.These units dry thepellets. The Volmix pellet handling system sucksfrom these dry loaders and also from pigmentgaylords . These pellets are metered using speedcontrolled augers into a blender, blended andthen fed into the throat of the extruder.This isfed through the extruder and filtered through aPSI filter screen . Each SMS meltblown die tip has its own heatingsystem. In all there are up to three (3) SMS tipsthat can be utilised at the same time. Theprimary air blower forces air into a direct firednatural gas air heater. This then heats the air upto 280 degrees C. Because the pressure in thegas heater is higher than normal mill gaspressure, a Natural gas booster pump is used toincrease the natural gas to above the pressurein the system. The SMS BWE fan takes away thishigh temperature gas and pressure and this isfiltered through the drum filter unit on thesystem. To provide cool make up air in the areaof the SMS meltblown tips, a secondary airsystem is provided using a fan with cooling coils.The cooling is provided by the Carrier chillers ,with heat extraction from this chiller by use of acooling tower. Gas heaters,blowers,boosterpump, BWE fan installed in year 2013. Secondaryair fan , chillers and cooling towers wereinstalled in year 1988.

There are three (3) spunbond banks SB1, 2 &3.On each bank there are two (2) dry loaders thatsuck pellets from silos, either virgin orregran.These units dry the pellets. The M&Hextruder pellet handling system sucks fromthese dry loaders and also from pigmentgaylords . These pellets are metered usingrotating metered discs into a blender, blendedand then fed into the throat of the extruder.Thisis fed through the extruder and filtered througha cresta filter screen . It then is metered througha spinpump and is pumped along inductionheated pipework.SB1 Extruder, Cresta filtersystem and M&H pellet handling system wasinstalled in year 1987. SB2 extruder , cresta filtersystem and M&H pellet handling system wasinstalled in year 1989. SB3 extruder, Cresta filtersystem , and M&H pellet handling sytem wasinstalled in year 2000. The induction heatingsystem and the three (3) Dynisco spin pumpswere installed in year 2000.

The Trane chiller supplies chilled water to themachine to cool the Quench air for the process.The Atlas Copco compressor is a large volumelow pressure unit to supply air for the Hot airKnives and the Fibre draw unit for the spinningsection. Fume exhaust fans extract any fumesfrom the spinning area. The cooling towersprovide cooling for the Atlas Copco FDUcompressor and the Trane chiller, they alsosupply cooling water for extruders, oil heatexchangers and hot air heat exchangers. Belowwire exhaust fans are used to extract heat andair from below the wire to allow formation ofthe molten polymer from the spinning processonto the wire without sticking to the wire.Quickdarft fans are provided on each bank toextract polymer fibres during start up, they areconveyed away from the machine using avacumn system fed into an air seperator basketin a rope form. Trane chiller , FDU compressor ,Baltimore Air coil cooling tower,Fume exhaustfans, SB3 BWE fan, Quench air fan and SB3Quickdraft fan were purchased in year 2000. SB1Hoffman blower , SB1 and SB2 quickdaft fans ,SB1 & SB2 BWE fans were purchased in year1987.

After the spinpump on each bank, the moltenpolymer enters a Tokuden heated and contolledDistributor pack then loaded via an electric hoistand monorail, also included is a preheat oven foreach spare pack and a roll over table for hottorquing each pack prior to installation.Fibresfrom the spinpack are cooled by the quench airsystem, any fumes are extracted by the fumeextraction system. The duel lift GIS crane that isinstalled on each bankis used to raise and lowerpinner bars to the tending level for installationafter cleaning. Tokuden heating system wassupplied in year 2000. The GIS duel lift craneswere installed in year 2012.

Rolls with core shaft inserted come to the end ofthe kitchen rail stops. They are then lifted by thewinder transfer cart to clear the stops andmoved to the core puller for the core shaft to beremoved.Once the core shaft is removed thewinder transfer cart moves to the robot area forthe rolls to be removed. The winder transfer cartthen moves back to the kitchen rails to pick upthe next roll. The crane loads the coreshaft intothe winder primary arms. SMSRobot Cell /Wrappers/Conveyors

Sage automationsupplied the Robot andall controls. Roll standssupplied by Bertazzoengineering. Integratedmachinery suppliedboth wrappers, end capplacement unit andoutfeed conveyors.

Rolls of finished slit product go through the rollhandling system and then into the Robot area onthe winder transfer cart. From here the Robotpicks up the roll and places them on standsaccording to their slit size and stacking quantity.They are then placed on the allocated wrappingsystem, the vertical wrapper takes all slitproduct in single stack arrangement. TheHorizontal wrapper takes full rolls, waste rollsand trim biscuits and also slit rolls that arerequired to be double stacked. After wrappingthe roll travels to the label applicator whichapplies the product details, time made andweight. It then travels down the conveyorsystem where it is picked up at the end of theconveyor by a forklift and transported to thewarehouse. A Cognex web inspection system is installedbefore the slitting system on the winder. Itconsists of four (4) cameras operating in atransmitted function from a LED light sourcebehind the sheet. This system detects , recordsand alarms should any faults be detectedthrough the sheet. The process cameras areinstalled throughout the process from spinning,webformer, winder, slitter, roll handling andwrapping. There are two (2) units with sixteen(16) cameras each, each has a 52 inch plasmascreen which displays each camera and a DVRrecording unit that takes live shots at 24 framesper second. These camera systems are used toview the process operation and are tools fordetecting and analysising any process issues.Cognex web inspection system installed in year2000. Cognex cameras and lights upgraded inyear 2008. Pacom process camer systeminstalled in year 2008, second system installed inyear 2010 to double its size.

The two (2) dry loaders suck pellets from silos,either virgin or regran.These units dry thepellets. The M&H pellet handling system sucksfrom these dry loaders and also from pigmentgaylords . These pellets are metered usingrotating metered discs into a blender, blendedand then fed into the throat of the extruder.Thisis fed through the extruder and filtered througha cresta filter screen . It then is metered througheither one or two spinpumps. It is pumpedalong induction heated pipework. MB pellethandling system and extrusion system wasoriginally installed in year 1989. This wasupgraded in year 1999.

ANNEXURE 2Tender Terms & Conditions

1. The Purchaser acknowledges that he has made an inspection of the Plant and Equipment and has satisfied himself as to condition. Nowarranty, guarantee or representation is offered by the Vendor or its agent as to the condition of the Plant and Equipment or to any matterthat may affect future usage. All Plant and Equipment is offered on an "as is, where is" basis. While every effort has been made to ensurethe accuracy of the descriptions, the Vendor and its agent cannot warrant they are correct.

2. No lot shall be sold or deemed to be sold by brochure descriptions and/or Tender document description or by any other description.

3. The successful Purchaser will be advised within two working days of the Vendor's acceptance of their offer and acknowledges that thedeposit submitted with their offer will be held by the Vendor's agent as stake holder pending completion. If this offer is unsuccessful thedeposit will be returned within seven working days of the Tender closure.

4. The successful Purchasers will be required to make settlement of the balance of the agreed purchase price by Bank Cheque or Bank Transferwithin 48 hours of acceptance, at which time all risk in the Plant and Equipment shall pass to the Purchasers. Until the full payment hasbeen received and cleared, all title and property in the Plant and Equipment will not pass to the Purchasers.

5. The Vendor warrants that at the time title is to pass in the goods, they will be free of any financial encumbrance.

6. The Vendor reserves the right to withdraw a lot without notice prior to the close of Tender.

7. If the successful Purchaser fails to comply with these terms and conditions, the Vendor shall retain the deposit and/or any other moniespaid and the right to resell the Plant and Equipment in any manner and upon such terms and conditions that they may think fit.

8. All losses and expenses incurred by the Vendor and their Agent resulting from any resale pursuant to Clause 7 hereof and all damages whichthe Vendor and its agent may sustain hereby shall be recoverable from the successful Purchasers as liquidated damages and the Vendorand the Agent shall not be obliged to give notice of such resale.

9. The contract for sale is subject to the Laws of New South Wales, Australia.

10. The highest or any bid will not necessarily be accepted.

11. It remains at all times the responsibility of the original Purchaser to remove the equipment purchased under the Terms & Conditions of thisTender.

12. The Purchasers shall make their own arrangements for the collection of the Plant and Equipment from its present location by 15th December2014 unless advised to the contrary by the Vendor or its Agent in writing. It is a condition of this Tender that the Tenderer must use all careand skill to remove the plant and equipment without causing any damage to the surrounding buildings, structures and equipment. Further,unless an agreement as to the extension of the removal period has been reached with the Vendor, items not removed in the stipulatedtime period shall be deemed to be abandoned or storage fees as per the tender document of page 3 section 9(collection of items) of $250per day may apply.

13. Plant & Equipment can only be removed between the hours of 8.30am and 5.00pm on weekdays, unless otherwise arranged with theVendor.

14. Persons entering the premises may do so at their own risk. Purchasers dismantling equipment are required to have adequate Public Liabilityand Workers Compensation Insurance Cover as the Vendor or their Agent will accept any liability whatsoever for any personal injury ordamage caused during dismantling or removal of plant and equipment.

15. Purchasers entering sites will be required to conform to workplace health and safety and environmental regulations.

16. The Purchaser hereby indemnifies the Vendor and their Agents from all claims or proceedings which may be brought against the Vendor ortheir Agents which in any way arise out of or are connected with the collection of the Plant and Equipment from the premises includingwithout limitation, any claims by the owners of the properties in connection with any damage suffered or caused to the premises.

17. All warranties, conditions, liabilities or representations in relation to the quality or fitness of the Plant and Equipment (other than any beingor giving rise to non excludable rights under any laws of Australia or its constituent states which might, but for this Clause, be implied bylaw or otherwise) are hereby expressly negatived and excluded.

18. The Purchaser acknowledges that he has received all of the Plant and Equipment upon the Purchaser taking delivery of the Plant andEquipment from the Vendor.

19. A Goods and Services Tax (GST) of 10% is payable (exclusive of the Offer Price) and in addition a buyer's fee of 10% (GST exclusive) will beadded to the offer price and retained by the Agent. If the Plant and Equipment purchased by the Tenderer is to be exported from Australia,the Tenderer is required to pay the amount of GST as specified in the Offer Schedule before any removal or dismantle of the Plant andEquipment is to take place. The Tenderer is required to notify Tiger Asset Group in writing at the time of submitting the tender of theintention to export the Plant and Equipment. If the Tenderer complies with the required conditions and provides Tiger Asset Group with aBill of Lading proving the export from the country of the Plant and Equipment purchased within Sixty (60) days of the invoice date thenTiger Asset Group will refund the GST paid to the Tenderer in full.

20. Whilst every effort has been made to provide accurate advice regarding the application and effects of the GST, the Vendor and its Agentcannot warrant this advice is correct. The Purchaser acknowledges that he has received independent advice regarding the GST and itseffects.

21. Removal Conditions

22. The Purchaser shall not cause damage or injury to or permit damage or injury to be caused to any plant and equipment, machinery,structures, fixtures and fittings or any other property of the Vendor, Tiger Asset Group or any other person on or near the site.

23. The Purchaser shall ensure that the site is kept clean and in a tidy condition and shall remove all rubbish it, its employees, agents andcontractors accumulate during the course of their activities on site on behalf of the Purchaser. If the Purchaser fails to comply withobligations imposed on it by this clause then after giving notice of intention in writing the Vendor may arrange for any cleaning required tobe carried out at the Purchaser's expense and the cost will become a debt owed by the Purchaser to the Vendor.

24. Any damage, breakage or defect caused by the Purchaser, its employees, agents or contractors for lack of care or misuse or abuse on thepart of same or otherwise brought about by any breach or default of the Purchaser under the conditions of sale shall be made good by thePurchaser at its expense.

25. The Purchaser shall remove the lot(s) purchased in such a way as to ensure no inconvenience is caused to the Vendor, auctioneer or theiragents and that all roads and site access are kept free of blockage and obstruction at all times.

26. All plant, tools and equipment used by the Purchaser, its employees or contractors on or around the sites shall be selected and maintainedin a fully serviced and safe condition.

27. The Vendor may require the Purchaser to provide evidence prior to commencement of work for the removal of any lot that the Purchaserhas arranged insurance cover in respect of any liability arising out of such work.

28. The Purchaser will be required to provide a ‘Safe Work Method Statement’ for approval by Tiger Asset Group prior to commencement ofasset removal.
