cial and distribution activities since: • 1997 in South America through Coster Packaging S.A., located in Buenos Aires; • 2000 in South East Asia through Costerpack Sdn. Bhd. (now Costerpack Manufacturing Sdn. Bhd.) in Johor Bahru (Malaysia); • 2002 in Singapore through Coster Asia-Pacific; • 2003 in the U.S.A. through Coster U.S.A., Inc. in South Elgin, Illinois; • 2008 in India through Coster India Packaging Pvt. Ltd. in Gurgaon (New Dehli); • 2014 in Brazil through Coster Packaging do Brasil Ltda. (operative from 2015).

Coster products are also manufactured and distributed through licensees in Iran and Turkey. German, French and Singapore subsidiaries handle commercial and logistic support activities in their respective territories. Areas not covered by the subsidiaries or licensees are directly managed by the Sales Office in Milan or through Coster’s agent and distributor network.

Economic & Financial Highlights

The uptrend of the general economic-financial situation has consolidated in the U.S.A and the U.K.; it has slowed down in the developing countries; is weak in Europe. Difficulties linked with the local situation adversely affect operations in Argentina.

In general terms, the consumer goods sector, Coster Group’s main market, is sub-ject to strong price pressure due to aggressive global competition, which reduces profit margins. Prices for raw material, specifically plastics, showed a regular pat-tern on medium-high price levels in the first half of the year, and gradually decreas-ed in the second half.

For the parent company, the results of the financial year show a moderate improve-ment with respect to the prior year, despite being negatively affected by the coun-try’s lack of competitiveness. Among the Italian subsidiaries, we can appreciate an increase in turnover for ACR and a significant decrease in turnover and profit for Tecnocoster.

The US subsidiary showed very good results, both in terms of turnover and profit.Also the German and Spanish subsidiaries enjoyed appreciable growth in turnover and profit, while the U.K. subsidiary registered a decreased turnover and a sub-stantial fall in profits as a consequence of the start-up costs of the Barlborough

Total Group turnover in 2014 amounted to Euro 175 252 000, compared to Euro 171 886 000 in 2013. As of December 31st, 2014, the Group headcount was 841.

Group Overview

Coster Group is headed by Coster Tecnologie Speciali S.p.A., with fourteen opera-tive subsidiaries in France, Germany, Holland, Italy, Spain, the U.K., Argentina, India, Malaysia, Singapore and the U.S.A.; a subsidiary in the U.K. (Coster Special Technology Ltd.) which hosts in its own plant part of the production of Coster Aerosols Ltd.; a new subsidiary in Brazil (Coster Packaging do Brasil Ltda.), incor-porated in 2014, which will become operative in 2015 and is aimed at marketing Coster products and subsequently also at producing aerosol valves; Costerpack Sdn. Malaysia is no longer operating.

Products

The Group’s production consists of the following product lines: aerosol valves, spray pumps and dispensers, spray caps and special actuators, filling machines and lines for aerosol and liquid products. A significant part of the production is des-tined to the pharmaceutical market.

For more than fifty years, Coster Group has been operating in Europe with its ownproduction, commercial and distribution units. It also performs production, commer-

plant, which became operative in December 2014.

Despite the devaluation of the Peso, the Argentinian subsidiary had a stable turn-over in Euros. The Asian subsidiaries experienced a turnover decrease.

Financial year 2014 saw continued and significant investments in the Italian facili-ties for upgrading the production and automation equipment as well as for quality improvements. Investments were also made in Argentina and in the new production facility in Barlborough Links (Derbyshire, U.K.).

Other noteworthy investments were dedicated to new product launches, for enhancing lab equipment and for new moulds.

Technical & R&D Activities

The Technical Office in Calceranica al Lago (Trento) runs the R&D operations of the Aerosol Division, while the Technical Office of the Machinery Division in Pero (Milan) is dedicated to filling machines and equipment.

Considerable time and resources were absorbed by intense R&D activity in 2014, as in previous years. New products have been designed (pumps, dispensers, actua-tors) and current products improved; some of these new products are currently in production, others are scheduled to go into production in the short and medium term. A high proportion of R&D activities has been focused on tests and trials of new manufacturing processes.

The labs in Pero (Milan), Torelló (Barcelona), Stevenage (UK), South Elgin (Illinois) and Pilar (Buenos Aires) are dedicated primarily to providing technical assistance to customers.

Sustainability

Coster is increasingly focusing on environmental sustainability: new products arebeing designed to allow compressed air filling, avoiding the use of liquid propellants; the amount of manufacturing waste sent to landfills is being reduced; low energy consumption production equipment is being adopted; LED lighting is being installed. Coster considers environmental protection as a key principle to be fostered in the overall business approach. The Company is committed to the continuous improve-ment of the environmental performance of its operations and to complying with all relevant legal and regulatory requirements of all countries where it operates.

Costerplast in Italy and the facilities in the U.S.A. and Spain are certified to ISO 14001 environmental standards.

Innovation & Manufacturing

The following pages illustrate some of the Group’s new investments in innovation and manufacturing: • Pages 9 and 11: the new Capri standard actuator with assembled overcap, and the new Petal actuator, specifically manufactured for Unilever in Argentina. • Pages 13 to 17: the new Barlborough, U.K. manufacturing plant, dedicated to the production of aerosol valves; the second clean room in Coster 2 plant (Calce- ranica) specifically conceived for the production of spray pumps and actuators for pharmaceutical products; the enhanced assembly department in Coster 4 plant aimed at boosting the production capacity of bag-on-valves. • Page 19: in 2014, Coster became the first aerosol valve and actuator manu- facturer awarded with UNI EN ISO 22716:2008 in three of its Italian plants. The certification on Cosmetics GMPs witnesses the company’s ongoing commitment to quality. • Page 21: Coster’s ongoing commitment to sustainability, testified by the imple- mentation of several energy-saving projects. • Page 23: the new, high-output and state-of-the-art filling line for Catalent’s Inhalation Center of Excellence in the Research Triangle Park in North Carolina, U.S.A., which is dedicated to pMDIs (pressurized Metered Dose Inhalers) filling. • Page 25: the new filling line for cosmetics with a 200 cpm capacity for Mirato, installed near Novara (Italy).

Following these illustrations is an abstract of the Consolidated Financial Statements showing results from operations and a number of charts presenting the evolution of the company’s financials over the last five years. An overview of the Sales and Production organizations completes this section.

No significant events occurred after the closure of financial year 2014. Year 2015 started regularly.
