WelcomeDear EPDA Member,

On behalf of the entire EPDA Board of Directors, it is a great honor to welcome you to Prague, Czech Republic. The EPDA Board, committees and staff have worked very hard to organise a very informative slate of educational programmes, as well as a lively social programme for you to enjoy while attending the annual conference.

We are testing some new programmes during this year’s annual conference. The first are the new market segment meetings. Three key industry segment discussions will be offered: industry, signs and graphics and building and construction. These segment meetings are designed to initiate ideas and opportunities for further growing your customer base and sales in these industries.

Also new this year is a distributor panel, which will focus on opportunities and threats to the distribution model. Please be sure to attend to learn more about how, as an industry, we can work together to strengthen the overall distribution supply chain. Panelists include Adrian Dennis, Robert Horne Sign & Display; Cintia Rebelo, Norplex LDA; Krzystof Kryszewski, Tuplex Sp. z.o.o.; and Ralf Höllmann, Vink Holdings Ltd. The panel will be moderated by Mark Kramer, Laird Plastics.

Other highlights of the conference will be the annual tabletop showcase, annual gala dinner and the application award sessions. University of Birmingham’s Professor Peter Sinclair will provide an economic forecast and share with us whether the world economy will be kind to Europe.

Overall, the programme represents a fine balance of industry and general business education, and it will provide outstanding networking opportunities. We thank you for taking the time to attend the annual conference. Many of you have chosen to spend your holiday with EPDA. We guarantee that you will not regret that decision. It shows a level of commitment from our members to be the best in business and provide thought leadership for the European plastics distribution industry.

Will the world economy be kind to Europe? In the short run, is 2011 likely to see continuing recovery in much of Central and Northern Europe? Will it see worsening recession, and / or rising unemployment in much of Mediterranean Europe? Shall we see defaults or renegotiation of some countries’ governments’ debts? Will the euro sag or bounce back? Could it break up in the end? More importantly, what may we see happening over the next five years? How will Europe’s place in the wider world economy alter over that time span, and how differently will these changes affect Europe’s 45 countries? What could happen to interest rates, equity prices, growth and inflation as the years unfold? These are questions that Professor Peter Sinclair will address in his presentation.

Sinclair has been Professor of Economics at the University of Birmingham since 1994. Prior to that he worked as a Fellow and Tutor in Economics at Brasenose College in the University of Oxford for 24 years. He holds a doctorate and BA/MA degrees from Oxford and has been a visiting professor of economics in Canada and South Africa. At the Bank of England he served as director of the Centre for Central Banking Studies and Houblon Norman Research Fellow.

The European Economies in the Coming Five YearsPeter Sinclair

Most of the economies of Europe are likely to grow rather faster in the coming five years than in the quinquennium 2005‐10.

2005‐10 witnessed the banking collapses in the United States, Iceland, Ireland and the UK, together with a severe housing sector bust in Ireland, Greece and Spain, and a public‐private debt crisis that first afflicted the Baltic States,Hungary, Italy and the Ukraine, before going on to trigger serious government debt crises in Ireland, Portugal and Greece. All these economies except Greece are predicted to display faster growth on average over the coming five years than the past five; in the Greek case, the mean five-year forecast is for no change.

The Scandinavian macroeconomies also registered a disappointing performance, as a result of various special factors (weakened sales and profits from Nokia, Finland’s largest firm; Dutch disease effects – negative effects from higher energy prices in an energy exporting country – in Norway; large indirect exposures to US sub‐prime mortgages and derivatives associated with them; and reduced regional growth in this area of high trade integration).

Almost all European economies fared poorly in the past quinquennium. Poland and Russia were the main exceptions. These economies are predicted to grow more slowly in the years 2011‐16, but nevertheless far more rapidly than most of the rest of the continent.

The general pattern will be one of convergence, with most of the continent’s economies that display relatively low GDP per head tending to catch up with their more prosperous neighbours. The region’s formerly communist coun-tries are predicted to grow noticeably faster than the rest. Only Slovenia, the most prosperous state in the former Jugoslavia, is forecast to grow close to the continent’s average.

Within the Eurozone, Greece, Ireland and Portugal have been driven to accept bail‐out funds coordinated and mainly provided by the European Union’s Commission and the European Central Bank. One of the conditions of this support is radical fiscal measures (tax increases and government spending cuts), which their national governments have been forced to try to implement.

Although this painful medicine is necessary, and ultimately beneficial in various ways, the short term consequences of these measures aggravate weakness in GDP. The interest rates on their governments’ debts remain at crisis levels, reflecting market awareness of imminent borrowing needs as existing debts come up for repayment, and now well entrenched expectations of debt renegotiation or restructuring, voluntary or forced. Real interest rates in these coun-tries are further increased as a result of falling wage and price inflation, and this will lead to continuing weakness in investment and durable spending for some years.

Ten-year government debt annual interest rates (about 10% for Ireland and Portugal, and over 15% for Greece) are far above the benchmark rates for Germany (3.3%). With rates some 150 basis points above Germany’s, Spain and Italy also suffer a shadow of suspicion (albeit a much lower one) that a similar fate might possibly befall them. But Spain’s banks remain reasonably strong, despite the dramatic bust in its construction sector, thanks to the “dynamic provi-sioning” measures far‐sightedly imposed before the crisis by its central bank, and Italy has made substantial progress in recent years in trimming its very generous welfare and other state pension payments.

Greece’s major problem is a history of huge (and, until recently, largely concealed) government budget deficits, and an unfortunate tradition of substantial income tax avoidance or evasion. The ratio of Greek government debt to annual national income is now approximately double the Maastricht ceiling of 60%. Greece and Portugal (but not Ireland) have suffered from a series of trade deficits, reflecting growing uncompetitiveness that they can nolonger, given that they adopted the Euro, correct by the usual device of devaluation.

Ireland’s difficulties stem from the collapse of all its leading banks, whose creditors were given a government guaran-tee to stop a run, transforming a banking crisis into a government debt crisis. These three countries have the lowest mean GDP growth forecasts for 2011‐16 in the continent (about 8%, or 1.5% per year). As the Table shows, an unusu-ally large margin of uncertainty attaches to these three mean predictions.

The possibility of renegotiation or default on these debts constitutes a downside risk for GDP growth during the next five years elsewhere in Europe, most notably in France, Germany and the UK. These three countries have acombined gross exposure to Greek, Irish, Italian, Portuguese and Spanish (“PIIGS”) debts estimated to amount to some US$1.1 trillion.

There is some speculation that the Euro area may not survive the 2010‐11 PIIGS crisis intact. It is true that the com-mon currency project commands falling support among voters, and even some politicians; and the inability of PIIGS countries to react, as in the past, to macroeconomic imbalances and rising unemployment by devaluation or unilat-eral monetary policy relaxation is now seen as a severe handicap. But PIIGS countries’ debts are denominated in the euro, and devaluation would make servicing them more onerous, not less. Leaving the Euro area might entail eviction from the European Union itself; all PIIGS countries tend to benefit from favourable net transfers associated with its Common Agricultural Policy and other EU initiatives. Ironically, the country where the Euro is probably least popular is Germany, but it is very hard to imagine any of its political parties proposing abandonment of the common cur-rency. So it seems that the Euro area will survive, but with a much lengthened timetable for accession by non‐users such as Poland and Hungary.

Of the European Union’s core economies, Germany is forecast to grow most strongly (13% in 2011‐16). This reflects her relatively low unit labour costs, the result of continuing productivity and product quality improvements and very modest wage rises over several years. Her economy’s marked orientation towards exports, often to Asia, has enabled her to take advantage of rapid growth in the demand for increasingly sophisticated capital goods imports into China, and there is no reason to expect this to change in the near future.

While most other EU countries export little to the outside world, Germany’s position as a leading global exporter serves to insulate her in a period when most North Atlantic economies are accounting for a falling share of world output.

Our forecast for a fairly robust German growth performance implies that economic growth rates in most of her neigh-bouring countries (Austria, Belgium, France, and the Netherlands) will also be pulled up a little. Of these, the Belgian growth forecasts are the weakest, as a result of concerns about the country’s possible political fragmentation, and its relatively high ratio of government debt to national income.

The risks surrounding these mean growth forecasts are appreciable. There are several reasons for this. One factor here is the sharp rise in oil and other commodity prices. Norway and Russia are the only net exporters of oil in Europe; else-where, dearer oil implies increased costs of production, a net reduction in the economy’s overall demand for labour, and weakened domestic demand as both consumption and investment expenditures are trimmed back.

Whether oil prices will continue rising, as they have since late 2009 and did from 1998 to mid‐2008, or fall back sharply, as they did in the intervening period, only time will tell. If history repeats itself, the next five years are likely to witness spells of both strong growth and sharp falls in real oil prices. Cheaper energy would be especially beneficial for Germany and Eastern Europe. There is concern about the effects of continuing rapid growth in natural resource- hungry Asia; and the 2011 Arab Spring will have added a large risk premium to the price of oil, which subsequent events may see augmented or reduced. Option prices for oil point to an unusually large degree of uncertainty about the future evolution of this key set of prices.

A second uncertainty relates to exchange rates. It is possible that the pressures accumulating from the combination of policy interest rates held at almost zero for a prolonged period, massive open market bond purchasesthrough its quantitative easing programmes, and the apparent inability or unwillingness of politicians to address its unsustainably mounting government debts, could lead to a sudden fall in the value of the US dollar (and currencies linked to it) in terms of the Euro and other European currencies. The balance of econometric evidence and theoretical models would incline one to predict a fall in European countries’ growth and a rise in its levels of unemployment, at least for a while, in those circumstances. Inflation would be checked, however. Monetary policy reactions might then serve to limit, over time, any squeeze on output and jobs that might otherwise occur.

The third source of uncertainty has to do with risks of financial instability. Not all of Europe’s banks are thought to be as fully protected against adverse shocks as they might be, particularly during the gradual transition to stiffer capital requirements for banks to be imposed through Basel III. More generally, the policy of ultra‐low policy interest rates led by the US Federal Reserve in 2008‐9 bears some resemblances to the previous cheap money period (2001‐4),

which many observers believe constituted one of the main forces precipitating the financial crash of 2008. On top of this come worries about government debt sustainability, which centre on Greece, Ireland, and Portugal, but are by no means limited to them.

In sum, the next five years are likely to bring faster growth than in the past five, and an especially strong performance in the poorer East than the mature Centre (Germany and its neighbours) or the debt‐saddled South and West. But as always, unexpected events are also bound to occur!

On a daily basis, we witness uncertainty. In words, management bids farewell to the world of stability, yet this is contradicted by our day-to-day actions. “Always the same” is the response pattern followed in the daily (leadership) madness. Every day we experience more uncertainty and less control. And every day we learn that we cannot move forward with established behaviour patterns, the patterns learned in a world that appears to be more unstable and indistinct. But what can we do about it?

In his keynote, Stefan Kaduk provides the answer: “A radical change of direction in managerial thinking is required. Whenever pressure is high, sales are falling or goals are not reached, we automatically react with learned patterns and convictions. The old behaviour and leadership patterns no longer work.”

The new world calls for managers to venture into the unforeseeable. They must find the courage to experiment. Mould breakers experiment with the intention of being able to better understand organisations and systems by virtue of their own logic, provoking counter-intuitive and allegedly unprofessional procedures and experiences, mobilising potentials and concealed energies and recognising limiting thinking patterns.

EPDA MANUAL ON COMPLIANCE WITH EU COMPETITION LAW

GUIDELINESThe following guidelines are intended to help both EPDA staff and members avoid liability under EU competition laws.

1. Activities During the Meetings

Member representatives responsible for the management of meetings (chairmen) and staff at EPDA meetings, wherever they are held, must never allow to discuss/exchange information relating to:

- prices and resale prices- price trends and/or output and sales, unless the information is sufficiently historic (over six months

old) or public domain- discounts- allowances- credit terms- market share and sales volume of individual companies or groups of companies- profits/costs of individual companies or groups of companies- allocation of geographic marketing areas or sales territories- decisions to quote or bid- matters relating to actual or potential customers or suppliers such as their classification or selection

which can lead to the influence of future competitive behaviour or identify the individual undertaking’s data. This is not an exhaustive list.

2. Meetings Management

2.1 EPDA staff and officers of the meetings should issue, in advance, an agenda that must not cover subjects likely to infringe the competition laws.

2.2 The agenda, registration forms and minutes of meetings shall carry the following words: “EPDA is committed to complying with EU competition law. The participants to this meeting agree to adhere to the EPDA manual on competition law compliance.”

2.3 A lawyer, expert in competition matters, should review the agenda and minutes of all EPDA general assemblies and advise on any anti-competition matters.

2.4 If any prohibited subject should be raised, the officers and/or EPDA staff should request that the conversation be immediately ended. If the discussion is continued, the meeting will be closed and the foregoing recorded in the minutes.

3. Membership Conditions

Membership rules should not place any existing or potential member at a competitive advantage or disadvantage.

4. Technical Standards

Technical industry standards set up by EPDA should be objective and fully accessible to industry.

ANNEXI. Article 81 (ex art. 85) EC Treaty

“The following shall be prohibited as incompatible with the common market: All agreements between undertakings, decisions by associations of undertakings and concerted practices which may affect trade between Member States and which have as their object or effect the prevention, restriction or distortion of competition within the common market (…).” (Article 81, Amsterdam Treaty)

The core provision of the EU competition law is Art. 81. It outlaws agreements between undertakings, decisions by associations of undertakings, and concerted practices which may affect trade between Member States and which have as their object or effect the prevention, distortion or restriction of competition within the common market.

1. Definitions

1.1 Agreements• An agreement is void when it leads to an appreciable restriction of competition, interfering with the

normal interplay of supply and demand.• There is an agreement wherever there is the necessary consensus between the parties determining

the lines of their mutual behaviour on the market.• An agreement can be horizontal (entered into by undertakings at the same level of production) or

vertical (between undertakings at a different level of production), formal or informal and does not need to be in writing or binding on the parties.

• It can also be implied from conduct.

1.2 Decisions• Resolutions of trade associations that act on behalf of their members (resolutions of management

committees, steering committees, general assemblies, etc.).• Recommendations brought to the notice of members and followed by them as an association’s

“policy.”

1.3 Concerted Practices• Coordinated behaviour or aware cooperation without any formal agreement or decision having been

reached.

2. Exemption

2.1 “De Minimis” Notice The Commission issued the “de minimis” notice on the ground of which Article 81 shall not apply to horizontal agreements where the aggregate market share held by the parties to the agreement does not exceed 10 percent and to vertical agreements where the market share held by each of the parties does not exceed 15 percent. In cases where it is difficult to define the agreement as horizontal or vertical, the 10 percent threshold will be applicable.

However, this exemption would not apply to agreements containing hardcore restrictions, such as price fixing, sales limitation and market sharing.

3. Effects of the Infringementa. The agreements breaching Article 81 are automatically void and unforceable. b. The EU Commission has wide-ranging powers. It can:

- inspect firms in search of evidence of secret agreements.- enter premises and demand documents* at short notice or without notice (“dawn-raid”). - impose fines of up to 10 percent of worldwide group turnover.

* “documents” mean: information stored on computers, minutes of meetings, notes in diaries, agendas, sales figures, etc.

BYLAWSof the European Plastics Distributors Association

May 2010

Article 1Name, Registered Office and Fiscal Year

(1) The Association shall have the legal form of a registered association as an “eingetragener Verein” under

German law (i.e. an incorporated association with independent legal existence), and shall have the name

“European Plastics Distributors Association e.V.” (EPDA).

(2) The principal office of the Association shall be in Laufach, Germany (place).

(3) The Association is entered in the Register of Associations of the competent Local Court Aschaffenburg.

(4) Its fiscal year shall be the calendar year.

Article 2Purpose, Objectives(1) The EPDA shall have the purpose of promoting the business interests of the plastics distributing and plastics processing industry and its members, and of representing them vis-à-vis third parties, in particular by fulfilment of the following tasks:

1. Keeping the responsible authorities informed of problems, concerns and wishes of its members; 2. Advising and supporting the legislative bodies, and government departments at national and regional levels, as well as in the European Union, in the elaboration and preparation of relevant legislative issues and legal regulations; 3. Elaborating rules of competition where needed, and having them registered with the competent cartel authority; 4. Combating unfair competition in business advertising and in all other forms by all means available, and vigorously opposing any violations of commercial ethics and improper commercial practice; 5. Maintaining contact with the press by means of public relations, keeping the media (specialist and general interest newspapers and magazines) constantly informed of problems, concerns and wishes of the Association and its members, and working for a favourable image and reputation of the Association and its members in public; 6. Monitoring, maintaining and constantly improving the quality and standards of raw materials and semi-finished plastic products and plastic articles; 7. Growing the plastics distribution industry through educating the membership and the greater plastics community about the characteristics and benefits of plastics materials.

(2) The objectives indicated above are to be achieved by intensive exchange of information and consultation among the members, exchange of experience and cooperation of members among one another, lectures, seminars, working groups and social events, and by the appointment of expert commissions in certain areas.

(3) The Association shall not pursue any goals contrary to cartel legislation, and shall abstain from any behaviour and activities that could even give rise to suspicion of a cartel. Departures from these rules may be affected exclusively by way of change in the Bylaws, by a resolution of the Meeting of Members.

The Association shall not engage in commercial business.

Article 3Membership(1) Members of the EPDA may be physical persons or legal entities, or groups of persons or legal entities, whereby the following conditions (section 2-4) must be fulfilled.

(2) Membership of the EPDA is subdivided into the following categories: - Distributor members: These are companies that primarily operate as wholesalers for distribution of finished or semi-finished plastic products/plastic goods. They must have a total annual sales volume in distribution of plastic products/plastic goods of more than €1 million. Their sales volume in distribution of plastic products/plastic goods must account for at least 25% of the total gross sales volume of the company.

- Manufacturer members: These are companies whose primary activities are the manufacture of finished or semi-finished plastic products. They have to make use of distributors for sale of their products, and sell at least 51% of their gross sales volume in plastic products through distributors. - Honorary members and special members: The Board of Directors may, by unanimous decision, grant a physical person Honorary or Special Membership, if such person has rendered outstanding services to the EPDA or to the plastics processing and distributing industry. The Board of Directors shall determine the duration of such membership and, if applicable, shall determine the amount of the annual membership fee. - Association members: An incorporated association to which a number of companies of the plastic processing or plastic distribution i industry belong may be granted membership of the Association under the following conditions: + Such association has been in existence for more than two years; + The members of such association conduct their business in a manner which is in accordance with the practices of the EPDA and with the provisions of the present Bylaws; + Such association and its members comply with applicable law in their business operations, in particular with the applicable European and international rules of competition.

Exceptions to the above requirements can be made for any membership category by the Board of Directors, provided that this involves no disadvantages for the EPDA.

(3) The EPDA comprises full members and associate members. Full members are those members to whom distributor, manufacturer or association membership has been granted. Associate members are those to whom honorary or special membership has been granted.

(4) The number of members of the EPDA is not limited, but at least 51% of the full members must be distributor members. Article 4Rights and Duties of Members; Membership Fees(1) Every member has the right to use the facilities of the Association and to call upon its support within the framework of the purposes of the Association as set out in the Bylaws.

(2) Full members have the following rights: - They shall be invited by the Board of Directors to the annual Meeting of Members; - On request by 30% of the full members, a special Meeting of Members can be convened; - They have the right of voting, which can be exercised at every Meeting of Members; - Their voting right may be exercised by proxy in accordance with the provisions of the present Bylaws, at every Meeting of Members; - They shall be entitled to inspect the register showing the minutes of the Meeting of Members; - Further rights may be granted to full members by the Bylaws.

(3) Full members have the following duties: - Payment of the annual membership fees, and of the admission fees, in accordance with the provisions of the present Bylaws and of the Rules for Membership Fees; - Avoidance of any behaviour that would conflict with the objectives of the EPDA and the provisions of the present Bylaws; - Further duties may be established by the Bylaws.

(4) Associate members have the following rights: - They shall be invited by the Board of Directors to every annual Meeting of Members; if so decided by the Board of Directors, they may also be invited to a special Meeting of Members; - Right to inspect the register of minutes of Meeting of Members; - Further rights may be determined by the present Bylaws.

(5) The associate members have the following duties: - Payment of the annual membership fees and the admission fee, in accordance with the provisions of the present Bylaws and of the Rules for Payment of Fees; - Avoidance of any behaviour that would conflict with the objectives of the EPDA and the provisions of the present Bylaws; - Further duties may be established by the Bylaws.

Associate members have no voting rights at the Meeting of Members.

(6) The members shall support the objectives and the standing of the Association to the best of their abilities. They therefore have a duty to comply with commercial standards and ethics and to observe fair behaviour in competition.

(7) The EPDA incurs costs in the fulfilment of its functions, and these are covered by the non-recurring admission fees paid by new members on admission and by the annual membership fees. The details of this, such as the amount, due date for payment, and consequences of late payment, are regulated by the Rules for Membership Fees which are to be adopted by the Meeting of Members. These rules may also specify differentiated admission and membership fees. The Meeting of Members may adopt resolutions for special contributions or charges in order to cover the costs resulting from specified projects.

Article 5Admission of New Members(1) The application for admission, in which the applicant undertakes to comply with the provisions of the Bylaws, is to be addressed on an application form provided by the EPDA to the Board of Directors, which is to decide on admission by unanimous vote.

(2) The conditions for admission are as follows: - Compliance with the criteria for the membership categories as set out in Article 3 (2); - At least two years uninterrupted engagement in business in the plastics processing or plastics distribution industry; - A company that seeks distributor membership must have sponsorship from two members of the EPDA or the International Association of Plastics Distribution, at least one of which is a manufacturer member; - A company that seeks manufacturer membership must have sponsorship from at least two distributor members of the EPDA or the International Association of Plastics Distribution.

Article 6Termination of Membership(1) Membership shall be terminated by: - Death or, in the case of legal entities and associations of persons, dissolution thereof; - Resignation, which is to be declared to the Board of Directors in writing with a period of notice of 3 months prior to the year-ending 31 December; - Formal expulsion, which shall be possibly by resolution of the Meeting of Members (cf. para. 2); - Expulsion by resolution of the Board of Directors, if the member is two months or more behind in payment of the annual membership fee, and the Association has already sent two written notices of reminder for payment without effect, whereby the first such reminder notice is to be sent not earlier than four weeks after the due date for payment, and the second reminder notice is to be sent not earlier than six weeks after the due date for payment, making reference to the threatening expulsion, if the member has become insolvent or if the member has violated the relevant rules of competition.

(2) The Meeting of Members may declare expulsion of a member by a 2/3 majority of the votes of full members in attendance, if - The member wilfully violates the objectives or interests of the Association to a significant extent or repeatedly violates them; - The member has been legally convicted of violating anti-trust law; - The conditions for admission set out in Article 5 (2) are no longer fulfilled, or did not exist in the first place;

The Board of Directors shall inform the member affected of such expulsion by recorded delivery. Such expulsion resolution may be contested only within a period of two months from the date of delivery of such letter.

(3) On termination of membership for the reasons set out above, the former member or its legal successor shall not be entitled to reimbursement, either in full or in part, of the annual membership fee paid.

Article 7Sources of Income(1) The expenditures and costs arising from the functions of the Association are to be covered by membership fees, donations and other income.

(2) Members are required to pay membership fees and an admission fee on admission to the Association. The amount of the membership fees and admission fees and the due dates for payment of membership fees are decided by the Meeting of Members by means of the separate Rules for Membership Fees. The Board of Directors by majority vote may decide on penalties or penalties assessed to members for late payment of membership fees and/or other amounts due the Association.

Article 8Official Bodies of the AssociationThe official bodies of the Association are: - The Meeting of Members; - The Board of Directors; - The Advisory Board, which may be formed on resolution of the Meeting of Members from persons who appear suitable for the purpose.

Article 9Meeting of Members(1) The ordinary meetings of the Meeting of Members shall be convened every year within the period from the first half of May to the second half of June. The Board of Directors shall convene the Meeting of Members by a special written invitation, indicating the agenda. The invitation must be sent by recorded delivery to the last address of each full or associate member known to the Board of Directors, and shall be posted at least one month but not more than three months before the date of the meeting.

The Board of Directors shall determine the agenda, and any full member may submit a written application for addition to the agenda up to a final date of one week before the meeting. Whether such addition is made is up to the Board of Directors, which shall decide at its own discretion and in duty bound. However, it is required to make such addition if such application is supported by one tenth or more of the full members. Any addition is to be notified to the members in the same way as the invitation to the meeting was issued. If that is not possible, the Meeting Chairman shall provide information of such addition at the beginning of the meeting.

(2) A special Meeting of Members shall be convened if required by the interests of the Association or if 30 percent or more of the full members submit a written request to the Board of Directors to that effect.

(3) The Meeting of Members is responsible for ordering the business of the Association, except where allocated by the present Bylaws to another body. It shall in particular adopt resolutions on the following: - Appointment, approval of the acts of and dismissal of Board of Directors members; - Appointment and dismissal of Advisory Board members; - The Rules on Membership Fees; - Any new objectives of the Association; - Expulsion of a member; - Dissolution of the Association and allocation of its assets, requiring a majority of two-thirds of the full members present; - Amendments to the Bylaws, requiring a two-thirds majority of the full members present.

(4) Meetings of the Meeting of Members shall not be open to the public. The Meeting Chairman may admit guests to the meeting, unless the Assembly decides otherwise.

Every full member shall have one vote at the Meeting of Members. Proxy voting shall be permissible. Such power of proxy must be submitted to the Chairman of the Board of Directors in writing at least seven days before the convened meeting.

Mail Ballots. All matters of business, which are subject to a vote, can be submitted to the membership by mail ballot. If a vote is carried out by mail ballot a respite of 60 (sixty) days needs to be granted to the membership to turn in their vote. If the membership has been notified at the time of submission of the mail ballot that the poll shall be deemed closed as soon as a, for the issue in question necessary, majority is reached, this 60 day period can be abbreviated. The mail ballot can be carried out on printed matter or electronically.

These provisions for a mail ballot are also in effect for all matters reserved or assigned to the Board of Directors.

If notice thereof is given with the mail ballot, the 60-day period may be waived upon receipt of ballots from a majority of the membership.

The Meeting of Members shall be quorate if properly convened and if at least half of the full members are present or duly represented, or in the case of adoption of a resolution on dissolution of the Association or expulsion of a member at least two-thirds of the full members are present or duly represented. If the requisite attendance is not achieved, the Meeting of Members shall be convened again, observing the provisions applicable for convening a meeting; a new meeting shall be quorate even if attendance is less than the specified levels but at least three full members with voting rights are present, provided that the invitation convening such second meeting contains a reference to the fact that the meeting will be quorate if three or more full members with voting rights are present. Resolutions shall be adopted by the majority of full members present, except in cases of amendment of the Bylaws, expulsion of a member pursuant to Article 6 (2) or dissolution of the Association pursuant to Article 12.

(5) Minutes shall be prepared of the deliberations of the Meeting of Members, and signed by the Minute Keeper. The minutes shall be made accessible to the members in appropriate form within six weeks from the date of the meeting. Any objections to the minutes may be raised only within one month from this time. All minutes shall be retained in a register at the registered office of the Association.

Article 10Board of Directors(1) The Board of Directors shall comprise the President, Vice President, Immediate Past President, up to two further mem-bers of the Board of Directors and appointed committee chairs. (1) Any representative of a distributor member or a manufacturer member is eligible for membership of the Board of Directors, whereby the Board must be composed of at least 51 percent distributor members at any time. (2) The members of the Board of Directors are elected by the Meeting of Members for a term of two years; re-election is permissible, but the office of President of the Board of Directors may be exercised for two years only. The term of office of a member of the Board of Directors ends with taking over of office by the respective successor. If the office of a member of the Board of Directors is terminated prematurely due to death, resignation or expulsion, the Board of Directors, at its discretion, may choose to have the remaining members of the Board of Directors take over that member’s responsibilities until a new member has been elected at the next Meeting of Members, or appoint a candidate to fulfil the remaining term of the position.

(3) The position of President may be fulfilled by either a representative of a distributor or manufacturer association member in good standing.

(4) The Board of Directors shall manage the business of the Association. Its responsibilities include all business which has not been allocated by the Bylaws to the Meeting of Members or the Advisory Board.

(5) The Board of Directors makes its decisions by resolutions at meetings of the Board of Directors, which it shall convene at least two times a year, and of which minutes are to be kept. Invitations to meetings of the Board of Directors are to be issued, indicating the agenda, and with a period of notice of one week, by the President or Vice President, whereby the Vice President shall do so only in the event that the President is prevented from doing so. The presence of six Board of Directors members, including the President or Vice President, shall be sufficient for the Board of Directors to be quorate. Voting shall be by the majority of the Board of Directors members present; in the event of parity of voting, the President or Vice President shall have the casting vote, whereby the Vice President shall have this right only in the event that the President is prevented from attending.

(6) The President or Vice President, in the event that the President is unable to attend, shall be entitled to sole representation for acts in law of the Association. In their actions they shall at all times be guided by the purposes of the Association, in particular by the Bylaws and by resolutions of the Meeting of Members, the Advisory Board and the Board of Directors.

(7) The office of a member of the Board of Directors shall come to an end prematurely under the following conditions: - If the member of the Board of Directors wishes to resign its office prematurely at its own request; - If the company for which the Board of Directors member is a member ceases to be a member of the Association; - If the majority of the full members present adopts a resolution for its expulsion.

Article 11Advisory Board(1) The Advisory Board shall if possible comprise at least five persons who represent the different areas of interest of the Association and who do not belong to the Board of Directors. The members of the Advisory Board are elected by the Meeting of Members for a term of two years; re-election is permissible, but the office of President of the Board of Directors may be exercised for two years only. The members of the Advisory Board shall elect from among their number a President and Vice President.

(2) The principal function of the Advisory Board is to advise the Board of Directors in all matters concerning the Association. The Advisory Board shall also represent the interests of the members vis-à-vis the Board of Directors in the periods between Meetings of Members. The Board of Directors shall invite the Advisory Board members to its meetings, indicating the agenda, and giving reasonable notice.

Article 12Dissolution(1) Dissolution of the Association may only be resolved by the Meeting of Members with a majority of two-thirds of the full members present.

(2) Division of assets shall then be effected in accordance with the provisions of the German Civil Code (BGB). The use of any Association assets remaining after said division of assets shall be decided by the Meeting of Members.
