    Safety Instructions

    Keep away from direct sunlight and from chemicals. Make sure the environment does not

    experience abrupt changes in temperature or humidity.

    Place the product right side up at all times.

    Do not place near any liquids.

    Before cleaning, unplug the power cord. Wipe with damp paper towels. Do not use chemical oraerosol cleaners.

    To prevent the unit from falling over, do not place on carts or any unstable surfaces.

    The power cord must plug in to the correct supply voltage. Make sure that the supplied AC

    voltage is correct and stable.

    To remove all electrical current from the device, ensure that all power cords are disconnected

    from the power source.

    Risk of explosion if battery is replaced with an incorrect type. Dispose of used batteries

    appropriately.

    Tools and Parts for Drive Installation A screwdriver (only for 2.5 drives)

    At least one 3.5 or 2.5 SATA drive (please visitwww.synology.comfor compatible drive models.)

    Warning:If you install a drive that contains data, the system will format the drive and erase all existing data. Please

    back up any important data before installation.

    Install Drives

    1 Remove the drive bay cover from the front panel.

    2 Push the latch upward and pull the handle to remove the drive tray.

    3 Load drives in the drive trays.

    For 3.5 drives:Remove the fastening panels from the sides of the drive tray. Place the drive in the drive

    tray. Then insert the fastening panels to secure the drive in place.

    For 2.5 drives:Remove the fastening panels from the sides of the drive tray and store them in a safe

    place. Place the drive in the blue area (shown below) of the drive tray. Turn the tray upside down and

    tighten the screws to secure the drive in place.

    4 Make sure the side marked with "UP"is facing up, and insert the drive tray into the empty drive bay. You

    should hear a click when the tray is locked into place.

    5 If you have prepared a second drive, repeat the steps above to install it.

    7 Secure the drive bay cover to the front of the unit.

    Note:If you want to create a RAID volume, we recommended that all installed drives are of the same size to make

    the best use of drive capacity.

    Start Up Your DiskStation1 Use the LAN cable to connect the DiskStation to your switch, router, or hub.

    2 Connect the AC adapter to the power port of the DiskStation. Connect one end of the AC power cord to the AC

    power adapter, and the other to the power outlet.

    3 Press the power button.

    Congratulations! Your DiskStation is now online and detectable from a network computer.

    3Chapter 3:Install DSM on DiskStationAfter hardware setup is finished, please install DiskStation Manager (DSM) Synologys browser-based

    operating system on your DiskStation.

    Install DSM with Web AssistantYour DiskStation comes with a built-in tool called Web Assistant that helps you download the latest version of

    DSM from the Internet and install it on your DiskStation. To use Web Assistant, please follow the steps below.

    1 Power on the DiskStation.

    2 Open a web browser on a computer connected to the same network as the DiskStation.

    3 Enter either of the following into the address bar of your browser:a find.synology.com

    b diskstation:5000

    4 Web Assistant will be launched in your web browser. It will search for and find the DiskStation within the local

    network. The status of the DiskStation should be Not Installed.

    5 Click Connect to start the setup process and follow the onscreen instructions.

    Note:

    1. The DiskStation must be connected to the Internet to install DSM with Web Assistant.

    2. Suggested browsers: Chrome, Firefox.

    3. Both the DiskStation and the computer must be in the same local network.

    Section 5. License Limitations. The license set forth in

    Section 1 applies only to the extent you have ordered andpaid for the Product and it states the entirety of your rightswith respect to the Software. Synology reserves all rightsnot expressly granted to you in this EULA. Without limitingthe foregoing, you will not, and you will not authorize orpermit any third party to: (a) use the Software for anypurpose other than in connection with the Product;(b) license, distribute, lease, rent, lend, transfer, assign orotherwise dispose of the Software or use the Software in anycommercial hosted or service bureau environment;(c) reverse engineer, decompile, disassemble or attempt todiscover the source code for or any trade secrets related tothe Software, except and only to the extent that such activityis expressly permitted by applicable law notwithstanding thislimitation; (d) adapt, modify, alter, translate or create anyderivative works of the Software; (e) remove, alter or

    obscure any copyright notice or other proprietary rightsnotice on the Product; or (f) circumvent or attempt tocircumvent any methods employed by Synology to controlaccess to the components, features or functions of theProduct or Software.

    Section 6. Open Source. The Software may containcomponents licensed to Synology under the GNU GeneralPublic License ("GPL Components"), currently available athttp://www.gnu.org/licenses/gpl.html. The terms of the GPLwill control solely with respect to the GPL Components to theextent that this EULA conflicts with the requirements of theGPL with respect to your use of the GPL Components, and,in such event, you agree to be bound by the GPL withrespect to your use of such components.

    Section 7. Audit. Synology will have the right to audit your

    compliance with the terms of this EULA. You agree to grantaccess to Synology to facilities, equipment, books, records

    and documents and to otherwise reasonably cooperate withSynology in order to facilitate any such audit.

    Section 8. Ownership. The Software is valuable propertyof Synology and its licensors and is protected by copyrightand other intellectual property laws and treaties. Synologyor its licensors own all right, title and interest in and to theSoftware and all copyright and other intellectual propertyrights in the Software.

    Section 9. Limited Warranty. Synology warrants that for aperiod of ninety (90) days after either your (a) installation ofthe Software on Products that do not include pre-installedSoftware or (b) use of a Product that includes pre-installedSoftware, as applicable, (the "Warranty Period"), theSoftware will substantially conform to Synology's publishedspecifications for the Software, if any, or otherwise set forthon the Web Site. Synology will use commercially reasonableefforts to, in Synology's sole discretion, either correct anysuch nonconformity in the Software or replace any Softwarethat fails to comply with the foregoing warranty, provided thatyou give Synology written notice of such noncompliancewithin the Warranty Period. The foregoing warranty does notapply to any noncompliance resulting from any: (w) use,

    reproduction, distribution or disclosure not in accordancewith this EULA; (x) any customization, modification or otheralteration of the Software by anyone other than Synology;(y) combination of the Software with any product, services orother items provided by anyone other than Synology; or(z) your failure to comply with this EULA.

    Section 15. U.S. Government License Rights. AllSoftware provided to the U.S. Government is provided withthe commercial license rights and restrictions described inthis EULA. By installing, copying or using the Software, theU.S. Government agrees that the Software is "commercialcomputer software" or "commercial computer softwaredocumentation" within the meaning of FAR Part 12.

    Section 16. Termination. Without prejudice to any otherrights, Synology may terminate this EULA if you do not abideby the terms and conditions contained herein. In such event,you must cease use of the Software and destroy all copies ofthe Software and all of its component parts.

    Section 17. Assignment. You may not transfer or assignyour rights under this EULA to any third party. Any suchtransfer or assignment in violation of the foregoing restrictionwill be void.

    Section 18. Applicable Law. Unless expressly prohibitedby local law, this EULA is governed by the laws of the Stateof Washington, U.S.A. without regard to any conflict of lawprinciples to the contrary. The 1980 U.N. Convention onContracts for the International Sale of Goods or anysuccessor thereto does not apply.

    Section 19. Dispute Resolution. Any dispute, controversyor claim arising out of or relating to this Warranty, the

    Software or services provided by Synology with respect tothe Software or the relationship between you and Synology

    will be resolved exclusively and finally by arbitration underthe current commercial rules of the American ArbitrationAssociation if you reside in the United States, except asotherwise provided below. In such cases, the arbitration willbe conducted before a single arbitrator, and will be limitedsolely to the dispute between you and Synology. Thearbitration, or any portion of it, will not be consolidated withany other arbitration and will not be conducted on a class-

    wide or class action basis. The arbitration shall be held inKing County, Washington, U.S.A. by submission ofdocuments, by telephone, online or in person as determinedby the arbitrator at the request of the parties. The prevailingparty in any arbitration or legal action occurring within theUnited States or otherwise shall receive all costs andreasonable attorneys fees, including any arbitration fee paidby the prevailing party. Any decision rendered in sucharbitration proceedings will be final and binding on theparties, and judgment may be entered thereon in any courtof competent jurisdiction. You understand that, in theabsence of this provision, you would have had a right tolitigate any such dispute, controversy or claim in a court,including the right to litigate claims on a class-wide or class-action basis, and you expressly and knowingly waives thoserights and agrees to resolve any disputes through binding

    arbitration in accordance with the provisions of thisSection 19. If you do not reside within the United States,any dispute, controversy or claim described in this Sectionshall be finally resolved by arbitration conducted by threeneutral arbitrators in accordance with the procedures of theR.O.C. Arbitration Law and related enforcement rules. Thearbitration shall take place in Taipei, Taiwan, R.O.C., and thearbitration proceedings shall be conducted in English or, ifboth parties so agree, in Mandarin Chinese. The arbitrationaward shall be final and binding on the parties and may beenforced in any court having jurisdiction. Nothing in thisSection shall be deemed to prohibit or restrict Synology fromseeking injunctive relief or seeking such other rights andremedies as it may have at law or equity for any actual orthreatened breach of any provision of this EULA relating toSynology's intellectual property rights.

    Section 20. Attorneys' Fees. In any arbitration, mediation,or other legal action or proceeding to enforce rights orremedies under this EULA, the prevailing party will beentitled to recover, in addition to any other relief to which itmay be entitled, costs and reasonable attorneys' fees.

    Section 21. Severability. If any provision of this EULA isheld by a court of competent jurisdiction to be invalid, illegal,or unenforceable, the remainder of this EULA will remain infull force and effect.

    Section 22. Entire Agreement. This EULA sets forth theentire agreement of Synology and you with respect to theSoftware and the subject matter hereof and supersedes allprior and contemporaneous understandings and agreementswhether written or oral. No amendment, modification or

    waiver of any of the provisions of this EULA will be validunless set forth in a written instrument signed by the party tobe bound thereby.

(3) Category IIIProduct means Synology product models that apply with thefollowing requirements: 12 and newer DS, DX seriesproducts with 5-bay and above, or 12 and newer RS, RXseries products. (4) "Category IV Product" means all otherSynology product models purchased by Customer after

    March 1, 2008. (5) "Category V Product" means all otherSynology product models purchased by Customer beforeFebruary 29, 2008. (b) Refurbished Product means allSynology products which have been refurbished and solddirectly by Synology through Online Store, not includingthose sold by an authorized Synology distributor or reseller.(c) "Customer" means the original person or entitypurchasing the Product from Synology or an authorizedSynology distributor or reseller. (d) "Online Store" means aonline shop operated by Synology or Synologys affiliate.(e) "Product" means a New Product or a RefurbishedProduct and any hardware incorporated into the Product bySynology and any accompanying documentation.(f) "Software" means the Synology proprietary software thataccompanies the Product when purchased by Customer, isdownloaded by Customer at the Web Site, or is pre-installed

    on the Product by Synology, and includes any firmware,associated media, images, animations, video, audio, textand applets incorporated into the software or Product andany updates or upgrades to such software. (g) "WarrantyPeriod" means the period commencing on the date theProduct is purchased by Customer and ending (1) five yearsafter such date for Category I Products; (2) three years aftersuch date for Category II & lll Products; or (3) two years aftersuch date for Category IV Products; or (4) one year aftersuch date for Category V Products; or (5) 90 days after suchdate for Refurbished Products, except for those sold as asis or with no warranty on Online Store. (h) "Web Site

    Section 2. Limited Warranty and Remedies

    2.1 Limited Warranty. Subject to Section 2.7, Synologywarrants to Customer that each Product (a) will be free ofmaterial defects in workmanship and (b) under normal usewill perform substantially in accordance with Synology'spublished specifications for the Product during the WarrantyPeriod. Synology warrants the Software as set forth in theaccompanying end user license agreement provided with theProduct, if any. Synology provides no warranty toRefurbished Product sold as as is or with no warranty onOnline Store.

    2.2 Product Registration. Customers may registerProducts with Synology and may obtain the manufacturingdate for Category I Products, Category II Products andCategory III Products at the Web Site. The failure to registera Product at the Web Site will not diminish the warranty

    rights set forth in Section 2.1. Synology is not responsiblefor Customer's failure to identify the manufacturing date ofany Product.

    2.3 Exclusive Remedy. If Customer gives notice ofnoncompliance with any of the warranties set forth inSection 2.1 within the applicable Warranty Period in themanner set forth below, then, upon verification of thenoncompliance by Synology, Synology will, at Synology'soption: (a) use commercially reasonable efforts to repair theProduct, or (b) replace the noncomplying Product or partthereof upon return of the complete Product in accordancewith Section 2.4 The foregoing sets forth Synology's entireliability and Customer's sole and exclusive remedy for anybreach of warranty under Section 2.1 or any other defect ordeficiency in the Product. Customer will reasonably assistSynology to diagnose and validate any nonconformity withthe Product. The warranty set forth in Section 2.1 does not

    include: (1) any warranty relating to the Software;(2) physical installation or removal of the Product fromCustomer's site; (3) visits to Customer's site; (4) labornecessary to effect repairs or replace defective parts otherthan during Synology's or its contracted service providers'normal local business hours, exclusive of weekends andservice providers holidays; (5) any work with any third partyequipment or software; (6) any warranty of the hard disk ifinstalled by Customer or any other third party; or (7) anywarranty of compatibility with the hard disk.

    2.4 Return. Any Product returned by Customer underSection 2.3 must be assigned a Return MerchandiseAuthorization ("RMA") number by Synology before shipmentand must be returned in accordance with Synology's thencurrent RMA procedures. Customer may contact any

    authorized Synology distributor or reseller or SynologySupport to obtain assistance in obtaining an RMA, and mustprovide proof of purchase and product serial number whenasking for such assistance. For warranty claims, Customermust return the complete Product to Synology in accordancewith this Section 2.4 to be eligible for coverage under thisWarranty. Any Product returned without an RMA number, orany Product that has been disassembled (except under thedirection of Synology) will be refused and returned toCustomer at Customer's expense. Any Product that hasbeen assigned a RMA number must be returned in the samecondition as it was received from Synology to the addressdesignated by Synology, freight pre-paid, in packagingsufficient to protect the contents thereof and with the RMAnumber prominently displayed on the outside of the box.Customer is responsible for insurance and risk of loss with

    respect to returned items until they are properly received bySynology. A Product issued a RMA number must bereturned within fifteen (15) days after issuance of theapplicable RMA number.

    2.5 Replacement by Synology. If Synology elects toreplace any Product under this Warranty set forth in Section2.1, then Synology will ship a replacement Product atSynology's expense via the shipping method selected bySynology after receipt of the nonconforming Productreturned in accordance with Section 2.4 and validation bySynology that the Product does not conform to the warranty.In some countries, Synology may at its own discretion applythe Synology Replacement Service to certain Products,through which Synology will ship a replacement Product toCustomer before its receipt of the nonconforming Productreturned by Customer (Synology Replacement Service).

    2.6 Support. During the Warranty Period, Synology willmake available to Customer the support services. Following

    the expiration of the applicable Warranty Period, support forProducts may be available from Synology upon writtenrequest.

    2.7 Exclusions. The foregoing warranties and warrantyobligations do not apply to any Product that (a) has beeninstalled or used in a manner not specified or described inthe Product specifications; (b) has been repaired, modified

    or altered by anyone other than Synology or its agent ordesignee; (c) has been in any way misused, abused, ordamaged; (d) has been used with items not provided bySynology other than the hardware or software for which theProduct is designed; or (e) otherwise fails to conform to theProduct specifications and such failure is attributable tocauses not within or under Synology's control. Further, theforegoing warranties will be void if (1) Customerdisassembles the Product except as authorized by Synology;(2) Customer fails to implement any correction, modification,enhancement, improvement or other update made availableto Customer by Synology; or (3) Customer implements,installs or uses any correction, modification, enhancement,improvement or other update made available by any thirdparty. The warranty set forth in Section 2.1 will terminateupon Customer's sale or transfer of the Product to a third

    party.2.8 Disclaimer of Warranties. THE WARRANTIES,OBLIGATIONS, AND LIABILITIES OF SYNOLOGY ANDTHE REMEDIES OF CUSTOMER SET FORTH IN THISWARRANTY ARE EXCLUSIVE AND IN SUBSTITUTIONFOR, AND CUSTOMER HEREBY WAIVES, RELEASESAND DISCLAIMS, ALL OTHER WARRANTIES,OBLIGATIONS AND LIABILITIES OF SYNOLOGY AND ALLOTHER RIGHTS, CLAIMS AND REMEDIES OFCUSTOMER AGAINST SYNOLOGY, EXPRESS ORIMPLIED, ARISING BY LAW OR OTHERWISE, WITHRESPECT TO THE PRODUCT, ACCOMPANYINGDOCUMENTATION OR SOFTWARE AND ANY OTHERGOODS OR SERVICES DELIVERED UNDER THISWARRANTY, INCLUDING, BUT NOT LIMITED TO ANY:(A) IMPLIED WARRANTY OF MERCHANTABILITY OR

    FITNESS FOR A PARTICULAR PURPOSE OR USE;(B) IMPLIED WARRANTY ARISING FROM COURSE OFPERFORMANCE, COURSE OF DEALING, OR USAGE OFTRADE; (C) CLAIM OF INFRINGEMENT ORMISAPPROPRIATION; OR (D) CLAIM IN TORT(WHETHER BASED ON NEGLIGENCE, STRICT LIABILITY,PRODUCT LIABILITY OR OTHER THEORY). SYNOLOGYMAKES NO GUARANTEE AND SPECIFICALLYDISCLAIMS ANY WARRANTY THAT THE DATA ORINFORMATION STORED ON ANY SYNOLOGY PRODUCTWILL BE SECURE AND WITHOUT RISK OF DATA LOSS.SYNOLOGY RECOMMENDS THAT CUSTOMER TAKESAPPROPRIATE MEASURES TO BACK UP THE DATASTORED ON THE PRODUCT. SOMESTATES/JURISDICTIONS DO NOT ALLOW LIMITATIONSON IMPLIED WARRANTIES, SO THE ABOVE LIMITATION

    MAY NOT APPLY TO CUSTOMER.

    Section 3. Limitations of Liability

    3.1 Force Majeure. Synology will not be liable for, or beconsidered to be in breach of or default under this Warrantyon account of, any delay or failure to perform as required bythis Warranty as a result of any cause or condition beyondits reasonable control (including, without limitation, any act orfailure to act by Customer).

    3.2 Disclaimer of Certain Damages. IN NO EVENTWILL SYNOLOGY OR ITS SUPPLIERS BE LIABLE FORTHE COST OF COVER OR FOR ANY INCIDENTAL,INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL ORSIMILAR DAMAGES OR LIABILITIES WHATSOEVER(INCLUDING, BUT NOT LIMITED TO LOSS OF DATA,

    INFORMATION, REVENUE, PROFIT OR BUSINESS)ARISING OUT OF OR RELATING TO THE USE ORINABILITY TO USE THE PRODUCT, ANY

    ACCOMPANYING DOCUMENTATION OR SOFTWAREAND ANY OTHER GOODS OR SERVICES PROVIDEDUNDER THIS WARRANTY, WHETHER BASED ONCONTRACT, TORT (INCLUDING NEGLIGENCE), STRICTLIABILITY OR OTHER THEORY EVEN IF SYNOLOGY HASBEEN ADVISED OF THE POSSIBILITY OF SUCHDAMAGES.

    3.3 Limitation of Liability. SYNOLOGY'S AND ITSSUPPLIERS' LIABILITY ARISING OUT OF OR RELATINGTO THE USE OR INABILITY TO USE THE PRODUCT, ANYACCOMPANYING DOCUMENTATION OR SOFTWAREAND ANY OTHER GOODS OR SERVICES PROVIDEDUNDER THIS WARRANTY IS LIMITED TO THE AMOUNTACTUALLY PAID BY CUSTOMER FOR THE PRODUCTREGARDLESS OF THE AMOUNT OF DAMAGESCUSTOMER MAY INCUR AND WHETHER BASED ONCONTRACT, TORT (INCLUDING NEGLIGENCE), STRICTLIABILITY OR OTHER THEORY. The foregoing disclaimerof certain damages and limitation of liability will apply to themaximum extent permitted by applicable law. The laws ofsome states/jurisdictions do not allow exclusion or limitationof certain damages. To the extent that those laws apply tothe Product, the exclusions and limitations set forth above

    may not apply to Customer.Section 4. Miscellaneous

    4.1 Proprietary Rights. The Product and anyaccompanying Software and documentation provided withthe Product include proprietary and intellectual propertyrights of Synology and its third party suppliers and licensors.Synology retains and reserves all right, title, and interest inthe intellectual property rights of the Product, and no title toor ownership of any intellectual property rights in or to theProduct, any accompanying Software or documentation andany other goods provided under this Warranty is transferredto Customer under this Warranty. Customer will (a) complywith the terms and conditions of the Synology end userlicense agreement accompanying any Software furnished bySynology or an authorized Synology distributor or reseller;

    and (b) not attempt to reverse engineer any Product orcomponent thereof or accompanying Software or otherwisemisappropriate, circumvent or violate any of Synology'sintellectual property rights.

    4.2 Assignment. Customer will not assign any of itsrights under this Warranty directly, by operation of law orotherwise, without the prior written consent of Synology.

    4.3 No Additional Terms. Except as expresslypermitted by this Warranty, neither party will be bound by,and each party specifically objects to, any term, condition orother provision that conflicts with the provisions of thisWarranty that is made by the other party in any purchaseorder, receipt, acceptance, confirmation, correspondence orotherwise, unless each party specifically agrees to suchprovision in writing. Further, if this Warranty conflicts with

    any terms or conditions of any other agreement entered intoby the parties with respect to the Product, this Warranty willprevail unless the other agreement specifically referencesthe sections of this Warranty that it supersedes.

    4.4 Applicable Law. Unless expressly prohibited bylocal law, this Warranty is governed by the laws of the Stateof Washington, U.S.A. without regard to any conflict of lawprinciples to the contrary. The 1980 U.N. Convention onContracts for the International Sale of Goods or anysuccessor thereto does not apply.

    4.5 Dispute Resolution. Any dispute, controversy orclaim arising out of or relating to this Warranty, the Productor services provided by Synology with respect to the Productor the relationship between Customers residing within theUnited States and Synology will be resolved exclusively and

    finally by arbitration under the current commercial rules ofthe American Arbitration Association, except as otherwiseprovided below. The arbitration will be conducted before a

    single arbitrator, and will be limited solely to the disputebetween Customer and Synology. The arbitration, or anyportion of it, will not be consolidated with any otherarbitration and will not be conducted on a class-wide or classaction basis. The arbitration shall be held in King County,Washington, U.S.A. by submission of documents, bytelephone, online or in person as determined by thearbitrator at the request of the parties. The prevailing party in

    any arbitration or legal action occurring within the UnitedStates or otherwise shall receive all costs and reasonableattorneys fees, including any arbitration fee paid by theprevailing party. Any decision rendered in such arbitrationproceedings will be final and binding on the parties, andjudgment may be entered thereon in any court of competentjurisdiction. Customer understands that, in the absence ofthis provision, Customer would have had a right to litigateany such dispute, controversy or claim in a court, includingthe right to litigate claims on a class-wide or class-actionbasis, and Customer expressly and knowingly waives thoserights and agrees to resolve any disputes through bindingarbitration in accordance with the provisions of thisSection 4.5. For Customers not residing within the UnitedStates, any dispute, controversy or claim described in thissection shall be finally resolved by arbitration conducted by

    three neutral arbitrators in accordance with the proceduresof the R.O.C. Arbitration Law and related enforcement rules.The arbitration shall take place in Taipei, Taiwan, R.O.C.,and the arbitration proceedings shall be conducted inEnglish or, if both parties so agree, in Mandarin Chinese.

    The arbitration award shall be final and binding on theparties and may be enforced in any court having jurisdiction.Nothing in this Section shall be deemed to prohibit or restrictSynology from seeking injunctive relief or seeking such otherrights and remedies as it may have at law or equity for anyactual or threatened breach of any provision of this Warrantyrelating to Synology's intellectual property rights.

    4.6 Attorneys' Fees. In any arbitration, mediation, orother legal action or proceeding to enforce rights orremedies under this Warranty, the prevailing party will beentitled to recover, in addition to any other relief to which itmay be entitled, costs and reasonable attorneys' fees.

    4.7 Export Restrictions. You acknowledge that theProduct may be subject to U.S. export restrictions. You willcomply with all applicable laws and regulations that apply tothe Product, including without limitation the U.S. ExportAdministration Regulations.

    4.8 Severability. If any provision of this Warranty is heldby a court of competent jurisdiction to be invalid, illegal, orunenforceable, the remainder of this Warranty will remain infull force and effect.

    4.9 Entire Agreement. This Warranty constitutes the entireagreement, and supersedes any and all prior agreements,between Synology and Customer related to the subject matterhereof. No amendment, modification or waiver of any of theprovisions of this Warranty will be valid unless set forth in awritten instrument signed by the party to be bound thereby.
