Using This Guide Use this guide to improve your understanding of how Microsoft customers license Microsoft Dynamics GP 2013 and

Microsoft Dynamics NAV 2013 R2 for Subscription offerings. It does not apply to Microsoft Dynamics AX, Microsoft

Dynamics SL, or prior versions of Microsoft Dynamics GP and Microsoft Dynamics NAV. This guide is not intended to

influence the choice of Microsoft Dynamics products and services. The examples presented in this guide are

illustrative. Microsoft Corporation reserves the right to review and/or update the existing version of this document

without any advance notice.

License Keys vs. License Entitlements

An important distinction to make is between license keys (activation keys) and license entitlements. License keys are

used to activate the Microsoft Dynamics software that the customer has licensed. License entitlements are what

customers are entitled to run and use based on the licenses they have acquired as described in the SLT.

Overview of the Subscription Licensing With subscription licensing, customers subscribe to the rights to use Microsoft products and services

instead of owning them. This lowers the initial licensing costs and provides the flexibility to increase or

decrease subscription license counts from one subscription term to the next.

Subscription Licensing Model

Under the Subscription Licensing model, Microsoft Dynamics GP 2013 and Microsoft Dynamics NAV 2013

are licensed on a per user basis. Each individual accessing the solution requires a unique Subscription

Access License (SAL).

SALs are non-perpetual (subscription) licenses that can be used during the term of the agreement only.

The solution functionality is included with the SALs.

Licensing User Access to the Solution Each individual user that will access the Microsoft Dynamics ERP solution functionality requires a SAL.

SALs are specific to an individual and cannot be shared.

Note: If a user leaves the organization, the SAL may be permanently reassigned to another user.

Available SALs

Full SALs and Limited SALs are available for Microsoft Dynamics GP 2013 and Microsoft Dynamics NAV

2013 R2.

Full User SALs

A Full User is licensed for access to all of the functionality across the ERP Solution. There are two editions

of Full User SALs: Standard User SALs and Extended Use Additive SALs.

Standard SAL is a Base SAL that entitles the licensed user to perform Full User tasks across the

ERP Solution using all of the functionality included in the Starter Pack.

Extended Use Additive SAL is a license, additive to the Standard SAL, that expands the rights of

a licensed Full User to perform tasks using all of the functionality in the Extended Pack.

Refer to Appendix B: Microsoft Dynamics NAV 2013 for Subscription Functionality and Appendix C:

Microsoft Dynamics GP 2013 for Subscription Functionality and for a list of the included functionality in

the Starter Pack and Extended Pack.

Limited User SALs

A “Limited User” means a user who accesses the ERP solution directly or indirectly for purposes of

completing only the tasks described below. Any access beyond these limitations requires a Full User SAL.

“Read” access to data contained in the ERP solution through any client; or

“Write” access via the time and expense functionality (Microsoft Dynamics GP only) or timesheet

functionality (Microsoft Dynamics NAV only); or

“Write” access (Microsoft Dynamics NAV only) through any client accessing the ERP solution via

the Microsoft Dynamics NAV API to a maximum of 3 table objects with the following exceptions:

o Limited users are not authorized to write to any of the following tables: General Ledger

Entry (table number 17), Permission Set (table number 2000000004), Permission (table

number 2000000005) or Access Control (table number 2000000053); and

o Any table described in Appendix A does not count towards the 3 table objects. Microsoft

may update such Appendix A of the Licensing Guide from time to time, at its discretion,

to include additional Tables.

“Write” access (Microsoft Dynamics GP only) through non-Microsoft created windows through

any client accessing the ERP solution.

Choosing the Appropriate SAL Type

To choose the appropriate SAL type, determine the functionality the customer requires for the ERP

solution. If the customer requires only the functionality included in the Starter Pack, then license Standard

SALs (or a combination of Standard SALs and Limited SALs). If the customer also requires the functionality

of the Extended Pack, then license Extended Use Additive SALs for all Standard SALs.

Note: If the customer licenses the Extended Use Additive SAL, it must be licensed in the same quantity as Standard

User SALs.

Customers do not need SALs for users who access Microsoft Dynamics GP 2013 or Microsoft Dynamics

NAV 2013 R2 using the client software only for the sole purpose of providing supplemental professional

accounting or bookkeeping services related to the auditing process.

Access by External Users for Microsoft Dynamics NAV 2013

External users are customers of the customer licensing Microsoft Dynamics NAV 2013. External users are

defined in the user table by assigning such users the External User designation. External users do not

consume SALs for access. External users are not available to End Users performing business processes on

behalf of their customers.

Multiplexing

Multiplexing is the use of hardware or software (including manual procedures) to reduce the number of

users that directly access the Microsoft Dynamics ERP solution by pooling connections. Multiplexing does

not reduce the number of SALs required. Any user that accesses the Microsoft Dynamics ERP solution—

even when accessing indirectly—must be properly licensed.

When connecting to Microsoft Dynamics through a pooling resource, users must be licensed with the

appropriate SAL types in compliance with the Software License Terms.

Note: Licensed users may manually rekey information (when coming from non-licensed users) into the Microsoft

Dynamics ERP solution. This scenario is not considered to be multiplexing.

Multiplexing does not reduce the number of SALs required.

Components You may only run instances of discrete pieces of functionality (known as “components”) on a per

processor basis along with your selected SAL. Microsoft may modify the list of components. For those

components licensed under the Processor License model you need to only license and report one

Processor License per ERP solution, regardless of how many processors are used.

Subscription Term The subscription term for Microsoft Dynamics GP 2013 and Microsoft Dynamics NAV 2013 R2 is one

month. That means customers pay for their subscription User Licenses on a monthly basis, and they have

the flexibility to change their User License counts from month to month.

When adding SALs, the cost of the license will be pro-rated based upon the time remaining in the current

month’s term. When removing User Licenses, the new User License count will be go into effect at the start

of the next month.

There is no minimum subscription term, so customers can cancel their subscription at any time without

penalty.

Discount for Windows Azure Customers Microsoft will apply a discount of $5 U.S. to the monthly price of the Standard SALs or Extended SALs

when the ERP solution is run on the Windows Azure platform. This programmatic discount can end with

60 days notice.

Customizing the ERP Solution A suite of tools is available to help partners customize the ERP Solution for their customers. For Microsoft

Dynamics GP 2013, the Customization Pack that includes the functionalities of the customization suite and

the integration suite is available from Microsoft. For Microsoft Dynamics NAV 2013 R2, partners will be

able to keep licensing Application Builder and Solution Developer. Microsoft Dynamics NAV partners also

retain the ability to license the application objects needed to modify the solution for their customers.

Please note that going forward, objects will only be licensed in packs.

Other A La Carte Modules

Microsoft offers for licensing on the Microsoft Dynamics Price List some functionalities developed by

Independent Software Vendors. Such functionalities show up on the Microsoft Dynamics Price List or in

the Order Central catalog as modules available for licensing separately.

Enhancement Plan Benefits The Microsoft Dynamics solution is mission-critical to the success of your customers’ businesses, and the

Subscription licensing model includes enhancement plan benefits. Microsoft provides unlimited access to

resources and tools to help your End Users better understand how the software works and how to get the

most out of their solution for improved business performance. The Enhancement Plan helps customers:

Maximize value: Provides the latest upgrades, updates, hotfixes, training, and more, enabling End

Users to realize the full potential of their Microsoft Dynamics solution—from the moment they

make their purchase decision through their full lifecycle as a customer.

Protect their investment: Having an up to date solution helps customers maintain legal and

regulatory compliance and keep their solution running at its peak performance.

Increase business productivity: Self-support tools and training through our online portal,

CustomerSource, enables customers’ employees to troubleshoot issues on their own, enhancing

overall productivity.

Note: Protected List Price and Transition Investment Credits do not apply when purchasing Subscription

Licensing.

Partner Support Policy

Partners purchasing a Microsoft Dynamics Partner Support Plan will receive 1 or 2 incidents, based on

your MPN Gold/Silver status, for every 40 seats sold through Subscription Licensing. Accounts will be

updated on a quarterly basis.

Deploying the Solution on the Customer’s

Premises Under the Subscription Licensing model, you may install the software on your customer’s premises as

long you (the partner) maintain the day to day management and control of the software.

Licenses for Additional Software Licenses for additional software that may be required for the solution—such as Microsoft Windows Server,

Microsoft SQL Server, and Microsoft SharePoint Server—and their corresponding Subscriber Access

Licenses (SALs) are not included with the Microsoft Dynamics GP 2013 or the Microsoft Dynamics NAV

2013 R2 licenses.

In this example, five users are accessing the Microsoft Dynamics ERP solution, which is connecting to a SQL Server database. SQL Server is being licensed through a server/CAL model, so the customer requires the appropriate SQL Server licenses and CALs. Because SQL Server CALs are also licensed on a Named User (or device) basis, each user (or device) requires a SQL Server CAL along with the Microsoft Dynamics User subscription license.

Licenses for other products required for the solution must be acquired separately in accordance with the

applicable licensing requirements for these products.

Partner Eligibility to Sell Subscription

Licenses To be eligible to sell subscription licenses for Microsoft Dynamics GP or Microsoft Dynamics NAV 2013 R2,

you must meet the following criteria:

The partner ordering subscription licenses must be the same partner that orders SQL Server from

Microsoft (via SPLA or Windows Azure).

Infrastructure partners can order subscription licenses, but must designate a product certified

Value Added Reseller (VAR) as consultant on the customer agreement.

If installing the ERP solution on the customer’s premises, the partner must maintain day to day

management and control of the software.
