Tesla Announced Plans to Acquire SolarCity at $2.6 Billion

Offer Details

• In June 2016, Tesla announced plans to acquire SolarCity

• Initial proposal represented value of $26.50 to $28.50 per share, a 21% to 30% premium over the closing price of SolarCity’s

shares (based on data from June 20, 2016)

• In late July 2016, Tesla and SolarCity filed Form 8-K with the U.S. Securities and Exchange Commission, announcing their merger

agreement

• The merger agreement consisted of an all-stock transaction with an equity value of $2.6 billion based on the 5-day volume

weighted average price of Tesla shares as of July 29, 2016; SolarCity common stock was valued at $25.37 per share based on the

5-day volume weighted average price of Tesla shares as of July 29, 2016. The filing estimated $150 million in cost synergies in the

first full year following closing.

• If approved by shareholders, the transaction is expected to close in Q4 2016

• Tesla’s goal is to create a vertically integrated clean energy company that can offer solutions across the value chain, including

Vermont

Green Mountain Power announced comprehensive energy transformation project for Panton, Vermont.

New York

NY PSC held a technical conference to discuss the role of energy storage in achieving the state’s clean energy goals; also issued an order to establish new financial mechanisms to help utilities reach goals under NY REV. The state senate introduced S. 7533, which may lead to the establishment of energy storage procurement targets for utilities. Utilities filed DSIPs. RG&E issued an RFP for non-wires solutions to provide distribution system load relief at Station 43 Substation.

California

CPUC directed SCE and advised SDG&E to procure energy storage in response to the Aliso Canyon Gas Leak; SCE issued RA Only RFO (recently requesting 27 MW procurement through this RFO) and DBT RFP to meet this objective, while SDG&E made accommodations in LCR procurement to propose 37.5 MW procurement. PG&E, SCE and SDG&E filed briefs relating to their 2016 energy storage procurement plans. FERCapproved CAISO DER aggregation. CAISOcontinued work on ESDER Track II.

Federal

The White House announced a series of federal and private-sector actions to scale energy storage in the U.S. HR 5640 passed the U.S. House of Representatives and entered the Senate. HR 5350 and S 3159 propose investment tax credits for energy storage. The IRS and U.S. Department of the Treasury issued a notice to clarify how refurbished energy property can qualify for the ITC and PTC. PNNL and SNL updated the Protocol for Uniformly Measuring and Expressing the Performance of Energy Storage Systems. Six ISOs and 43 stakeholders submitted comments on FERC AD16-20 inquiry.

Oregon

PGE issued an RFI to solicit information on players across the energy storage value chain. Oregon PUC held a workshop to discuss utility plans for compliance with HB 2193. BPA issued an RFO for non-wires alternatives for congestion relief. FERC opened comments for proposed Owyhee Pumped Hydro project.

Legislation that may lead to establishment of energy storage procurement targets were passed in the state legislature. MA DOER initiated Peak Demand Management Grant Program.

Texas

ERCOT rejected NPRR 667 (Future Ancillary Services Team); also held Regional Planning Group Meeting.Shell Energy North America sponsored NPRR 777proposing a new definition for a Mapped Distribution Resources. ERCOT’s Regional Planning Group discussed long-term system assessment updates that included EV and storage adoption scenarios.

PJM

PJM’s Markets and Reliability Committee held distributed energy resource special meeting. Two senior task forces met to examine regulation market and seasonal capacity resources.

Guam

GPA issued Renewable Energy Resource Phase II Invitation for Multi-Step Bid.

California

FERC approved DER aggregation provisions within CAISO. CAISO initiated ESDER Phase II and held a joint stakeholder workshop with CPUC. SB 886 passed in the Assembly and was re-referred to the Committee on Appropriations. AB 2868 passed Assembly, entered committee and had its hearing postponed. PG&E announced three projects under EPIC to explore benefits of DER. CPUC approved decision to revise the SGIP program. PG&E, SCE and SDG&E filed briefs relating to their 2016 energy storage procurement plans; also announced results of 2017 DRAM.

Hawaii

Both SB 2738 and HB 2291, which sought to establish financial support for energy storage systems, failed in the state legislature.

Colorado

Colorado PUC opened Xcel Energy’s Phase II rate case to public comments.

New York

Utilities filed DSIPs. Con Edison and NYSERDA filed a petition to eliminate project deadlines under the IPEC Reliability Plan. RG&E issued an RFP for non-wires solutions to provide distribution system load relief at Station 43 Substation. Con Edison, SunPower and Sunverge initiated their Clean VPP Project under NY REV. NY PSC issued an order to establish new financial mechanisms to help utilities reach goals under NY REV. FERC approved behind-the-meter access rules for net-generation resources in NYISO. Con Edison conducted BQDM auction process and announced 10 winners for 2017 and 2018 auctions.

Delaware

DESEU approved Solar Resiliency Pilot Program and selected participants.

Oklahoma

Oklahoma Corporation Commission initiated hearing on OG&E’s proposed rate case.

The White House announced a series of federal and private-sector actions to scale energy storage in the U.S. HR 5640 passed the U.S. House of Representatives and entered the Senate. HR 5350 and S 3159 propose investment tax credits for energy storage. TheIRS and U.S. Department of the Treasury issued a notice to clarify how refurbished energy property can qualify for the ITC and PTC. MA DPU approved National Grid’s proposal to include battery storage in its Phase II Solar Program. MassCEC issued an RFP under InnovateMass to solicit proposals for energy storage projects; also issued an RFP to evaluate solar-plus-storage and storage-only for manufacturing facilities.
