a)“AmerenIllinois”shallmeanAmerenIllinoisCompanyd/b/aAmerenIllinois.

b)“Application”shallmeantheCustomercompleteddocumentusedtoapplyforcashincentives,programTermsandConditions,andanyotherappropriateapplication-specificdocumentation.

c)“ApplicationGuide”shallmeanthedownloadablefile(PDFformat)thatincludes:directionsforcompletingtheApplication,Customereligibilitycriteria,andanyotherappropriatedocumentation.

g)“EligibleCustomers”shallmeannon-residentialelectricand/orgasCustomersofAmerenIllinois.EachapplicationhasdifferenteligibilityrequirementsforDeliveryServicerates(DS#forelectric,GDS#forgas)tobe

eligibleforthatprogram.Refertothespecificprogramapplicationstodetermineifyourbusinessiseligibleforthatapplication.TheAmerenIllinoisincentivepaymentsareawardedonlytoEligibleCustomersfor

equipmentthatisownedbythemandinstalledintheAmerenIllinoisserviceareaatthelocationthatcorrespondswiththeAmerenIllinoisaccountnumberlistedintheApplication.AllEligibleCustomersareultimately

responsibleforcompliancewiththeseTermsandConditions.

h)“Facility”shallmeanasinglepremisethat,ingeneral,consistsofacontiguoustractoflandseparatedbynothingmorethanastreet,alley,orrailroadright-of-way,whereallbuildingsand/orenergy-consumingdevices

areownedbyasingleCustomer.

i)“NewConstruction”shallincludeconstructionofnewbuildings,change-of-useofexistingbuildingsorland,additionstoexistingbuildings,orwhentwoormorebuildingsystemsarerenovated,suchasshellandheating,

heatingandlighting,etc.

j)“Pre-approval”shallmeanwrittennotificationtoCustomerofamaximumpre-approvedincentiveamountthroughaPre-approvalletter,whichAmerenIllinoisissuesafterreviewoftheCustomer’sApplication.

k)“QualifyingEnergyEfficiencyMeasures(EEMs)”shallmeaneither(i)standardgasorelectricEEMs(i.e.,measuresfoundonanyoftheStandardInitiativeapplications:Lighting,VFD,HVAC,SpecialtyEquipment,SteamTrap,andLeakSurveyandRepair);or(ii)measureseligibleundertheCustomInitiativeapprovedbyAmerenIllinois;or(iii)measuresfoundintheStreetlightingorRetro-commissioningInitiativeasidentifiedinofficial

programmaterialsfoundontheAmerenIllinoisEnergyEfficiencywebsite.Technologiesthatpurporttosaveenergythroughreductionofvoltage,demand,orpowerconditioningarenotQualifyingEEMs.EEMsthat

displaceelectricalenergyuseornaturalgastoanotherfuel(i.e.,fuelswitchingproposals)arenotQualifyingEEMs.Otherthangeothermalprojects,renewableenergyprojects(solar,windpower,etc.)arealsonoteligible

forincentivesunderthisprogram.Unlessexplicitlypre-approved,EEMsmustbenewandcoveredbywarranties.NaturalGas(gas)incentivesdonotincludepropaneorbutanemeasures.

l)“StandardInitiative”shallmeanthoseprojectsassociatedwithStandardgasorelectricEEMs.StandardInitiativeincludesthefollowing:Lighting(notNewConstructionLighting),VFD,HVAC,SpecialtyEquipment,SteamTrapand/orLeakSurveyandRepair.SeetheAmerenIllinoisEnergyEfficiencywebsiteforapplications(AmerenIllinoisSavings.com).

2.OWNERSHIPOFCAPACITYAND/ORENVIRONMENTALCREDITS:a)EEMspurchasedandinstalledinpartthroughincentivesprovidedbythisprogramarethepropertyoftheCustomer,subjecttoanylimitationscontainedwithintheseTermsandConditions.

b)Notwithstandingtheabove,unlessotherwiserequestedinwritingbytheCustomerpriortoinstallationoftheEEMs,AmerenIllinoisholdssolerightstoanysystemcapacitycreditsandenvironmentalcreditsthatmaybe

associatedwithEEMsforwhichincentivesfromAmerenIllinoiswerereceived,andAmerenIllinoiscandisposeofthesecreditsinanymannerauthorizedbylaworregulation.

c)InnoeventshallactivityassociatedwithanyenergyorenvironmentalcreditsnotedinSection2(b)resultininterferencewiththeCustomer’ssolediscretiontooperateEEMsasapprovedinhis/herincentiveaward.

3.PRE-APPROVALForallApplications,AmerenIllinoisisnotobligatedtoawardanyincentivepaymentunlessPre-approvalisgranted.Further,AmerenIllinoiswillnotpayincentivesforanyEEMsorderedoranypurchaseordergenerated

priortothedateofthePre-approvalletter,UNLESS,therequestedincentiveislessthan$10,000onanyStandardInitiativeApplication(see1.jabove).Pre-approvalreservesincentivefundsforaperioduptotheEstimated

CompletionDateprovidedinthePre-approvalletter.AftertheEstimatedCompletionDate,AmerenIllinoismayrevokethePre-approvalletterandassociatedincentivefunds.Customerisresponsibleforensuring

applicationisaccurateandequipmentmeetseligibilityrequirementsinordertoreceivethePre-approvalincentivepayment.

4.POST-INSTALLATIONVERIFICATION:AmerenIllinoisisnotobligatedtomakeanyincentivepaymentuntilithasperformedasatisfactorypost-installationverification.Thisprovisionmaybewaivedatthesolediscretion

ofAmerenIllinois.

5.INCENTIVEPAYMENTAMOUNTS:a)Incentivecaps(perprogramyearforafacility)aredefinedasfollows:

i)Standard,Custom,andRetro-Commissioningapplications:Electricincentivesarecappedat$500,000perproject.Gasincentivesarecappedat$100,000perproject.

ii)IncentivesawardedundertheStaffingGrantwillbepro-ratedbasedupontheenergysavingsachievedcomparedtotheacceptedsavingsinthestaffinggrantpre-approvalletter,uptothepre-approvedstaffing

grantincentiveamount.SeetheStaffingGrantApplicationforfurthercriteria.

iii)NewConstructionLightingincentivesarecappedat$100,000.

iv)FeasibilityStudy–themaximumincentivepaymentforasingleFeasibilityStudyiscappedat$20,000.SeetheFeasibilityStudyapplicationforfurtherdetails.

v)LeakSurveyandRepair–thecappedincentiveis$20,000foracompressedairLeakSurveyandRepairproject.SeetheLeaksSurveyandRepairapplicationforfurthercriteria.

vi)Metering&Monitoring–themaximumtotalincentivepaymentforMetering&Monitoringis$22,000.SeetheMetering&Monitoringapplicationforfurtherdetails.

b)AmerenIllinoisreservestherighttoadjustand/ornegotiatetheincentiveamount,baseduponitsindependentassessmentofappropriatesavingsorcostestimates.

c)OnceanincentiveApplicationispre-approved,AmerenIllinoiswillpaynomorethanthepre-approvedincentiveamount.

d)AmerenIllinoisreservestherighttocapincentivesat$10,000forStandardprojectsthatdidnotobtainpre-approval.

e)IncentivesforStandardorNewConstructionapplicationswillbecappedattheprojectcost,whichincludesmaterialcostandexternallaborcost(Internallaborisnotconsideredintheprojectcost).SteamTrapSurveys

areeligibleforincentiveswheninternallaborisusedpertheguidelinesoftheSteamTrapapplication.

6.MONITORINGANDEVALUATIONFOLLOW-UPVISITS:CustomergrantsAmerenIllinoisandanyofitsagents,therighttomakefollow-upvisits,inspectionsorsurveysoftheCustomer’sfacilityduringthe36months

followingthecompletiondateoftheprojectatatimeconvenienttotheCustomer.IfAmerenIllinoisdiscoversthattheEEMswerenotactuallyandproperlyinstalledorweresubsequentlydisconnectedwithin36months

afterinstallation,AmerenIllinoisshallbeentitledtomoneydamagesequaltothetotalamountofincentivepaymentsmadeplusinterest.

7.CHANGESIN/CANCELLATIONOFTHEPROGRAM:a)AmerenIllinoismaychangetheprogramrequirements,incentives,ortheseTerms&Conditionsatanytimewithoutnotice,includingsuspendingacceptanceofApplications,denialofApplicationsalreadyreceived,or

terminatingtheprogram.

b)Intheeventofprogramchange,ApplicationsthathavebeengrantedPre-approvalwillbeprocessedtocompletionundertheTerms&ConditionsineffectatthetimeofPre-approvalbyAmerenIllinois.

c)CashincentivesundertheAmerenIllinoisprogramsareofferedonafirst-come,first-servedbasisandaresubjecttoprojectandCustomereligibility,andtheavailabilityoffunds.

8.LIMITATIONOFLIABILITYANDINDEMNIFICATION:a)AMERENILLINOIS’TOTALLIABILITYTOCUSTOMERUNDERTHESETERMSANDCONDITIONS,ORANYOTHERREQUIREMENTOFCUSTOMER’SAPPLICATIONORCONDITIONOFINCENTIVEAWARDSHALLBELIMITEDTO

PAYINGTHEINCENTIVEPAYMENTSSPECIFIEDINTHEAPPLICATIONORPRE-APPROVALLETTERS.AMERENILLINOIS,ITSPARENT,AFFILIATESANDSUBSIDIARIES,ANDTHEIRDIRECTORS,OFFICERS,EMPLOYEES,ORAGENTS

SHALLNOTBELIABLETOTHECUSTOMERORFORANYDAMAGESINTORT(INCLUDINGNEGLIGENCE)CAUSEDBYANYACTIVITIESASSOCIATEDWITHTHISAPPLICATION;LOSSOFPROFITSORREVENUE;LOSSOFUSEOF

CUSTOMER'SPROPERTY,EQUIPMENTORPOWERSYSTEM;INCREASEDCOSTSOFANYKIND,INCLUDINGBUTNOTLIMITEDTOCAPITALCOST,FUELCOSTANDCOSTOFPURCHASEDORREPLACEMENTPOWER;ORANY

9.NOWARRANTIES:AmerenIllinoisdoesnotguaranteetheenergysavingsanditsparent,affiliates,employees,andagentsdonotmakeanyrepresentationsorwarrantiesofanykindregardingtheresultstobeachieved

bytheEEMsortheadequacyorsafetyofsuchmeasures.AmerenIllinoisanditsparent,affiliates,employees,andagentsdonotendorse,guarantee,orwarrantanyparticularmanufacturer,contractororproduct,andit

providesnowarranties,expressedorimplied,includinganyimpliedwarrantyofmerchantabilityorimpliedwarrantyoffitnessforanyproductorservices.AmerenIllinoishasnoobligationsregardinganddoesnotendorse

orguaranteeanyclaims,promises,work,orequipmentmadeperformedorfurnishedbyanycontractorsorequipmentvendorsthatsellorinstallEEMs.

10.CUSTOMERSHALLPAYALLTAXES:IncentivepaymentsreceivedbytheCustomeroranyThirdPartyPayeeunderthisAgreementmaybetaxablebythefederal,state,andlocalgovernment.TheCustomerisresponsible

fordeclaringandpayingallsuchtaxes,regardlessofwhoreceivestheincentive.

a)Exceptasexpresslyprovidedherein,ifeitherAmerenIllinoisortheCustomerdesirestomodifytheseTermsandConditions,themodificationmustbeinwritingandsignedbyanauthorizedrepresentativeoftheparty

againstwhichenforcementofthemodificationissought.

11.REMOVALOFEQUIPMENT:TheCustomeragrees,asaconditionofparticipationintheprogram,toremoveanddisposeofanyequipmentbeingreplacedbytheEEMsinaccordancewithallapplicablelaws,rules,and

regulations.TheCustomerfurtheragreesnottoreinstallanyofreplacedequipmentanywhereinIllinois,ortransferittoanyotherpartyforinstallationinIllinois.

12.CHOICEOFLAWANDDISPUTES.a)THESETERMSANDCONDITIONS,ORANYOTHERREQUIREMENTOFTHEAPPLICATIONGUIDEORCONDITIONOFINCENTIVEAWARDWILLBEGOVERNEDINALLRESPECTSBYTHELAWS,STATUTES,ANDREGULATIONSOF

THESTATEOFILLINOIS.AMERENILLINOISANDCUSTOMERHEREBYIRREVOCABLYANDUNCONDITIONALLYWAIVEANYRIGHTEITHERSUCHPARTYMAYHAVETOATRIALBYJURYORTOINITIATEORBECOMEAPARTYTO
