For Immediate Release Aug. 12, 2015 Contact: Amy Adams, 706-570-6004 STATEMENT On Tuesday, August 11, 2015, the US District Court for the Middle District of Georgia unsealed a suit filed by Community Health Systems (CHS) against St. Francis. “This lawsuit came as a surprise to us. We are still looking carefully at the allegations, but believe the claims are without merit and we expect to prevail in the litigation,” says Richard Bradley, Chairman of the St. Francis Board of Trustees. “Our focus remains on completing a partnership with LifePoint Health and supporting the work of our physicians and associates who provide the community with the highest quality of care.” In December of 2014, the St. Francis Board of Trustees announced it would begin exploring strategic partnership options to help ensure the hospital’s future. In April, St. Francis signed a Letter of Intent (LOI) to enter exclusive discussions with CHS. Part of this agreement provided funding to ease financial pressure on the hospital during the due diligence process. In late summer, St. Francis and CHS were unable to agree on final terms of a deal and eventually reached an impasse. “Due diligence involves a close inspection of St. Francis at every level. We worked closely with CHS officials to answer their questions and provide them all the information they requested,” says Bradley.
