Intellectual Property Agreement

Please indicate the wording of the intellectual property position agreed by the applicants to be inserted into the Project Collaboration Agreement if the project is awarded. Example clauses are provided below.

11.1All Background IP used in connection with the Project shall remain the property of the Party introducing it.

11.2All rights to Arising IP under the Project shall belong in the first instance to the Company.

11.3Pursuant to Clause 11.2, the Company grants to the University a non-exclusive, royalty free licence to use the Arising IP to the extent necessary solely for the purposes of the Project.

11.4Pursuant to Clause 11.2, the Company grants to the University a non-exclusive, royalty free licence to use the Arising IP for research and teaching purposes.

11.5The University and the Company grant to each other a royalty free right to use each other’s Background IP, subject to any third party rights, to the extent required for the purpose of the Project (during the Project Period only).

11.6 The University is willing to grant the Company a non-exclusive licence on fair and reasonable terms to be agreed to any University Background IP to the extent it is required to commercially exploit the Arising IP.

OR

11.1 All Background IP used in connection with the Project shall remain the property of the Party introducing it. 11.2 All rights to Arising IP under the Project shall belong in the first instance to the University. 11.3 The University may, at its sole discretion and cost, apply for patent or other IP protection in the University’s name for any Arising IP. The Company will cooperate with the University in executing such documents as may be reasonably required in the prosecution of such application(s) and to ensure that such application(s) will cover, to the best of the Company's knowledge, all items of commercial interest and importance. 11.4 Pursuant to Clause 11.2, the University grants to the Company a non-exclusive, royalty free licence to use the Arising IP to the extent necessary solely for the purposes of the Project. 11.5 The Parties grant to each other a royalty free right to use each other’s Background IP, subject to any third party rights, to the extent required for the purpose of the Project (during the Contract Period only).11.6 In the event that the Company wishes to exploit the Arising IP and in consideration of the Costs, the University hereby grants the Company an option to obtain a non-exclusive licence without the right to sub-license, to use and/or commercialise certain of the Arising IP in the Company’s Technology Field. Such licence shall be negotiated between the Parties within three (3) months of the Company exercising its option and shall be on fair and reasonable terms, taking into account the commercial opportunity and the Parties' respective contributions to the Project. 11.7 The Company may exercise its option at any time during the term of this Agreement and for a period of three (3) months following the expiry or termination of this Agreement. 11.8 In the event of the Company exercising its option, the University is also willing to grant to the Company a non-exclusive licence on fair and reasonable terms and subject to any third party rights, to such of the University’s Background IP which the Company may require for the purpose of exploiting the Arising IP. 11.9 For the avoidance of doubt, in the event that the Company does not exercise its option, then the University shall be at liberty to offer the Arising IP to any other person or organisation for the purposes of exploitation.11.10 If the University offers the Arising IP to any other person or organisation in accordance with Clause 11.9, the Company is also willing to grant to the University a non-exclusive licence on fair and reasonable terms to such of the Company's Background IP which the University may require for the purpose of exploiting the Arising IP.
