Standard Terms and Conditions of Sale Date Effective: January 1, 2018

adidas Canada Limited, hereby referred to as “adidas Group” reserves the right to be the sole determinant of whether or not a particular team, corporate distributor, retailer and/or retail location complies with the requirements of the company. These Terms and Conditions of Sale (“Terms and Conditions”) in no way limits adidas Group’s rights to choose the channels of distribution that it deems to be most appropriate for its products in Canada given the company’s overall goals for sales and profit stability.These Terms and Conditions apply to adidas Group merchandise, which includes adidas, Reebok, Adams Golf and TaylorMade products.Retailer Profile (excludes Team and Corporate designated accounts) • Retailers accepted as suitable for distribution of

adidas Group product must maintain the following requirements:

a) A retail environment conducive to a focus on adidas Group brands;

b) In-store merchandising of adidas Group brands must be of standards in keeping with the adidas Group brands’ position in the marketplace;

c) A full retail store front, which must be open to the public during standard retail hours of operation;

d) Specific dedicated staff members must be available for information and assistance to the consumer;

e) The principal business must be the retail of non-used goods.

Terms of Sale• Terms of sale are subject to change on 30 days written

notification.

Pricing Policy• All goods shipped by adidas Group will be invoiced

at the published wholesale prices in effect at the time the purchase order is received by adidas Group, unless specifically amended and agreed in writing by both parties.

• Prices are subject to change without notice. ORDERS WILL BE INVOICED AT PRICES PREVAILING AT TIME OF ORDER. Prices are not guaranteed.

Harmonized Sales Tax (HST)• Harmonized Sales Tax (HST) and any other equivalent

taxes (QST, GST) will be charged on all invoices, net of any applicable discounts shown directly on the invoice (“off-invoice discounts”). To assist Retailer or Distributor in claiming an input tax credit for HST, QST or GST paid to adidas Group, invoices will show all tax amounts charged

as separate line items. The GST and HST Registration Number for adidas is 100052950, RT0001. The QST Registration Number for adidas is 1010456271, TQ0001.

Provincial Sales Tax (PST)• Provincial Sales Tax (PST), if applicable, will be charged

on all invoices, net of any applicable discounts shown directly on the invoice (“off-invoice discounts”), unless a valid exemption certificate is provided to adidas Group, in advance of shipments of goods, in the form prescribed by law, and maintained in current standing, at the sole obligation of Retailer or Distributor.

Payment Terms• Payment terms are calculated at the date of invoice and

subject to parameters as set out in the various sales program appendixes determined by adidas Group and provided in writing to Retailer or Distributor. Absence of a due date or payment terms are automatically considered due 30 days from the date of the invoice.

Credit Approval• All orders and terms are subject to acceptance and

approval by the adidas Group Account Planning Department prior to shipment. Retailers shall be liable to pay all service charges and any collection costs incurred by adidas Group to collect amounts due. adidas Group reserves the right to modify, at all times and upon notice, the terms and conditions of the credit granted to the customer. Upon adidas Group giving notice of these changes, they will be immediately applicable.

Service Charges• A service charge of 1.5% per month will be applied on

account balances past due.

Rights to Retrieval• Rights to Retrieve Product in Case of Default – adidas

Group retains ownership (Security Interest) of all merchandise shipped until paid for in full by Retailer or Distributor.

• In order to secure the payment of all amounts due by the Customer to adidas Group pursuant to the terms of the document and all other obligations of the Customer to adidas Group howsoever arising, the Customer’s execution of this document shall constitute (without any further signature or execution of any other document):

a) Your grant to adidas Group of a security interest in all of the Customer’s present and after-acquired property, wheresoever located, which security interest shall constitute a “purchase money security interest” (“PMSI”)

under applicable personal property security legislation (if applicable) in the Province where the Customer is located, to the extent that it satisfies the relevant criteria for such a security interest under such legislation. The PMSI acts as a lien on the adidas Group products purchased by you as well as on your other property and will enable adidas Group to secure payment of the full purchase price of these products; and

b) Your grant in favour of adidas Group of a Hypothec and a security interest up to the amount of 150% of the credit granted by adidas Group in principal and interest, at a rate of 15% per annum on the universality of its movable, corporeal or incorporeal property, present and future, wherever they may be.

Shipping Policy• adidas Group will attempt to ship all orders on

requested shipping dates, and holds the right to ship plus or minus 15 days; however, should situations result in delay, non-delivery, early delivery or partial shipments to the actual ship date, adidas Group will not be held responsible or liable. All orders are subject to adidas Group’s acceptance at its Head Office in Woodbridge, Ontario.

• No deductions are allowed for freight or parcel post on back orders. We normally ship the bulk of your order at one time and back ordered merchandise will be shipped as soon as possible thereafter. All back orders are cancelled after two months unless otherwise instructed by the Retailer. Partial shipments may be made and orders will be considered complete if the Supplier is unable to deliver the entire order. In such event, the Retailer waives its right to claim a reduction in price or cancellation of sale.

Freight Policy• All orders will be shipped F.O.B. adidas Group shipping

point, buyer’s risk in transit and will be shipped via means determined by adidas Group unless specific instructions are agreed to in writing.

Shortages• adidas Group is not liable or responsible for loss or

damage in transit. Shipments should be carefully checked upon delivery for total carton count and condition. Any shortage or evidence of damage must be noted on carrier’s delivery receipt and reported to the local carrier office. Discovery of shortages in unopened containers that can be attributed to picking/packaging errors must be reported within ten (10) days of receipt of merchandise.

Defective Merchandise

Authorized Returns• All returns must be authorized in advance by adidas

Group and must be received in resalable condition. All returns require a return authorization number issued by adidas Group. Returns shipped to adidas Group without a return number will not be accepted.

Consumer Warranty and Dealer Replacement Policy

• adidas Group products are warranted only to direct commercial Retailers against manufacturing defects in workmanship and material under normal use and maintenance for 6 months from the date of purchase, or as otherwise indicated in Brand specific warranty information. adidas Group reserves the right to inspect products alleged to be defective for evidence of misuse or abuse and to determine whether in adidas Group’s sole determination a repair or replacement, if any, of the defective product is due. The liability of adidas Group under this warranty shall be limited to repair or replacement. In no event shall adidas Group be liable for special, incidental or consequential damages whatsoever. Seller has made no other representations or warranties, expressed or implied, as to any matter whatsoever; and there are no implied warranties of merchantability or fitness for a particular purpose.

Retail Prices• Any reference to retail pricing by adidas Group is

suggested price only.

Diversion of Merchandise• To enhance informed selection and promote product

image, adidas Group only sells to selected retail outlets on the express condition that such outlets may not resell to any person or entity who is not also the final user or consumer. Furthermore, the transshipment or any form of diversion of product for the purpose of resale to any location not expressly authorized by adidas Group is likewise prohibited. Such activity may subject the violator to termination and constitutes a breach of the contract of sale for which adidas Group may seek the appropriate legal remedies, including monetary damages or injunctive relief. Under such circumstances adidas Group also reserves the right to cancel orders previously accepted and to require the return, at such reseller’s expense, of any diverted merchandise.

• Product from adidas Group is provided to Retailer by virtue of our License Agreement with adidas AG, the trademark owner. Export of this product outside of Canada is strictly prohibited and is subject to legal action.

Selling of Product• Retailer is authorized to sell Products from its

established, permanent retail outlet(s) only. The sale of Products through the mail, by catalogue, by temporary or transient retail locations, through any electronic means (including the Internet and/or on-line) or by any means other than at an established, permanent retail

outlet, must meet our established criteria and be pre-authorized in writing by adidas Group President, Vice President of Sales or Director of Sales.

E-Commerce Based Sales• Express advance written permission must be received

as approval prior to launching of any E-Commerce initiatives involving adidas Group product. Such permission shall not be unreasonably withheld.

Supply of Product

Change in Business Conditions• All terms of sales are subject to the continued normal

business operations of both adidas Group and the Customer. In the event of any of the following circumstances, with written notice to the Customer, under the reasonable judgment and at the sole discretion of adidas Group, all terms of Sales Coverage Programs may be modified or discontinued with immediate or retroactive effect:

a) If the Customer changes ownership or control, demonstrates financial difficulty (default, reorganization, bankruptcy, insolvency, dissolution), changes business operating strategy (channels of sales, and the size, type and location of store(s)), commences competition with adidas Group or breaches any of the agreed Sales Coverage Programs Terms and Conditions;

b) If adidas Group changes control, ownership or affiliation with any other company;

c) In the case of Insurrection, Natural Disaster, National Economic Crisis or other significant event of such magnitude as to cause reconsideration of all terms in the future conduct of business between adidas Group and the Customer.

Ethical Workplace Practices• The adidas Group and its brands have business

relationships with manufacturers in many countries around the world. Outsourcing our production in no way absolves us of moral responsibility for the way our products are manufactured and the conditions they are produced under. Recognizing this responsibility led us to create a set of guidelines for our suppliers that set minimum social, environmental and health and safety standards we expect them to achieve. We call these our “Workplace Standards”. These “Workplace Standards” as well as adidas Group’s compliance and our global policies with regard to our high levels of ethical workplace practices can be viewed at: http://www.adidas-group.com/en/sustainability/welcome.aspx

Brand Protection• adidas Group trademarks, logos, trade names or trade

dress are not to be used on any products other than genuine adidas Group products as manufactured and delivered by adidas Group. Retailers shall not make, sell or offer to sell products that infringe on adidas Group’s or others’ intellectual property rights, including patents,

trademarks and copyrights. It is expressly forbidden for adidas Group retailers to sell products bearing counterfeit marks or products that are confusingly similar to adidas Group generally referred to as “clones” or “knockoffs”. adidas Group reserves the right to refuse to deal and to refuse to deal further with a retailer that infringes on the intellectual property rights of adidas Group or others.

Confidentiality• Unless adidas Group consents to the contrary or as

otherwise required by any applicable law, the customer must keep all adidas Group Confidential Information confidential and take all necessary steps to preserve the confidentiality of the adidas Group Confidential Information. “adidas Group Confidential Information” is any and all information or materials in any form in the possession of, under the control of or otherwise accessed by the customer or any of its officers, employees, agents or contractors in connection with or arising from these trading terms and which relate to:

a) These trading terms (including the provisions of these trading terms); or

b) Any of the operations, dealings, intellectual property rights and other affairs of any member of the adidas Group, but excludes information which:

c) Is or becomes part of the public domain through no act, failure to act or default of the customer;

d) Was supplied to the customer without restriction by a third party who was under no obligation to any member of the adidas Group to maintain such information in confidence.

Booking Order Cancellation Restriction• adidas Group reserves the right to cancel booking

orders that are one (1) month past the requested ship date, excluding back orders. Exceptions must be confirmed in writing by the authorized level of management personnel.

Additional Information• In the event of any dispute, the applicable law with

respect to enforcement and interpretation in this and any other ensuing agreements entered between the Retailer and adidas Group, shall be the laws of The Province of Ontario.

• Notwithstanding any statutory enactment to the contrary, we shall be considered as doing business in the Province of Ontario.
