Omnitracs, LLC and its authorized agents and representatives acting within the scope of their authority (“Omnitracs”) are hosting the Omnitracs Outlook Conference 2020 (“Conference”), from February 16, 2020 through February 19, 2020 at Caesars Palace in Las Vegas, Nevada. Exhibitor, as used in these rules, means any person or company exhibiting at the Conference (“Exhibitor”). Signing the attached Sponsor-ship Agreement constitutes Exhibitor’s acceptance of the following provisions and is conditional upon your continued acceptance of and compliance with the following provisions.CODES AND AGREEMENTS – Exhibitor hereby agrees to be bound by the Rules and Regulations of the Conference, and all amendments thereto. Exhibitor further agrees to adhere to and be bound by: (a) all applicable fire, safety, utility and building codes and regulations; (b) any rules or regulations of the facility where the Conference is held; (c) the terms of all leases and agreements between Omnitracs and any other party relating to the Conference.ASSIGNMENT OF SPACE – Omnitracs reserves the right to change location assign-ments at any time, as it may in its sole discretion deem necessary without notice. No space will be assigned until the Sponsorship Agreement and payment in full has been received and accepted by Omnitracs.PAYMENT – The cost of each exhibit, event, add-on and package is as indicated in the attached Sponsorship & Exhibitor Prospectus. Full Payment must accompany the Sponsorship Agreement to reserve exhibit space.EXHIBIT PERSONNEL – All exhibit personnel must be a registered attendee. Omni-tracs does not offer partial registrations.EQUIPMENT – All equipment shall be provided by Exhibitor at Exhibitor’s own ex-pense. Exhibitor shall make arrangements for shipment, delivery, receipt and storage of materials.FIRE PROTECTION – All draping and decorative materials used by Exhibitor shall be flameproof. All equipment shall be in keeping with and consistent with all rules, codes and regulations referred to under Codes and Agreements above. Exhibits not conforming to the outlined specifications, or which, in design, operation, or otherwise are objectionable in the opinion of Omnitracs, will be prohibited.INSTALLATION AND DISMANTLING – All exhibits must be erected and ready for viewing by the earlier of (a) two hours prior to the date and hour announced as the opening of the Conference or (b) the official inspection time announced by Omni-tracs. Omnitracs reserves the right to engage labor on behalf of Exhibitor, if in the opinion of Omnitracs, Exhibitor is unlikely to meet pre-designated deadlines. Exhibitor promises to pay promptly any invoices for such labor. Goods received by Exhibitor after the Exhibition opening must be delivered to the official decorator or exhibit hall manager, whom shall be designated by Omnitracs, and set up during times when the Conference hall is closed. Exhibit materials and displays may not, without approv-al by Omnitracs, be removed from the exhibit hall until the hall has been officially closed. The deadline for clearance of materials from the hall will be indicated in the official exhibitor’s service manual provided by Omnitracs and will be enforced. It is Exhibitor’s responsibility to have display dismantled, packed, identified and cleared for shipment by such time.EXCLUSION OR REMOVAL OF THE EXHIBITOR’S PROPERTY – Omnitracs reserves the right to remove from the hotel or Conference hall premises any or all of the property of Exhibitor should the Conference be canceled or relocated or should the Exhibitor violate any of the conditions of the this agreement. Omnitracs shall have the right to exclude, remove at Exhibitor’s expense, or to require modification of any display or demonstration, which, in its sole discretion, considers unsuitable to or not in keeping with the character of the Conference. If Exhibitor refuses Omnitracs’ demands, Omnitracs reserves the right to exclude or remove, at Exhibitor’s expense, the entire display or demonstration. Omnitracs assumes no liability for damage to said property or obligation to return Exhibitor’s exhibit payment or any part thereof.DEFAULT OCCUPANCY – Failure to occupy space contracted for shall not relieve Exhibitor from the obligation of paying for such space at the full rental price, and Omnitracs shall have the right to use such space as it sees fit to eliminate blank space in the Conference hall, provided such exhibit space is not set-up and occupied two hours before the official Conference opening.LIABILITY – The relationship between Omnitracs and Exhibitor shall be that of inde-pendent contracting parties and this agreement shall not be construed as creating a partnership, employer-employee relationship, joint venture or agency between Omnitracs and Exhibitor. Omnitracs employees, members, service contractors, and agents are not responsible for the safety of the Exhibitor from theft, fire, accident, vandalism or other causes. Any protection to persons or property provided by Omnitracs including but not limited to provision of security watchmen and other pre-cautions that Omnitracs may take to protect property during installation, exhibition periods and removal, shall be deemed purely gratuitous and shall not give rise to any duty by Omnitracs or any liability on its part. Omnitracs shall not be liable for the fulfillment of this agreement as to delivery of space, if non-delivery is due to any one of the following causes: destruction of or damage to the building or the Conference area by fire or act of God; acts of public enemy; strikes; war or war-like conditions; terrorist attacks; the authority of the law; or any cause beyond Omnitracs’ control. Omnitracs will, however, in the event it is not able for any of the above named causes

to complete Omnitracs’ duties, reimburse Exhibitors for any exhibit rental fees to be determined at Omnitracs’ sole discretion.PHOTOGRAPHY AND VIDEO RELEASE - Exhibitor grants permission to Omnitracs for the rights of Exhibitor image, likeness and sounds as recorded on audio or video during the Conference without payment or any other consideration. Exhibitor under-stand that Exhibitor’s image may be edited, copied, exhibited, published or distributed and waives the right to inspect or approve the finished product wherein such likeness appears. Additionally, Exhibitor waives any right to royalties or other compensation arising or related to the use of Exhibitor’s image or recording.INSURANCE - All property of the Exhibitor will remain under Exhibitor’s custody and control during transit to and from and within the confines of the exhibit hall, Exhibitor must maintain minimum insurance coverage for the following types of coverage: general liability insurance with limits not less than $2,000,000 per occurrence, cover-ing liability for personal injury, property damage, liquor liability, and automobile liabil-ity, as well as Workers Compensation insurance per applicable laws and Employers Liability insurance. Upon written request, Exhibitor shall make evidence of coverage available to Omnitracs. TAXES AND LICENSES. Exhibitor shall be responsible for obtaining any licenses, permits, or approvals required under local, city, state, or national law applicable to Exhibitor’s activity at the Conference, including licenses to use music or other intellectual property. Exhibitor shall be responsible for obtaining any tax identifica-tion numbers and paying all taxes, license fees, use fees, or other charges that may become due to any governmental authority concerning Exhibitor’s activities related to the Conference.INDEMNIFICATION – Exhibitor agrees to indemnify, hold harmless and defend Omni-tracs, Omnitracs’ officers, directors, employees, agents or assigns, from and against any and all liability, loss, cost or expense, including reasonable attorney fees arising of any nature under contract from the activities of the Exhibitor.CANCELLATION OR RELOCATION OF EXHIBITION – In the event that the Exhibition is postponed due to any occurrence not caused by the conduct of Omnitracs or Exhibi-tor, whether such occurrence be an Act of God or the common enemy or the result of war, riot, civil commotion, terrorist attacks, sovereign conduct, or the act of conduct of any person or persons not party or privy to this Lease, then the performance of the parties under this agreement shall be excused for such period of time as is reasonably necessary after such occurrence to remedy the effects thereof, and in any event for the duration of such postponement. In the event that such occurrence results in cancellation of the Exhibition, the obligations of the parties under the Lease shall be refunded to Exhibitor, less a pro rate share of expenses actually incurred by Omnitracs in connection with the Exhibition.CANCELLATION OF EXHIBIT SPACE – Exhibit space may be canceled by the Exhibitor up to December 18, 2019 (60 days prior to Conference start date). All cancellations must be in writing and an original document delivered to Omnitracs by 5pm CT on December 18, 2019. A refund of all sums, less a $500 service fee, will be made. No refund will be made if cancellation is received after 5pm CT on December 18, 2019. In the event of cancellation by Exhibitor after December 18, 2019, Omnitracs shall have the right to rent the space to anyone else, without obligation to return the amount already paid, and the right to retain such amount as liquidated damages.CONFERENCE HALL ACCESS – Omnitracs’ Conference is not a public show. Omni-tracs will have sole control over the admission to the Conference area of all persons including Exhibitor personnel and/or registrants. All persons visiting the Confer-ence area will be admitted according to authorized representatives of Omnitracs. Omnitracs makes every effort to attract the maximum number of attendees to the Conference, but does not guarantee specific volumes or levels of attendance. Traffic by a specific exhibit is a function of the particular exhibit and not a responsibility of Omnitracs.USE OF SPACE – All demonstrations, sales activities, and distribution of circulars and promotion materials must be confined to the limits of the exhibit. Exhibitor shall not assign, sublet or share the space assigned, nor display articles or materials not man-ufactured or sold normally by Exhibitor without prior written consent of Omnitracs.RESERVED RIGHTS – As between Exhibitor and Omnitracs, Omnitracs reserves the sole and exclusive right to sell or serve on, in, or about the Conference any alcoholic beverages, soft drinks, food, souvenirs, or other merchandise, and no food or bever-age, samples or otherwise, may be served or distributed by Exhibitor without the prior consent of Omnitracs. Omnitracs likewise reserve the right to eject any objectionable persons from the Conference hall that has not received Omnitracs’ consent. Any such person so ejected shall be deemed to have waived any right and all claims for damages, reimbursement, or reinstatement, against Omnitracs and its respective agents and employees.GOVERNING LAW – This agreement and performance hereunder shall be governed and construed in accordance with the substantive laws of the State of Texas.CONFIDENTIALITY – All information provided by Omnitracs at and in relation to the Conference is confidential and proprietary information.
