1. Introduction
SEP is a German backup and disaster recovery software vendor. SEP sesam is an ideal Enterprise Backup- & Recovery-
Software solution for Data Centers and Managed Service Providers. Customers around the world in over 50 countries trust
SEP’s software and its security, as well as, its reliability to perform the most demanding tasks to protect and maintain their
IT-infrastructure.
SEP sesam works on almost any OS platform and functions in physical, virtual and cloud environments as well as delivering
solutions for heterogeneous multi-OS and multi-application environments. SEP offers one of the most complete solutions in
the backup and disaster recovery area with the most hypervisor protection of any major backup software vendor.
The goal for the new SEP MSP offering is to provide Managed Service Providers and Data Center companies an ideal tool to
provide their customers with a service that can offer long-term contractual relationship with different levels as needed by
both the MSP and customer. SEP’s “Backup as a Service - BaaS” offering delivers a broad and wide ranging solution for the
customers of service providers to both maximize income while delivering the best possible service.

2. Usage Scenarios of SEP Managed Service Provider (MSP) Licenses
2.1. Installation Situations
SEP MSP licenses can be implemented in several ways. The SEP MSP license includes the right to offer backup services,
support and consulting as a full implementation of BaaS. All available functions and modules are available in the SEP license
model. The use is extended to the MSP and includes a legal rental agreement that the MSP can pass on to their customers.
The MSP provides a BaaS service offering for the IT-infrastructures of their customers or the MSP offers backup services for
their IT-infrastructure used by their customers. This also includes the transfer of data to the MSP’s IT-infrastructure. Please
observe the following restrictions and qualifications:
The complete backup hardware (backup server, disk pools, tape libraries etc.) will be exclusively used by the MSP.
The installed backup hardware will be used by the end customer within the conditions stipulated in the contract over a
monthly, quarterly or yearly payment schedule but will not be administered by the customer.
SEP MSP licenses may be installed on backup hardware of both the MSP and the end customer. SEP sesam Remote Device
Servers are to be used as data collectors and replication nodes, as well as agents and database modules used to backup
end customer data, may also be installed on end customer system environments.
In the event that an end customer has an existing SEP sesam installation, the MSP may include the existing SEP licenses
into the range of services offered. It is permissible for the MSP to link these SEP licenses to the MSP‘s backup server or
to switch the customers’ SEP backup server license to the MSP‘s license model. The customer environment is then 100%
converted to the MSP‘s licenses/volume and, therefore, becomes part of the MSP license. In this situation, the end customer
will no longer be required to pay for maintainance. However, the end customer can, at any time, revert to the old license
model by paying a small reinstatment fee and the applicable maintenance costs.

3. License Models
SEP AG offers different MSP licensing models. Either based on server/components and volume pricing. With a clear counting
and settlement procedure a continuous transparency is ensured. SEP MSPs’ are given control on the licenses used and can
calculate with predictable costs.
The MSP license models are charged monthly, according to the actual use. For the use in a multi-client environment up to
25 SEP sesam backup servers are included in one MSP base license to allow the physical separation of customer data. The
backup can be performed on any supported media. The entire functionality of the SEP Si3 Deduplication and Replication
technology is also included in the base license. Si3 is the basis for any SEP sesam based concept for a backup to a remote
data center/cloud, offering maximum flexibility for an easy introduction to BaaS offerings.

Counting Front Side Data Volumes: SEP Volume Licenses are based on the amount of the source data to be backed up. The greatest volume for all scheduled
backups is counted, as long as they are to be kept backup media managed by SEP (retention policy). This concept allows the
User to select various backup methods. Since this enhances both data security and availability it is possible some strategies
will require extended back up space. In the event, for example, image backup was made on the hypervisor, and another backup
was made on the physical database the required space will be doubled. The actual data is counted before deduplication or
encryption.

3.4. SEP MSP-CL (SEP sesam MSP Classic License)In the classic license model all systems that will be backed up are counted. This includes both physical and virtual machines,
agents, databases and applications. The backup data volume is not counted.
SEP MSP-CL offers the MSP a monthly billing method for per physical or virtual system and for the corresponding databases
and applications. These are divided into two categories: level 2 and level 3 agents.
The MSP Classic License is ideal for actual control of the systems to be backed up if the customer has rapid data growth.

In the event the maximum number of systems and level 2/3 agents exceed the basic license fee per month, all additional
managed systems, or other options like databases and applications will be added to the monthly billing of the basic license
fee.
When purchasing the basic license, 3 months will be invoiced for the first quarter - payable at contract signing. After the first
quarter all payments are to be made monthly and are due on the 1st of each month.

3.5. SEP MSP-VL (SEP sesam MSP Volume License)In the SEP volume based license model the actual backed up data from a full backup will be counted (front side data volume).
Multiple weekly full backups will only be counted once. The number of systems, e.g. physical or virtual or which databases or
applications are to be used, will have no impact on the invoiced amount. The volume based license includes agents for both
physical and virtual system environments.
SEP MSP-VL offers the capability to invoice on a monthly basis for the data volume actually backed up. In this model the
front side terabyte data is counted. The MSP-VL license includes an unlimited number of backup clients, hypervisors, backup
targets (disk, tape, tape libraries), Si3 Deduplication and Replication technology and bare metal recovery solutions (BSR), as
well as an unlimited number of agents and application modules (level 2 and level 3).
The SEP MSP-VL license is ideal for the exact control of the data volume to be backed up along with a rapid growth in the
number of systems and at the same time the permanent counting is to difficult or time consuming.

In the event the maximum number of TB’s exceed the basic license fee per month, all additional TB’s will be added to the
monthly billing of the basic license fee.
When purchasing the basic license, 3 months will be invoiced for the first quarter - payable at contract signing. After the first
quarter all payments are to be made monthly and are due on the 1st of each month.
4. License Reporting, Accounting & Term of Contract
4.1. License Reporting The MSP commits to a monthly review of the installed SEP MSP licenses and will send a monthly license report. This report is
to be sent in writing via email to the address [email protected] on the 1st day of the following month.
The MSP infrastructure can be backed up with the MSP license, but it will be counted as a normal usage.
4.2. AccountingThe accounting is based on the SEP MSP Pricelist and is carried out on the 1st of the following month.
To keep accounting easy it is suggested to set up a debit advice procedure payable on the 15th of each month. Therefore, SEP
provides a direct debit form for MSPs that needs to be completed, signed and sent back to SEP in original.
Other payment methods can be arranged upon mutual agreement with a SEP sales representative.
4.3. Term of ContractThe SEP MSP model also offers maximum flexibility regarding the term of contract. The initial MSP contract will be at least 12
months. In the event the contract is not cancelled 3 months before the contract ends it will be extended automatically for 12
more months.
5. MSP Support Agreements
The MSP agrees to attend regularly at SEP training sessions to keep the quality of SEP sesam installations and the support
call processing at a high level. To this end we recommend obtaining the corresponding SEP technical trainings. The MSP basic
license includes 2 days on site or remote installation support form SEP specialists. This is intended to insure that the initial
implementation is done both correctly and expeditiously and that the MSP obtains an accurate picture of a best practice setup
of SEP sesam.
In addition the following SEP trainings are recommended:
SBA – SEP sesam Basic Administrator Training (2-day training)
SCA – SEP sesam Certified Administrator Training (3-day training with certificate)
The MSP individually selects which SLAs to offer his customers and how he refines its additional services.
After the initial error analysis the MSP is entitled to the 24x7 2nd and 3rd level support provided by the SEP hotline. This
standard service is included under paragraph 3.1. and 3.2. of the MSP license.
If desired, individual SLAs with additional terms and conditions can be arranged through SEP for a MSP. Understandably, SEP
does not manage any MSP environment.

6. Consulting
From experience we recommend between 2-5 man days of SEP consulting prior to the installation of SEP sesam in MSP
environments. Topics for discussion and clarification include architecture consulting topics like backup infrastructure, backup
strategies, replication rules, roll-out scenarios, restore scenarios and development of special scripts.
7. MSP Contracts
A signed MSP contract is the foundation to use the MSP license and is not related to or dependent upon previously signed
agreements between SEP and the MSP. In the event more MSP models are agreed to, additional license agreements will be
required.
The contract requires correct and proper license reporting. SEP reserves the right to audit the actual usage of MSP licenses
purchased and reported. The MSP is required to retain and secure all SEP log-files.
8. Advertising and Promotion
The MSP may freely advertise his services enabled by SEP sesam. This is not only authorized, but it is highly recommended.
It is suggested to attain the SEP SBA and SCA certifications in order to highlight the MSP’s expertise and use this a a
competitive advantage.
