vii) Where the described modifications or amendments aremade, these shall take precedence over any conflictingprovision of the Principal Building Agreement orPreliminaries, and the Tenderer shall make any allowancethat he considers necessary for any costs that he may incurin the observance of the clause as modified or amended.

Where design is carried out by the Contractor, he shallcomplete the Design Indemnity in the form set out herein,in respect of such work. This requirement shall applyequally to Selected Sub-contractors.

5 Employer's agents

The employer shall appoint an architect as principal agentand as architect

The architect shall notwithstanding anything to the contrarycontained in the Principal Building Agreement beresponsible for the architectural design, functional design,primary design coordination and for quality control. Thisprincipal agent/architect shall be registered in terms of theArchitect's Act of 1970 or the consortium so named in theschedule and shall comply with the terms of theaforementioned act

The principal agent/architect shall:

- monitor and control progress and scheduling

- monitor all contract conditions, and

- coordinate the efforts of the employer's agents,

the contractor and subcontractors

The powers conferred on the principal agent in terms of thisclause and/or the exercising of these powers shall not beconstrued as removing or diminishing any of the obligationsof the Contractor in terms of the Principal BuildingAgreement, whether financial, contractual or otherwise, norshall the exercising of these powers create any privity ofcontract as between the Employer or his agents on the onepart and the Contractor or subcontractors or suppliers onthe other part

The principal agent reserves the right to attend andparticipate in all contractor/subcontractor's meetings, toinvite other employer's agents to attend such meetings athis discretion and to converse and chair any such meetingsif the contractor is derelict in his duty in arranging suchmeetings to the degree of frequency andcomprehensiveness dictated in the opinion of the projectmanager by the circumstances and exigencies of theconstruction process

6 Site representative

The Contractor shall not make any change to themanagement of the works without the Principal Agent'swritten approval.

Should the Principal Agent consider that the Contractor'srepresentative appears to be incompetent, or act in anuncooperative or improper manner, he may instruct thattherepresentative be removed from the Works and be replacedby a competent and cooperative person to the PrincipalAgent's satisfaction.

7 Compliance with regulations

The Employer reserves the right to pay any service chargeto the service provider directly. Clause 32.4 shall not applyto such payments.

15 Preparation for and execution of the works

Whilst the Quantity Surveyor may, with the Tenderer'sconsent, make such reasonable adjustments to rates,extensions and casts as he considers appropriate prior tothe final acceptance of the tender, the tender amount mustremain unaltered. If any items are unpriced it will beassumed that allowance has been made in other items tocover the cost.

16 Access to the works

Should, however, the Contractor cause any professionalteam member to further attend to defective work, whichshould have been made good after a previous inspection ofsuch work or, in the opinion of the Project Manager,following lack of proper or diligent execution of the works,then the Contractor shall be liable for the cost incurred bysuch attendance.

Only the Quantity Surveyor, acting with Project Managerare empowered to resolve cost aspects of any matterpertaining to the Contract.

18 Setting out of the works

The contractor shall notify the Project Manager if anyencroachments of adjoining, building, stuctures,boundaries, etc. exist in order that the necessaryarrangements may be made for the rectification of any suchencroachments. Item

21 Selected sub-contractors

Clause 21.10: After "21.9", insert "another selectedsub-contractor shall be selected and employed by theContractor subject to the approval of the Principal Agentand"

Written proof is required from subcontract tenderers attendering that they can meet the JBCC SelectedSubcontract Agreement or other tender agreements andprovide security in terms of the agreement. If the above isnot provided the tender may not be accepted

All amounts allowed under Provisional Amounts areintended to be awarded to Selected Subcontractors

22 Work by Direct Contractors

The Tenderer is advised that during the progress of theWorks, the Employer may instruct certain works by personscontracted directly to himself. The Contractor shall berequired to afford such "direct contractors" the necessaryco-operation, and access to the Site for the purpose ofexecuting their works.

The Employer will enter into direct contracts, and theContractor will be required - at no additional charge - toparticipate in the co-ordination of such contracts with thePrincipal Agent, and liaise with such contractors, andprovide reasonable access, information, etc., to facilitatetimeous completion of the Works. The Employer willendeavour to ensure that such contractors operate only inareas, and at times convenient to the Contractor.

Clause 29.1.1: Inclement weather. Should work be delayeddue to exceptionally inclement weather, the followingprocedure is to be adopted:

i. Once rain commences on Site and work is stopped, theContractor shall immediately advise the Principal Agent, andensure that the duration (in hours) is recorded in theminutes of the succeeding Site Meeting, if approved by thePrincipal Agent.

ii. Stoppages recorded late (in later meetings), shall not beaccepted as a basis for the granting of extensions of time.

iii Extensions of time is granted only for work on the criticalpath on regular working days, Mondays to Fridays -excluding holidays. "Critical path" is defined to include onlywork that is critical at the time of the event/s and notnecessarily in accordance with the original Programme.

Should the Contractor consider that he will be unable tomeet the Project completion date due to any to any causewhatsoever, he shall give notice to that effect (statingreasons in writing) within seven calendar days of thecause of such delay first becoming apparent. Failureto do so will nullify any reimbursement that may havebecome due to the Contractor in terms of any programmeacceleration or extension of time, granted. This shall beread together with clause 29.4.3 of the Principal BuildingAgreement. The notice period is varied by this note.

PAYMENT

31 Interim payment to the Contractor

Notwithstanding this or any other clause, payment forunfixed materials on or off the Site shall be at the solediscretion of the Principal Agent.

Notwithstanding this or any other clause, materials andgoods stored off site shall not be included in the amountauthorised for payment, without provision of a guaranteefrom a bank or financial institution in a form approved bythe Principal Agent.

Replace "within 7 (seven) days ... stated in schedule" with"within 14 (fourteen) days from date of Certificate."

Clause 31.9: Amend to read: "The Employer shall pay tothe Contractor the amount certified within thirty (30)calander days of the date of issue of the Payment Certificate. Payment shall be subject to the Contractor givingthe Employer a tax invoice for the amount due within therelevant period for payment.

Clause 31.10: Delete the word "practical" and insert theword "final" in the first and second sentences.

No qualification in respect of fluctuations in cost in respectof labour, plant, materials, preliminaries, etc., will beaccepted. All fluctuations in costs - inter alia -of labour,materials, taxes (excluding Value Added Tax)exchangerates, transport charges, plant, overheads, etc., after theclosing of tenders shall be to the contractor's account.

Rates tendered shall remain fixed irrespective of anyfluctuation in the value of the Works, and shall remain sofor the duration of the Contract, and also for any extensionof the Contract Period granted by the Principal Agent.

The Tenderer is to submit a fixed price (not subject toescalation calculations) based upon the Programme statedherein, and allowing for the commencement of suchprogramme to be delayed by a maximum of a further thirty(30) days.

The employer shall, however, pay interest to the contractorat the rate stipulated in clause 34.11 on any amountspayable to the contractor more than one hundred and fortytwo (142) days after the date of issue of the certificate ofpractical completion but only for such period as thesettlement of the final account is delayed by thenon-performance of the principal agent or the employer orhis agents. Definition and interpretation (1)

42 Definition and interpretation

1. The work set out in these Bills of Quantities is provisionaland the quantities and specifications do not purport torepresent a final assessment of the work eventuallyrequired to be done. The quantities and specificationsherein have been set down solely in order to form a basisfor the obtaining of competitive tenders.

2. The Contractor shall be obliged, on instruction from thePrincipal Agent to execute such work as the Principal Agentin his sole discretion may consider necessary, whether ornot such work is reflected in these Bills of Quantities or theContract Drawings.

3. The value of work executed shall be determined by theQuantity Surveyor by applying, or with reference to, therates contained in the priced Bills of Quantities. The rates(or rates analogous to them) will be applied irrespective ofchanges to the scope or nature of the works instructed bythe Principal Agent; and no claims for extras, variations,loss of profits; the basis for which is the use of anyalternate method of pricing; will be entertained.

4. Provisional Sums, Amounts, or Prime Cost Amounts maybe replaced, reduced or omitted at the sole discretion of thePrincipal Agent, and no claim for loss of discount, profit,attendance mark-up percentage will be entertained.

Clause 5.3 shall be deemed to be amended by the additionof the following:

Shop drawings are drawings, illustrations, schedules,performance charts, brochures and other data which areprepared by the contractor or subcontractor, manufacturer,supplier or distributor and which illustrate some portion ofthe work

Shop drawings are deemed to include drawings, diagrams,illustrations, schedules, performance charts, brochures andother data which are prepared by the contractor, or anysubcontractor, manufacturer, supplier or distributor, whichillustrate some portion of the work

Submission of shop drawings:

The contractor/subcontractor shall prepare and submit athis own expense shop drawings of all fabricated work,working or setting drawings, shop details and schedules tothe principal agent for approval both by the principal agentand other agents (consulting engineers) where applicableand such work shall not be performed by the contractoruntil such approval has been given

The contractor shall present a complete schedule showingthe sequence and dates of submission or shop drawings aswell as the scheduled dates for approval of all drawings forall applicable trades and including inter alia mechanical andelectrical subcontractors. This schedule shall take intoaccount that the principal agent reserves a 14 day checkperiod from the date of the receipt of all shop drawingsand/or catalogue data

All submissions shall be on dates as indicated in the aboveschedule and sufficiently in advance to permit thecontractor to meet fabrication deadlines and no claim forextension to the contract time shall be granted thecontractor by reason of his failure in this respect. Unlessspecifically directed to the contrary, the submission andresubmission of shop drawings, setting drawings andschedules shall be in the form of one reproducibletransparency and one print. Checking and approval of shop drawings by contractor:

It is the contractor's responsibility to check all submissionsfor conformity with the contract drawings and specificationsand to correct any errors, omissions or deviations beforetheir transmission to the principal agent. All submissionsshall bear the contractor's dated stamp of approval asevidence that they have been checked and corrected

Any drawings and schedules of catalogues submittedwithout this stamp will not be considered by the principalagent and shall be returned

As soon as the principal agent has approved the drawingsthe contractor shall forward to the principal agent fiveprints of the approved shop drawings, setting drawings andschedules. The contractor shall also furnish to the works asmany prints of the approved shop drawings and schedulesas required. No work shall be performed from any shopdrawings and/or catalogues not stamped with the principalagents' approval and such stamped drawings and/orcatalogues shall be kept available at the site office asevidence of such approval

Approval by principal agent:

The contractor shall be responsible for dimensions, designof adequate connections, details for the satisfactoryconstruction of all work and the furnishing of materials orwork required by the contract even if not indicated on thesubmissions that have been approved by the principal agent

The principal agent shall check only for conformance withthe design concept of the project and with the informationgiven in the contract documents. The principal agents'approval of a separate item shall not relieve the contractorof responsibility for design, erection or installation fit of anassembly in which the item will function or for errors oromissions in the shop drawings. If the submissions differfrom the requirements of the contract, the contractor shallmake specific mention of each difference in his letter oftransmission, with a request for substitution, together withhis reasons for same in order that, if acceptable, suitableaction may be taken by the principal agent. 105 Guarantees Item

Where guarantees are called for, the contractor shall obtaina written guarantee, addressed to the employer, from thefirm supplying the materials and/or doing the work andshall deliver same to the principal agent on the certifiedcompletion of the contract. The guarantee shall state thatworkmanship, materials and installation are guaranteed fora specified period from the date of certified completion ofthe contract, and that any defects that may arise during thespecified period shall be made good at the expense of thefirm supplying the materials and/or doing the work, uponwritten notice from the principal agent to do so. Thisguarantee will not be enforced if the work is damaged bydefects in the construction of the building in which case theresponsibility for replacement shall rest entirely with thecontractor. The principal agent shall be the sole judge ofthe cause responsible for defects in the work and hisdecision shall be final and binding in terms of clause 40.2 ofthe agreement

106 Overtime

107 Daywork

Where in the opinion of the Quantity Surveyor any extrawork cannot properly be measured or valued, theContractor will be allowed daywork prices thereforcalculated upon the costs defined hereunder together withthe stated percentages. The total thus arrived at shall bethe total amount recoverable by the Contractor forperforming such work.

1. The costs to the Contractor or sub-contractor ofmaterials, being the net cost (at current marketprices) actually paid for such materials after thededuction of cash discounts or if materials aresupplied from the Contractor's or sub-contractor'sstock then the cost of such materials shall bebased upon the current market price plus the costof delivery to Site; to which net cost 7,5 % thereofshall be added.

2. The cost of labour to the Contractor orsub-contractor, being all items of direct cost oflabour actually remunerated to the workmenconcerned which shall include the cost of allallowances in terms of the Industrial ConciliationAct (where applicable) or any other wagedetermination applying in the area relating to theclass of labour concerned at the time when and inthe area where the daywork is executed: to whichlabour cost 7,5 % shall be added.

Hourly base rates for labour shall be the currentmarket rates for labour based upon standardworking hours and shall be applied in respect ofthe time spent by workers directly engaged on theparticular day works including any operatorsoperating mechanical plant and transport anderecting and dismantling other plant. If a claim ismade that individual workmen have been paidwages and allowances in excess of the minimumlegalized rates, then proof must be furnished thatsuch workmen had been so paid prior to thecommencement of the daywork referred to.

3. The rate for mechanical plant shall becommercial hire rates current at the time of becommercial hire rates current at the time ofexecuting the daywork and shall include fuel andinsurance costs.

108 Co-operation of contractor for cost management Item

It is specifically agreed that the contractor accepts theobligation of assisting the professional consultants inimplementing proper cost management. The contractor willbe advised by the principal agent of all cost managementprocedures which will be implemented to ensure that thefinal building cost does not exceed the budget. Thequantity surveyor undertakes to make available to thecontractor all budgetary allowances and costassessments/reports to enable the proper procedures to beimplemented and the contractor will attend all cost planreview and cost management meetings. 109 Variations

All variations for which the Contractor requirescompensation, shall be entered into the Site Instructionbook, signed by the Principal Agent, and copies thereofsupplied simultaneously to the Contractor and theQuantity Surveyor. Excepting emergency instructionsdenoted as such in writing by the Principal Agent, the costof all variations is to be agreed with the QuantitySurveyor in advance of, and as a condition precedentto execution thereof. Agreement of such costs will becarried out at weekly meetings (or when necessary), andthe time required to agree a variation price prior toexecution, will not be recognised by the Principal Agent asthe basis for anextension of time or any other claim interms of this Contract. No variation will be admitted by theEmployer unless this procedure has been followed. Item

110 Alternative Tenders

Tenderers are at liberty to submit alternative tendersamending the conditions of this Document. Suchalternative tender shall only be considered if thePrimary Tender (strictly in terms of the conditionsherein) is submitted without alteration to theconditions of this Document. The Alternative Tendershall be submitted on a duplicate of the Form of Tenderherein, together with the Primary Tender, and clearlymarked Alternative Tender. The acceptability of suchAlternative Tender conditions will be at the PrincipalAgent's discretion, and if unacceptable, may result inthe Alternative Tender being rejected. The PrincipalAgent shall be under no obligation whatsoever, toconsider Alternative Tenders, and may elect - withoutfurnishing reasons - not to do so at all.

111 Site Safety

The Contractor shall observe the recommendations of the National Occupational Safety Association and the Bifsa recommended loss control procedures, as well as the requirements of the Occupational Health and Safety (Act No 85 of 1993 amended by Act No 181 of 1993) (which replaced the Machinery and Occupational Safety Act (No 6 of 1983)).

Safety signage is to be used on site, to the satisfaction of the Principal Agent.

Accidents are to be reported to the Principal Agent within 30 minutes of their occurrence.

A first aid box is to be provided on site. The contents are to be in terms of the annexure to regulation 3 of the Regulations made under the Machinery and Occupational Safety Act of 1983 (GN R1031 of 30 May 1986, amended to GN 2245, 7 August 1992).

The Tenderer is advised to thoroughly inspect the existingbuilding as required in item 59 of section 1 - Preliminaries(Clause B3.11) to fully familiarise himself with the itemsdescribed herein, and any associated works that willreasonably be required to execute the works describedherein, before pricing this bill. The tenderers prices will bedeemed to include for any such associated work.

3. Should any ambiguity or query arise in this regard, thetenderer shall clarify same with the architect beforesubmitting his tender, failing which he will be deemed tohave made adequate provision in his prices.

Note:

All alteration work is to be performed in a safe, practical andworkmanlike manner and at all times a competent general foremanis to be in charge and shall direct operations. The contractor shallacquaint himself and comply with all requirements and regulations ofthe Municipal/Local authority.

Special care is to be exercised not to interfere unnecessarily withany electrical light, power, telephone or bell lines and fittings thatmay be encountered. Notice is to be given when disconnections orremoval of wires, etc., are necessary and the contractor is to affordevery facility to the electricians, etc. carrying out this work.

"Making good" existing work where disturbed or damaged shallmean the provision of the necessary new material to match theexisting and the necessary workmanship so that complete andperfect restoration is achieved to the satisfaction of the architect.

"Making good" existing work where abutting walls, etc., are removedshall mean the provision of the necessary new material andworkmanship in filling the gaps to match surrounding finishes so thata complete and perfect surface, is obtained to the satisfaction of thearchitect.

The rates for "taking out", "taking down", of windows, doors, etc.,from brickwork to remain are to include for making good all workdisturbed to match surrounding finishes.

The whole of the old materials arising from the alteration shallbecome the property of the Employer and shall be handed over tothe Employer.

Materials and articles described as "set aside for re-use" are to becarefully removed, stored and protected from damage before beingre-fixed in new positions. These materials are measured as atpresent fixed in the existing buildings and the contractor must allowin his prices for replacing with new any of these materials that maybe damaged when removing, etc., and for making up with new anyloss in quantity arising from the removal or re-fixing.

The remainder of the old materials such as concrete, etc., togetherwith all rubbish, rubble and debris are to be carted away orremoved, i.e. they are to be immediately removed from the sitewhich is to be left clean and unencumbered.

The contractor will not be permitted to use skips paid for by otherdirect contractors for the removal of old materials, but shall berequired to provide his own.

Prices for the removal of doors and frames shall included forremoval of fanlights, ironmongery, architraves and other associatedtrim.

Prices for the removal of sanitary fittings shall include for theremoval of copper service pipes, traps, brackets and cisterns.

GENERAL

1 The tenderer shall visit the site after carefully studying the drawings,and make himself thoroughly acquainted with the nature and extentof the work to be done and the value of any materials to become theproperty of the contractor. No claim for extras arising from hisfailure to do so will be entertained. Item

2 The contractor will be required to comply with the Employer'srequirements and the municipal by-laws in regard to the use ofjackhammers or other noisy machinery required in the demolitionoperations. Item

3 The contractor will likewise be required to comply with themunicipality's traffic requirements and the municipal traffic by-lawsin regard to the periods during which he may cart away or do anyloading or off loading of materials. Item

4 In taking down and removing existing work, the utmost care is to betaken to avoid any structural or other damage to the remainingportions of the building. Supply and erect suitable and substantialshoring, needling, strutting, barricading, etc., that may be necessarywhilst carrying out any portion of the alterations to ensure thestability of the premises during alterations, all to the satisfaction ofthe architect, and remove when directed. The contractor must alsoprotect all work not removed such as walls, floors, doors, windows,joinery, loose and fixed fittings, electrical appliances, etc., fromdamage during the progress of the work and provide all necessarymaterials for so doing. 5 The contractor is to carry out the demolition at all times is such away as will least inconvenience the adjoining building and thegeneral public. If any work to be demolished is against or connectedto adjoining floor area, he shall disconnect and demolish in such amanner as to leave adjoining area intact and undamaged. Item

6 The contractor shall provide, erect, maintain and afterwards removeall tarpaulins, fans, weatherproofing and dustproof screens and dropsheets or other methods of protection and provide any drains,trenches, etc., as directed or as may be necessary or as may berequired by the authorities to properly protect from damage to theworks, materials and property whether of the employer, otherowners or the general public, and secure the safety and freedomfrom injury of all persons. The contractor shall provide similarprotection to protect the inside of existing structures during theprogress of the work, taking particular care when existing roofs arealtered. Any damage caused by storms, surface water or water fromother causes or by inclement weather or by other causes shall bemade good at the contractors expense. Item

7 The contractor is to allow for watering the works with a jet or sprayfrom a hose, sufficient to prevent any nuisance from dust. Item

8 The contractor is to ascertain that all alterations are structurallypracticable and safe and he will be held solely responsible fordamage to any property whatsoever from injury to or death of anyperson whatsoever arising out of or in the course of or caused bythe execution of the works, and for the safety of the structurethroughout the whole of the contract, and must make good or causeto be made good at his own expense any damage that may occur, tothe satisfaction of the architect and shall pay all claims and expenseswhatsoever that may arise. 9 Prices for the demolition of any portion of the structure shall includefor its demolition complete with all surface finishes such as plaster,screeds, etc., all attached items of joinery such as skirting, etc., andall reinforcement, conduit, pipes, lintels, etc., built into that portionof the structure. 10 The contractor shall provide and erect all casings and protection forand cover up all existing fittings, doors, windows, joinery work,walls, floors, etc., not disturbed during the alterations and clearaway and make good on completion. Item

11 The contractor shall provide, erect and remove when directed allcasings temporary roof coverings, tarpaulins, dust covers andweatherproof screens and barriers that may be necessary asprotection against inclement weather or other damage to thearchitect's satisfaction. Item

12 The contractor shall provide, erect and remove when directed allincidental shoring, needling, strutting, etc., that may be necessarywhile carrying out any portion of the works to ensure stability of thepremises with suitable and substantial timber and other materials.Prices for all items of demolition to form openings shall include forthe provision of such support.
