On December Chairman Arthur Levitt made the following statement concerning an

NASD Board decision

The NASD Boards decision today to support greater disclosure of conflicts of interest by

analysts who make stock recommendations in print or on television is an important and

commendable step The Commission looks forward to developing rules with the NASD

and the New York Stock Exchange in short order that will establish fair and workable

disclosure regime that promotes public confidence

Knowing whether an analysts employer underwrote recommended stock or whether his

or her firm has significant position in recommended stock is important information

Investors deserve to know what possible incentives an investment services professional

may have in making particular recommendation This can only improve the credibility

ENFORCEMENT PROCEEDINGS

IN THE MATTER OF CHARLES KIRBY ET AL

An administrative law judge has ordered Charles Kirby Gene Geiger and Alfred

Peeper to cease and desist from committing or causing any violations or any future

violations of Sections 5a and 5c of the Securities Act of 1933 The judge rejected

Respondents arguments that they participated in offers to sell and sales of Golden

Eagle International Inc securities that were exempt from registration Based on

findings that Respondents violated Sections 5a and 5c Judge Murray barred Mr

Kirby and Mr Geiger from association with broker or dealer and from participation in

penny stock offering with the right to reapply after five years ordered Mr Kirby and

Mr Geiger to disgorge $31352.60 and $15202.48 respectively with prejudgment

interest and ordered Mr Kirby to pay civil penalty of $200000 and Mr Geiger to pay

civil penalty of $300000 Judge Murray dismissed the failure to supervise charges

against Edward Price who supervised Mr Kirby and Mr Geiger at Spencer Edwards

IN THE MATTER OF UNITED STOCK TRANSFER INC AND JOHN DONNELL

On December the Commission instituted public administrative and cease and desist

proceeding against United Stock Transfer Inc United registered transfer agent in

Englewood Colorado and its president John Donnelly Donnelly resident of

Highlands Ranch Colorado The Division of Enforcement alleges that from November

1991 through May 2000 United repeatedly violated various rules applicable to transfer

agents The Division also alleges that among other violations United failed to

turnaround items presented for transfer in timely manner ii maintain proper records

relating to letters of appointment routine items presented for transfer non-routine items

and turnaround time and iii maintain proper control book for each issuer and keep

each issue in balance The Division further contends that Donnelly willfully aided and

abetted United in these and other violations

The Commission instituted public administrative and cease and desist proceedings

against United and Donnelly collectively Respondents to determine whether the

allegations against Respondents are true and to afford Respondents an opportunity to

establish any defense to such allegations ii any remedial action is appropriate in the

public interest against Respondents pursuant to Sections 17Ac3 and 17Ac4 of the

Exchange Act iiipursuant to Section 21 of the Exchange Act Respondents should be

ordered to cease and desist from committing or causing any violations and any future

violations of Sections 17a3 17AdI and 1702 of the Exchange Act and Rules
