IntroductionThe following conditions apply to any sale in the absence of special agreements and/or conventions established and placed in writing with the Client.The approval of any order implies consequently the acceptance by the Purchaser, of the rules present on this catalogue and on any other document relating to Biogya S.r.l.In order to guarantee a high quality standard of its products, Biogya S.r.l. recommends to its Customers correct cultivation practices and adequate environmental and climatic information.
Article 1 - Orders and ShipmentFor bureaucratic reasons, orders less than 250.00 euro (excluding discounts, VAT and transport) will not be issued.In case of lack of availability of the product by Biogya S.r.l., delivery times must be agreed with the Purchaser and no penalty can be attributed to the producer company.The sold products are carefully checked before each shipment, for this reason Biogya S.r.l. is not liable for any damages or manipulations that occurred during transport. It is also recommended to the Purchaser to specify the exact shipping address, in order to avoid any errors caused by third parties; Biogya S.r.l. will not respond to such misunderstandings or delays.
Article 2 - Force Majeure CasesStrikes, earthquakes, fires, anomalous weather events, wars, and similar situations or events, that occurs in any company operating in our production processes are considered to be “force majeure” cases.In Force Majeure cases Biogya S.r.l. does not ensure adherance to the order agreed upon with the Customer.
Article 3 - Return of ProductBiogya S.r.l. does not accept the return of the product without any written agreement, whatever the reason.Any transport/shipment costs of returned product will be charged to the Customer.
Article 4 - PricesPrices are referred to in the latest Biogya S.r.l. catalog, VAT excluded. The price is inclusive of the product packaging and can undergo changes depending on the trend of the market.
Article 5 - PaymentsThe payment of goods must be made within thirty days from invoice date later this mounth, except for different agreements established in writing with the Customer. Failure to comply with this deadline wiil result in the automatic suspension of any order in progress with the Customer and the application of default interest.
Article 6 - WarranteeBiogya S.r.l. guarantees compliance on its products with the quality and safety standard levels provided by the international regulation in seed trading. Where qualitative characteristics, such as germination capacity and genetic purity, are not included in commercial contracts, will be applied the terms and tolerances indicated by the International Seed Federation (ISF) in the document: “ISF Rules and Usages for The Trade in Seeds for Sowing Purposes”

Article 11 - DisputesThe parties undertake to amicably resolve any dispute arising out of or otherwise connected with the general sale conditions and/or the individual contracts. In the event that the dispute event cannot be resolved amicably, the court nearby the Biogya S.r.l. registered office will be exclusively competent.
Article 12 - Applicable LegislationAll agreements between Biogya S.r.l. and the Purchaser are subject to Italian law. If the Purchaser is domiciled in a country outside Italy, the “United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) (CISG)” will be applicable, unless the current law is not derogated from these sales conditions
DisclaimersDescriptions, illustrations and recommendations provided in any way by or on behalf of Biogya S.r.l., including the information concerning resistances, correspond as much as possible to the test results and the practice experience gained by Biogya S.r.l., on its own and are provided for the purpose of giving general technical support and not as qualitative and quantitative connotations and/or condition of guarantee. Under no circumstances shall Biogya S.r.l. be held liable from the Purchaser for results that differ from the information provided. Local Pedo-
climatic conditions and cultivation practices can have a significant impact on the final result of the crop. The purchaser is solely responsible for determining whether the product is suitable for the cultivation that is intended to be carried out. Biogya S.r.l. provides this information to assist the purchaser and no type of warranty can be derived from such information.
In order to guarantee the quality conditions established, it is prohibited to calibrate, size, hide, pack or treat the delivered goods in any way. In addition the seed quality, the local pedo-climatic conditions, the culture technique adopted, and the pathogenic organisms can have a significant impact on the final result of the crop. The Purchaser is solely liable to determine whether the product is suitable for cultivation taking into account these conditions. Biogya S.r.l. provides technical information to assist the Purchaser, and no warranty can be derived from such information.
Article 7 - ComplaintsProducts are shipped from Biogya S.r.l. in sealed packages and customized by the company brand.The Purchaser shall inspect the products at the time of delivery or as soon as possible after this date. In the event of any defect the Purchaser shall communicate it in writing within 5 working days of delivery. In no case shall the type of complaint be accepted beyond the normal terms of analysis. The validity of a complaint shall be confirmed by a certificate of analysis carried out by an official station on samples taken in contradictory between the parties. Under no circumstances may the Purchaser return the products under dispute whitout written agreement with Biogya S.r.l.
Article 8 - Property rightsBiogya S.r.l. maintains its right of ownership on the delivered products until the Purchaser has fulfilled all its obligations towards Biogya S.r.l.The products delivered by Biogya S.r.l. can be sold and used only for ordinary operational uses.If the Purchaser should resell the products, he/she will be obliged to retain the reserve of the right of ownership in respect of his/her customers. In no event shall the Purchaser pledge the products or grant any other right to the goods.
Article 9 - Intellectual Property RightsThe Purchaser cannot, in its own name or in the name of its customers, deposit, register or more generally obtain any protection on the varieties, trademarks, logos, symbols, trade names, patents, domain name, “know-how”, drawings and models, Copyrights or more generally any intellectual or industrial property rights (Whether owned by the seller or different figures with exploitation rights). The reproduction and/or use of trademarks, logos, symbols and trade names as well as protected varieties is strictly prohibited without the express and written agreement of Biogya S.r.l.
Article 10 - Use (License) of ProductsThe Purchaser is obliged to enforce the provisions of this article also in the case in which he resells the products to third parties. The penalty will be a damage payment.The Purchaser shall not use, cause or permit the use of the Biogya S.r.l. products for any research, genetic or molecular analysis, tissue culture, seed reproduction (including any gamic and agamic method), diffusion/multiplication or any other purpose than cultivation or commercial production. The Purchaser is obliged to enforce the subject matter in this article even if he/she resells the products to third parties. A non-compliance penalty of this article is the payment of the related damages on his/her load.
