Appointment StatusYour appointment will be on contract initially for a period of 6 (Six) months from the date of yourjoining. This contract period may be renewed depending on your performance and the business inflowof our lT Remote Service Division.

During the contract period your service may be terminated at any time without assigning any reasonwhatsoever by either party giving the other 15 day's notice in writing or L5 day's fees in lieu thereof.

You will report to Chief Consultant / Senior Consultants. Your designation, place of posting, assignmentof job content, reporting relationship is liable to change from time to time at the discretion of theManagement. You will also have to work in rotation shifts as required.

You will appreciate that being in knowledge based organization. You will devote your whole time,attention, integrity, acquired knowledge to the well being and development of the Company and shallnot engage in or occupy yourself in any other work or take up any assignments/services of any otherorganization or individual or carry on any business of your own except with the prior written permissionof the Management

You are required to submit the following documents: 1. Xerox copy ofyour PAN card.2. Proof of your residential address.

TERMS AND CONDITIONS FOR CONSULTANT

SB3 SOFTWARE SOLUTIONS PRMTE LIMITED, a private limited company organised and incorporated under the

Companies Act, 1956, having its registered office at 46C, Jawaharlal Nehru Road, Everest House, Kolkata - 700 071 West

Bengal.

The Company is desirous of employing competent personnel with professional and technical expertise on its rolls and the

Consultant lras exp.essed his earnest desire and willingness to serve the Company in accordance with the terms and

conditions contained herein.

The Company intends to engage Mr,Barun Chakraborty s/o Dipak Chakraborty, aged24 years and having his residence at

Mashagram, -Bamunpara,

M-as-agrafiL Jamalpur, Burdwan 713401 , on the terms and subject to the conditions set out herein

below:

During the Tenure of Service to this Company on temporary basis, the Consultant shall, for the benefit of the Company,

providi Services (as designated by the Company) subject to the following terms and conditions:

1) The Consultant shall provide the Services (as designated by the Company), on temporary basis, as and u'hen

requested by the Company:

3) The Consultant shall use the infrastructure and equipments provided by the Company only for rendering the

Services (as designated by the Company) during period ofjob contract;

4) The Consultant shall report to the designated Manager (Manager) and shall keep the Manager fully infotmed of all

sieps and actions taken by the Consultant in the performance ofhis duties and/or obligations throughout the Consultant's

tenure of Consulting:

5) The Consultant shall in the performance of Services (as designated by the Company) throughout his,4rer tenure of

ionsulting, comply with and conform to the instructions or directions as given by the Company, time to time;

6) The Consultant agrees to exercise reasonable due diligence and profession skill and care in performance of all

duties and obligations (as designated by the Company) throughout his/her tenure ofConsulting.

j) The Company reserves the right to regulate the office hours as per requirement of the Company with prior notice.

g) The Company reserves the right to designate and assign the duties and responsibilities ofthe Consultant as per its

sole discretion,

9) On completion of the job contract period, the Company reserves the right to review the position ofthe Consultant

and take a final decision towardi the extension ofjob contract ofthe concerned Consultant. In this regard the decision ofthe

company cannot be subjected to any further scrutiny by the concemed consultant.

l0) The Consultant realizes, recognizes and has satisfied himselfabout his interest in the Consulting and has clearly

understood the limitations and objections in this regard.

1 1) The Consultant agrees and consents to abide by the rules and regulations ofthe Company as may be in force from

time to time.

12) The Consultant shall not be engaged in any other Consulting (under Government or non-government authorities)

or business for gain, rvhether permanent or temporary basis, throughout the Consultant's tenure ofjob contract, without

havi,g a $.ritten consent of the Companl, to that effect and shall devote full and undivided time to the activities of this

Conroany.

13) The Consultant shall owe the Company the highest degree ofloyalty throughout his tenure ofConsulting and will

never make secret profits at the Company's-expense, as well as will not accept kickbacks or special favours (in any form

whatsoever) from Customers or Competitors of this Company. Further the Consultant shall protect this Company's

properties

14) The Consultant shall not either during or after termination ofthejob contract with the company, give out to any

one by wo.d ofmouth or otherwise, the proprietary and confidential information ofthe company, that shall include but not

limited to all information, software(whether in object or source code), statistics, data, database, knowledge, trade secrets,

inventions(if any), products detail, know-how, formulae, processes, designs, drawings, charts, maps, concepts, ideas,

systems, project-p1ans, business plans, client details, security information, any other creation ofwhatsoever nature, kind or

description, Lrganizational matters pertaining to the company, which is communicated to or acquired by the Consultant or

which may be ihe personal privilege of the Consultant to know by virtue of being in the Consulting of the company, orally or

by use of any mejirm and might be of a nature not generally known to others, operating in the company's area of business

or otherwise in the public /heldomain, otherwise than as may be and to the extent required in performing the duties as

assigned to the Consultant or except with prior written approval of this company in that regard, unless required as per the

due process oflaw or in compliance to any order ofany competent court oflaw.

24)TheConsultantshallnoteng.age,,"l'up,p]9m{e,frnanleorinvestinabusiness,ventureolcompanywhichdealswith or offers, tnt t"*t it ti^ilar seriicis as that of the Company;

25) That the company is entitled to terminate any of its Consultants, in the event the Consultant commits breach oftrust or misconduct, for any reason whatsoever or fails to comply with any ofthe stipulations specified hereinabove.

26) Upon the termination ofthe Consultant's job contract with the Company for any reason, the concerned Consultantwill immediately deliver to the Company a1l correspondence, manuals, orders, letters, notices, notebooks, reports, programs,proposals and any documents and copies concerning the Company's customers or concerning products or processes used bythe Company and will promptly deliver to the Company any and all other documents or material containing or constitutingConfidential Information as well as all the electronic devices (if any) as provided by the company in the course ofConsulting.

27) That Consultants shall be engaged for a period of 1 (one) month forjob contract. h case thejob contract ofany ofthe Consultants, is not terminated in writing after the lapse of the said period, then it will be construed that his job contract isautomatically renewed for a further period of a month.

28) The Consultant's serrrices can be terminated at any time during.the job contract period or extended period, rvithoutassigning any reason by giving I 5 days notice, in writing, by the Company.

29) That the Cornpany may terminate any of its Consultant 2 weeks notice, if the Consultant, by his conduct, rendershimself incompetent to perform his,iher duties, (such incompetence to be determined by the Company), or if the Consultant isfbund to be dishonest. intemperate, irregular in attendance at rvork or otherwise guilty ofmisconduct or negligence.

30t ihe Consuitant shall indemnifi-, defend and hold the Company harmless from and against all or any damages,claims, penalties, fines, costs paid or incurred by the Company as a result of, arising from, or in connection with, or relatingto any breach or failure of performance (in whole or in part) by the Consultant of any obligation, covenant or agreementcontained in this Ageement.

31) The Consultant shall intimate the Company with regard to any change in contact details at the earliest without anyundue delay.

32) That the Consultant shall make himsell/herself iiable both under civil as well as criminal laws of the land in theevent the Consultant contravenes any of the terms and conditions as meted out hereinabove, which otherwise attracts suchlegal liability without any further reference to that effect.

I agree to the aforesaid terms and conditions as narrated hereinabove. I have understood the meaning and gravity of thecontents therein. I undertake that I will adhere to the said terms and conditions in its kue sense throughout my tenure ofjobcontract.
