Terms and ConditionsGENERALITIESAll our sales are submitted to the following Terms and Conditions. Anypurchase implies the full agreement of the buyer to these terms nomatter what the buyer’s terms are.The buyer’s terms and conditions arenot opposable to these conditions even if they are submitted beforehand.If one or several of the following conditions was cancelled or inapplicable,the other clauses would still be applied.The seller not mentioning or notusing these terms and conditions to the buyer at a given time cannot beconsidered as a renunciation to these terms at other times.The sellerpromises to make the buyer benefit from the favourable conditions whichcould have been applied to any other buyer for an identical order andwithout real counterparties.

ORDERAll orders, even the ones made through a phone call or telecopy, have tobe confirmed by a written confirmation. Any order has to contain thequantity, the references, the agreed price, the delivery place and date if thedelivery place is different to the address on the invoice. Any add up ormodification of the order is applicable only if the seller accepted it byissuing a written confirmation. If, for a previous order, the buyer did notsubmit to these terms (such as late payment), the seller may refuse todeliver the goods unless the buyer provides the seller with satisfyingguarantees or a payment beforehand. No discount can be given for apayment done before the delivery of the goods.

PRICEThe prices invoiced are the ones that were established on the day theorder was made on the basis pricing conditions applied.They are appli-cable for a maximum time of 3 months unless mentioned otherwise onthe invoice.

DELIVERYThe delivery is done following the stipulations mentioned on theconfirmation of order, subject to the respect of the payment modalities.The delivery time are always given according to the production time at thetime of the order and are given on an indicative basis.A late delivery forcircumstances that are out of the seller’s reach cannot be used as areason to cancel the order.The seller cannot be held responsible for anyincident resulting from late delivery.The seller cannot be held responsiblein case of force majeure or exceptional circumstances such as strikes,lock-outs, epidemies, wars, requisitions, fires, floods, accidents, transportissues or any other circumstances that could prevent the seller or itssuppliers from performing their work.The seller shall inform the buyer ofthe events mentioned above as soon as possible.Any late delivery due toforce majeure will lead to, according to the seller’s choice, the cancellationof the sale or a longer delivery time. In both cases, no party can requestpenalties.A delivery in time can only happen if the buyer has completed allof their obligations towards the seller.When the buyer picks up the goodsat the warehouse of the seller, the latter shall let the buyer know about adate when the goods will be available in writing.

CLAIMSUnless stated otherwise, shipment is always at the buyer’s risk. It is expec-ted that the buyer checks thoroughly the number and state of the goodsdelivered before accepting the delivery. In case of loss or damage, thebuyer has to write down the damages or missing goods on the deliveryslip and let the delivery company know of them within 72 hours (after thedelivery) in writing.After this time, no claim will be acceptable. If the buyerexpressly or tacitly renounces to this delivery, the goods will be deemeddelivered in accordance with the order.The lack of conformity of a part ofthe delivery does not exempt the buyer from paying the goods for whichthere is no dispute.Any defect or defective workmanship recognised afteran adversary examination obliges the seller only to replace, for free ofcharge, the defective goods, excluding any operating loss or additional loss.No return can be made without our written agreement.

PAYMENTUnless otherwise agreed by the seller, invoices are payable to the seller’sheadquarters 30 days before the end of the month or on the 10th by LCRDIRECTE. All special conditions prior to 1st January 2009 are, as of thatdate, automatically reduced to the payment deadlines capped by the Lawof Modernization of the Economy of 04/08/2008 or by the decrees ofhomologation of the derogatory agreements envisaged by this law.Whenentering into relations, the seller reserves the right to make the firstdeliveries against refund or to require payment in advance. Regardless ofthe method of payment agreed between the parties, the payment will onlybe considered to have been made after the effective payment of the price.In case of partial payment, this one will be imputed in priority on thepenalties of delay, then on the current deadlines by order of senioritydecreasing. In case of non-payment, even partial, the seller reserves theright to terminate or suspend orders and deliveries in progress.

PENALTY CLAUSEIn accordance with Article L441-6 of the French Commercial Code,penalties for late payment are applicable in cases where sums due are paidafter the date of payment appearing on the invoice.These late penalties arecalculated on the basis of 3 times the legal rate. If the deficiencies of thebuyer necessitate a legal recovery, the buyer undertakes to pay, in additionto the principal, the costs, expenses and emoluments ordinarily and legallyincumbent on him and an indemnity of 15% of the amount (usually withtaxes included) of the claim as part of damages and conventional interests.In case of cancellation of the sale for default of payment, the sums paid bythe buyer will be purely and simply acquired by the seller.

FORFEITURE OF THE TERMIn case of total or partial non-payment of an order at the due date, thesums due under this order or other orders already delivered or beingdelivered will be immediately due after formal notice.

TERMINATION CLAUSEAny order is accepted in consideration of the legal, financial and economicsituation of the buyer at the time of the order. It implies that if the finan-cial situation of the buyer deteriorated between the date of the order andthe date of delivery, the seller has the right either to require paymentbefore delivery or to terminate the sale. In case of non-performance ofonly one of these conditions, the seller will send the debtor a formalnotice by registered letter with acknowledgment of receipt. If the buyerfails to fulfill their obligation within one month from the sending of thisformal notice, the sale will be automatically terminated if the seller agrees.

RETENTION OF TITLE CLAUSETRANSFER OF RISKThe property will remain the seller’s until the effective payment of the fullprice following the terms of the Law of May 12, 1980.The non-payment,even partial, of any of the invoices may result in claiming property.The rightof claim is exercised even in the case of receivership or liquidation of thebuyer. In case of claim, the sale will be terminated automatically. By dero-gation to article 1583 of the Civil Code, the delivery of the goods carriesrisk transfer at the expense of the buyer, as well for the damage sufferedby the goods or by any third party. The return of goods will be at theexpense and risk of the buyer. In the event of implementation of theRetention of Ownership Clause, the advances paid to the seller will beretained by them as damages and interests.

APPLICABLE LAW AND JURISDICTIONThis contract is subject to French law. For all the disputes relating tothe execution or the interpretation of the present conditions, only thecommercial court of DRAGUIGNAN will be competent.
