Terms and Conditions

1. Kindly send your quotation in a sealed cover subscribing the enquiry no 7317 on the

top of the envelope addressed to Sh. G P Madhwal, Director (Administration),

Apparel Export Promotion Council, Apparel House, Institutional Area, Sector-44

Gurgoan.

2. The specimen/original samples can be collected/seen at our office, Apparel Export

Promotion Council, Apparel House, Institutional Area, Sector-44 Gurgoan, during

office hours on all working days between 10.00 AM to 5.30 PM.

3. The rates should include cost of good quality paper as per the enclosed specifications

as per attached file including delivery of the above items at Head Office located at

Apparel House sec-44 Gurgaon..

4. No quotation shall be accepted after the stipulated time for submission latest by last

dated i.e.15.03.2017 at 4 pm.

5. The work would be assigned to the agency/ ies which quotes lowest rate for each of

the item, without any dilution of the specification of the jobs as at attached file.

6. Agency has to mandatorily submit an Earnest Money of Rs. 10,000/- (Rupee Ten

Thousand only) in the shape of Bank Draft only in favour of the Apparel Export

Promotion Council along with the quotations, failing which it shall be treated as

invalid and summarily rejected.

7. PAN Number of the firm/company must be mentioned and also copy must be

attached.

8. The Printer must have sufficient Infrastructure for Providing Printing Services and

Outsourcing is not permissible.

9. The printing matter shall be provided by AEPC and the bidder shall be obliged to

send the sample before final printing for the purpose of proof checking.

10. If the work is not started from the scheduled date the said work order shall stand

automatically cancelled and Earnest Money of Rs. 10,000/-(Rupees Ten Thousand

only) forfeited, without giving any further notice in this regard.

11. AEPC reserves the right to reject or accept any or all application(s) without

assigning any reason(s).

12. AEPC has the right to accept any quotations in whole or part or reject it entirely

without assigning any reason thereof.

13. In case of any disputes whatsoever, the AEPC shall be the arbitrator and his decision

shall be final and binding

14. In case of delayed/defective delivery, appropriate penalty shall be imposed as per the

decision of AEPC.

15. Payment shall be made only after the completion of satisfactory work. TDS shall be

deducted as per rules.

Dear Colleagues,

On behalf of the Executive Committee of Apparel Export Promotion Council and on my personal behalf, I take great pleasure in extending a very hearty and warm welcome to all of you at this 37th Annual General Meeting of our Council. The Notice convening the meeting, the Annual Report for the financial year ended 31st March, 2016, along with Annual Audited Accounts and Auditors’ Report have been with you, and with your permission, I take them as read.

EXPORT PERFORMANCE

2015-16 recorded apparel exports worth US$ 16.8 bn, a one per cent growth over last year. But we can take comfort in the fact that apparel was one of the few industries which could survive the global recession.

EU remained the top region for India’s RMG exports; India’s exports to EU was worth US$ 6268.7 mn. in 2015-16; a decline of 5.5 percent in 2015-16 as compared to previous year. EU’s share in India’s RMG exports was 36.9% in 2015-16. Brexit was a major development in this market this year. AEPC has been closely monitoring the situation and will be advocating for a bilateral with UK to leverage our traditional and strong ties. USA remained the top most export destination for RMG during 2015-16. India’s RMG exports to USA amounted to USD 3862.0mn. in 2015-16 as compared to USD 3614.9 mn in 2014 -15 marking an increase of 6.8 percent. Share of USA was 22.7% in 2015-16. United Arab Emirates (UAE) has emerged as the second largest export destination of India. RMG exports from India to UAE were to the tune of USD 3423.8 mn. Acknowledging the growing share of UAE, AEPC organized its debut BSM in Dubai in March 2016. Encouraged by the positive response, with footprints from major buyers from all GCC countries, it has been decided to continue this event and organize next edition of BSM, Dubai in March, 2017.

Major activities undertaken so far:-

I. In response to the Special Package announced on 22nd June 2016 for the Apparel Industry, AEPC launched an aggressive nation-wide campaign on awareness creation on the policy support and mobilizing units for employing new workmen. AEPC ensured wide publicity and awareness generation - not only of this package, but also of the several policy initiatives that have been taken in the last one year for ease of doing business and market access enhancement. The awareness campaigns were kicked off through a Press Conference on 28 July, 2016 followed by SME Outreach seminars in Eight cities, covering over 700 exporters during August and September 2016. Presentations have been made by AEPC team on details of the Special package, its implications and how to avail of them, AEPC's roadmap for export enhancement and employment generation and need for product and market diversification for improving performance in FTA countries, emerging and new markets.

ii. AEPC conducted seminar series on Product diversification and innovation into categories that are global top sellers, but India does not have significant presence and categories where China has been vacating or high value niche products like performance apparel.

iii. AEPC worked on a Model State Policy and engagement with state governments for incentivizing new set ups and scaling up of apparel units in the states. AEPC is in discussion with the State Governments and state specific model policy is being formulated for ensuring feasibility of apparel industry to establish in that region, specially in remote locations.

iv. AEPC has initiated work for a AEPC Good Practices Manual for Indian Apparel Industry.

v. AEPC organized a meeting with brands to discuss ways to encourage safer work place environment and awareness programmes in this area.

New Policy Incentives received in 2015-16.Special Package for Apparel Sector :

The Union Government announced a Rs. 6,000 crore special package for the textile and apparel sector on 22nd June 2016. The package was a result of AEPC’s consistent efforts to highlight the steady deterioration in India’s global positioning in apparel exports due to continued cost disadvantage vis-à-vis Bangladesh and Vietnam. Also, there is a growing appreciation of the fact that apparel is perhaps one of the only sector, that can provide a long term solution to the need for job creation in the country. The policy incentives announced aimed at addressing the three major concerns of the sector – Low scales, labour issues and cost disadvantage vis-à-vis our competitors.

Package Highlights:

1. Additional duty drawback of approximately 3.5 % .Now total drawback is around 11%.

2. Drawback on import of Fabrics under Advance License – enhanced from zero to 3.3% drawback.

3. Reimbursement of Total employer’s contribution of 12 % for new workmen having wages less than Rs 15000 per month by Govt for 3 years.

4. Optional PF contribution facility to workers earning less than 15000.

5. Fixed term contract employment in garment manufacturing.

6. Threshold limit for availing benefit of section 80 JJAA under Income tax Act reduced to 150 days from 240 days.

Other Budget and FTP announcements:

I. Merchandise Exports from India Scheme (MEIS):- 2% duty credit on exports for Country Group A and B in 2015-16. Benefits for country Group C has been announced on 4th May, 2016. Currently all country groups are getting benefit under MEIS.

ii. Interest Equalization Scheme: Announcement of 3% interest equalization scheme for garment manufacturer exporters.

iii. Export Performance Scheme:-

55% DUTY FREE IMPORT OF TRIMMINGS AND EMBELLISHMENTS

AEPC had taken up the matter of duty free import of trimmings for making our value added garments competitive. Over 1300 exporters have taken advantage last year for import of 37 items and Govt. provided duty exemption support of Rs 324 Cr.

1% CUSTOMS DUTY FREE IMPORT OF SPECIFIED FABRIC

AEPC had taken up the matter of custom duty free import of fabrics and availability of full drawback on exports. Govt. has accepted AEPC'S recommendation and has included 10 fabrics under Sno 284 A under notification 12/2012 Customs as amended on 1.3.2016

iv. Duty Drawback:-

Current Drawback rates are:-• RMG of Cotton : 7.7%• RMG of Blend : 9.5%• RMG of MMF : 9.8%• RMG of Others : : 7.5%

AEPC worked towards enhancing the scope of the drawback as also rates and value caps.

v. Amended Textile Up-gradation Scheme:- Raised to 15% on capital subsidy in Feb 2016. (now raised to 25% in new textile package)

EXPORT PROMOTION ACTIVITIES FROM APRIL 2015 TO AUGUST, 2016

BUYER SELLER MEETS

(a) Buyer Seller Meet at Barcelona (17-18 Sept.) & Madrid (21-22 Sept.), Spain:- Buyer Seller

Meet was organized at Barcelona & Madrid in Spain from 17-22 September, 2015 with 29 participants. 180 buyers visited the BSM and business generated was U$1.39 Mn.

(b) Buyer Seller Meet at Dubai:- Buyer Seller Meet was organized at Dubai from 14-15 March, 2016 with 25 participants. 138 buyers visited the BSM and business generated was U$ 0.32 Mn

(c) Buyer Seller Meet at Montevideo, Uruguay (17-18 March) & Santiago, Chile (21-22 March):- Buyer Seller Meet was organized at Montevideo, Uruguay & Santiago, Chile from 17-22 March, 2016 with 20 participants. 117 buyers visited the BSM and business generated was U$ 0.73 Mn.

INTERNATIONAL FAIRS

(a) Hong Kong Fashion Week, Hong Kong [6-9 July, 2015] :- The Council participated with 57 participants. 1560 buyers visited the HKFW and business generated was U$1.33 Mn.

(b) Hong Kong Fashion Week, Hong Kong [18-21 January, 2016] :-The Council participated with 23 booths. 296 buyers visited the HKFW and business generated was U$3.39 Mn.

(c) Sourcing at Magic Fair, Las Vegas, USA [16-19 August, 2015]:-The Council participated with 65 participants. 1780 buyers visited the Fair and business generated was U$3.52 Mn.

(d) India Trend Fair (ITF) at Tokyo, Japan (27-29 October, 2015) : - The Council participated with 63 participants. 2 Executive Committee Members visited the fair for promoting the event. 2404 buyers visited the Fair and business generated was U$6.8 Mn.

(e) International Sourcing Expo Australia (ISEA), Melbourne, Australia (16-18 November, 2015):- The Council participated through FIEO. Out of 65 exhibitors, 43 exhibitors are AEPC’s member. 345 buyers visited the Fair and business generated was of USD 0.20 Mn.

(f) Sourcing at Magic Fair, Las Vegas, USA [15-18 February, 2016]:- The Council participated with 41 participants who have booked 46 booths. 1780 buyers visited the fair and business generated was U$4.93 Mn.

(f) Sourcing at Magic, Las Vegas, USA (14-17 August, 2016) - The Council participated with 53 participants who have booked 60 booths. 1200 buyers visited the fair and business generated was U$ 8.77 Mn.

International delegations:

Visit of High level Trade Delegation to Bogota (Colombia), Medellin (Colombia) and Lima th(Peru) between 5 to 10 April, 2015.

AEPC had decided to hold export promotion events in LAC countries for promotion of garment

exports from India to Latin American countries, after the suggestions received from Commerce Secretary, GOI.

A High Level Trade Delegation visited Bogota, Medellin and Lima from 5-10 April, 2015 under the leadership of Sh. Virender Uppal, Chairman – AEPC, who was accompanied by Sh. H.K.L. Magu, Chairman (F&B) and the then SG – AEPC.

The objective of the visit of the delegation was:-

I. To meet important garment buyers, and other industry leaders and pursue them to buy from India.

II. To invite Presidents/CEO of large garment companies to visit India International Garment Fair to be held from 13-15 July, 2015 at Pragati Maidan, New Delhi.

III. To meet with Chamber of Commerce for increasing mutual trade between India and Bogota, Medellin and Lima.

The delegation attended various meetings at Bogota, Medellin and Lima, wherein the delegation impressed upon them to source from India and also invited them to attend India International Garment Fair to be held from 13-15 July, 2015 at Pragati Maidan, New Delhi.

Results of the meeting – Buyers from Peru and Columbia visited the 55th IIGF held in July, 2015.

After 1st April, 2016, during the financial year 2016-17, following delegation(s) visited in the new markets to explore the export potential of RMG export from India.

Visit of High level Trade Delegation of AEPC to Tehran, Iran (24-25 April, 2016) and to Dubai, UAE (27-28th April, 2016) Objective of the Delegation :

The Council mounted the Delegation with the view to explore the potential of the Iranian market, where the US sanctions have been lifted recently. The delegation aimed at meeting with Garment Buyers, Associations, Chain Stores, Departmental Stores, and Big Importers dealing in garment buying with a view to set up institutional mechanism for increasing exports of garments from India to Iran.

The delegation also aimed at understanding the business climate, various procedural requirements/documentation required by Indian garment exporters for meeting custom compliance for shipments to Iran; understanding information’s about banking arrangements and information’s about the garment business cycle, fashion seasons etc.

The delegation invited the buyers to attend India Intl’ Garment Fair scheduled in New Delhi from 18-20 July, 2016 .

Results of the visit of the delegation

10 members Iranian Delegation from Tehran Garment Union Research Centre visited 57th IIGF held from 18 – 20 July, 2016 at Pragati Maidan, New Delhi.

An MOU has been signed on 18.7.2016 between AEPC and Tehran Garment Union Research Centre (T.G.U.) to promote bilateral trade and industrial cooperation in the Textile and fashion sector between India and Iran.

DOMESTIC EVENT

India International Garment Fair

The 56th India International Garment Fair (IIGF) was organized from 20 – 22 January, 2016 at Pragati Maidan, New Delhi. 322 participants participated in the fair. During the three days of the fair, 749 buyers from 69 countries and 432buying agents visited the fair.

The 57th India International Garment Fair (IIGF) was organized from 18 – 20 July,2016 at Pragati Maidan, New Delhi. 862 quality International buyers from 67 countries and 258 Buying Agents visited during three days of fair

ELECTRONIC VOTING SYSTEM

Last year, Ministry of Commerce & Industry announced the Foreign Trade Policy for the year 2015-2020, under which electronic voting for the election of executive committee members and Vice Chairman shall be mandatory to be conducted through E Voting as per Para 2.91 & 2.92 of Handbook of Procedure of FTP 2015-2020.

At 36th Annual General Meeting of the council held on 18.12.2015 at New Delhi, Council provided

the facility of Remote E Voting through M/s. NSDL to its members for casting their vote for the

resolutions relating to Election of Executive Committee members.

Further, tablet based voting through M/s. NSDL was also provided to those members who were

present in person but did not caste their vote through Remote E-Voting.

Subsequently, as per provision of Para 2.91 & 2.92 of Handbook of Procedure of FTP 2015-

2020, election of Vice Chairman was also conducted through E Voting by M/s NSDL.

I am happy to inform that council has successfully complied with all the requirements, specified

by Ministry of Commerce, to continue to act as registering authority for EPC’s under Para 2.91 &

2.92 of Handbook of Procedure of FTP 2015-2020.

Policy and Advocacy

The Council works on proactive strategies for export enhancement, developing policy frame

work and effective advocacy amongst the stake holders and undertakes the following activities.

1) Need based feedback on Foreign Trade Agreements, Non-tariff barriers, Duty Drawback

matters, Bilateral Agreement, EU-India Joint Working Group.

2) Scoping, development and advocacy of policy positions and initiatives.

3) Monitoring of public policies, trends and emerging issues.

4) Engagement of members, experts and external stakeholders in the identification of priority issues and scoping of projects.

5) Targeted research and policy analysis on a range of topics.

APPAREL INDIA MAGAZINE

The Apparel India magazine was substantially revamped, with significant improvement in paper and design quality and content. The content consists of information on sectoral trends and issues, forthcoming fairs and exhibitions, trade data and Government notifications.

7500 copies are printed and the same is circulated to all members, besides Ministry of Textiles, Ministry of Commerce & DGFT. A link to the e-magazine is being put on website for wider circulation. Efforts are also being made for targeted promotion and advertisement generation.

DISHA

487 factories were enrolled for DISHA program and implementation was completed in 218 factories till 31 st March, 2014. 235th Executive Committee of the Council held on 10th Sept., 2015 at Hotel Leela, Mumbai had decided not to pursue DISHA program with the Funds of AEPC. Accordingly, as per directions of the Executive Committee, AEPC had Refunded an amount of Rs. 3, 67, 92,964/- (principle amount Rs. 2, 86, 15,878/- + interest amount of Rs. 81, 77,086/-) to MOT vide letter No. AEPC/HO/SG/ 2015 dated 29th September, 2015 and also refunded participation fee of Rs. 25,000/- to each 247 DISHA enrolled factories, where DISHA program has yet not been started .

ASSET MANAGEMENT The AEPC’s premise at 15 NBCC Tower, Bhikaji Cama Place, New Delhi was vacated by M/s. Teesta Urja Ltd. on 30.04.2015 and the same was leased out to M/s NICSI @ Rs. 225/- per sq.ft. per month for 5 years w.e.f. 25/05/2015.

A MOU has been signed between AEPC and M/s India Knit Fair for the AEPC’s premises at Tirupur for 5 years w.e.f 01/04/2015.

The rental rates of AEPC Faridabad Building was reviewed by EC and decided to continue the same rate of Rs. 3/- per sq. ft. per month for further next 2 years w.e.f. 01.06.2015. An addendum in this regard has been signed between AEPC and ATDC.

The lease agreement in respect to AEPC Tirupur premises has been renewed with ICICI Bank, Tirupur on a revised rental rates of Rs. 58/- per sq. ft. per month + taxes as applicable for a period of 9 years w.e.f. 28.09.2015.

The lease agreement in respect to AEPC premises at Bajaj Bhawan, Mumbai has been renewed with M/s R. M. Bhutter on a revised rental rate of Rs. 175/- per sq. ft. per month + taxes as applicable for 3 years w.e.f. 11.11.2015.

The statutory taxes such as property tax, maintenance charges, cess etc. have been deposited with authority concerned in respects of AEPC’s premises wherever applicable

HUMAN RESOURCE ACTIVITIES

I) Health Camp

The Council conducted a Health Check up camp in association with M/s Iffco-Tokio General

Insurance Co. Ltd on 12th January 2016 at its Head Office, Apparel House, Gurgaon. The health check up was organized under the supervision of health specialists from Paras Hospital, Gurgaon

Over 90 employees of the Council attended the Health Check up Camp and were found healthy and fit.

Ii) International Women’s Day Celebration

On the occasion of International Women's Day on 8th March, 2016 a special session on women’s health and fitness at various stages and a session on planned meal with respect to human nutrition and regulation of diet were organized for female employees of the council. These sessions were conducted by a Gynecologist and a Dietitian from Neel Kanth Hospital, Gurgaon. Iii) Seminar “Paradigm Shift” After taking over as Chairman of AEPC, the requirement was felt for radical change in the working standards of AEPC in order to optimize the potential of the organization. Therefore, a Seminar titled “Paradigm Shift” was organized 27th Feb 2016, for AEPC officers at Gurgaon. This Seminar was conducted for AEPC’s national team with a mission to inculcate the spirit of bringing excellence in service to the members and create a vibrant environment in the organization. Mr. Nimish Dave the CEO & Founder at M/s Idea Smith and a specialist of motivational trainings and other related learning interventions took various sessions like paradigm shift: different steps to be taken, change management, customer services etc. The sessions were interactive which motivated the participants to come out with their views and suggestions to improve the working standards of AEPC

SKILL ASSESSMENT CELL

The AEPC Skill Assessment Cell is operational since September 2009 with the objectives to test

& certify skills in order to generate employable workforce.

AEPC is an empanelled assessment agency authorized by Directorate General of Employment &

Training (DGE&T) under the Skill Development Initiative Scheme (SDIS) to conduct MES

Assessments in the Apparel/Garment, Khadi and Carpet sectors and by the Ministry of Textiles

(MOT) under the integrated Skill Development Scheme (ISDS) to conduct assessments for

Apparel/Garment &Textile Sector.

During 2015-16, AEPC was empanelled by Resource Support Agency (RSA), Textiles Committee

to conduct assessments for Apparel & Textiles Sector under the guidelines and quality standards

of Ministry of Textiles.

In the month of March’2016,AEPC has also attained empanelment with the Sector Skill Council

for Apparel, Made-ups and Home Furnishings (SSC-AMH)to have increased reach and better

business prospects. Under this Scheme, AEPC Skill Assessment Cell has the opportunity to work

under the prestigious Pradhan Mantri Kaushal Vikas Yojna (PMKVY).

The assessments are conducted Pan India through the various offices of AEPC located at Delhi

AEPC Skill Assessment Cell since its inception has assessed approx.1.35 Lac candidates as on

date under MES, NON-MES, RSA & PMKVY categories.

APPAREL HOUSE

The Apparel House, a premiere hub for international trade in apparel and accessories, has showrooms Auditorium, Exhibition Hall, Art Gallery, Cafeteria, Plaza Area, Amp hi theatre, conference room, Travel Desk and Bank/ATM is located at Gurgaon. The Head Office of Apparel Export Promotion Council is also located at Apparel House. The Car Parking System has resulted in a source of revenue to Apparel House. The Energy Audit Implementation in Apparel House has been completed. This is part of our Green Initiative and Energy Management. We have also applied for Bee star rating status for the building. Fire mock drill were organized through trained fire officer in the presence of the fire department official, Gurgaon during the year from time to time in order to make the occupants aware about the precautions to be taken in the course of fire breaks out in the building as well as were educated about the use of fire equipment's about procedure to provide first aid to fire victims etc. and also calibrated the Diesel tank to ensure proper consumption of diesel.

CODE OF CONDUCT FOR REGISTERED EXPORTERS

We, the manufacturer/merchant exporters whose manufacturers and goods are exported from India, do hereby take apledge that we shall in all our dealings in the International Trade strictly abide by and adhere to principles set outhereunder.

1. We appreciate and value the high ethical standards in business and are convinced in our belief only on such standarda permanent and lasting international, trade between any countries can be built up. We give the solemn assurancethat we shall abide by and conduct ourselves in a manner that confirms to high ethical standards in business.

2 We undertake to strictly fulfill all contractual obligations made in good faith to buyers and through them of theirconsumers.

3. We agree to continuously strive to improve our manufacturers and goods and subject these to any desired or prescribedinspection before packing and dispatch.

4. We undertake that all our stamping and making on the goods and manufacturers will correctly describe their qualityand measure.

5. We agree to adhere to the time of delivery and specifications of our contract as far as it is humanly possible subjectto the act of God or force majeure.

6. We agree to adhere to contractual specifications of the basic samples submitted and approved by the buyer withininternationally accepted trade tolerance.

7. We shall endeavour our utmost to satisfy the requirements of the buyers. A complaint from the buyer that any of theobligations have not been fulfilled, we undertake to enquire into and settle the complaint as promptly and amicably,using where necessary the good offices of the Export Promotion Council, commodity Board or other Organisationwhich exists in India for the Export of promoting and assisting authority as arbitrator, in which event we shall abideby the procedure prescribed in the contract.

(a) In case of any commercial dispute concerning the garment trade between the members of AEPC, the same shallbe referred to and decided by the Committee of AEPC whose decision shall be final and in the event committeeshall have the power to have the dispute decided by arbitrator/arbitrators from the Panel of arbitrators appointedby AEPC.

(b) And in the case of any dispute between a member of the AEPC with AEPC each party will be entitled to selectand appoint one arbitrator and the arbitrators so appointed will decided the disputes under the Indian ArbitrationAct, 1948

(c) No Court, shall have jurisdiction to entertain any of the disputes, mentioned above. The decision of the Committee/Arbitrator, Arbitration as the case may be, will be final and binding on the parties concerned.
