The following is an addendum (the'Addendum") to the Broker - Motor Canier Agrcement (the"OriginalAgreement") originally entered into as of (the "Original Agreement Date")between Matson Integrated Logistics, Inc. fMlL"), including its wholly-owned affiliate Matson AmericaTransportation Services, LLC ('MAf), refened to jointly herein as "MIUMAT" and

('Carrier").

Carrier will provide adequate protection for preservation of perishable commodities against heat or cold,and will provide temperature controlled equipment. Canier will operate the equipment at the temperatureinstructed verbally and confirmed in writing on the dispatch generated by MIUMAT. Unless specifiedotherwise by MIUMAT, the chart below provides the general guidelines. Agreed upon rates and freightcharges include the cost of providing such equipment and protection.

Carrier requirements are but not limited to the following:

. Trailer rnust be clean and empty and in a food grade status at shipment appointment time. Carriermust clean the trailer when necessary to accomplish the food grade status.

o Carrier must provide an adequate supply of fuel and lubricants required for the intended normaloperation of the unit(s) prior to appointment.

. Trailer must be pre-cooled to the appropriate level if the MIL/MAT dispatch indicates a frozen orrefrigerated commodity is to be picked up.

r Canier shall maintain motor truck cargo liabili$ insurance that includes coverage for mechanicalbreakdown or failure of refrigeration or heating units instialled in or on Carrier's vehicles. Carrier'scertificate of insurance must specifically state that the motor truck cargo liability policy includessuch coverage, with the deductible shown.

o Canier'must notify an MIUMAT dispatcher immediately if the mechanical refrigeration unitbecomes inoperable due to any reason and puts the commodity at risk of spoilage and to allowMTUMAT to assess the situation prior to contacting the customer.

. Canier shall maintain all refrigeration and heating units in good condition. Such units shall beinspected by Carrier or a service company in accordance with the recommendations of themanufacturers or at least once every 30 days, whichever is more often. Carrier shall make anyrepairs and perform all corrective or preventive maintenance as specified by the manufacturer ofthe units. Carrier shall maintain records of such inspections, repairs and maintenance.

o In the event of loss, Carrier shall, as soon as commercially reasonable, provide MIUMAT with allrecords of inspections that relate to the loss and permit copies and abstracts to be made fromthem.

The effective date ("Effective Date") of this Addendum shall be the date of the final signature set forthbelow. and shall expire on the same date as the Original Agreement.

b) MIUMAT will submit to Canier wdten notice of any cargo claim within nine (9) months of lhe delivery date. of the cargo, or, if no delivery is made, the date of the occufience resulting in the clalm. The filing,

proce€sirE and dbposition of cargo chims by Canier will be govemed by /$) C.F.R. Part 370, Principlesand Prac{ices for the Inv6tigdion ard Voluntary D'spGition of Lcs and Damage clairns and ProcessingSalvage.

minimum combined single limit for bodily Injury and property damage of $l,000,000 per occunence (orof $5,0@,0@ if rcquired by the FMCSA under 49 CFR Part 387 for the transpoftation of certainhazadous materials) coverirE all vehides o'vned or used by Canier in perbtming Canier SeMces andendoFed tro name MIUMAT, ard if so directed by MIUMAT, the shipper, as additional insureds.

ii) Motor Truck Calgo Legal Liability insurance including coverage for unattended vehicles and emdoyeetheft and dbhonesty with a mlnimum limit of $100,000 per occunence.

All such insurance will provideMIUMAT with 30 (bys' paior wrinen notice of cancellatio(y'non-renE ral and 10 days' advance written noticeof cancellation fior non-peyment of premiums.
