INTRODUCTION AND TERMS OF REFERENCE

Lithic Resources Ltd. holds an option to earn a 100"7o interest in the Roaring River property located about 145 kilometres north north-west of Thunder Bay, Ontario. A total of 385 soil samples collected in 2001 were analysed for the first time in 2002 for a suite of elements including Pt, Pd and Au. This report describes the results of this analysis in conjunction with results for those soil samples analysed in 2001 and makes recommendations for further exploration work. It is based on data in company files as well as various published sources.

PROPERTY DESCRIPTION AND LOCATION

The Roaring River property is located about 145 kilometres north north-west of the city of Thunder Bay, Ontario (Fig. 1). It consists of a single block of eighteen claims, the particulars of which are listed in Table 1 and illustrated in Figure 2. All claims in which Bema holds an interest are in the process of being transferred back to Lithic such that a 100"7o interest will be registered to Lithic.

The claims are under option to Lithic from Stares Contracting Corp. of Thunder Bay, Ontario. Lithic can earn a 10007o interest in return for a total of 342,000 in cash and the issuance of 100,000 common shares. The property is subject to a 207o NSR payable to Stares Contracting.

ACCESSIBILITY. CLIMATE. LOCAL RESOURCES. INFRASTRUCTURE AND PHYSIOGRAPHY

The Roaring River property can be reached by highway from Thunder Bay (Fig. 1). Highway 527 (paved) leads north from Thunder Bay to the all weather Garden Lake road (Highway 811), a distance of 116 kilometres. The property straddles Highway 811 at a distance of about 55 kilometres north from the turnoff on Highway 527. A number of trails and logging roads provide access to the grid area and the southern half of the property. Access to the northern part of the property is possible in part by boat along Bilkey Lake and the Roaring River or is otherwise limited to travel on foot or by aircraft.

The property area is characterised by relatively low relief and abundant small lakes and swampy areas with limited bedrock exposure. The climate is northern temperate and the area is covered with boreal forest including jack pine, spruce and poplar. Typically abundant snow begins to accumulate in November and generally melts by May.

HISTORY OF WORK

The property was staked to cover a regional aeromagnetic anomaly and anomalous levels of Cr and

Ni in government-collected lake sediments apparently associated with the 70 km by 1-15 km Roaring

River gabbro/pyroxenite intrusive complex. There is no record of work on the property prior to

prospecting carried out by Berland Resources Ltd. (Lithic's predecessor company) in 2000. In the

spring of 2001, Berland established 46 km of grid with lines spaced at 200 metres. This was used to

control geological mapping, prospecting, a ground magnetic survey and soil sampling. Two test lines

of IP and HLEM were run across the Mere PGE occurrence. Several small trenches and test pits

were excavated at a number of known occurrences.

GEOLOGICAL SETTING

Regional

The Roaring River property covers part of the Roaring River Complex, a crescent shaped intrusion some 70 kilometres long by 1-15 kilometres wide that is situated in the Western Wabigoon granite- greenstone terrane of the Archean Superior Province (Fig. 3). A detailed study of the complex by Stern and Hanson (1989) found it to comprise a fresh and undeformed, lithologically continuous series of diorite, monzodiorite, monzonite, quartz monzodiorite and granodiorite belonging to the "sanukitoid" suite. A 3 kilometre by 1.5 kilometre body of gabbro and pyroxenite straddling Highway 811 appears to be a large inclusion within the complex. The gabbroic rocks are coarse-grained to pegmatitic, contain abundant magnetite, ilmenite, apatite and pyrite and exhibit steeply dipping, centimetre-scale clinopyroxene-rich and hornblende-rich layers in places.

A regional lake sediment survey carried out by the Ontario Geological Survey showed the presence of anomalous chromium and nickel values in the area of the Roaring River property.

Roaring River Property Geology

The Roaring River property is centred on the large ultramafic "inclusion" contained within the Roaring River Complex (Fig. 4). In 2001, a 1 kilometre by 6 kilometre grid was established over a portion of the inclusion as mapped by Stern and Hanson (1991). Although outcrop is very limited, detailed geological mapping and prospecting on the grid revealed a variety of mainly mesocratic to melanocratic gabbroic rocks. They are typically medium to coarse grained and equigranular, with locally developed pegmatoidal variants. Diorite, monzonite and quartz monzodiorite of the sanukitoid series are exposed mainly in the north-eastern part of the grid. The relationships between the various intrusive types are not clear as contacts were rarely seen and both mixing and crosscutting relationships can be widely observed in outcrop.

Most of the gabbros are massive but intrusive breccias and/or centimetre scale layering occur locally. Layering is typically discontinuous and steeply dipping. The breccias are highly variable in terms of lithology but consist mainly of fragments of equigranular leuco- to mesocratic gabbro within a melanocratic gabbro to pyroxenite matrix. Pegmatitic phases often post-date other phases and occur as matrix to intrusive breccia, irregular pods and/or crosscutting dykes. Mixing textures

involving all gabbroic phases are common. Many of the intrusive phases are magnetic, strongly so in some cases, due to the presence of magnetite as clots and disseminations.

Diabase overlies rocks of the intrusive complex and outcrops mainly on the western side of the grid. It is generally finegrained to medium grained and only weakly magnetic. However, it is coarser grained and more magnetic to the north where it can sometimes be difficult to distinguish from the underlying gabbroic rocks.

Outcrop on the property is limited by an extensive veneer of glacial deposits, often sandy in character. Glacial ice movement appears to be from the north and north-east.

DEPOSIT TYPES

PGE-Ni-Cu mineralization discovered to date on the Roaring River property appears to resemble that at North American Palladium Ltd.'s Lac des Iles open pit mine some 40 kilometres to the south. The Lac des Iles palladium deposit is North America's only bulk mineable platinum group metal deposit. Mineralization occurs within an Archean mafic to ultramafic intrusive complex with a surface area of 30 square kilometres and is mainly associated with later stage melano-gabbro phases and associated pegmatitic gabbro and brecciated zones. Ore typically contains up to 50Xo disseminated sulphides including pyrrhotite, chalcopyrite, pyrite and pentlandite. Platinum group minerals include vysotskite (Pd,Ni)S, isomertieite PdnSb2 , kotulskite Pd(Te,Bi), sperrylite PtAs2, merenskyite PdTe2 and palladium arsenide.

As of December 31, 2001, the measured and indicated resources for the Lac des Isles deposit total 159.4 million tonnes grading 1.55 g/t Pd, 0.17 g/t Pt, 0.12 g/t Au, D.05% Cu and Q.05% Ni at a palladium cut-off grade of 0.7 g/t (Lavigne, Kim, and Rickard, 2002)

Further exploration on the Roaring River property should be directed at the discovery of Lac des Isles type, relatively tow grade, bulk tonnage PGE deposits.

MINERALIZATION

Sulphide mineralization has been found to be associated with all phases of the intrusive complex and typically consists of finely disseminated pyrite and/or pyrrhotite. Up to 307o finely disseminated to

blebby pyrite and pyrrhotite and locally, pentlandite and chalcopyrite, occur in irregular and podiform concentrations mainly in or near magnetite-rich gabbro. Thin section analysis has shown chalcopyrite forming rims around pyrrhotite or pentlandite grains.

A number of sulphide mineral occurrences, in outcrop or locally derived float boulders, were found on the property by prospecting in 2001. They include:

Mere 2m x 3m area in pegmatoidal gabbro and leucogabbro with 2-30Xo sulphides. Trenching showed brecciated and intermixed gabbro. The results of sampling included 3225 ppb Pd, 143 ppb Pt, 48 ppb Au.

L102N Outcrop of rusty melanogabbro-pyroxenite. Trenching showed it to be similar to the Mere area. The best sample contained 654 ppb Pd, 187 ppb Pi, 93 ppb Au, 965 ppm Cu and 448 ppm Ni.

Leigh Sub-angular to angular boulders of coarse grained to pegmatitic leucogabbro with accessory magnetite, K feldspar and biotite and 2-30Xo sulphides. The best sample, collected during initial prospecting, contained 1052 ppb Pd, 134 ppb Pt, 44 ppb Au, 2067 ppm Ni and 1920 ppm Cu. Later samples contained somewhat lower values. Trenches did not reach bedrock at 5 metres.

Leigh N Large boulder of medium to coarse grained meso- to melanogabbro containing 207o sulphides, mainly associated with a more leucocratic pod or zone. The boulder is more magnetic than the general area, suggesting that it is not immediately locally derived. The best sample contained 460 ppb Pd, 211 ppb Pt and 35 ppb Au. One sample collected by North American Palladium personnel contained 1.18 gpt Pd, 0.46 gpt Pt, 0.05 gpt Au, Q.094% Cu and Q.155% Ni.

Leigh S Boulders similar to those at Leigh North. Samples returned only weakly anomalous levels of PGE.

L116N Boulders of layered leuco- to mesocratic gabbro/diorite with some sulphide concentrations in local pegmatitic zones. Initial prospecting samples contained very weakly anomalous levels of PGE. Followup samples did not return significant PGE values.

Sub-angular boulders of medium to coarse grained meso- to melanocratic gabbro breccia fragments in a monzogranitic host, both of which contain about 2Vo very fine grained sulphides. Initial sampling returned values of up to 1098 ppb Pd, 675 ppb Pt, 155 ppb Au, 701 ppm Cu and 204 ppm Ni.

EXPLORATION

Soil Geochemical Survey

In 2001, B horizon soil samples were collected with a mattock at 25 metre stations across the entire grid (Fingler and Mccrindle, 2001). Sample depths were typically in the range of 10 to 30 cm. Appendix A lists the personnel responsible for collecting these samples and the collection dates . B horizon soils are generally well developed over the grid area, except in areas of wet marsh in the central part of the North grid and the southwestern part of the South grid. Thick and extensive deposits of sandy glacial debris are common near the highway and in the both the extreme northern and southern limits of the grid. Soils in these areas tended to be sandy and poorly developed.

Due to budget constraints, only 333 of the samples were analysed in 2001, including mainly those from lines near known occurrences of sulphide ± PGE ± Cu-Ni mineralization as well as from along part of the southern baseline. Samples were analysed for palladium, platinum and gold by Accurassay Labs in Thunder Bay, with 30 element ICAP determinations completed by Cavendish Labs. These results were reported in Fingler and Mccrindle (2001) which was filed for assessment in early 2002.

In December of 2002, 390 additional samples representing 50 metre stations across the entire grid were selected from the 2001 sample set. These were analysed at Accurassay Labs for palladium, platinum and gold using fire assay followed by atomic absorbtion. All samples were also analysed at Accurassay Labs for a 29 element suite, including Cu and Ni, by ICAP following an aqua regia digestion. Analytical certificates for all soil samples analysed in 2002 are listed in Appendix B. Pt, Pd, Au, Ni and Cu values from both the 2001 and 2002 data sets are illustrated as proportional symbol plots in Figures 5 to 9

Soil samples analysed in 2002 returned values for Pt and Pd that, with few exceptions, are below their respective detection limits of 15 and 10 ppb (Figs. 5,6). Although a number of spot anomalies in Pt and Pd were present in the 2001 data, Fingler and Mccrindle (2001) noted that field duplicates showed poor reproducibility for these elements, suggesting that the data were unreliable. It must be concluded that values for Pt and Pd in soil samples show no meaningful patterns of distribution.

Several lines show a series of samples with Au values that are just above the detection limit of 5 ppb, including Lines 122N (102E to 105E), 98N (94E to 100E), 78N (98+50E to 101E) and 72N (94E to 97E) (Fig 7). Various spot highs are scattered across the grid. Considering that ice direction is

thought to be from the north or the north-east, these slightly elevated values may be derived from material transported from the younger granite intrusion lying just east of the grid area.

In reviewing the 2001 data for this report, it was noted that Ni results from one analytical batch were higher by a factor of five than those for samples from other batches run in 2001, probably as a result of an arithmetic error. At the time of writing, Accurassay Labs was still investigating this situation and had not been able to confirm or deny the error. For the purpose of this report, the Ni values from the batch in question were adjusted by dividing by five to better reflect the general levels present in the remainder of the data set.

Figures 8 and 9 show that Ni and Cu values are generally very low and show no systematic variation across the grid area, including the areas of known PGE mineralization. A series of samples along Line 100N immediately north of Highway 611 show slightly elevated values of Cu and Ni but these cannot be related to any geological feature at present. Several other spot "highs" are present in the data for both elements but their significance cannot be determined at this point.

INTERPRETATION AND CONCLUSIONS

Generally speaking, the results of soil sampling on the Roaring River grid do not appear to be useful in that no systematic variation is seen in key elements such as Pt, Pd, Au, Cu and Ni, even though PGE-Cu-Ni mineralization has been found in outcrop and locally derived boulders on the property. In the case of Pd and Pt, this could be a function of the relatively high detection limits for each. In any case, the Pd and Pt data should be regarded with caution in view of reproducibility problems shown by field duplicate analysis in 2001.

Although the lack of response in soil sampling is disappointing, PGE-Ni-Cu mineralization is known to exist within the grid area. Moreover, the grid covers only a small fraction of the Roaring River Intrusive Complex, little of which has been mapped or prospected in any detail. Given the relative lack of exposure on the property and the possible ambiguity of any geophysical response associated with low absolute quantities of sulphides constituting typical Lac des Isles style mineralization, the best approach for further exploration would probably be overburden drilling. This would allow direct detection of mechanically dispersed mineralization in glacial till.

RECOMMENDATIONS

a) Review available information concerning the Quaternary history of the property area in order to confirm likely ice directions that would have influenced the movement and deposition of glacial till. Contact relevant Ontario Geological Survey personnel and if necessary, retain a Quaternary specialist to carry out a field examination.

b) Establish a grid with lines spaced at one kilometre intervals with stations marked every 200 metres on the property.

c) Using an overburden drill, sample the till section at 200 metre stations, taking particular care to sample the basal till component. Analyse all samples for Pt, Pd, Au and a suite of elements by ICP.
