Policy and Regulatory Initiatives

Policy Developments in Light of COVID-19

• The Ministry of Road Transport and Highways (MoRTH) has come up with the year-end review for the roads sector. The length of the

national highways has increased from 91,287 km in April 2014 to about 1,36,155 km as on December 20, 2020. The rate of

development of roads has increased significantly from about 11.7 km during 2013-14 to about 28 km now.

• During 2020-21 (up to November 2020), about 6,764 km national highways have been awarded, while about 6,207 km have been

constructed by the ministry. During 2019-20, projects with about 8,948 km length were awarded and completion was achieved in about

10,237 km length of roads.

• During the current year, the ministry has already incurred an expenditure of Rs 794.15 billion till November 2020, including IEBR of the

National Highways Authority of India (NHAI). Besides, private investment of Rs 81.86 billion has been achieved up to November 2020.

MoRTH year-end review

• MoRTH has extended the duration of a liquidity related relaxation provided to road project contractors in response to COVID-19 till

June 2021.

• This comes after it was observed that the measure provided good liquidity to contractors responsible for construction of national

highways, which has helped the government maintain its pace of construction during the year in spite of the pandemic.

• The relaxation in Schedule H of the standard engineering, procurement and construction (EPC) agreement was announced in June 2020

as part of a relief package for road contractors and concessionaires to help them overcome the impact of COVID-19 outbreak.

• NHAI is in advanced stages of introducing a system of ranking of concessionaires based on their performance on various parameters including safety, frequency of accident on the stretch and the road and toll plaza management systems, among other scores.

• Anything less than the cut-off mark, which is yet to be decided, on these parameters will mean the bidding process to be out of bounds for the aspiring investor. However, the under-achiever will have a chance to come clean and be eligible again to bid for new projects once it improves on the ranking in the next round of performance audit. The audit is done in every six months.

• Reportedly, suitable amendments in the bidding documents will be incorporated to make a rating of the concessionaires as one of the qualification criteria for awarding new projects.

Other Key Policy Developments

• Reportedly, NHAI has started planning for Phase II of Bharatmala Pariyojana and has identified roads with a cumulative length of 5,000 km to be built under the project. Out of 34,800 km of national highways under Phase I, over half have been awarded and the government is now preparing detailed project reports (DPRs) for projects to be built under the second phase.

• In the second phase, the government will largely focus on expressways and access-control highways. Phase II of the programme is expected to receive the government approval even before Phase I is complete. NHAI is also building a land bank to see that projects are not hit by land acquisition issues.

NHAI to set up performance threshold for highway bidders

• MoRTH has extended the deadline for 100% collection of toll charges on the national highway network through FASTag till February 15, 2021. Earlier, the deadline had been set at January 1, 2021.

• The extension has been given since still many people use cash for toll payment at national highways. Meanwhile, MoRTH has mandated fitment of FASTag effect from January 1, 2021, for M and N class motor vehicles sold before December 1, 2017.

• To curb red-tapism and enhance transparency, NHAI will deploy software specifically to track files that will pin-point officials behind delays in disposing of matters.

• Besides, project management consultancy system will be introduced soon, where alignment, land acquisition, forest environment clearance, utility shifting, construction, designing, road safety and roadside amenities, everything will be provided about the project.

Other Key Policy Developments

• MoRTH has finalised GPS-based technology toll collection to ensure seamless movement of vehicles across the country. With this, the country is expected to become ‘toll booth-free’ in next two years.

• Under the new technology, toll amount will be deducted directly from the bank account based on the movement of vehicles. While now all commercial vehicles are coming with vehicle tracking systems, the government will come up with some plan to install GPS technology in old vehicles.

• To promote road safety as well as to collaborate in the areas of traffic management, a memorandum of understanding (MoU) has been signed by NHAI with the Institute for Road Traffic Education (IRTE) and Institute for Development and Communication in Chandigarh (IDC). Under the pact, IRTE will support the highway authority to improve the functional aspects of road geometrics as well as ensure that traffic control devices conform to the standards of IRC to achieve free, efficient and rapid traffic flow.

• Through a programme named ‘Capacity building of Road Safety Management through Safe Systems Approach Programme’, the institutes will collaborate with the highway authority in the traffic management areas.

• Meanwhile, IIT Madras has signed a MoU with Rajasthan government to help it implement a structured framework for a data-driven systems approach to road safety.

InvITs/TOT

• NHAI is expected to operationalise the country’s first government-sponsored infrastructure investment trust (InvIT) by March 2021. Reportedly, about six road assets worth Rs 50 billion have been given in-principle approval for transfer to the InvIT.

• NHAI, which received approval from the Union Cabinet to float the InvIT in December 2019, is in the process of legal vetting of the financing instrument.

• Assets to be transferred to the InvIT include the 32.6 km Kotha-Kata Bypass to Kurnool (Telangana), the 75 km Palanpur-Abu Road in Gujarat, the 31 km Abu Road-Swaroopganj in Gujarat, the 160 km Chittorgarh Kota and Chittorgarh Bypass in Rajasthan, and the 77 km Maharashtra-Karnataka border to Belgaum. The 32.6 km Chennai Bypass may also be part of the InvIT, which could be replaced by a new stretch.

• Reportedly, Canadian pension fund, Life Insurance Corporation (LIC) and National Investment and Infrastructure Fund (NIIF) are among a host of investors that have shown interest in the InvIT to be floated by NHAI.

• The central government has inked a $500 million loan pact with the World Bank to develop safe and green national highway corridors in Rajasthan, Andhra Pradesh, Himachal Pradesh and Uttar Pradesh. The loan comes with a tenor of 18.5 years along with a five-year grace period.

• The Green National Highways Corridors project will support MoRTH in constructing 783 km of highways by integrating technology designs such as local and marginal materials, industrial byproducts, and other bioengineering solutions.

Loans/Bonds

• Reportedly, Canadian pension fund CDPQ, I Squared Capital’s roads platform Cube Highways and Edelweiss Yield Plus Infra Fund are among investors weighing bids for the fifth bundle of road assets put up for sale by NHAI.

• NHAI had put up two road assets on sale at the end of September 2020 under the latest round of the toll-operate-transfer (TOT) mechanism. Both toll roads are located in Gujarat.

• The roads would be offered for 20 years during which the concessionaire would need to operate and maintain them while having the right to collect user fees as per the prescribed rates.

New Developments

• The Centre, Andhra Pradesh government and New Development Bank (NDB) have signed loan agreements for $323 million each for AP Mandal Connectivity and Rural Connectivity Improvement Project (APMCRCIP) and AP Roads and Bridges Reconstruction Project (APRBRP).

• Funds worth Rs 32 billion each will be spent on the two projects — APMCRCIP and APRBRP — with the financial assistance of the NDB (NDB share-70 per cent and State share-30 per cent) for providing double lane connectivity from district headquarters to mandal headquarters and mandal head quarters to adjoining mandal headquarters. Under the project, 3,104 km of roads will be widened and construction/reconstruction of 479 bridges will be taken up.

• DME Development Limited, a special purpose vehicle (SPV), fully owned by NHAI, plans to raise Rs 460 billion in debt over the next two-three years to part-finance the Delhi-Mumbai expressway project. The entire Rs 460 billion debt will be raised at the SPV level and the borrowing will be off NHAI’s balance sheet. This fiscal, the SPV needs to borrow a little less than Rs 100 billion however, it has already got offers for Rs 290 billion from banks and financial institutions.

• Reportedly, NHAI is looking to raise around Rs 650 billion in the next fiscal year, and the Ministry of Finance is likely to include it in the upcoming budget. The authority will bank on InvIT and TOT among other models for raising the money.

• The authority has a target to raise Rs 650 billion in the ongoing fiscal year as well. It had raised around Rs 450 billion till December 2020. NHAI’s debt at the end of FY20 was Rs 2.49 trillion, and it will cross the Rs 3 trillion mark if it meets its borrowing target for the ongoing fiscal year.

Loans/Bonds

• The central government has approved Rs 85.28 billion for national highway projects in Maharashtra. Apart from sanctioning Rs 58.01 billion for road projects, the Centre has allocated an additional amount of Rs 27.27 billion.

Grants/Allocations

• The Uttar Pradesh government has infused Rs 6.75 billion for to ensure a smooth flow of funds for construction of Bundelkhand and Purvanchal expressway projects.

• Of the total funds allocated, Rs 3.25 billion has been pushed in the 340 km Purvanchal Expressway and a sum of Rs 3.50 billion has been made available for the completion of 296 km Bundelkhand expressway.

Financial Closures

• H.G. Rewari Bypass Private Limited, a wholly owned subsidiary of H.G. Infra Engineering Limited, has received the letter from NHAI dated January 12, 2021 for the approval for achievement of financial closure as on December 23, 2020.

• The project entails construction of proposed 14.4 km Rewari Bypass as Feeder Route in Rewari district in Haryana on hybrid annuity model (HAM).

• PNC Infratech Limited has submitted duly executed financial documents to NHAI for three HAM projects. These HAM projects include PNC Unnao Highways Private Limited, PNC Gomti Highways Private Limited and PNC Bithur Kanpur Highways Private Limited.

• These are also wholly-owned subsidiaries of PNC Infratech. The projects have cumulative bids costing up to Rs 51.84 billion, while the projects have debt size of Rs 19.66 billion.

• PNC Bithur Kanpur Highways Private Limited, a wholly-owned subsidiary of PNC Infratech Limited, has received communication from NHAI confirming the achievement of financial closure dated December 31, 2020, for Aligarh-Kanpur highway project.

• The project involves four-laning of Aligarh-Kanpur section of NH-91 from km 356 (design chainage 373.09) to km 414 (design chainage 433.73) (Package-V from Mitrasen-Kanpur) in Uttar Pradesh on hybrid annuity model.

Asset/Stake Dilution

• IL&FS Group has received legal approval for sale of its Chinese road asset - Chongqing Yuhe Expressway Company Limited (CYEC) to China Merchants & PingAn Infrastructure Phase 1 Equity Investment Fund (Tianjin), a group company of PingAn Insurance Company of China. The sale of the Chinese road asset will allow IL&FS to settle about Rs 26 billion of debt at the group level.

• IL&FS Group holds 49 per cent stake in CYEC through its step-down Singapore-based subsidiary ITNL International Pte Ltd (IIPL). The balance 51 per cent stake in CYEC is held by Chongqing Expressway Group (CEG).

• PingAn has bid at an aggregate equity valuation of $281 million for 100 per cent stake. This values IIPL's 49 per cent stake at about $138 million (Rs 10.2 billion).

Asset/Stake Dilution

• GMR Infrastructure Limited has announced that it has received consent from stock exchanges, with no adverse observations, on its proposed restructuring involving demerger of its non-airport vertical business. The company will file the scheme with the National Company Law Tribunal (NCLT) within six months.

• GMR had filed an application to the Bombay Stock Exchange (BSE) and the National Stock Exchange of India (NSE) towards the composite scheme of amalgamation and arrangement amongst GMR Power Infra Limited (GPIL), GMR Infrastructure Limited, GMR Power and Urban Infra Limited and their respective shareholders.

Others

• The Dispute Review Board (DRB) has unanimously recommended Rs 5.31 billion, along with 10 per cent interest to MBL Infrastructures Limited, till the payment of the amount in favour of the company for one of its completed projects of NHAI. The decision by the DRB came on December 14, 2020.

• Gayatri Projects Limited has received an amount of Rs 694.1 million from its contractor Sunway Construction SDN BDH, as settlement of its various claims raised by the company on the contractor.

• Gayatri Projects had executed a contract for rehabilitation and upgrading of km 104 to km 170 of NH-25 lo four-lane in Uttar Pradesh as a sub contract from Sunway Construction SDN BDH.

• Sunway has raised a total claim of Rs 800 million on NHAI and out of total amount received, Gayatri’s share has been settled at Rs 707.8 million and the net amount received by the company after statutory deductions is Rs 694.1 million.

• The company has also announced in the previous month, the receipt of Rs 2.08 billion under the Government of India’s scheme of monetisation of 'under litigation arbitral award' against bank guarantees.

• The Supreme Court (SC) has dismissed the Securities Exchange Board of India (SEBI)’s appeal against the Securities Appellate Tribunal’s order that quashed its decision to impose Rs 0.7 million penalty on the NHAI for the delay in filing financial results.

• In May 2020, the regulator had levied the fine on NHAI since the authority failed to submit the mandated financial results on time for the half-year ended September 30, 2018, and March 31, 2019, as required under the LODR Regulations.
