TERMS AND CONDITIONS FOR THIS PURCHASE ORDER

MPA BID AWARD (STATEWIDE APPLICABILITY)

STATEWIDE APPLICABILITY - Political Subdivisions (cities, towns, schools, quasi-public agencies), asauthorized by law, may participate in this Agreement. All ordering and billing shall be between the vendor and thepolitical subdivision (only).

INSURANCE REQUIREMENTS (ADDITIONAL)

ANNUAL RENEWAL INSURANCE CERTIFICATES FOR WORKERS' COMPENSATION, PUBLICLIABILITY, PROPERTY DAMAGE INSURANCE, AUTO INSURANCE, PROFESSIONAL LIABILITYINSURANCE (AKA ERRORS & OMISSIONS), BUILDER'S RISK INSURANCE, SCHOOL BUSING AUTOLIABILITY, ENVIRONMENTAL IMPAIRMENT (AKA POLLUTION CONTROL), VESSEL OPERATION(MARINE OR AIRCRAFT) PROTECTION & INDEMNITY, ETC., MUST BE SUBMITTED TO THE SPECIFICAGENCY IDENTIFIED IN THE "SHIP TO" SECTION OF THE PURCHASE ORDER. THIS IS A MULTI-YEAR BID/CONTRACT. PURCHASE AGREEMENT AWARD

THIS IS A NOTICE OF AWARD, NOT AN ORDER. Any quantity reference in the agreement or in the bidpreceding it are estimates only and do not represent a commitment on the part of the state to any level of billingactivity, other than for quantities or volumes specifically released during the term. No action is to be taken except asspecifically authorized, as described herein under AUTHORIZATION AND RELEASE. ENTIRE AGREEMENT -This NOTICE OF AWARD, with all attachments, and any release(s) against it shall be subject to: (1) the

specifications, terms and conditions set forth in the Request/Bid Number cited herein, (2) the General Terms andConditions of Contracts for the State of Rhode Island and (3) all provisions of, and the Rules and Regulationspromulgated pursuant to, Title 37, Chapter 2 of the General Laws of the State of Rhode Island. This NOTICE shallconstitute the entire agreement between the State of Rhode Island and the Vendor. No assignment of rights orresponsibility will be permitted except with the express written permission of the State Purchasing Agent or hisdesignee. CANCELLATION, TERMINATION and EXTENSION - This Price Agreement shall automaticallyterminate as of the date(s) described under CONTRACT PERIOD unless this Price Agreement is altered by formalamendment by the State Purchasing Agent or his designee upon mutual agreement between the State and theVendor.

AUTHORIZATION AND RELEASE

In no event shall the Vendor deliver goods or provide service until such time as a duly authorized release documentis certified by the ordering Agency. A Direct Purchase Order (DPO) shall be created by the agency listing the itemsordered, using the pricing and format set forth in the Master Blanket. All pricing shall be as described in the MasterBlanket and is considered to be fixed and firm for the term of the Agreement, unless specifically noted to thecontrary herein. All prices include prepaid freight. Freight, taxes, surcharges, or other additional charges will not behonored unless reflected in Master Blanket.

PARTIAL PAYMENTS

PARTIAL OR PROGRESS PAYMENTS MAY BE MADE. PAYMENT WILL BE AUTHORIZED UPONRECEIPT AND ACCEPTANCE BY THE AGENCY OF THE PORTION OF THE CONTRACT OR PURCHASEORDER COMPLETED BY THE VENDOR. PAYMENT UPON THE RENDERING OF A PROPERLYSUBMITTED INVOICE.

DIVESTITURE OF INVESTMENTS IN IRAN REQUIREMENT:No vendor engaged in investment activities in Iran as described in R.I. Gen. Laws §37-2.5-2(b) may submit a bid

proposal to, or renew a contract with, the Division of Purchases. Each vendor submitting a bid proposal or enteringinto a renewal of a contract is required to certify that the vendor does not appear on the list maintained by theGeneral Treasurer pursuant to R.I. Gen. Laws §37-2.5-3.

For all Purchase Orders issued on behalf of the University of Rhode Island, Community College of Rhode Island,and Rhode Island College, vendors will receive a confirming order from the respective entity prior to proceeding.

TERMS AND CONDITIONS OF PRICING AGREEMENT

SCOPE AND LIMITATIONS - This Agreement coversrequirements as describedherein, ordered by Stateagenciesduring the AgreementPeriod. No additional or alternative requirements are covered,unlessaddedto the Agreementby formal amendmentby the StatePurchasingAgent or his designee. Under State Purchasing Law, 37-2-54, no purchase or contract shall be binding on the state or any agency thereofunless approved by the department [of administration] or made under general regulations which the chief purchasingofficer may prescribe. Under State Purchasing Regulation 8.2.1.1.2, any alleged oral agreement or arrangementsmade by a bidder or contractor with any agency or an employee of the Office of Purchases may be disregarded andshall not be binding on the state.

PRODUCT ACCEPTANCE - All merchandise offered or otherwise provided shall be new, of prime manufacture,and of first quality unless otherwise specified by the State. The State reserves the right to reject all nonconforminggoods, and to cause their return for credit or replacement, at the State's option.

a) Failure by the state to discover latent defect(s) or concealed damage or non-conformance shall not foreclosethe State's right to subsequently reject the goods in question.

b) Formal or informal acceptance by the State of non-conforming goods shall not constitute a precedent forsuccessive receipts or procurements.

Where the vendor fails to cure the defect promptly or replace the goods, the State reserves the right to cancel theRelease, contract with a different vendor, and to invoice the original vendor for any differential in price over theoriginal contract price.

ORDER AUTHORIZATION AND RELEASE AGAINST PRICING AGREEMENT

In no event shall the Vendor deliver goods or provide service until such time as a duly authorized releasedocument is certified by the ordering Agency.

StateAgenciesshall requestreleaseasfollows: All releasesshall referencethe Price Agreementnumber, theContract Issuenumber, the item(s) covered,and the unit pricing in the sameformat asdescribedherein. A Department Purchase Order (DPO) listing the items ordered shall be created by the agency. The agency may

mail or fax a copy of the order to the Vendor. In some cases the agency may request delivery by telephone, but mustprovide the Vendor with a DPO Order Number reference for billing purposes. Vendors are encouraged to requirewritten orders to assure payments are processed accurately and promptly.

DELIVERY If this is an MPA, Vendor will obtain "ship to" information from each participating agency. Thisinformation will be contained in the DPO. APA delivery information will be contained in the Notice of Award.

PRICING - All pricing shall be as described herein, and is considered to be fixed and firm for the term of theAgreement, unless specifically noted to the contrary herein. All prices include prepaid freight. Freight, taxes,surcharges, or other additional charges will not be honored unless reflected herein.

INVOICING All invoices shall reference the DPO Order Number(s), Price Agreement number, the ContractIssue number, the item(s) covered, and the unit pricing in the same format as described herein. If this is an MPA,Vendor will obtain "bill to" information from each participating agency. This information will be contained in the

DPO. APA billing information will be contained in the Notice of Award.

PAYMENT - Invoices for items not received, not priced according to contract or for work not yet performed willnot be honored. No payment will be processed to any vendor for whom there is no IRS W-9 on file with the StateController.

MANDATORY PRE BID VISIT WILL BE NECESSARY TO COMPLETE BIDS.There will be a one day walk through (DATE AND TIME TBD) All Bidders will sign inat the time of walk through.

GENERAL CONDITIONS:A. The painting contractor shall read and be governed by the special conditions asoutlined in this document.B. The painting contractor agrees to save the agency harmless from all liens or damages to persons or property arising from or caused by his or her work and carry sufficient liability and property damage insurance on the job, in the amount satisfactory to the agency. The painting contractor shall comply with all otherFederal and state laws as required. The painting contractor shall observe the State of Rhode Island rules on the drug and alcohol free workplace.This agency reserves the right to reject any persons who has /or is currently serving time for felony convictions, as workers will be in a residential setting.

SCOPE OF WORK:A. These specifications cover the complete painting and finishing of all surfaces through the interior and exterior of the building unless otherwise specified.

B: The painting contractor shall furnish all material, labor and equipment requiredto complete all painting and finishing as shown.

C. The painting contractor shall be responsible for inspecting the work of othersprior to the application of any paint or finishing material. If any surface to be finishedcannot be put in proper condition for finishing by customary cleaning, sanding, minor sheet rock repairsand puttying operations, the painting contractor shall immediately notify this agency, inwriting, or assume responsibility for, and rectify any unsatisfactory finish resulting.

D. There are to be a minimum of two (2) painters per apartment. Response time toagency request for services, maximum of 2 days. The contractor shall have staffing capable of repainting the apartments within a 3 day period and be able to paint several apartments at once. Every worker shall sign in and out each day in the log located in the Department of Housing and Residential Lifewarehouse. The contractor shall provide for proper supervision of all work person'sunder the employment of said contractor on a daily basis.

MATERIALS:A. All Materials used on the work shall be of the brand and quality specified and shall be delivered at the site in original containers with seals unbroken and labelsintact.

B. All materials shall be used strictly in accordance with manufacturer's labeldirections.

C. Any necessary materials not specifically covered and specified in this contractshall be subject to the agency approval and the contractor shall submit to the agency, before any materials are delivered, the name and the brand of the materialswhich he or she proposes to use and shall receive an approval of same, in writingfrom the agency.

STORAGE AND PROTECTION:A. All materials used on the job shall be stored in a single place.

B. All soiled or used rags, waste and trash must be removed from the building each night, and every precaution taken to avoid danger of fire.

C. The painting contractor shall protect surfaces and objects inside and outside the buildings as well as the grounds, lawns, shrubbery, and adjacent properties againstdamage to adjacent furnishings.

D. At Completion of work, the painting contractor shall remove from the premisesall surplus painting materials and all debris created by him or her and he shallremove all splatters and leave his part of the work in a clean and finished condition.

SURFACE PREPARATION:A. All surfaces should be sound, clean, and free of oil, grease, glue, loose or peeling paint, and other foreign substances.

B. All wallpaper to be removed per the instructions of this agency.

C. Taping and wallboard compound shall be applied where needed. To make a finished flush surface.

D. Cracks and holes should be spackled and finished flush to the adjoining surfaceand primed with the appropriate primer sealer

E. Remove all blistered, peeling, and scaling paint to a sound substrate. Removeheavy chalk by scrubbing with soap and water. Sand glossy areas and dust and clean. Clean and spot prime any failed areas. Any existing mildew on the surfacemust be completely killed and removed before applying paint.

F. Shower stalls will also be included in this bid proposal and will be prepared and

finished per the instructions of the agency.

G. All Furniture and floors an fixtures shall be covered with drop cloth while preparation and painting are taking place.

WORKMANSHIP:A. All work shall be done by skilled painters in accordance with the best standardpractice and in a manner acceptable to the agency. Any work not conformingto these specifications shall be corrected to the satisfaction of the agencySuch corrections shall be made at the expense of the painting contractor.

B. All finishes shall be evenly applied and free from sags, runs, crawls, brush marks, skips or other defects. All work will be painted to cover the agency approvements.

C. Products shall be applied at the proper consistency and shall be thinned, tinted, or otherwise altered only in accordance with the manufacturer's printed directions.

D. All Materials shall be applied to surfaces that are dry and properly prepared.

E. Each coat of the material shall be thoroughly dry before application of the succeeding coat.

F. All scratches, cracks, and abrasions in plaster surfaces and openings adjoiningtrim shall be cut out as required and then filled with a spackling compound or approved patching plaster flush with adjoining plaster surface, and when dry shallbe sanded smooth and sealed before application of the prime coat.

FINISH:A. All ceilings are to match existing texture and finish and are to be painted in a flat, white latex paint.

B. All Living room, Bedrooms, and hallway walls are to be painted in an Eggshell Latex, light satin pastel color. All closets to be the same.

C. All kitchen and bathroom areas are to be Latex painted in a light pastel, semi gloss.

D. All other trim work to be done in a white gloss, Latex paint. Like doors and trim,window and trim and cabinets, inside and out.

E. Mop Boards and chair rails to be painted per instructions.

F. Areas requiring stain shall match existing finish.

BRAND PAINT: ONLY ICI DULUX AND SHERWIN WILLIAMS paint will be accepted. LATEX ONLY!!!for apartment and dorm rooms.
