TERMS AND CONDITIONS

GENERAL These conditions of sale apply to items and services included in theCompany's price list or shown on its quotations, invoices or similar,unless specifically varied in writing.

"Company" shall mean Rain Fall Products Pty Ltd.

TERMS OF PAYMENT (i) Shall be offered by the Company and accepted by the customerby signing the credit application. Non-compliance with the termswill result in cancellation; otherwise all transactions shall be cash.

(ii) Any expenses, costs or disbursements incurred by the Companyin recovering any outstanding moneys including debt collectionagency fees and solicitor's costs shall be paid by the customer,providing that those fees do not exceed the scale charges ascharged by that debt collection agency/solicitor and in any eventthe commission is not to exceed 18% of the debt value, plus out-of-pocket expenses.

PRICES All prices are subject to change without notice. All published list pricesare recommendations only and there is no obligation on the part of the

reseller.

RETURNS All returns for whatever reason must be made within 14 days from thedate of invoice. A restocking fee of 15% may be applied. Goods of aspecial or "ordered in" nature are not acceptable as returns.

Any goods used or damaged are not acceptable for return.

FREIGHT All goods delivered by the Company's transport are subject to a freightcharge which will be added to the relevant invoice, unless otherwisestated.

The Company accepts no responsibility for late delivery of goods.

The freight charges for returns shall be the responsibility of the customer

unless otherwise agreed by the Company in writing. The Company willnot use road, rail or sea transport outside its normal routine without theexpress written instruction of the customer.

The Company does not insure goods in transit against loss or damage.

WARRANTY All goods are warranted to the level provided by the manufacturer, theperiod commencing from the date of invoice by the Company to itscustomers. The Company accepts no liability for consequential loss ordamage as a result of product failure. Each return shall be labelled withthe customer name, fault and date.

The return of goods shall be at the customer's expense and theCompany reserves the right to repair or replace goods under warrantyclaim.

GOODS RECEIPT While all goods are double checked for type and quantity, it is thecustomer's responsibility to check the receipt and to advise immediatelydetails of any variation.

OWNERSHIP Ownership in the goods shall remain with the Company, which reservesthe right to dispose of the goods, until payment of the full purchase pricethereof and any other moneys due to the Company under theagreement.
