R E T A I N E R S H I P A G R E E M E N T THE PARTIES This Agreement is entered into by and between ________________________. hereinafter called "ATTORNEY" and ___________________________. represented by its president __________________ hereinafter called "CLIENT". CLIENT hires ATTORNEY, to do the following legal work: 1. preparation and/or review of contracts; 2. legal consultation (includes giving of legal advice and opinions) 3. correspondence (includes demand letters, memoranda, and simple business letters); 4. phone conferences; 5. if needed, liaise with any government agencies or offices on legal matters; 6. subject to a prior agreement , representation at any stage to any court or tribunal of cases filed for or against the CLIENT, including but not limited to arbitration/mediation, and; 7. any other related legal services, upon agreement, and when the need so arise. CASE CONTROL CLIENT gives ATTORNEY the right to take all steps that the latter believes and deems necessary in filing/making a defense on lawsuits or in the preparations of other legal papers. When ATTORNEY believes it is right to do so, he will give way to the CLIENT to make the final decisions. The CLIENT agrees that in some instances, and coming up with the desired result, the task/work might entail or require additional professional help (i.e. services of accountant). Such professional services shall be for the account of the CLIENT. FEES

THE PARTIES

This Agreement is entered into by and between ________________________. hereinafter called "ATTORNEY" and ___________________________. represented by its president __________________ hereinafter called "CLIENT".

CLIENT hires ATTORNEY, to do the following legal work:

1. preparation and/or review of contracts;

2. legal consultation (includes giving of legal advice and opinions)

3. correspondence (includes demand letters, memoranda, and simple business letters);

4. phone conferences;

5. if needed, liaise with any government agencies or offices on legal matters;

6. subject to a prior agreement , representation at any stage to any court or tribunal of cases filed for or

against the CLIENT, including but not limited to arbitration/mediation, and;

7. any other related legal services, upon agreement, and when the need so arise.

CASE CONTROL

CLIENT gives ATTORNEY the right to take all steps that the latter believes and deems necessary in filing/making a defense on lawsuits or in the preparations of other legal papers. When ATTORNEY believes it is right to do so, he will give way to the CLIENT to make the final decisions.

The CLIENT agrees that in some instances, and coming up with the desired result, the task/work might entail or require additional professional help (i.e. services of accountant). Such professional services shall be for the account of the CLIENT.

FEES

For the retainership, the CLIENT agrees to pay to ATTORNEY an amount of Twenty Thousand Pesos (20,000.00 Php) to be paid in advance on every fifth (5th) day of the month.

Actual cases to be filed for or against the CLIENT shall be subject to a separate acceptance fees, which shall be determined in a separate agreement. An appearance fee for hearings within Metro Manila (including labor and other administrative proceedings) is pegged at Two Thousand Five Hundred Pesos (Php 2,500.00). For exigency Works or any other legal services which needs immediate and urgent attention and that is to be represented by the ATTORNEY, corresponding appearance fees shall apply.

For meetings/conferences, transportation fees of One Thousand Pesos (Php 1,000.00) within Metro Manila shall apply and be chargeable to the Client.

Messengerial and other administrative costs, and out of pocket expenses incurred by the ATTORNEY needed in the performance of this agreement shall be borne by the CLIENT.

PROFESSIONAL RELATIONSHIP

The parties hereby agree that their professional relationship is based on trust, confidence, and mutual respect.

EFFECTIVITY

This agreement shall take effect for six (6) months which will start upon signing hereof of the parties. Thereafter, it may be extended upon mutual consent.

OTHER TERMS

Such other terms and conditions, as can be mutually agreed in the future, may be added to this agreement and shall form part hereof.
