1. The information contained in this Request for Expression of Interest (“REOI”) document or

subsequently provided to Interested Parties, whether verbally or in documentary or any other form

by or on behalf of Andhra Pradesh State Road Transport Corporation (“APSRTC”)or any of its employees or

advisers, is provided to Interested Parties on the terms and conditions set out in this REOI and such other

terms and conditions subject to which such information is provided.

2. This REOI is not an agreement and is neither an offer nor invitation by APSRTC to the Interested Parties

or any other person. The purpose of this REOI is to provide Interested Parties with information that

may be useful to them in making their Expression of Interests (EOIs) pursuant to this REOI. Th is REOI

includes statements, which reflect various assumptions and assessments arrived at by APSRTC in relation

to the proposal. Such assumptions, assessments and statements do not purport to contain all the

information that each Interested Party may requi re. This REOI may not be appropriate for all persons,

and it is not possible for APSRTC, its employees or advisors to consider the investment objectives,

financial situation and particular needs of each party who reads or uses this REOI. The assumptions,

assessments, statements and information contained in this REOI, may not be complete, accurate,

adequate or correct. Interested Parties should, therefore, conduct their own investigations and

analysis and should check the accuracy, adequacy, correctness, rel iabil ity and completeness of the

assumptions, assessments, statements and information contained in this REOI and obtain

independent advice from appropriate sources.

3. Information provided in this REOI is on a wide range of matters, some of which may depend upon

interpretation of law. The information given is not an exhaustive account of statutory requirements

and should not be regarded as a complete or authoritative statement of law. APSRTC accepts no

responsibil ity for the accuracy or otherwise for any interpretation or opinion on law expressed herein.

4. APSRTC, its employees and advisors make no representation or warranty and shall have no liabil ity to

any person, including any Interested Party under any law, statute, rules or regulations or tort,

principles of restitution or unjust enrichment or otherwise for any loss, damages, cost or expense

which may arise from or be incurred or suffered on account of anything contained in this REOI or

otherwise, including the accuracy, adequacy, correctness, completeness or reliabil ity of the REOI and

any assessment, assumption, statement or information contained therein or deemed to form part of

this REOI or arising in any way in this Selection Process.

5. APSRTC also accepts no l iabil ity of any nature whether resulting from negligence or otherwise however

caused arising from reliance of any Interested Party upon the statements contained in this REOI. APSRTC

may in its absolute discretion, but without being under any obligation to do so, update, amend or

supplement the information, assessment or assumptions contained in this REOI.

6. The issue of this REOI does not imply that APSRTC is bound to select/appoint an Interested Party and

APSRTC reserves the right to reject all or any of the EOIs without assigning any reason whatsoever .

Interested Parties shall bear all their costs associated with or relating to the preparation and submission of

their EOIs including but not l imited to preparation, copying, postage, delivery fees,

expenses associated with any demonstrations or presentati ons which may be required by APSRTC or any

other costs incurred in connection with or relating to their EOIs. All such costs and expenses will

remain with the Interested Party and APSRTC shall not be l iable in any manner whatsoever for the same

or for any other costs or other expenses incurred by any Interested Party in preparation or submission

of the EOI.

SECTION1: EXPRESSION OF INTEREST

1. Introduction

AP is the eighth largest and one of the most industrious, entrepreneurial and fastest growing

states in India with a rich cultural heritage, diverse lifestyles and endless prospects. Endowed

with the second longest coastline of 974 km, the state is a logistics marvel on the eastern

seaboard with 15 fifteen ports out of which six operational ports and three under

development, six operational airports with three under development, over 123,000 km of road

network, 2,600 km of rail network and round the clock power supply besides offering

abundant natural resources, huge captive market and ready skilled workforce.

Andhra Pradesh State Road Transport Corporation (APSRTC) is the state-owned road transport

corporation of the state of Andhra Pradesh. APSRTC is one of the largest public transport

corporations in India and is consistently providing high-quality services for the utmost

satisfaction of its passengers since its inception. APSRTC was established in June 1932 and is

one of the oldest Govt owned surface transport companies in India. The Corporation's buses

cover 42.85 lakhs KMs and carry 72.18 lakhs people to their destinations every single day.

connect 14,123 villages to all major towns and cities in A.P. In many parameters viz., Fleet

Utilization, Vehicle Utilization, Tyre Life, BSR, Employee Productivity, APSRTC stands far above

the national average. APSRTC has won several awards and have several firsts to its name

including 2 national awards and also Guinness Book of World Records for making it the largest

bus fleet in the world. APSRTC is the first state transport system which use Live tracking

facilities for tracking of buses.

2. Purpose of REOI

APSRTC is committed to provide the best of services and have identified Bus Station/ Bus

depot locations across the state of Andhra Pradesh to provide modern amenities to the

passengers besides generating revenues from commercial establishments developed on PPP

model.

APSRTC has Identified Vacant land available at Tagarapuvalasa, Visakhapatnam Dist, which is

having huge potential for monetizing by providing Bus Depot for maintenance of vehicles and

developing commercial spaces. These Identified vacant site to be developed as integrated bus

depot with commercial components in the form of office/ commercial buildings, hotels &

hospitality, malls &multiplex and others.

Thus, APSRTC invites REOI from various local, national and international developers who are

well conversant with the development of integrated development (bus depot combined with

permitted commercial development) on PPP mode.

3.Project Background

APSRTC is one of the largest Public Transport Corporations in the world, wants to leverage its

experience and expertise, and intends to develop integrated development of vacant space to

provide bus depot & for commercial development to generate resources on a continuous and

sustainable basis and envisage providing quality amenity facilities for maintenance of vehicles..

Therefore, APSRTC identified the necessity of development of vacant space by integrated

development of bus depot on PPP mode for potential revenue generation.

The core objectives of developing the integrated bus terminals on PPP basis being:

• To make best use and effective utilization of resources

• To provide best class facilities for maintenance of buses.

• To monetize and enhance the revenue for APSRTC

• To prevent encroachments

• To comply with future demand and people’s expectations

• To make State of Andhra Pradesh – Distributed Development State

• To provide direct and indirect employment

• To meet industry requirements

• To create state of art infrastructure and Services for the users

• To achieve self-sustaining through optimum utilization of resources

• To encourage redevelopment of neighborhoods and to achieve foster greater economic

health.

4. Scope of work:

The broad scope of work of the bidder would include:

Construction of Bus Depot for maintenance of 60 No.s buses along with parking

facility.

Development of Commercial Facilities on PPP mode

Collect revenue on the commercial area developed and share part of revenue

generated which will be bid criteria.

5. Commercial Prospects of Tagarapuvalasa - Location

a. About Site

The vacant site of Ac 4.09 cents is located at a distance of 300 Mts from the NH16

adjacent to the Gosthani River. The site is strategically located in the town and will be

centre of commercial activities inview of the development taking place in the

surrounding areas. The site located about 12 to 15 Kms from Visakhaptnam and is also

12KM to the proposed Bhogapuram Airport. A number of Educational institutions,

Pharma Industries and residential areas are located nearer to the proposed site.

e. Estimated Potential Future Demand

The area is well known as a major Education Hub with major colleges, coaching centers

and training institutions situated here and hence the flow of traffic will always exist to

this area and moreover recent announcement of Bhogapuram airport and

Visakhapatnam as Executive Capital of the state of Andhra Pradesh created more

demand for Office space and retail business. There is good commercial potential in

future for office space. No existing star rated hotels in the area.

Not having any commercial malls in the surroundings will be an added advantage for

the site.

6. Case Study on Successful Implementation of Integrated Bus Terminal

Several states like Gujarat, Madhya Pradesh, Tamilnadu and Rajasthan in recent past identified

the necessity of development of integrated bus terminals on PPP mode for potential revenue

generation along with providing modern amenities to the passengers.

Amongst these states, Gujarat has successfully implemented integrated bus terminals on PPP

mode; the features of the which are as follows:

a. Gujarat Model for Development of Integrated Bus Terminal on PPP mode

A brief of Gujarat model of development of integrated bus terminals on PPP model is given

below:

Major bus terminals located in four prime cities of Gujarat i.e., Ahmedabad, Surat,

Vadodara, Mehsana were developed on PPP mode

Build-Transfer-Lease (BTL) model of Public Private Partnership was successfully

implemented for the development of bus shelters and associated commercial complexes

across these locations in the State.

Moreover, The BTL concept has been tried, tested and successfully implemented in the

development of 51 bus terminals in Gujarat through Private Sector Participation (PSP) by

the GSRTC

Further, more than 10-15 locations are under implementation under BTL model of PPP

basis

b. Rajasthan Bus Terminal Development under PPP

Rajasthan State Bus Terminal Development Authority adopted the model of Public Private

Partnership on Design Build Finance Operate and Transfer (DBFOT) for development of

Integrated Bus Terminal cum Commercial Complex at Heerapura, Jaipur and also Rajasthan

State Road Transport Corporation had identified Sindhi Camp Bus Terminal at Jaipur for

improvement, modification, and redevelopment.

c. Madhya Pradesh Bus Terminal Development under PPP

Jabalpur Smart City Limited also adopted the model of Public Private Partnership on Design

Build Finance Operate and Transfer (DBFOT) for development of Integrated Bus Terminal

cum Commercial Complex at Teen Patti, Jabalpur.

d. Gorakhpur Bus Terminal Development under PPP

Uttar Pradesh State Road Transport Corporation also adopted the model of Public Private

Partnership on Design Build Finance Operate and Transfer (DBFOT) for development of Bus

Terminal in Gorakhpur.

e. Coimbatore Bus Terminal Development under PPP

Tamilnadu State Road Transport Corporation also planning to develop Coimbatore Bus

Terminal on PPP model

7. APSRTC Integrated Development - proposed Project Structure

APSRTC envisages development of modern integrated bus depot for maintenance of

vehicles along with commercial development to be carried out on PPP model to gain

advantages of innovative design, construction practices, efficiency and excellence brought

forth by the private developer.

The project will involve development of Ac 4.09 cents of land. It is envisaged that

prospective developer will carry out development of commercial area either fully utilizing

the land duly providing the Bus Depot for maintenance of RTC Buses along with parking as

per APSRTC standards or the developer may opt to develop Depot related infrastructure

in the part area and utilizing the balance areas for commercial development.

It is further envisaged that bus depot will be combined with permitted commercial

development to make the project commercially viable for development. It is proposed that

substantial part of the project shall be dedicated purely to commercial activities like hotels,

malls, offices, commercial complexes, recreational zones, social infrastructure etc. as per

the vision of the developer on PPP basis. Prospective developer would recoup its

investments through revenue earned in the form of lease rentals from commercial as well

as bus terminal area, private parking spaces, advertising etc.

The project will have concession period of 33 years (including construction period) . The

prospective Developer may also suggest suitable concession period based on the

anticipated revelues

Project shall involve development of project facilities at project sites including designing,

financing, construction, implementation, completion, commissioning, management of the

facilities, and transfer of the project facilities in good working condition to APSRTC at the

end of the concession period

With regards to the project site, the land ownership will remain with APSRTC and the land

will be licensed/leased to prospective developer for the concession period

The concession agreement shall be signed with the prospective developer who offers

highest revenue share with the APSRTC(bid criterion/parameter)

8. Interested Parties

APSRTC invites Expression of Interest (“REOI”) from prospective reputed and professional

developers or consortia of developers and financiers interested in the development and

operation of of the project.

This REOI does not constitute any part of the bidding process. Subsequent to this

announcement, APSRTC intends to follow an open competitive bidding process for the

selection of the bidder for the project(s). This REOI does not constitute an offer or a

qualification process. Qualification criteria will be separately prescribed as a part of the

bidding process in RFP.

Prospective Developers are encouraged to share their suggestions and views with APSRTC

with respect to development of integrated bus depot (project) on PPP basis. Basis

recommendations, feedback, suggestions & views received, APSRTC may incorporate such

modifications in the project structure which enhances the value for all stakeholders

concerned including more prominently the passengers.

This is to further inform to the prospective developers that, Authority may organize an

Investor’s Conference at a date to be decided later for high level discussions on key

structuring, technical and commercial issues of the Project and may request the interested

parties to depute the representatives to participate in the Conference.

The REOI shall be submitted on or before the deadline mentioned in this document. Due

to COVID – 19 usage of online means of correspondence through E-mail is accepted

provided that the mail is sent from the official ID of the MD/CEO of the company or the

personnel in-charge for partnership related decision making in top management and Mail

is addressed to Executive Director of APSRTC with the subject line as mentioned above. The

body of the mail should provide a brief overview of the EOI and a scanned copy of the

signed EOI should be attached. APSRTC reserves the right to accept or reject any EOI at any

stage without assigning any reasons thereof.

SECTION 2: SUBMISSION OF EOI

1. Procedure for Submission of EOI

1. EOIs should be downloaded from the website site www.apsrtc.gov.in and submitted in a

sealed envelope clearly marked “EOI for Development of Integrated Bus Depot in the

vacant land at Tagarapuvalsa, Visakhapatnam Dist in the state of Andhra Pradesh

addressed to the Chief Civil Engineer, APSRTC, RTC House, PNBS, Vijayawada

2. Applicants (in case of consortium, each member) must submit the following documents

and as required as per the REOI:

a. Company profile/s including details of ownership and evidence of incorporation

b. Evidence of financial capability, including statement of

relevant financial information provided in the form of Audited Annual Financial

Statements of the Applicant for past three (3) years ending March 31, 2020(i.e., FY

2019-20, FY2018-19, FY2017-18)

c. Detailed information on key personnel (list of management, key officials, promoters

and stakeholders)

d. Provide evidence of relevant qualifying project experience, successfully completed in

the immediate past five (5) years with details of project value and firm’s role

(developer, contractor, etc.). Certificates are required to be provided

3. EOI should be submitted in the format provided in this document. Information is to be

provided in that format only. Any part of the format, which is not applicable to the

respondent, should be written as “Not Applicable”. Additional information can be

submitted as Annexure to this format.

4. Language for submission of EOI and all documents shall be English.

5. The Applicant shall bear all its costs associated with or relating to the participation in this

process regardless of the conduct or outcome of the process.

6. Last date for submission of EOI is as mentioned in this REOI document.

7. All pages of the EOI should be signed and sealed by authorized signatory of the Interested

Party.

8. APSRTC reserves the right to cross check and confirm the information/ details furnished

by the respondents in their EOI.

9. All information submitted by the Interested Party through EOI will be kept strictly

confidential by APSRTC and will not be shared with any other party, however, APSRTC

takes no responsibility of any leak of information during the process or otherwise.

Interested Parties are requested not to share any propriety information in their EOIs.

10. APSRTC reserves the right to use information received in the EOIs for further

development of the project. Mere fact of submitting an EOI, however, shall not confer

any right on the parties to preferential treatment at the subsequent selection stage.

11. If any of the mandatory information or proof documents which is requested as part

of this REOI, is not made available to APSRTC by the Applicant, then that Applicant’s EOI

shall be rejected.

2. Amendments:

1. At any time prior to the deadline for submission of EOI, APSRTC may, for any reason,

whether at its own initiative or in response to clarifications requested by any Interested

Party, or in its absolute discretion, without being under any obligation to do so, update,

amend or supplement any information, objective, assessment or assumption contained

in this EOI or modify the REOI document by the issuance of addendum/corrigendum.

2. Any addendum/corrigendum thus issued shall be part of this REOI and shall be posted

on the “tenders” section of APSRTC website: tenders www.apsrtc.gov.in

3. Interested participants are required to check the website regularly for the updates

related to the EOI before submitting the proposals.

3. Timelines:

The expression of Interest application can be downloaded from Web site

www.apsrtc.gov.in from 26.02.2021 to 05.03.2021 from tenders/BOT

Date of pre bid meeting at PNBS, Vijayawada or through Google Meet on 08.03.2021

Last Date for submission of bids: 15.03.2021 upto 15.00 Hrs.

Opening Date of Bids : 16.03.2021 at 16.00 Hrs.

In order to enable APSRTC meet the target dates, Interested Parties are requested to respond

expeditiously to clarifications, if any, requested during the process. APSRTC will adhere to the

above schedule to the extent possible. APSRTC, however, reserves the right to modify the same.

4. Site Visit:

1. Interested Parties may prior to submitting their EOI, visit and inspect the locations at

their own expense and obtain and ascertain for themselves, at their own responsibility,

all technical data, market data and any other information necessary for preparing their

EOIs.

2. For the purpose of Site Visit, APSRTC shall endorse Interested Parties ’ request for

permission for a site visit. APSRTC may or may not depute a representative to

accompany the Interested Parties. Interested Parties shall be responsible for all

arrangements and shall release and indemnify APSRTC and/ or its

agents from and against all liability in respect thereof and shall be themselves

responsible for any personal injury, loss of or damage to property or any other loss,

damage, costs or expenses, however caused, which, but for the exercise of such

permission, would not have arisen.

5. General

1. APSRTC reserves the right to cancel the process at any stage without assigning any

reason.

Developer, without incurring any liability to the Applicants.

Note:

i. For the purpose of evaluation of applicants INR 75.0 (INR Seventy Five only) per USD shall be

considered as the applicable currency conversion rate. In case of any other currency the same

shall first be converted to USD as on the date 60 (Sixty) days prior to the proposal due date and

the amount so derived in USD shall be converted into INR at the aforesaid rate. The conversion

rate of such currency shall be the daily representative exchange rates published by the IMF for

the relevant date.

ii. Please limit the description of the project in two A4 size sheet of paper.

iii. The certification of project experience shall be issued by concerned client. The Bidder (Each

Member in case of Consortium) should furnish adequate evidence to support its claim of

Eligible Experience detailed in Response Sheets. The experience of projects under development

stage shall not be considered for experience.

iv. The Bidder should provide details of only those projects undertaken by it. Project experience of

the Bidder's parent company or its subsidiary or any associate company (who is not a member

of the Consortium) will not be considered for computation of the experience
