Biography
Roger Faxon was appointed GCFO and joined the EMI Board on 5 February 2002. He joined EMI in 1994, initially asSenior Vice President, Business Development & Strategy, EMI Music and, from April 1999, as Executive Vice Presidentand Chief Financial Off icer, EMI Music Publishing.
Prior to 1994, Mr Faxon held finance, operations and general management positions. These posts included five years withSotheby's, latterly as Managing Director, Sotheby's Europe and, previously, as Chief Operating Officer, Sotheby's Northand South America. This followed 10 years in the motion picture industry with LUCASFILM Ltd, The Mount Companyand, finally, Columbia Pictures Entertainment. Biography
Alain Levy joined EMI and was appointed to the Board on 15 October 2001.
Mr Levy joined CBS International (now Sony Music) in 1972 and, after 12 years, moved to PolyGram, where he becamePresident and CEO in 1991. In both companies he held various posts involving manufacturing, logistics, marketing andmanagement. Mr Levy remained with PolyGram until it was sold to Seagram in 1998.

Biography
David Munns first joined EMI in 1972 in the marketing department of its London headquarters. He subsequently rose

through various marketing positions, including product manager for Paul McCartney and the first Wings album, and from1977 to 1979 was responsible for the UK marketing of non−UK EMI repertoire such as Dr Hook and Kraftwerk. In 1979Munns moved to EMI Canada to oversee all of its operations except A&R (which was the responsibility of current EMICanada head Deane Cameron), returning to EMI UK in 1984 as head of A&R and marketing. In 1987 he moved toPolyGram as managing director of Polydor Records. There he worked with artists including The Cure, the Bee Gees,Andrew Lloyd Webber, Style Council and Van Morrison and trebled the label's turnover in four years.
In 1991 Munns was promoted to the worldwide position of senior vice president − pop marketing for PolyGram,responsible for overseeing all of the company's frontline repertoire. From 1994 to 1999 he was also a board director ofAndrew Lloyd Webber's Really Useful Group. After deciding to leave PolyGram in 1998, Munns became Jon Bon Jovi'smanager, helping Bon Jovi to sell over seven million copies of their album 'Crush'. Munns rejoined EMI in October 2001as vice chairman of EMI Recorded Music with special responsibility for global marketing and human resources.

Stuart Ells has been Chief Financial Officer and a Director of The Really Useful Group for the past two years. Biography
After earning both his bachelors and masters degrees in music performance from the University of Miami, Matt Serletic,31, discovered and signed matchbox twenty to his production company, Melisma Productions. He produced both theirdebut and sophomore albums which have together sold over 20 million copies worldwide. In 1999, Serletic produced'Smooth', the lead track from Carlos Santana's comeback album 'Supernatural'. The album has since sold over 30 millioncopies worldwide. 'Smooth' and 'Supernatural' earned Serletic two Grammy Awards in 2000 for Record of the Year andAlbum of the Year. In 2000 he topped Billboard magazine's 'Hot 100 Producers' chart for the year.
In 1999 Serletic formed Melisma Records, a joint venture with Arista Records, and has continued to produce hit recordswith artists including Aerosmith, Celine Dion, Collective Soul and Edwin McCain. Recently, Serletic produced WillieNelson's 201st album entitled 'The Great Divide'. Serletic is also a writer, arranger, composer and musician.

From 1993 to 1998 Wadsworth was managing director of EMI's Parlophone label during which time the company enjoyedsuccess with many new signings including Blur, Radiohead, Supergrass and Mansun as well as superstars such as Queenand Tina Turner. Biography
Roy Lott's career in the music industry began in 1979 when he joined Arista Records in New York as an attorney. Overview

It also owns EMI MusicPublishing, the world's largest music publishing arm, with rights to more than a million songs. The only major recordcompany not tied to a media conglomerate, EMI has seen acquisition deals with both Time Warner and Bertelsmann nixedby European regulators.
Being unaffiliated with a larger media company, EMI has struggled in its efforts to market new albums and artists. EMIalso suffered from a 3% industry downturn in US record sales in 2001 (the most in a decade). To improve its reach toaudiences and reduce costs, the company turned to EMI Music Publishing, its licensing division, which has struck anumber of deals with online distribution companies. It also joined with Warner Music, BMG, and RealNetworks to formMusicNet in 2001. In addition, EMI has taken steps to further develop its South East Asian business with plans to expandinto China. The company also sold its stake in retail joint venture HMV Media Group.
In 2003 EMI again entered acquisition talks with Warner Music Group, only to have its $1.7 billion offer trumped byformer Seagram head Edgar Bronfman, Jr., who sealed a deal with Warner for $2.6 billion. The absence of mergerprospects, coupled with EMI's stagnant revenues, has prompted the company to again slash its workforce by about 20%(EMI cut its staff by about 1,800 in 2001 when Alain Levy took over as CEO of Recorded Music). Most of the cuts willoccur in EMI's CD and DVD manufacturing plants in the Netherlands and the US (the company's plants in Australia,Canada, and Japan will be unaffected); EMI plans to close the plants and outsource manufacturing. In addition, EMI willreduce its artist roster and restructure some of its labels.

History
Electric & Musical Industries (EMI) was established in 1931 as a successor to a 19th−century gramophone producer. Itgradually expanded operations to produce everything from radar systems during WWII to the first television system forthe BBC. In 1955 the company bought Los Angeles−based Capitol Records (founded in 1942), which featured such artistsas Frank Sinatra and Nat "King" Cole. EMI became a major force in the entertainment industry over the next decades,topping off a string of acquisitions with the purchase of Associated British Picture Corporation in 1969.
EMI suffered through the 1970s with money−losing films and the PR sting of signing the outrageous punk group The SexPistols in 1976. (The company canceled its contract with the band in 1978.) In 1979 the struggling firm was bought byappliance and electronics giant Thorn Electrical Industries (founded by Jules Thorn as the Electrical Lamp ServiceCompany in 1928) for $356 million. Renamed THORN EMI in 1980, the conglomerate lacked strategic focus andcontinued to suffer losses. Colin Southgate was tapped as CEO in 1985 and streamlined its operations to four businesssectors. The company acquired 50% of Chrysalis Records in 1989, and the next year it added Filmtrax music publishing(UK). Also in 1990 the company's HMV stores unit opened its first US superstore in New York City.
In 1992 the company acquired Virgin Records from founder Richard Branson for $960 million. The purchase boostedEMI's US market share and made it one of the world's top music companies. THORN EMI sold its lighting division thenext year, and in 1995 it bought UK bookstore business Dillons (later merged with and rebranded Waterstone's).
In 1996 EMI and Thorn split into separately traded companies to maximize the value of its disparate assets; however,share prices plunged when profits failed to materialize. The next year EMI paid $132 million for 50% of Berry Gordy'sJobete companies and its 15,000−song Motown catalog. The Spice Girls, five women brought together by a newspaper ad,became one of Virgin's biggest moneymakers that year.
To focus more on music and less on retail, EMI transferred its HMV and Dillons chains to HMV Media Group, a jointventure with Advent International, in 1998. That year EMI Music head James Fifield resigned with a healthy buyoutpackage after Southgate scotched a succession plan that would have made Fifield CEO. The following year Eric Nicoli,former CEO of United Biscuits, was tapped as Southgate's replacement.
Seeking a bigger presence on the Internet, the company bought an equity stake in music Web site Musicmaker.com in1999. It also bought music publisher Windswept Pacific for $200 million. The following year the company sold its stakein Musicmaker.com for a hefty profit and later agreed to merge its music operations into a joint venture with TimeWarner's Warner Music Group. Its deal with Warner was scrapped, however, to appease European regulators examiningthe merger of Time Warner and AOL. EMI opened negotiations with Bertelsmann, but the talks broke off in 2001 (againdue to pressure from regulators). Also that year, EMI formed online distribution venture MusicNet with Warner Music,BMG, and RealNetworks.
EMI's ill−fated five−record contract with pop diva Mariah Carey was a huge embarrassment for the firm. After Carey'sfirst EMI album, Glitter, sold a meager 500,000 copies in 2001, the company bought out Carey's deal for $28 million. Itsubsequently laid off about 20% of its workforce, cut 400 acts from its roster, and took a $340 million charge for the year.Ken Berry, CEO of the EMI Recorded Music division, left the company that year and was replaced by Alain Levy, aformer PolyGram executive.
In 2002 the company acquired Mute, a leading European independent record company, for $33.5 million. Also that year itsold off its remaining stake in HMV.
