58 of the Rajasthan Power Sector Reforms Act, 1999 (Act No.23 of 19(9), the.State 90vernm~nt •hereby makes the Transfer Scheme for providing and giving effect to the trans{e( 8f a~sets,properties, rights, liabilities, obligations, personnel and proceedings of Jodhpur Vidyut VitaranNigam Ltd. to Ajmer Vidyut Vitaran Nigam Ltd. following, namely>
I. Short title, extent uud commcuccmcut.r-I I) This Scheme may be called theRajasthan Power Sector Reforms Transfer Scheme-LzO 16. i.., This Scheme shall come into force from the date of its publication in the Official Gazette.
2. Dcfinitions.-( I) In this Scheme. unless there is anything repugnant in the subject orcontexte-
(a)"Act" means the Rajasthan Power Sector Reforms Act, 1999 (Act No.23 of 19(9);(b)"Ajmcr Discom" means the Ajmer Vidhyut Viiran Nigam Limited (AVVNL), which
is incorporated with tile principal object of engaging in the business of distributionand supply or electricity in the area us specified in Part II of Scpepu,le L of theRajasthan Power Sector Reforms Transfer Scheme 2000 and will, .include arc~i~'supply as specified in Part II of Schedule - C of this Scheme; !.' .'
(c)"Asscts" means machinery, equipment's, transmission and distribution systems, laQPs.buildings, offices, stores, furniture, fixtures, vehicles, residential quarte}~,and guesthouses and amenities and installations pertaining thereto and other movable andimmovable assets, cash in hand, cash at bank, investments, book debts, corporeal orincorporeal, tangible and intangible assets, benefits, .licences, consents, authorities,registrations, liberties, patents, trademarks and powers of every kind, nature anddescription whatsoever, privileges, easements, advantages, benefits and approvals,
r. contracts, deeds. Schemes, bonds, agreements and other instruments 'and interest iof',I whatever nature and wherever situated; I.
(d)"Effcctive date of transfcr" means the date of publication of this Scheme in theOfficial Gazette:
(c)"Jodhpur Discom" means the Jodhpur Vidhyut Vitran Nigam Limited (JDVVNL),which is incorporated with ,the. principal object of engaging in the, business ofdistribution and supply of electricity in the area as specified in Part III of Schedule Lof the Rajasthan Power Sector Reforms Transfer Scheme 2000, and will exclude areaof supply as specified in Part II of Schedule - C of this Scheme;
(t)"Liabilitie.s" means all liabilities. debts, duties, obligations and other outgoingsincluding statutory Iiabil itics and Government levies of whatever nature including hecontingent liabilities which may arise in regard to dealings before the effective da~oftransfer in respect of the specified Undertakings excluding however liabilities relatingto per sonnel and matters related to; ~
(g)"Personnel" means workmen, employees, staff and officers of the Jodhpur Discernby whatever name called including those on deputation to other organisations orinstitutions, but shall exclude- persons on deputation from other organisations to thetransferor;
(h)"Proct~edings" means all proceedings of whatever nature including suits.. appeals,complaints, petitions, applications, conciliatory or arbitration whether civil orcriminal, or otherwise in which Power Companies is one of the parties;
(it'Reforms Scheme" means the Rajasthan Power Sector Reforms Transfer Scheme2000;
(j)"Schedulc" means the schedules appended to this Scheme;(k)"State Government" means the Government of Rajasthan;(I)"Transfcrcc" means Ajmer Vidhyut Vitran Nigam Limited; and(m)"Transfcror" means Jodhpur Vidhyut Vitran Nigam Limited;
(2) Words and e xpressions used in this scheme but not defined shall have the same meaning asassigned to them in the Act. :

(2) On such transfer and vesting of the assets and liabilities under clause' (1) to the Tr~sferee,the Transferee shall be responsible for aII contracts, rights, deeds, schemes, bonds, agreementsand other instruments of whatever nature pertaining to the assets transfen ed to. it, to whichTransferor was initially a party, subsisting or having effect on the effective daieof transfer, liii"thbsame manner as. the Transferor was liable immediately before the effective date of transfer andthe san~e shall be in force ,and effect against or in favour of the Transferee- had been a' ~a:rtythereto.instead of the Transferor. . . ,(3) As consideration for the transfer and vesting of the assets and liabilities to 'the Transfer~~('a.5mentioned in clause.(1)and (2)"State Government Debt of Rs.3371.38 Lakhswill I::econsider asequitycontribution of the State Government to the Transferee.TheTransferee shall issue3,37,13,800sharesof Rs.10/- to the StateGovernment.J l ' ~,"
(i) As per provisions of ReformsScheme,RajasthanRajyaVidyut PrasaranNigam Ltd. shall beresponsible for contribution to the pension and gratuitv trusts of the Nigamupto 19th Juiy2000 in respect of personnel servingon 19.7.2000and transferred to Transfereeunder thisScheme.
(ii) Transferor shall be responsiblefor its contribution to the pensionand gratuity trusts of theNigamfrom 20th July 2000 to the effective date of transfer in respect of personnel servingon 19.7.2000and transferred to Transfereeunder this Scheme.
(iii)The managerner.t of the Transferee shall be responsibleto ensure that the contribution tothe Trusts relating to personnel related funds for the servicesof the personnel, transferredto the Transferee under this Scheme,is made after effective date as required from time to
I:' time..All proceedings including disciplinary proceedings pending against the personnel prior to the
date of transfer from the Transferor or which may relate to misconduct, lapses or acts ofor omission committed before the effective date of transfer shall not abate and willwith the Transferee consistent ,-...ith the applicable service rules.
~> h;"~l,!4. Transfer of Personnel.-(l) The transfer of personnel under this Schemeshall be subject to
the terms andconditions contained in the Act.(2) Subjectto clause(1), the personnelclassifiedin Schedule-Bshall,on the effective date of transfer, betransferred and permanently absorbed in the Transferee. ,(3) On such transfer and subject to the provisionsof the Act and other provisions of this Schemethepersonnel shall ~e a part of the servicesof the Transferee, but their rank, scale of, pay and inter-seseniority asexisting in the Transferor 0;1 the effective date of transfer shall be maintained.(4). Notwithstanding the provisional nature of transfer of personnel to the Transfereeasper sub-il~u~e41) of clause5, the personnel shall dischargethe duties and functions as may be assignedto therr{.from
I " .,./", ,'_ l"time to time by the Transferee and the Transferee shall have the power to exercise all administrativea'~ddisciplinarycontrol over suchpersonnel transferred to them asper this Scheme. .(5) Thetransfer of personnel shall be further-subject to the following conditions, namelv.«
(a) that the terms and conditions of the servicesapplicable to personnel on the effecti\le'date.of, transfer, shall not in any way be less favourable than those applicable to .thernlmmedtatetv before the said effective date of transfer. Accordingly the' salary, allow~ncesand other pecuniary benefits including terminal benefits applicable on the effective d~te of

(e) Subject to this Scheme,the personnelshall ceas~to be in the serviceof the Tram feror andshallnot assertor claim any benefit of serviceunder Tra nsferor.
(S) Subjectto the Act and this Scheme,the Transfereeshall,with the approval of the StateGovernment,e' regulations governing the conditions of personnel transferred to the Transferee under this

..(7) Subject'to clause(8), in respect of all statutory and other Schemesand employment related mattersincluding the provident fund, gratuity fund, pension and any other superannuation fund or any otherpecialfund created or existing for the benefit of the personnel, the Transfereeshall be substituted far.eTransferor for all purposesand all the rights, powers and obligations of the Transferor in relation to

, .o f!'3_{8}5. The transfer of the personnel to be provisional in the fil'st instance.--(l) All
of personnel from the Transferor to the Transferee under clause 4 shall ~e. provisi 'period of six months and after this period the transfer shall be treated as final,order passed by the State Government under the sub-clause (3).(2) The State Government shall, within fifteen days from the efiective date of transfer, con , ,committee to receive representations from personnel. The committee shall consider representatloreceived based on the need of the Transferee, suitability of personnel, organisational requirements'other relevant factors, keeping consistency with the overall objectives of the Act and marecommendations to the State Government.(3) (a) At any time within a period of six months from the effective date of transfer,' the State
Government may, by order to be notified, amend, vary, modify, or otherwise change ithetransfer of personnel to the Transferee, under sub-clause (2) of clause 4,: as the stateGovernment may consider appropriate. Upon such orders having been passed, the relevantSchedules shall stand amended accordingly. ,i
(b) The transfer and absorptic.n of personnel to the Transferee, in accordance with theamended Schedules, shall be final and shali be effective as if it has been 'made on theeffective date of transfer.
6. Classifications and Transfer of Assets and Liabilities provisional in the firstinstance>- (I) The classification and transfer of assets under the clause 3 shall be provisional andits value shall be subject to audit and shall be Iiuul upon the expiry of six months from lht>':effective date of the transfer. j ~(2) At any time within a period of six months from the effective date of the transfer. Transferorcan amend, vary, modify, add. delete or otherwise change terms and conditions of this transferincluding items included in the transfer or the value thereof through another transfer Scheme.(3) On the expiry of the period of six months from the date of the transfer but subject to any notificationby the State Government, the transfer of assets, properties, interests, rights and liabilities made inaccordance with this'Scheme shall become final., ' .(4) The provisions ofthls claus'e shall not apply to the transfer of Personnel and rnaVers relating thereto.

7. Rights and obli~~tions of third 'palrtics restrictcd.-Upon the lraI{sre~p~fng effectedin accordance with the Act 'and this Scheme, the rights and obligations of ul·j pcrs(jns shall berestricted to the Transferee to whom they arc assigned to and notwithstanding anything containedin any deed, JIQcul11eJ1t~,instruments, agr,ecmcnts or arrangements which such psr~pl1has withthe Transfer,Qr,;.Jhe person shall not claim any right or interest against the Transferor orTransferee. '
!8. Pending proceedings.-All proceedings of whatever nature by or against the
Transferor pending .on the effective date of transfer shun not abate or discontinue or otherwise inanyway be affected prejudicially by reason of the transfer Scheme mentioned in the Act anct-~niprovisions of this Scheme, and such proc~ed~n.g.smay b~'continued and pro~ecuted by o~·aga~~t.the Transferee to whom the assets and liabilities relating to such proceedings are assigned i'naccordance with this Scheme only and nobody else .. Such proceedings may be continued in thesame manner and to the same extent as it would or might have been continued and prosecuted byor.againstthe Trmsferor if the transfers specified in this Scheme had not been made.
9. Decision of State the Governmcnt.-( I) If any, doubt, dispute. difference or issueshall arise in regard to the transfers under this Scheme. subject to the provisions of the Act, thedecision of the State Government thereon shall be final and binding on all parties.(2) The State Government may, by order published in the Official Gazette, make suchprovisions, not inconsistent with the provisions of the Act, as may appear to be necessary forremoving the difticulties arising in implementing the transfer under this Scheme.
