Purolator’s success is in the numbers. For the eighth consecutive year, the company has delivered improved revenue and profitability. In 2008, Purolator reported earnings before income taxes of $90.4 million, an 8.5 per cent increase over the prior year, and posted its highest level of revenue with net operating revenue of $1,563 million, an increase of $114 million.

In addition, Purolator’s ability to meet customer requirements is at an all-time high. Ongoing invest-ment in new technologies, infrastructure, products and services, ensures that our customers will receive the continued high level of service and support despite the current global economic downturn.

The company’s success is a testament to the quality and dedication of Purolator’s workforce of 12,000 employees – and the worthiness of Purolator’s reputation as an employer of choice.

Purolator continues to evolve. Building on the strength of our courier business, it is pursuing its purpose to be the leading provider of integrated distribution solutions to, from and within Canada. Today the company offers its customers premium-quality distribution solutions that include courier, less-than-truckload freight (LTL), international freight forwarding, air cargo and global supply chain services.

This diversification is critical to Purolator’s long-term success. It allows Purolator to recognize new sources of revenue and ensures that Purolator

remains at the forefront in the delivery of integrated distribution solutions. This allows our organization to meet and exceed the expectations of our customers.

With a strong balance sheet, a diversified and solid business, and a highly skilled team, Purolator is well-positioned for continued success in the years ahead.

It has been my pleasure to have served as Chairman of Purolator’s Board of Directors for the past eight years. It has been a unique opportunity to serve with an outstanding team of senior management, employees and fellow Board members in the evolution of an unyielding client-focused company that has achieved impressive results and today enjoys a strong leadership position. I am confident that the Purolator brand will long be a symbol of Canadian business excellence.

Today, Purolator is Canada’s largest courier. But we’re not stopping there. We are growing our business by creating new products and services and by developing expertise across the spectrum of integrated distribution solutions to help our customers succeed in a changing business environment.

As 2008 drew to a close, a significant global economic downturn was taking place. Given that the transportation industry is a leading indicator of economic stress as well as growth, Purolator recognized this shift in the last quarter of 2007 – ahead of the curve – and worked diligently in 2008 to prepare the company for a new economic climate.

Purolator’s focus throughout 2008 was two-fold. First, we looked for opportunities to reduce costs. Second, and even more importantly, Purolator continued to concentrate on growth areas and revenue generation opportunities to strengthen our business for the future.

Building our business for the futureThroughout 2008, we maintained a long-term view of our business to ensure that Purolator remains a strong, healthy company that is sustainable for the long-term. While the economy had an increasing

impact on our core express business as the year progressed, we offset those effects by focusing on new revenue generating opportunities – ones that would protect our business in challenging times and provide growth opportunities moving forward.

Among these initiatives was the ongoing investment in our U.S. based business, Purolator USA™. In addition, our less-than-truckload business, Purolator Freight™, continued to expand its service network and offer customers a cost-effective alternative to express services.

Our most recent initiative, Purolator Global Supply Chain Services™, is helping Canadian business move goods into, out of and across the country with innovative distribution solutions that save both time and money. Our supply chain solutions demonstrate our responsiveness and flexibility in meeting the complex needs of our customers.

Strong financial performanceWhile many of our large, global competitors suffered significant earnings and revenue reductions in 2008, Purolator’s revenue and earnings achieved an all time high.

continue to invest in key technology and physical infrastructure initiatives as part of our ongoing investment strategy. Work was completed on our Montreal hub in 2008, and we began construction of our second state-of-the-art facility in Richmond, B.C. We successfully transitioned the majority of our customers to our redesigned electronic shipping platform, Purolator E-Ship™ Server Solutions, introduced a number of enhancements to our online shipping system, Purolator E-Ship™ Online, and we introduced state-of-the-art scanners to our network.

These initiatives, and others like them, are critical to our sustained growth and long-term success. We expect that 2009 will be another challenging year for the global economy; however, we are confident that the actions we are taking will ensure Purolator’s continued success.

Focus on our employees and customersService quality continues to be an important differentiator. The strength of our employees and the culture that we have built together enable us to continue to meet and exceed the expectations of our customers.

We are committed to ensuring that our employees have the tools to be successful in their jobs and to providing a working environment where the safety of our employees is the number one priority.

Just as important is the strong relationship that we have with the labour unions that represent the interests of our employees. In 2008 we reached a new four-year national collective agreement with the Canada Council of Teamsters, the union representing 9,500 of our operations employees.

We are also proud to have been named one of Canada’s 10 Most Admired Corporate Cultures™ for the second consecutive year, according to the 2008 Corporate Culture Study™ conducted by Waterstone Human Capital Ltd. and the National Post.

The prestigious award recognizes Purolator’s strong corporate culture, one that is built on the company’s commitment to employees as well as customers. This includes our commitment to open communication, providing a healthy workplace, supporting employee development, rewarding performance, as well as our commitment to respect for both customers and employees.

Beyond our core courier business, we’re expanding the capacity of our U.S., international, rural and air cargo networks. By building greater capacity, we’re able to offer our customers service to more places, with more options for time-guaran-teed deliveries.

Purolator InternationalAs Canadian businesses continue to broaden their distribution networks beyond North America, Purolator’s international service is delivering exceptional value for our customers. We’re taking our customers further – with over 215 international destinations, and by offering guaranteed end-of-day delivery on interna-tional shipments.*

Extended serviceAs Canada’s largest courier com-pany, we offer more pick up and delivery points than any courier provider. In fact, we provide cover-age to 750,000 postal code areas in Canada, ensuring Purolator is in more places, more often. Our domestic network continues to be the foundation of our strength.

Air cargo In 2008 we added two DC 1030 wide-body jets to our fleet – making ours the largest all-cargo air fleet in Canada. In fact, each DC1030 has three times the capac-ity of our current 727 aircraft, and the ability to carry 162,000 pounds of freight per day. Expanding our air fleet gives us the capacity to

offer customers air cargo distribu-tion solutions more efficiently and cost-effectively.

Richmond hubThe first phase of our new Richmond hub opened in March 2009. This investment means a new, state-of-the-art working environment for our employees and enables us to provide even better service to our customers in the Pacific division. Once future phases are completed, the new hub will have triple the process-ing capacity – to a rate of 12,000 pieces per hour.

Enhancements to our scanner network, electronic shipping platforms and facilities are creating even more exceptional service and value for our customers. Scanner networkIn 2008, Purolator deployed 6,300 new scanners across the company – introducing the latest in mobile technology. Today, our customers have even more visibility about where their shipments are in our system. Our enhanced scan-ner network gives us the ability to create custom solutions and implement program changes to meet customer needs – such as the ability to program our scanners to read customer-specific bar codes – more quickly than ever before.

Purolator E-Ship™ Online and Purolator E-Ship™ ServerIn 2008, our online shipping customers were introduced to our new and improved Purolator E-Ship Online shipping system and the majority of our Purolator E-Ship Server customers success-fully moved to our new electronic shipping platform. For our Purola-tor E-Ship Online customers, the new system provides better access to more products and services, such as batch shipping, third-party shipping, dangerous goods handling, ExpressCheque®, U.S. ExpressCheque and international shipments and outbound returns. Purolator E-Ship Online is an im-portant part of our customers’ business toolkit, helping them manage, monitor and track ship-ments in real-time.

Our Purolator E-Ship Server customers are recognizing im-proved business value with our new electronic shipping platform. Purolator E-Ship Server is easier to use and more flexible, with customizable functions to best suit customers’ business processes. It allows them to manage returns, estimates, billing and international shipments as well as access new products and services. The system seamlessly integrates our custom-ers’ businesses with ours, improv-ing productivity and providing access to systems and informa-tion from any web browser. The advanced functionality delivered through Purolator E-Ship Server is enhancing the service we deliver to our courier customers.

Go proudlyPurolator is helping deliver the 2010 Winter Games. As the Official Courier of the Vancouver 2010 Olympic and Paralympic Winter Games, we’re connecting Vancouver to the world.

The Vancouver Organizing Com-mittee for the 2010 Olympic and Paralympic Winter Games (VANOC) has entrusted Purolator as the Official Courier of the 2010 Winter Games, the Canadian Olympic Committee and the Canadian Olympic Team at the London 2012 Olympic Summer Games.

As the leader in the Canadian courier market, we will act as the link between Vancouver and the world. And to meet this extraor-dinary challenge, we’re using our sophisticated distribution solu-tions to fulfill VANOC’s delivery needs leading up to and during the Games.

Prior to the 2010 Winter Games in February, Purolator will handle the delivery of tickets for 380 spectator events as well as an estimated 130,000 packages containing 2010 Winter Games merchandise.

During the 2010 Winter Games in Vancouver, we will offer tailored pick up and delivery schedules in order to service the city of Vancouver and Whistler as well as provide on-site courier services including drop boxes and tempo-rary shipping centres at various venues including the Olympic and Paralympic Villages and the Main Media Centre.

Our new Richmond hub facility will play a critical role in our ability to provide service to the 2010 Winter Games, as will all of our employees. In addition, 20 Purolator employees will have the once-in-a-lifetime experience of volunteering during the Vancouver 2010 Olympic and Paralympic Winter Games and another 10 employees will participate in the Vancouver 2010 Olympic Torch Relay.

Go responsiblyPurolator is committed to giving back to the communities in which we live and work and providing employees with opportunities to grow both personally and professionally.

Through our national sponsorship of Food Banks Canada, the Purola-tor Tackle Hunger program and programs to preserve and protect the environment, we live our value of social responsibility year-round.

We are proud of our many environmental initiatives, and were the first courier company in Canada to introduce hybrid elec-tric vehicles to our fleet of curbside delivery vehicles. Today our HEV fleet numbers 154 curb-side deliv-ery vehicles with plans to increase that number on an annual basis.

In 2008, we introduced a fully paid Community Service Sabbati-cal Program that provides two employees per year the opportu-nity to make a significant contribu-tion at a not-for-profit organization of their choice.

Mehari Solomon, a courier in Toronto, and Grégoire Théberge, a Rivière-du-Loup courier, were the first Purolator employees to participate in the program.

While volunteering at North-wood Neighbourhood Services, an organization that helps serve mul-ticultural communities in Toronto, Mehari played an instrumental role in marketing the organiza-

tion’s translation bureau, whose mission is to help new immigrants get certified as translators and gain employable skills.

As a volunteer with St. John Ambulance in eastern Quebec, Grégoire focused on initiatives supporting the organization’s volunteer and training activities. As an active volunteer for St. John Ambulance for the past 36 years, Grégoire has completed more than 4,000 hours of service with the or-ganization to date and is an Officer of the Order of St. John.

Governance statement

In turn, each individual member of the Board is required to act honestly and in good faith with a view to the best interests of Purolator and to exercise the care, diligence and skill that a reasonably prudent person would exercise in comparable circumstances.

The Board’s principal duties fall into five categories: (i) determining corporate strategy; (ii) selecting and retaining management, and planning for its succession; (iii) monitoring Purolator’s performance and taking corrective action; (iv) monitoring Purolator’s compliance with all applicable laws, significant policies and procedures; and (v) ensuring that Purolator’s performance and actions are accurately reported to shareholders.

The involvement and commitment of the Board is evidenced by regular Board and Committee attendance, preparation and active participation in setting goals, and requiring corporate performance in the interest of shareholders. While the Board is called upon to oversee the management of Purolator’s business, Purolator’s President and CEO is charged with the day-to-day management of Purolator. The Board approves Purolator’s business goals, the objectives and policies within which Purolator is managed and evaluates management’s performance. Reciprocally, management keeps the Board fully informed of Purolator’s progress towards the achievement of its established goals and of all

material deviations from the goals or objectives and policies established by the Board in a timely and candid manner. The Board operates by delegating certain of its responsibilities and authority to management and reserving certain powers to itself and strives to function in a manner consistent, where applicable and appropriate, with the general views expressed by the Canadian Coalition for Good Governance1.

Purolator is committed to maintaining a strong governance environment. To this end, Purolator has implemented a Code of Business Conduct and Ethics that sets out guidelines intended to support ethical behaviour and decision making of all Board members and employees of Purolator, together with a Board of Directors’ Mandate and Corporate Governance Handbook that sets out, among other things, the duties and responsibilities of the Board. In order to further support ethical behaviour and decision making, Purolator has also adopted a Confidential Submissions Policy (a.k.a. “whistleblower policy”), which provides for the confidential submission of accounting and financial irregularities. Finally, Purolator is continuously assessing and, where appropriate, strengthening its internal controls over financial reporting. Through its governance framework, Purolator seeks to maintain the trust of all of its stakeholders.

Financial highlights

Revenue from operationsPurolator generated net operating revenue of $1,563 million in 2008, an increase of $114 million over 2007. This increase is attributable in large part to our continued investment in our growth areas including Purolator USA™, Purolator International™, Purolator Freight™ and Purolator Global Supply Chain Services™.

Purolator Freight experienced more than 50 per cent growth, Purolator USA achieved more than 25 per cent growth, and Purolator Global Supply Chain Services and Purolator International are continuously attracting new business. These areas are expected to continue to grow in 2009. In addition, Purolator’s strong service levels continue to attract new air cargo volumes, another area of our business that has achieved significant revenue growth.

Over the course of 2008, our Canadian courier business experienced a modest volume decline. To offset this shift, we concentrated on our strategic growth areas. In 2009, we will continue to focus on revenue generating opportunities within our core business. We will also leverage the investments we have made in new products, technology and facilities as ways of improving service and generating revenue.

Cost of operationsIn 2008, the cost of operations totaled $1,472 million, an increase of $107 million over the prior year. Cost pressures were primarily due to high fuel prices for both air and ground transportation. As the expanding Purolator Freight and Purolator USA divisions grow at double-digit rates, operating costs continue to increase as the infrastructure and network expand to support the broader customer base.

Variable costs in our core express business continued to be under pressure despite softening volumes. In response, we made significant reductions in discretionary spending in 2008 to ensure the protection of our service and to continue to meet our customers’ needs.

Capital investmentIn 2008, Purolator’s capital expenditures totaled $117 million. We continue to support our multi-year investment strategy to replace and automate our facilities and deploy new technology. To date we have replaced our customer-facing technology platform with systems that enable us to be more responsive to customer needs, help set standards within the industry and improve efficiency. This includes the introduction of new, state-of-the-art

As a result we saw growth within various lines of business and the successful introduction of new tools and state-of-the-art facilities to our network. Looking ahead, we recognize that 2009 will be challenging for all businesses. In a difficult economic climate, we will continue to invest strategically, focusing on opportunities that will strengthen our business going forward.

hand held scanners as well as newly designed terminals to improve the flow of packages and maintain a healthy and safe work environment.

We will continue to make investments in our business where there are strong opportunities to protect or improve service and where we can either grow or strengthen our business for the future.

Outlook for 2009Given the current economic climate, 2008 was a good year for Purolator. We saw overall growth in our business while our major competitors experienced double-digit declines.

Nevertheless, in the last three months of 2008 we continued to see a modest volume decline. We expect this will continue throughout 2009. Faced with the reality of operating in an economic downturn environment, our plans for 2009 will enable us to effectively allocate our resources, reduce costs, increase revenue and maintain profitability without compromising service levels or our potential for long-term success. Most importantly, we remain focused on providing exceptional service to our customers, especially during these difficult times.

In 2008 the majority of Purolator’s Key Financial Indicators showed improvement, representing Purolator’s eight consecutive years of strong financial performance. Earnings before tax (EBT) reached an all-time high of $90 million, representing an 8 per cent improvement from the prior year.
