Effective July 30, 2010, Pure Cycle entered into a Loan Sale and Assignment Agreement with the Bank of America (“BofA”) to acquire Sky Ranch.

• Acquisition insures our water (and now wastewater) service contracts associated with Sky Ranch remain intact.o The former developer filed for bankruptcy in 2007, this left our water contract 

in an unknown status.

o Acquiring the property ensures our water service contract will remain in full force.

o Acquiring the property enables us to add wastewater to Sky Ranch services.

• Allows us to complete acquisition of approximately 1,000 acre feet of water rights associated with the property.o We started acquiring this water prior to the developer’s bankruptcy.q g p p p y

• We will not build any of the development infrastructure (such as roads, curbs schools etc ) ourselves these will be built by a home builder / landcurbs, schools, etc.) ourselves, these will be built by a home builder / land developer that we will plan to partner with.  

• Ultimately the market determines what product will be built at Sky Ranch and when but with low per unit costs this acquisition enables us to createand when, but with low per unit costs, this acquisition enables us to create more incentives to have Sky Ranch be the first project developed as market conditions improve.

• We anticipate selling the property as “entitled lots” to developers.  We anticipate selling the property as entitled lots to developers.o This means the lots are zoned and ready for infrastructure to be built on them.

• Because of our purchase price, we can offer this property at what we believe to be competitive lot/acre prices to developers.o Based on 4,850 SFE’s and 931 acres, at a $7.0 million acquisition price, our 

cost is approximately $1,440 per lot or approximately $7,500 per acre.

• Sky Ranch is planned as a starter home community (homes costing $300,000 or less), thus cost of the lots is important in selling these homes.

• We believe with affordable lots and affordable and scalable water and wastewater services, this property will be highly competitive in its market.

Pure Cycle CorporationWhat this purchase does for Pure Cycle’s core business – water.

• Acquiring the property provides certainty to approximately $109.1 million of water tap fees and adds approximately $23.7 million of wastewater tap fees (based on current tap fees of $22 500 and $4 883)fees (based on current tap fees of $22,500 and $4,883). 

o Total water and wastewater tap fees of $132.8 million.

• Tap fees will be used to construct water and wastewater systems used to pump, treat, store, reclaim, treat and reuse water.

o Estimated cost of our water and wastewater systems is approximately $42.8 (in current dollars and includes all infrastructure costs as well as tap(in current dollars and includes all infrastructure costs as well as tap participation fees payable to HP A&M).  

o Results in an overall estimated gross margin in excess of 50%.
