Existing Section 8.2: “The Chairperson of the National Committee shall preside and shall vote only in the case of a tie.”

Existing Section 20.1: “The presiding officer shall vote only in case of a tie.”

Better Organization The Article on Duties of Officers is proposed to

follow the Article on Officers. In the existing Bylaws there are 10 Articles in between.

Sections on Admission of New Sponsoring Organizations, Application for Sponsorship, Election of Sponsoring Organizations, and Termination or Suspension of Sponsorship currently exist in two different Articles. They are proposed to be in one Article and in a logical order.

Two widely-spaced Articles on Technical Committees have been consolidated.

Existing Section 8.4: “The Executive Board may meet at the Annual Meeting and at regular meetings held by the Council.”

Proposed: “The Executive Board shall meet at the Annual Meeting and at Midyear Meetings held by the Council.”

Substantive Changes

A provision is added to allow an alternate to serve at an Executive Board meeting when a regular member of the Board is unable to attend.

A provision is added to allow a Sponsoring Organization to designate another representative to vote at a Council meeting if neither the Member nor Associate Member can attend.

Substantive Changes Currently, 70 percent of the Members and

Associate Members from each Group I Sponsoring Organization must work for government agencies. It is proposed to change 70 percent to two-thirds.

The existing Bylaws state that, of the two Group II representatives to the Executive Board, one shall be designated as the Chair of Group II. It is proposed that designating one of the representatives as the Chair of Group II is unnecessary.

Substantive Changes

The existing Bylaws states that terms of Members and Associate Members shall be three years and that terms shall be staggered to provide for approximately one-third of the membership terms to expire annually. It is proposed that the provision for staggering of terms be eliminated because it is impossible to impose this coordination on the Sponsoring Organizations.

Substantive Changes

A provision is added to stipulate how vacancies on the Executive Board are filled.

The existing Bylaws state that the nominating committee shall be composed of three Members. It is proposed that the nominating committee be composed of three to five Members.

The existing Bylaws have historically been interpreted to mean that the Chair of a Technical Committee must be a Member. It is proposed that either a Member or an Associate Member can serve as a Technical Committee Chair.

The existing Bylaws state that amendments to the Bylaws can be adopted only at an Annual Meeting. Historically, we have “looked the other way” and amended the Bylaws at Midyear Meetings as well as at Annual Meetings. It is proposed to allow amendments to the Bylaws at either Annual or Midyear Meetings.
