RFI RESPONSE: Solar Energy Development Project Alexandra: On behalf of our team including Marina Energy, LLC (a division of South Jersey Industries, SJI) and Miller Bros, we are pleased to submit our information to the Virginia Office of Public-Private Partnerships

in response to your RFI: Solar Energy Development Project. I trust you will find that Marina Energy, LLC will address your goal of a successful closing transaction in a timely fashion and thereby assist in obtaining renewable energy savings and land use in the most cost-effective, safe and reliable manner. Beyond our desire to offer the lowest possible cost of power, in considering our response to your solicitation we also identified further goals that we view as key to your efforts:

I. Choosing a partner with the financial strength, surety of execution and sophistication to close the transaction quickly and minimize the long-term risks to your stakeholders;

II. Selecting a team with the proven construction and engineering “know-how” to complete the project on time and minimize the risk that your program will fail to live up to its production and savings targets;

We hope that our proposal will best help you to achieve these objectives.

1. Financial Strength and Surety of Execution. Your Power Purchase Agreement (PPA) provider needs both the financial strength to enable it to perform its obligations to you and the financial sophistication to understand and optimize a transaction of this complexity. Marina Energy has successfully developed, financed, designed, installed, owns, operates and maintains over 150 commercial and municipal solar PPA projects. Marina Energy, LLC is a division of the public company South Jersey Industries (NYSE: SJI). Marina Energy professionals have decades of experience in municipal energy projects providing specific understanding of the complex legal, tax and regulatory issues associated with transactions, and to date have completed in excess of over 150 MW’s. And, have demonstrated their ability to execute PPA’s with public and private entities. Marina Energy agrees to fully comply with all applicable laws and codes if awarded the contract and further agrees to negotiate in good faith to craft a fair, reasonable and acceptable PPA.

2. Construction and Engineering “Know-How”. Miller Brothers executes utility scale medium and high voltage, substation and transmission construction. Our proven utility construction model includes: construction project management expertise, full construction capabilities, 25+ years of audited financial statements, 200+ pieces of heavy equipment, $100+M bonding capacity. We are one of few utility contractors that can simultaneously self-perform multiple utility scale projects. Miller Bros. is experienced in all aspects of the utility construction industry including design, engineering and construction of large scale utility and renewable energy. Having completed over 100 MW’s of solar construction, Miller Brothers provides turnkey Engineering, Procurement & Construction (EPC) services, offering on-going back-end operations and maintenance support after project completion. Miller Brothers ensures a seamless integration throughout all project phases, resulting in an accelerated schedule, uncompromising cost control in a safe working environment.
