TERMS & CONDITIONS

PAYMENT TERMS- By signing this quote and providing IPG with an order number is the required action that the Company regards as a con�rmation of its services presented in this quote, and for IPG to action the following processes:- On con�rmation for Fireworks, IPG and/or Mille Feux Ltée (sub-division of IPG) will issue an invoice for 70% of the full amount of quotation. Proof of payment of the 70% invoice is required to secure the services of Fireworks.- On con�rmation for "dry-hire", IPG will issue an invoice for 70% of the full amount of quotation. Proof of payment of the 70% invoice is required to secure the availability of hired equipment from IPG.- On con�rmation for any other IPG services, IPG will issue an invoice for 50% of the full amount of quotation. Proof of payment of the 50% invoice is required to secure the services of IPG.- If any discount or sponsoring of any kind is o�ered by IPG, the Client is committed to present Impact Production Group as a privileged partner in all public communication, press conference or interview. Impact Production Group’s logo shall appear on any �yer, poster, advertisement, commercial or any other marketing support linked to the event. If, for any reason, the Client disallows this agreement, the discount will no more be valid and the standard price of IPG's services will be charged.

MARKETING MATERIAL1. IPG reserves the right to record, photograph and/or video record any aspect of the event that the Company is directly or indirectly involved in and is entitled to use this material for any of its own marketing.

DRY HIRE2. IPG will not be responsible for any loss or damage to the equipment provided by any other supplier contracted by the Client. The Client remains liable to such suppliers.3. The Client hereby agrees to replace, or pay in full for the replacement of any and all equipment and accessories supplied by IPG due to loss and damage for whatever reason while in the care of the client as a "dry hire".4. In the case of a "dry hire", the Client shall keep IPG's equipment in its own custody and under its own control and shall ensure that it is stored, cared for and used in a proper manner.5. Upon receipt of "dry hire" equipment supplied by IPG, the Client shall inspect it and unless otherwise stated, it will be accepted by both parties hereto that the equipment has been received in good order and condition for the purpose for which it has been hired. Any shortages or damage or defects to the equipment should be reported to IPG immediately upon receipt or discovery thereof.6. In the case of "dry hire" the equipment shall not, without the prior written consent of IPG, be used elsewhere other than at the indicated venue on the quotation or be used outside the Borders of Mauritius.7. In the case of "dry hire" the equipment is placed under the Clients’ responsibility in terms of safety, management and use. Client remains responsible for any damage, malfunction or modi�cation to the hired equipment as well as for the repair or replacement of the damaged items.8. Depending on the scope of the "dry hire", IPG reserves the right to provide one crew member to assist in the set-up and dismantle of the equipment. This cost will be included in the quotation.

GEAR & SERVICES9. Should the Client fail, refuse or neglect to make payment of any amounts due in terms of a con�rmed quotation, the Client agrees that IPG shall be entitled to immediately cancel the agreement and/or freely enter any premises and remove its equipment and sta� without obstruction or hindrance and/or claim for damages and/or losses.10. In the case where equipment is left on site and unattended by an IPG representative, all equipment is placed under the responsibility of the client in terms of loss, theft and damage. At the Client’s request, IPG is able to supply security at an additional charge.11. The Client shall supply to IPG the correct venue address, event dates and event speci�cations and shall ensure that these are all kept up to date and correct.12. The client remains responsible to provide IPG a running order of the event at least forty eight (48) hours before the �rst set-up day so that adaptions and any additional requirements can be arranged in advance.13. If IPG has been appointed to manage video and show content for playback, Client to provide IPG with this content no later than forty eight (48) hours before the rehearsal date.14. Should the Client use the direct services of external engineers and crew, IPG cannot be responsible for the quality of the production and the Client remains responsible for any damages that may occur under the control of external engineer.15. For outdoor events, IPG will do all that is necessary to protect and limit any weather and rain damage to equipment but is not liable for any failure of equipment during the event due to climatic conditions or any other acts beyond the control of IPG.16. The Client is responsible to arrange for suitable and stable power supply with separate earth and neutral in the venue for the exclusive use of IPG.17. Should IPG be requested by the client to supply any form of power to the Clients’ other suppliers, and IPG is able to do so, the Client remains responsible for any damages and or power interruptions before, during and after and event.18. IPG takes no responsibility for any equipment and services provided to the project by other suppliers arranged by the Client, Client remains directly responsible and liable to those suppliers at all times.19. Upon receipt of the services / equipment supplied by IPG the Client shall inspect it and unless otherwise stated it will be accepted by both parties hereto that the services / equipment has been received in good order and condition and free from defect and that the services / equipment is satisfactory for the purpose for which it is hired. Any shortages or damage or defects to the services / equipment should be reported to IPG immediately upon receipt or discovery thereof.20. This quotation amount is only for the services and equipment listed in this quote. Any additional services and/or equipment required will be charged for additionally at IPGs’ usual rates and tari�s.21. Any additional services and/or equipment will be delivered as required by any employee of the Client who seems to have the authority to make such request and provided that the service and/or equipment is necessary and or bene�cial to the event.22. Unless otherwise speci�ed, the Client is responsible to provide Electrical, Structural, Fire Retardant and any other Certi�cation as requested by the projects’ health and safety requirements.





TERMS & CONDITIONS23. The Client must supply adequate and secure parking for all IPG production vehicles. The Client will make available, vehicle and crew access to the venue for set-up, break down, delivery and collection and must supply cleaning crew for the removal of waste and debris resulting by the shooting of �reworks.24. Should table and décor accessories such as table cloths, napkins and chair covers get damaged or stained beyond repair, Client will be responsible for payment and/or replacement of the complete set of concerned equipment.

CREW & SAFETY. 25. Client to provide a 24 hour continuous para-medic service at the site from load in to load out and where the event is being held for the whole duration of the rental period.26. In case of cyclonic alert during the preparation of the function:a) Cyclone Warning Number 1, all set-up operations will stand by. If the function is held in a marquee or a Free Shape tent, audio-visual gears, lining, decoration and accessories may be removed.b) Cyclone Warning Number 2, eventual marquee and / or Free Shape tents will be partly or entirely dismantled. c) Cyclone Warning Number 3, all operations will be stopped.d) If the set-up is not over, the Client will be, in any case, liable of 75% of the global payment.e) If the set-up is over, the Client will be, in any case, liable of the global payment. 27. The Client acknowledges that the safety of the crew and event will be compromised if the crew has not been properly fed. A meal break will be taken when a minimum of a 4-hour shift has been worked.28. The services provided by the crew are booked for an 8-hour working shift per day. To avoid fatigue, additional crew may be required for a shift system (rotation of personnel) to meet the long hours demanded by a production. This may be included in IPG production fees,

THIS QUOTE29. Con�rmation of services proposed in this quote must be con�rmed at the latest 5 working days prior to the �rst day of setup, unless agreed otherwise in written by IPG.30. The rental of event equipment and services is payable according to the terms set out in this quotation.31. All quotations are only valid for three (3) days from the date stated on quotation and is subject to change pending gear and crew availability at the time of con�rmation.32. If the rental is cancelled by the Client for any reason whatsoever, more than seven (7) days prior to the �rst set-up day the client will still be eligible to the payment of 25% of the global amount.33. If the rental is cancelled by the Client for any reason whatsoever, up to seven (7) days prior to the �rst set-up day, 50% of the balance of the contract price as listed on the quotation shall become due and payable by the Client.34. If the rental is cancelled by the Client for any reason whatsoever, up to two (2) days prior to the �rst set-up day, 75% of the balance of the contract price as listed on the quotation shall become due and payable by the Client.35. If the rental is cancelled for �reworks up to �fteen (15) days prior to event by the Client for any reason whatsoever, the down payment will be forfeited and 5% of the balance will be due by the Client.36. In case of ‘force majeure’, cyclone, heavy rain, natural calamities and other acts of god, war, strike, epidemic, interruption of transport, delay in supply, �re, destruction of the imported products and other acts beyond the control of the IPG, if both parties agree to cancel the operation during the set-up process, the Client will still be liable of 75% of the global payment. If a partially set-up is cancelled due to a Level 3 Cyclonic warning, Client is liable to pay 75% of the total quoted amount.37. In case of ‘force majeure’, cyclone, heavy rain, natural calamities and other acts of god, war, strike, epidemic, interruption of transport, delay in supply, �re, destruction of the imported products and other acts beyond the control of the IPG, if both parties agree to cancel the operation though the set-up is over, the Client will still be liable of the full payment. If a completed set-up is cancelled due to a Level 3 Cyclonic warning, Client is liable to pay 100% of the total quoted amount.

MARQUEE38. Marquee and Free Shape tents may require the drilling of 1m deep by 3cm diameter holes in order to secure the structures. These Holes will be drilled by IPG under the supervision and agreement of the Client. For this process, Client will need to provide suitable and stable power supply.39. For twenty (20) meter wide marquee, a 40foot container supplied by IPG will be required to remain on site from �rst day of set-up to the last day of load out.40. The rental of twenty (20) meter wide marquee includes the delivery and collection of the required 40foot container, should the container need to be moved during the production, an additional transport cost will be payable by the Client.FIREWORKS (by Mille Feux Ltée, sub-division of IPG)41. IPG / Mille Feux Ltée reserves the right to decide if a potential site or venue is suitable and safe to shoot o� �reworks. Whether on land or from barges at sea, IPG will require a distance of approximately 175m safety (fall-o�) area between the spectators and the �reworks.42. For �reworks at sea, the Client is to provide IPG / Mille Feux Ltée with a motorboat and skipper for the setting-up, �ring and removal of the barges. IPG can provide the boat and skipper services at the Clients’ request at an additional cost.43. The Client is responsible to ensure that all potential �ammable items such as thatched roofs, linen, umbrellas, wood and straw is sprayed with water treatment, no more than two (2) hours before the �ring. If this is not possible then Client to action the security team on site to manage crowd control if need be.44. Client to ensure that all forms of transport that uses �ammable liquids such as petrol and diesel is kept a reasonable distance away from the �ring site and must supply a security team to monitor that the public remains within the safety zone.45. If the client fails to take the correct safety measures, IPG / Mille Feux Ltée may delay or cancel the �ring of �reworks until or unless the breach in safety and security is recti�ed. Client shall be liable for any additional costs incurred by IPG / Mille Feux Ltée due to this delay or cancelation.46. IPG / Mille Feux Ltée makes use of professional pyrotechnic ICTA certi�ed consoles and cannot be held responsible for the delay in �ring should the wireless frequency of the system be disrupted prior or during the �ring process.47. In the case of bad or dangerous weather conditions, IPG / Mille Feux Ltée reserves the right to partly or totally dismantle and remove its’ equipment from “show ready” state and reserves the right to delay or cancel the shooting of �reworks, IPG / Mille Feux Ltée will not be liable to any parties for this decision and the client remains liable for the payment.





TERMS & CONDITIONS

48. In case of ‘force majeure’, cyclone, heavy rain, natural calamities and other acts of god, war, strike, epidemic, interruption of transport, delay in supply, �re, destruction of the imported products and other acts beyond the control of the IPG, IPG will endeavour to reschedule the shooting of �reworks to a date no later than 72 hours after the original �ring date.VARIATION49. No variation of the above terms and conditions will be valid unless reduced to writing and signature is given on behalf of IPG.

OCCUPATIONAL HEALTH and SAFETY ACT50. The Client is obligated to be familiar with the Occupational Health and Safety Act and to make all required provisions to remain compliant with the act.51. The Client remains responsible to pay all costs required for health and safety and approvals and is responsible to ensure that all relevant permits or permissions necessary to hold an event have been granted.
