The coupling type 2A is basically designed for clay pipes of all manufacturers. Furthermore, it is possible to use it for all pipe materials, which fall into the outer diameter of the clamping area of the coupling!

The outer diameter difference, which can be bridged to a maximum is 10 mm.

The coupling can only be used in the low pressure range up to 6mWs (0,6 bar)!

Please note: It is not possible to make a transition from an AD 190 to AD 175 using a coupling with the clamping range 175-190 (TC 190). For this purpose, bushes may have to be used with a coupling type 2B.

We recommend using the type 2 couplings only with a few exceptions - for connecting clay pipes!

All Type 2A couplings are available exclusively in EPDM rubber. The shear and the tensioning straps consist in each case of a highly corrosion-resistant, austenitic, stainless steel of the quality class W 1.4301 (V2A).

The purchase of the couplings is not bound to packaging units. The weight indications are only used for an approximate calculation of the freight costs and are only intended for the standard shipment. The resulting shipping price is non-binding!

This table is not applicable for express delivery, since the transporters use the volume weights of the cartons for price determination.

The coupling type LC from 620 mm is calculated according to your specifications and produced individually. The production is possible in mm steps (621, 622, 623, ...). Basically, however: Size of the coupling = DA pipe + 15 mm

The clamping range of each LC coupling is 30 mm! The designation LC 6xx only specify the price category and states that all couplings, which determine in the DA range of the pipes from 620 to 680 mm, have the same price. It does not mean that the size range is from 620 to 680 mm.

All LC couplings can be used for pipes made from all materials and from all manufacturers. For this purpose, the outside diameter of the pipe/s must be specified.

The Flexseal LC is made using state-of-the-art molding techniques. The sealing element made of EPDM or NBR is produced with a hardness of 60 IRHD. This hardness is the best compromise to get stability in the seal, but also to ensure enough density properties. Although a slurry around the sealing of concrete pipes improves the sealing performance of the coupling, this step is now only necessary in the case of surface imperfections (pitting, cavities).

Type LC, according to DIN EN 295, part 4 approved for the construction of sewage pipes of all kinds (from OD 620 mm)

The unique clamping device improves the sealing properties of the LC-coupling and facilitates assembly on the construction site. The turnbuckles are arranged at the ideal angle to the tangent of the coupling, optimizing the conversion of the required torque during tightening of the tensioning straps and maximizing the sealing pressure for a given torque.

CAUTION: All LC-couplings from this table are ALWAYS custom-made and can NOT be refunded!

All LC couplings are available in nitrile quality (oil- and petrol resistant) and/or in V4A (1.4401) for an additional charge.

Bushes

Bushes are used when there is a considerable difference in the diameter (more than 10 mm) between the pipe ends to be connected and no adapter couplings are available or cannot be used by increased demands on the shear stability.

IMPORTANT: Bushes MUST be vulcanized (see DIN EN 295-4 Annex A)! The use of glued seals does not fulfill the requirements of the current DIN EN 295-4, the DIBt and the ETA!

Two different connection sets are available for each nominal width:

FlexPack: This set always consists of one Flexring and one coupling of the corresponding nominal width. This connects all sewage pipes of this nominal width with a stone pipe of this nominal width.

FlexPack Plus: This set always consists of two Flexrings and one coupling of the corresponding nominal width. This connects all sewage pipes of this nominal width to one another.

Innovation meets standard. Do you ever excavate a pipe without knowing the size or material of the pipe?

If so, you’ll know that knowing which coupling you need to connect to that pipe can sometimes be guesswork. If your pipes are different in outside diameter you have traditionally needed either an Adaptor Coupling (AC) or a Standard Coupling (SC) with a Bush if resistance to vertical shear loads is required.

Flexseal has designed a product that can do the job of both the AC and SC couplings.

The UNICON coupling connects pipes of the same nominal width - regardless of which material, whether smooth or ribbed.

Each UNICON coupling connects within the scope of its tolerances sewage pipes of all types without the need for a bush. With the use of UNICON couplings, most pipe connections can be produced quickly and safely, regardless of the type of pipe.

Flexseal’s extra wide couplings have been developed primarily for connecting large diameter concrete pipes.

The width of 300 mm allows a greater tolerance when cutting the tip end, as well as a greater movement margin of the pipe during settling and thermal expansion.

For all SCW couplings up to 620 mm, particularly sturdy “Hi-Torque-Tensioning Straps” are used.

When the SCW couplings are installed in conjunction with a clay pipe, they meet the requirements of DIN EN 295, part 4.

All SCW couplings withstand a water pressure of 2.5 bar.

The outer diameter of the pipe(s) MUST be specified.

The coupling type LCW starting from 620 mm is calculated according to your specifications and produced individually. The production is possible in mm steps (621, 622, 623, ...). In principle, however: Size of the coupling = OD pipe + 15 mm

The clamping range of each LCW coupling is 30 mm! The designation LCW 6xx indicates only the price category and states that all LCW couplings in the range of 620 to 680 mm have the same price. It does not mean that the clamping range is from 620 to 680 mm.

All LCW couplings can be used for pipes made from all materials and from all manufacturers. For this purpose, the outer diameter of the pipe(s) MUST be specified.

The Flexseal LCW coupling is made using state-of-the-art molding techniques. The density element made of EPDM is manufactured in a hardness of 60 IRHD. This hardness is the best compromise to get stability in the seal, but also to ensure enough density properties. Although a slurry around the sealing of concrete pipes improves the sealing performance of the coupling, this measure is now only necessary in the case of surface imperfections (pitting, blow-holes).

The unique clamping device improves the sealing properties of the LCW coupling and facilitates assembly on the construction site. The turnbuckles are arranged at the ideal angle to the tangent of the coupling, optimizing the conversion of the required torque when tightening the tensioning bands and maximizing the sealing pressure for a given torque.

The unique Flexseal MAGNUM couplings are designed for extreme applications: they resist an internal water pressure of up to 4.0 bar depending on the nominal width.

The Flexseal MAGNUM is with 370 mm the widest coupling for use in waste water on the European market. The extreme width (370 mm) allows a greater tolerance when cutting the pipe ends and considerably more freedom of movement of the pipe during settling and thermal expansion. In addition, smaller cracks and holes can be reliably closed.

The MAGNUM coupling has been developed primarily for the connection of concrete pipes of large outer diameters. Nevertheless, they are already available from an AD of 300 mm. In any case, they achieve a higher degree of reliability in sensitive areas of application, e.g. in water protection areas, sewage treatment plants, etc.

Type 2B Split repair couplings (These couplings allow assembly with already installed pipes!)

The WRC couplings are designed for the repair of damaged pipes. To install the split repair couplings, it is not necessary to remove a piece of pipe from the tube, which considerably reduces the time and material required during repairs.

The Flexseal WRC couplings are characterized by several special features. They can be easily and quickly assembled without losing their sealing performance and reliability against the conventional design. The WRC sleeves are available in any size from 300 mm to 2100 mm.

The split pipe repair couplings are calculated according to your specifications and produced individually. Up to 620 mm the sizes are available analogous to the standard couplings type 2B (see SC 310, SC 320 etc.). From 620 mm upwards, the WRC is manufactured with the massive LC clamping system in mm increments (621, 622, 623, ...). In principle, however: Size of the coupling = OD pipe + 10 mm

The clamping range of each WRC coupling is 20 mm! The designation WRC 6xx merely indicates the price category and states that WRC coupling in the range of 586 to 685 mm have the same price. It does not mean that the clamping range is from 586 to 685 mm. When ordering, please specify the exact outer diameter of the damaged pipe, measured at the point of damage!

A unique coupling that seals securely on the inner walls of two pipes and is braced from the outside! The EPDM profile, together with a special tensioning mechanism, seals sewage pipes from DN 150 to DN 400 water and air tight.

The newly developed internal coupling expands the Flexseal range of the ICON series!

The Internal Coupling Pushfit connects pipes with for example plastic, cast and steel pipes with different outer diameters over the inner surface of the pipe, if for a variety of reasons, a normal coupling cannot be used.

The new Pushfit connector is only 52 mm on each side in the pipes to be connected and reduces the pipe cross-section by less than 10%!

It complies with all test criteria of DIN EN 295-4.

Flexseal adaptor couplings in accordance with DIN EN 295, part 4 create transitions between different pipe materials and nominal widths in the respective outer diameter range.

Adapter couplings should only be used for connections without high shear load requirements e.g. by uneven compaction or by traffic loads.

When connecting pipes with different outside diameters (DN), the direction of flow must be observed.

Flexseal adapter couplings are suitable for all pipe types if the corresponding outer diameters fit into the AD range of the table (1 + 2).

Type 1 for the connection of pipes of all types and materials with identical or similar outer diameters according to DIN EN 295-4

The type 1 drainage coupling is a molded injection elastomeric coupling with medium strength stainless steel straps on both ends.

It is suitable for use in drainage systems when there is no consideration for shear loads. Flexseal drainage couplings are suitable for the connection of drainage pipes from a wide range of materials. They are available up to an outer diameter of 275 mm.

When used in combination with a clay pipe, these seals meet the requirements of DIN EN 294, Part 4.

Flexseal drainage couplings have numerous application possibilities in the area of construction, the maintenance and repair of drainage and other pressureless pipelines of small diameter.

These include:

• Repair of existing pipes by replacing short sections.

• The connection of sleeveless pipes.

• The use as an adapter between pipes of different materials with similar outer diameters.

The sealing element is made of a high-quality elastomer according to DIN 681-1. The tensioning straps are made of highly corrosionresistant, austenitic stainless steel of grade W 1.4301 (V2A).

The installation example shown below shows the proper connection of an old stone pipe DN 100 (131 mm) to a stone pipe DN 100 (131 mm) from new production.

This connection meets the requirements of DIN EN 295, Part 4!

The Flexseal puddle flange is used where pipes are to be passed through walls, masonry and floor slabs. In the case of water, groundwater or elevated groundwater levels near watercourses / rivers, the Flexseal puddle flange placed on the pipe in the center of the masonry protects the building against penetrating moisture. In the case of swimming pools and floor troughs, the wall collar protects against leaking water or the subsoil in front of leaking liquids.

Type Hybrid: Particularly suitable for thin-walled and corrugated pipes

Pipe Seal Hybrid (PE) Density insert in 2-component construction with external round frame component made of solid rubber, medium hardness, in combination with internal density insert made of Duoplast elastomer with very soft hardness adjustment.

The pressure force absorption, transmission and distribution are made by the medium-hard rubber grommets - the sealing of the media tube is achieved by the soft inner ring.

The extra soft density insert adapts perfectly to the media pipe surface contours. High compressive forces are not required. A cold flow, which leads to cross-sectional tapering especially for polyethylene (PE) tubing, is almost impossible.

Due to its very good adhesion to the media pipe surface, the ring seal already sits securely in the annular space even at very low tightening torque of the screw connection - against penetrating water and gas. The installation can be carried out without a special tool (torque wrench) by way of a visual contact indicator (blue bead) at the press flange edges.

Type FA for pipes of all kinds on concrete and clay main pipes

Clay pipes of nominal sizes DN 150 and DN 200 can be connected directly to the FA element. Other types of pipe are easily connected to the patented FR 150 or FR 200 flexring. The Flexseal connection elements FA 150 B and FA 200 B are intended for connection to concrete main pipes with a wall thickness of 50 mm to 150 mm. The connection element FA 150 ST is used for connection to clay main pipes DN 250N - 350H or 200 VT - 300 VT.

The compression seal and the sleeve of the connection element are made of a high-quality elastomer. The inside of the compression seal is provided with a lubricant at the factory. The basic body and the clamping sleeve consist of an ABS plastic, the sleeve of PP. The sleeve takes shear loads of more than 4 kN (requirements of DIN: 1.5 kN) without impairment of function. The flexibility of the flexible elastomeric sleeve remains fully maintained.

Type FA for pipes of all types on concrete and clay main pipes from DN 300 with a wall thickness of at least 27.5 mm

Clay pipes of nominal sizes DN 150 can be connected directly to the FA-UNI element. Other types of pipe are easily connected with the patented Flexring FR 150.

The compression seal and the sleeve of the connection element consist of an EPDM according to DIN EN 681-1. The inside is equipped with a lubricant which is activated by watering. The basic body and the clamping sleeve are made of a high-impact ABS plastic. The sleeve takes shear loads of more than 4 kN (requirements of the DIN: 1.5 kN) without impairing the function. The flexibility of the flexible elastomeric sleeve remains fully maintained.

Depending on the nature and wall thickness of the main pipes, a different number of rings are required.

Applications

These PA connection elements are suitable for sewage pipes from DN 300 to DN 600.

The saddles are generally suitable for the standard range of pipe wall thicknesses used by various tube manufacturers. The PA1530UR is designed for the DN300 Ultra-Rib pipe.

For these saddle pieces to function properly, the chosen model of the pipe contour must follow as precisely as possible. Fluctuations in wall thickness and pipe diameter can affect this.

The following information about the main line is required for the correct selection:

Lateral Connections

The Flexseal connection saddles type TA offer you a fast and inexpensive way to connect PVCu or cast-pipes DN 100, DN 150 and DN 200 to all smooth-walled main pipes up to a DA of 600 mm.

The density element consists of a high-quality EPDM. The connection sleeve is made of a thermoplastic elastomer. All steel parts, the clamping straps and the radius flexible pressing plate are made of a stainless steel of grade W.1.4301 (V2A).

Saddle, TA

The Flexseal connection sleeves FA-KG are suitable for connecting plastic pipes DN 150 and DN 200 to concrete pipes from DN 300 (for FA-KG 150) / DN 400 (for FA-KG 200) and concrete shafts (according to DIN 4034-1).

The sealing element consists of a high-quality elastomer according to DIN 681-1. A permanent and tight connection is ensured by circumferential locking lips. Due to the special construction of the mold, the feeding of the connecting pipe into the main pipe is prevented.

Installation instructions: An exact core drilling of 186 mm (DN 150) or 226 mm (DN 200) is required to install the FA-KG connection. The drill must be fixed at right angles to the raw axis using a support or drill template.

The elastomeric element is inserted into the clean core hole without lubricant.

By using at least 3 tensioning units it is ensured that the complete sealing element is ALWAYS firmly on the main pipe. The Flexseal TA saddle parts are designed for use in sewage areas and withstand a pressure of at least 0.6 bar.

Depending on the application, the nominal sizes DN 100 and DN 150 can be supplied in two versions (90 ° and 45 ° outlet) and DN 200 with 45 ° outlet.

Subsequently, the tip end of the green pipe socket is coated with Flexseal lubricant “white” and centrically inserted into the sealing element.

The nozzle, which is inserted as far as the stop, is used to hold a PVCu connection pipe DN 150 or DN 200.

Pipe Seals

The Flexseal connection seal LSK 960 is used for the subsequent connection of smooth-walled pipes, e.g. PVC, Cast Iron, Ductile Iron, Eternit or steel to main pipes and shafts made of concrete or reinforced concrete.

Experience has shown that more than half of all pipe connections made afterwards are not DIN-compliant. In many cases, the main pipe is not properly drilled, resulting in cracks in the concrete structure. It is therefore important to ensure that the core hole is made by means of a suitable drilling rig. The pipe connection constitutes an articulated connection and can thus reliably absorb any possible shifting. For connections up to 200 mm, a bend of 7 ° is ensured, for larger diameters 4 °, before the connection begins to leak.

The Flexseal connection seal LM 60 is used for the subsequent connection of pipes made of clay from all manufacturers to main pipes and shafts made of concrete or reinforced concrete.

The thick profile of the LM 60 makes it possible to compensate for the higher weight and tolerance variations of the clay pipes.

To accommodate possible settlements, we recommend connecting a short pipe section (for example, GE piece) as an additional joint, if necessary with a Flexseal coupling. The LM 60 can also be used as a wall duct.

The Flexseal connection seal LM 60 is made of a high-quality EPDM according to DIN 681-1.

Type L 965 for connecting plastic pipes to corrugated and / or ribbed main pipes or shafts

The Flexseal connection seal L 965 is used to connect plastic pipes (or pipes of the same outer diameter) to main pipes and shafts made of corrugated and ribbed plastic.

The seal is a cost-effective alternative to the connections offered by the different pipe manufacturers. The blue plastic element made of a high-impact ABS reliably prevents penetration of the connecting pipe into the main pipe.

Either connect a plastic sleeve directly or connect pipes with a larger outer diameter using a Flexseal 2B coupling and a bush.

The L 965 is offered in two lengths to cover the different radius of the various main pipes.

An assembly tool is available as an option, which ensures a repeatable installation quality. It facilitates installation but is not absolutely necessary.

The patented assembly tool as well as the various drill bits (hole saws) can also be obtained from us.

The Flexseal fit rings are sealing elements for the tip end of clay pipes and moldings. After the cutting of a pipe, the top-end encapsulation made of polyurethane is removed from the factory. The Flexseal fitting rings replace this sealing element.

They consist of a NR rubber with a steel core.

This NR rubber has improved elastic properties compared to synthetic elastomers. The cutting edge must be chamfered before fitting a fitting ring.

The pass rings supplied by us are developed and suitable for all clay pipes of the “Deutsche Steinzeug GmbH” with the connection system “C” and clay pipe systems (System “C”) from other manufacturers, whose pipes fall into the same function range! If this is not the case, the seal function cannot be guaranteed!

When installing the fitting rings on pointed ends of other manufacturers, it may be necessary to ensure that the outer diameter of the pipe is included in the above application area.

The Flexseal transition rings according to DIN EN 295, part 4 are used, when transitions of spigot ends from different pipe material such as PVCu, Cast Iron, Ductile Iron, Asbestos Cement to clay sockets with the connection system F, with lip seal “L” should be connected.

The transition ring is pushed as far as it will go to the chamfered end of the tube tip and then inserted into the corresponding sleeve with a lip seal “L” like a stone tip end.

The B-Ring is used as a sealing ring in conjunction with a clay socket to form a saddle on clay main sewers.

The Flexseal drain test plug is a versatile product for all sewer systems. Due to its robust nature, the drain test plug can be used again and again. The plate is inserted into the pipe end (spigot or sleeve) and seals on the inner wall of the pipe.

All Flexseal drain test plugs can be used for pressure tests on sewer pipes, whereby their easy and fast installation is an advantage. The Flexseal DT-plug can also serve as a permanent cleaning seal or as a temporary protection against the ingress of dirt.

The drain test plugs consist of two aluminum washers between which an elastomeric hollow profile is located. By means of a hollow screw and a wing nut, the washers are braced against one another and press the rubber profile against the inner wall of the pipe. The hollow screw also serves as a test connection to the water pressure test.

The Flexseal AccessPoint is ideally suited as an inspection or cleaning opening or as a repair seal for pressureless waste water and rainwater pipes of 75 to 200 mm outer diameter and a wall thickness of up to 7 mm.

The Flexseal AccessPoint can be used as a subsequent inspection opening for clogging / deposits in the pipe as well as for a suspended pipe to replace a cleaning opening.

Most of our articles can be assembled quickly and reliably using standard tools.

For some gaskets, we supply the appropriate installation tool as standard. For example, a T-hex wrench for the PA saddle series.

The ESH 150 and ESH 200 mounting aids make the installation of the FA-saddle series considerably easier.

You can also obtain the necessary drill bits for the various core bores in plastic main pipes and shafts and their corresponding receptacles.

The torque wrenches are ideal for our coupling series TC, SC, LC and UNICON.

All products of Flexseal GmbH are subject to constant quality control by our quality management. In doing so, intensive tests are carried out at the critical points in the production cycle, based on the valid guidelines and our production standards.

Our quality management is documented and certified according to ISO 9001: 2015.

The quality of the Flexseal products is ensured by the independent institution “MPA NRW” (Material-prüfanstalt) in Dortmund.

This third-party surveyor has constant access to the production facilities, in order to be able to take samples from the inventories. These are tested in the laboratories of the MPA NRW and documented by corresponding test certificates.

Your expected lifetime is 50 years! Additional protection measures may be necessary for sealing sleeves made of stainless steel of grade V2A (1.4301), when they are laid in a filled floor, e.g. In landfills of industry, mud walls of mines, and in cases where the soil or ground water has a high chloride content. For these applications, sealing sleeves with V4A (1.4401) steel components should be used.

Materials - ElastomereElastomereDepending on the DIN specifications, our seals are manufactured from elastomers according to DIN 681-1 and DIN 681-2.

For most of our seals we use a high-quality EPDM rubber. Natural or synthetic rubbers are primarily used for the production. Our EPDM mixture contains various additives, which ensure that the properties required for the sealing technology are permanently retained.

The EPDM rubber is vulcanized by heating. After this process, it is extremely elastic. Deformations can be carried out as often as desired without changing the initial shape. When the forces acting on the rubber decrease, EPDM almost returns to its initial shape.

EPDM (Ethylen Propylen-Dien-Monomer) EPDM is a terpolymer elastomer and belongs to the copolymers with a saturated polymer backbone. It has very good aging resistance also with UV- and ozone-load. It is resistant to dilute acids and thus the ideal sealing material for civil engineering applications.

NBR (Nitril-Butadien-Rubber) NBR is always used when the seal comes into contact with oils and fuels. However, in this material the elastic behavior deteriorates.

ATTENTION: If you want to use our NBR seals for wastewater purposes, please contact our Technical Sales Department. There you will be informed if this seal is suitable for this purpose.

SBR (Styrol-Butadien-Rubber) As one of the best known synthetic rubbers, SBR possesses similar properties as NR (Natural Rubber) but loses its elasticity considerably.

NR (Natural Rubber) NR essentially consists of polyisoprene and is obtained from the white milk juice (latex) of certain species of plants growing in tropical areas, mainly from the family of the wolfsmilk plants. It has very good elastic properties, but ages very quickly.

Materials - Stainless Steel

The term “stainless steel” includes a series of steel alloys whose corrosion resistance is based on their chromium content. The chromium contained in the alloy oxidizes and forms a hard, invisible surface protective layer which prevents further corrosion until the surface is damaged, after which this process repeats itself.

Research projects in various countries have shown that austenitic stainless steel, which basically contains 17% chromium and 8% nickel, has good results for the usual soil types and has a service life of up to 100 years.

In poorly drained pebbles, in the presence of industrial and mining waste, and in cases where the soil and groundwater have chlorides with a concentration of more than 1000 ppm, this steel quality tends to be pitting in some cases.

For this reason, Flexseal offers two different steel grades.

By default, all steel parts of the couplings are made of austenitic stainless steel according to DIN 1.4301 (V2A).

For the load-bearing surfaces described on the left, as well as for special seals, we also equip our couplings with a steel quality according to DIN 1.4401 (V4A).

An increased molybdenum addition in the alloy improves the corrosion resistance of this steel by a multiple.

1. DefinitionsIn these Conditions the following words have the following meanings: “Buyer” the person(s), firm or company from whom an order to supply Products is received by the Company; “Company” Flexseal GmbH whose registered address is Hessenring 31, D-37260 Eschwege, Germany; “Conditions” the standard terms and conditions of sale as set out in this document; “Contract” any contract between the Company and the Buyer for the sale and purchase of the Products; “Delivery Point” the place where delivery of the Products is to take place under Condition 12.1; “Products” any goods agreed in the Contract to be supplied to the Buyer by the Company (including any part of parts of them).

2. Application of the Terms 2.1 Subject to any variation under Condition 2.3, the Contract will be on these Conditions to the exclusion of all other terms and conditions (including any terms or conditions which the Buyer purports to apply under any purchase order, confirmation of order, specification or other document), or which are implied by trade, custom, practice or course of dealing. 2.2 No terms or conditions endorsed upon, delivered with or contained in the Buyer’s purchase order, confirmation of order, specification or other document will form part of the Contract simply as a result of such document being referred to in the Contract. 2.3 These Conditions apply to all the Company’s sale of Products and any variation to these Conditions and any representations about the Products shall have no effect unless expressly agreed in writing signed by an authorised representative of each party. 2.4 The Contract constitutes the entire agreement and understanding between the parties. 2.5 The Buyer acknowledges that it has not relied on, and shall have no remedy in respect of, any statement, promise, warranty or representation (whether made innocently or negligently) made or given by or on behalf of the Company which is not expressly set out in the Contract. An action for breach of contract is the only remedy for any statement, promise, warranty or representation set out in the Contract (whether made innocently or negligently). Nothing in this Condition 2.5 shall limit or exclude liability for fraud.

3. Description All samples, drawings, descriptive matter, specifications and advertising issued by the Company and any descriptions or illustrations contained in the Company’s catalogues or brochures are issued or published for the sole purpose of giving an approximate idea of the Products described in them. They will not form part of the Contract.

4. PricesIn the case of all Products sold unless the Contract expressly provides otherwise the price payable by the Buyer for each delivery shall be the Company’s ruling price at the date of dispatch. The price for the Products shall be exclusive of any Value Added Tax or any other Tax or duty relating to the manufacture, transportation, import, sale or delivery of the Products together with any appropriate freight, carriage or related charges specified in the relevant carriage tariff at the date of dispatch.

5. Quotations 5.1 Any quotation is given on the basis that no Contract will come into existence until the Company dispatches an acknowledgement of order to the Buyer or (if earlier) the Company delivers the Products to the Buyer. Unless it is stated otherwise in writing, a quotation is valid for a period of twenty-eight days only from the date thereof, provided that the Company has not previously withdrawn it. 5.2 Any acceptance of the quotation received late may be accepted by the Company in its discretion in which case it shall be binding upon the Buyer. 5.3 Clerical errors and/or omissions in the Company’s quotation acknowledgement or invoice shall be rectified by the Company as soon as discovered and such errors and omissions shall not be binding upon the Company nor permit the Buyer to vary the Contract or any of its terms.

6. Acceptance of Orders 6.1 Each order for Products by the Buyer to the Company shall be deemed to be an offer by the Buyer to purchase Products subject to these Conditions. 6.2 No order placed by the Buyer shall be deemed to be accepted by the Company until the Company issues a written acknowledgment of order or (if earlier) the Company delivers the Products to the Buyer.

7. Payment of Accounts 7.1 Unless otherwise agreed in writing, payment of the price of the Products is due: 7.1.1 in the case of deliveries to a Buyer in the United Kingdom at the end of the month following that in which the Products are dispatched; or 7.1.2 in the case of deliveries to a Buyer outside the United Kingdom the price is payable in full against receipt of a shipping document by the Buyers agents. 7.2 Any delay or default by the Buyer in making payment in accordance with condition 7.1 shall render all sums owing to the Company on any account whatsoever including the costs of recovery of such sums, due and payable forthwith without requirement for any notice to be given to the Buyer, and interest will be charged in accordance with condition 7.6 with immediate effect until the date of actual payment. 7.3 No payment shall be deemed to have been received until the Company has received cleared funds. 7.4 All payments payable to the Company under the Contract shall become due immediately upon termination of this Contract despite any other provision. 7.5 The Buyer shall make all payments due under the Contract without any deduction whether by way of set-off, counterclaim, discount, abatement or otherwise unless the Buyer has a valid court order requiring an amount equal to such deduction to be paid by the Company to the Buyer. 7.6 If the Buyer fails to pay the Company any sum due pursuant to the Contract the Buyer will be liable to pay interest to the Company on such sum from the due date for payment at the rate of 8% above The Bank of England’s base rate then in force, accruing on a daily basis until payment is made, whether before or after any judgment. 7.7 The Company may at any time or times without notice to the Buyer, set

off any liability of the Company to the Buyer against any liability of the Buyer to the Company. 7.8 Credit facilities may be withdrawn or reduced at any time at the Company’s sole discretion. 7.9 The Company may accept payment of account by credit card subject to a 2.5% surcharge.

8. Title and Risk 8.1 The risk in the Product shall pass to the Buyer when the Product is loaded on to the Buyer’s or the Buyer’s carrier’s vehicle or when delivered to the Buyer’s order whichever is the sooner. 8.2 The ownership of the Product shall not pass to the Buyer until the Company has received in full (in cash or cleared funds) all sums due in respect of: 8.2.1 the Products; and 8.2.2 all other sums which are or which become due to the Company from the Buyer on any account. 8.3 Until ownership of the Products has passed to the Buyer, the Buyer must: 8.3.1 hold the Products on a fiduciary basis as the Company’s bailee; 8.3.2 store the Products (at no cost to the Company) separately from all other goods of the Buyer or any third party in such a way that they remain readily identifiable as the Company’s property; 8.3.3 not destroy, deface or obscure any identifying mark or packaging on or relating to the Products; 8.3.4 maintain the Products in satisfactory condition insured on the Company’s behalf for their full price against all risks to the reasonable satisfaction of the Company. On request the Buyer shall produce the policy of insurance to the Company; and 8.3.5 hold the proceeds of the insurance referred to in Condition 8.3.4 on trust for the Company and not mix them with any other money, nor pay the proceeds into an overdrawn bank account. 8.4 The Buyer may resell the Products before ownership has passed to it solely on the following conditions: 8.4.1 any sale shall be effected in the ordinary course of the Buyer’s business at full market value; and 8.4.2 any such sale shall be a sale of the Company’s property on the Buyer’s own behalf and the Buyer shall deal as principal when making such a sale. 8.5 The Buyer’s right to possession of the Products shall terminate immediately if: 8.5.1 the Buyer has a bankruptcy order made against him or makes an arrangement or composition with his creditors, or otherwise takes the benefit of any Act for the time being in force for the relief of insolvent debtors, or (being a body corporate) convenes a meeting of creditors (whether formal or informal), or enters into liquidation (whether voluntary or compulsory) except a solvent voluntary liquidation for the purpose only of reconstruction or amalgamation, or has a receiver and/or manager, administrator or administrative receiver appointed of its undertaking or any part thereof, or a resolution is passed or a petition presented to any court for the winding up of the Buyer or for the granting of an administration order in respect of the Buyer, or any proceedings are commenced relating to the insolvency or possible insolvency of the Buyer; or 8.5.2 the Buyer suffers or allows any execution, whether legal or equitable, to be levied on his/its property or obtained against him/it, or fails to observe/perform any of his/its obligations under the Contract or any other contract between the Company and the Buyer, or is unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986 or the Buyer ceases to trade; or 8.5.3 the Buyer encumbers or in any way charges any of the Products. 8.6 The Company shall be entitled to recover payment for the Products notwithstanding that ownership of any of the Products has not passed from the Company. 8.7 The Buyer grants the Company, its agents and employees an irrevocable license at any time to enter any premises where the Products are or may be stored in order to inspect them, or, where the Buyer’s right to possession has terminated, to recover them.

9. Delivery by Instalments In all cases where the Contract provides for delivery by instalments or part deliveries each instalment or part delivery shall be deemed to be a separate contract and cancellation of any one instalment or part delivery shall not avoid or affect contracts as to the other instalments or part deliveries.

10. Buyer`s Default The Company, may at its option, cancel or withhold all further deliveries under the Contract in the event that any debt is due and payable to the Company by the Buyer but is unpaid or upon the commencement of any act or proceeding in which the Buyer’s solvency is involved.

11. Delivery 11.1 Unless otherwise agreed in writing by the Company delivery of the Products shall take place at the Buyer’s place of business or at a specified delivery address stated on the Buyer’s purchase order. 11.2 Dates for delivery are approximate and unless the parties agree in writing otherwise time shall not be of the essence. If no dates are so specified, delivery will be within a reasonable time. 11.3 Subject to any other provisions of these Conditions, the Company shall not be liable for any loss (including loss of profits), costs, damages, charges or expenses caused directly or indirectly by any delay in the delivery of the Products (even if caused by the Company’s negligence). 11.4 In the event of a delivery of any Products as a result of any cause beyond the Company’s reasonable control, the Buyer shall have no right to terminate or rescind the Contract unless such delay exceeds 30 days. 11.5 Where a delay in delivery is due to a cause within the Company’s reasonable control the Company’s liability and the Buyer’s exclusive remedy shall be limited to the right to cancel the Contract in respect of the Products so affected. 11.6 If for any reason the Buyer will not accept delivery of any of the Products when they are ready for delivery, or the Company is unable to deliver the Products on time because the Buyer has not provided appropriate instructions, documents, licenses or authorisations: 11.6.1 risk in the Products will pass to the Buyer (including for loss or damage caused by the Company’s negligence); 11.6.2 the Products will be deemed to have been delivered; and 11.6.3 the Company may store the Products until delivery whereupon the Buyer will be liable for all related costs and expenses (including without limitation storage and insurance). 11.7 The Buyer will provide at its expense at the Delivery Point adequate and appropriate equipment and manual labour for loading the Products.

12. Non Delivery 12.1 The quantity of any consignment of Products as recorded by the Company upon dispatch from the Company’s place of business shall be conclusive evidence of the quantity received by the Buyer on delivery

unless the Buyer can provide conclusive evidence proving the contrary. 12.2 The Company shall not be liable for any non-delivery of Products (even if caused by the Company’s negligence) unless written notice is given to the Company within 14 days of the date when the Products would in the ordinary course of events have been received. 12.3 Any liability of the Company for non-delivery of the Products shall be limited to replacing the Products within a reasonable time or issuing a credit note at the pro rata Contract rate against any invoice raised for such Products.

13. Loss or Damage in Transit 13.1 Save in cases where the Company is responsible for the delivery of the Product it shall not be liable for any damage, shortage or loss in transit or in respect of any claim consequential thereto. 13.2 In cases where the Company is responsible for the delivery of the Product the Buyer shall notify the Company in writing of any shortage, damage or loss in transit within 3 days of the date of receipt. 13.3 In cases where notice is given under Condition 14.2 hereof the Company’s liability shall be limited to the cost of the Product so damaged lost or in short supply. The Company shall not be liable for any consequential loss save in cases where the Buyer has given notice in writing to the Company at the time of placing the order of the nature and extent of any claim liable to arise from loss or damage in transit. 13.4 In cases where the Company is responsible for delivery of the Product the Buyer shall be responsible for providing labour for the purpose of unloading and such unloading shall be at the Buyer’s risk. In the event of unloading being undertaken by the Company’s employees either (a) pursuant to the Buyer’s instructions or (b) in the absence of instructions from the Buyer, such unloading shall be at the Buyer’s risk.

14. Defects 14.1 Any defects in the Product howsoever arising must be notified in writing to the Company by the Buyer within 14 days of their receipt. 14.2 In the event of such notice being received in accordance with Condition 14.1 the Buyer must make available the defective Product for the Company’s examination. Should the Company find the Product is defective, the Company shall at its option either rectify the defects free of charge, or replace the defective Product free of charge or allow to the Buyer a credit in the amount of the defective Product. 14.3 If the Company complies with Condition 14.2 it shall have no further liability for defects in the Products.

15. Conformity Goods supplied by the Company will be of satisfactory quality and free from any material defects. The Company also confirms that all goods supplied conform in all respects with all relevant specifications.

16. Limitation of Liability 16.1 The following provisions of this Condition 18 set out the entire financial liability of the Company (including any liability for the acts or omissions of its employees, agents and subcontractors) to the Buyer in respect of: 16.1.1 any breach of these Conditions; and 16.1.2 any representation, statement or tortious act or omission including negligence arising under or in connection with the Contract. 16.2 All warranties, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from the Contract. 16.3 Nothing in these Conditions excludes or limits the liability of the Company for: 16.3.1 death or personal injury caused by the Company’s negligence, or the negligence of its employers, agents or sub-contractors; 16.3.2 fraud or fraudulent misrepresentation; or 16.3.3 any other liability which cannot be legally excluded or limited. (The Buyer’s attention is drawn to the provisions of Condition 18.4 below) 16.4 Subject to Conditions 18.2 and 18.3: 16.4.1 the Company’s total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation or otherwise, arising in connection with the performance or contemplated performance of this Contract shall be limited to the cost of the Product to which any complaint relates save where written notice is given by the Buyer to the Company prior to delivery of the Products indicating the nature of any potential claim arising out of the said delivery; and 16.4.2 the Company shall not be liable to the Buyer for any indirect or consequential loss or damage (whether for loss of profit, loss of business, depletion of goodwill or otherwise), costs, expenses or other claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with the Contract.

17. Assignment 17.1 The Buyer shall not be entitled to assign the Contract or any part of it without prior written consent of the Company. 17.2 The Company may assign the Contract or any part of it to any person, firm or company.

18. General 18.1 Each right or remedy of the Company under the Contract is without prejudice to any other right or remedy of the Company whether under the Contract or not. 18.2 If any provision of the Contract is found by any court, tribunal or administrative body of competent jurisdiction to be wholly or partly illegal, invalid, void, voidable, unenforceable or unreasonable it shall to the extent of such illegality, invalidity, voidness, voidability unenforceability or unreasonableness be deemed severable and the remaining provisions of the Contract and the remainder of such provision shall continue in full force and effect. 18.3 Failure or delay by the Company in enforcing or partially enforcing any provisions of the Contract and the remainder of such provision shall continue in full force and effect. 18.4 Any waiver by the Company or any breach of, or any default under, any provision of the Contract by the Buyer will not be deemed a waiver of any subsequent breach or default and will in no way affect the other terms of the Contract. 18.5 The parties to this Contract do not intend that any term of this Contract will be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person that is not a party to it. 18.6 The formation, existence, construction, performance, validity and all aspects of the Contract, including the legal relationships established by the Contract shall be governed by the laws of Germany and the parties submit to the exclusive jurisdiction of the court of Eschwege / Germany.
