General Conditions of Payment and Delivery IML Instrumenta Mechanik Labor System GmbH

I. GeneralThe following Terms and Conditions apply to all – including future - transactions with the customer. Any General terms and conditions of the customer shall not apply. We hereby expressly object to the validity of such conditions Ancillary agreements require the written form in order to be valid

II. Prices, Shipping, Payment1. Unless otherwise specified, prices shall be in euro and per piece. They shall apply ex works, excluding costs for packaging, postage, freight, insurance, plus statutory value added tax (within Germany). All prices are subject to change.2. Prices in our offer shall apply only to the order data on which the offer is based. Subsequent changes or additions at the customer›s request, as well as the resulting additional costs, shall be charged additionally.3. The goods shall be paid for within 30 calendar days from the date of the invoice, without any deductions.4. The delivery shall take place ex works and at the expense and risk of the customer. The goods shall be shipped at the customer›s request and at his risk and expense. Should shipment of the order be impossible through no fault of our own, the risk pas-ses to the customer upon notification of the readiness for dispatch. We are liable only for intent and gross negligence.5. No discount is granted for cash payments. The customer shall bear all costs incurred in the submission and acceptance of bills of exchange and cheques.

III. Delay of Payment1. In case of a delay of payment, we are entitled to charge the customer for the credit costs we have incurred. We reserve the right to claim further default damages.2. If instalments or bills of exchange have been agreed upon, the respective outstan-ding receivable is due immediately if the customer falls into arrears on more than 2 payments.3. In the case of the delay of more than 2 payments, we are entitled to withdraw from the contract.4. Should the fulfilment of our payment claim be endangered due to a deterioration of the financial situation of the customer, which has occurred or become known to us after conclusion of the contract, we are entitled to demand payment in advance and immediate payment of all open invoices not yet due, as well as withhold goods not yet delivered until payment, and stop the processing of current orders. We are also entitled to said rights if the customer does not make payment despite a reminder.

IV. Retention of Title1. We reserve the ownership of the goods until full payment of all claims from the business relationship with the customer.2. Should the goods delivered by us be compounded, mixed or blended with other goods, we acquire co-ownership of the new item in proportion to the value of our goods to the value of the other compounded, mixed or blended goods. Should the ownership of the goods cease to exist because it has become an integral part of another item, the customer already now grants us co-ownership of the principal item which is proportional to the value of the goods supplied compared to the value of the principal item. Co-ownership is already transferred to us, whereby handover is replaced by agreeing on a safekeeping relationship, on the basis of which the custo-mer keeps the principal item safe for us at his own expense. Upon payment of the accounts receivables, the co-ownership thus granted is transferred to the customer. 3. The customer is permitted to sell on the goods in an orderly business transaction during the course of his business operations. He is not entitled to pledge or assign the goods. We can revoke this authorisation if the customer falls into arrears of payment or economic distress, in particular if insolvency proceedings are opened against his assets.4. In the event that the new object is sold then the customer hereby assigns to us, for the security of our claims arising from the whole of the business relationship, his claim against the customer arising from its resale. The customer may at any time be required by us to provide information about the stock of assigned goods and grant us, or a person authorised by us, access to the relevant business documents. The customer is entitled to collect but not to assign the receivables to a third party. We are entitled to prohibit the collection of the receivables if the customer is in delay of payment, faces financial collapse, or judicial insolvency or composition proceedings are to be opened over his assets. If the overall amount of the assigned claims – in so far as unquesti-onable and feasible – exceeds our outstanding claims by more than 10 %, we are obliged, at the request of the customer, to assign on a pro rata basis the individual receivables with the respective excess amount to the customer.5. Contrary to No. 3, the customer shall not be entitled to sell the goods in the course of normal business transactions if he excludes the assignment of the receivables from the sale of the goods to us.6. If the customer is in arrears with payment, we are entitled to take back the goods.7. If the customer is a registered merchant, we shall also be entitled to take back and realise the goods after a prior warning in the case of default in payment on the part of the purchaser. The proceeds from the realisation shall be offset against the buyer›s liabilities.

V. Delivery Time1. Delivery dates shall not be binding unless they have been expressly confirmed in writing.2. Should timely delivery not be possible as a result of delayed or incorrect delivery from our suppliers, and we are not responsible for this circumstance, or should per-formance be impossible due to force majeure, acts of war, unrest, strikes, lockouts, sovereign interventions, destruction or damage of our production and operating equipment, for we cannot be held responsible, we shall be entitled to postpone the delivery or service by the period of the delay plus a reasonable starting period or to withdraw from the contract - in so far as not yet performed - partly or completely.

VI. Notification PeriodThe customer shall inspect the goods immediately upon receipt and, should the goods have obvious defects, notify us about said defects within a period of 2 weeks after receipt of the goods, or after handover by the freight forwarder in the event of dispatch; otherwise, the customer’s claims due to defects shall be excluded. In all other cases, deficiencies may be claimed only within the period of one year. The beginning of the period is the legal beginning of the limitation period (emergence of the claim).

VII. WarrantyOur products are warranted to be free of defects for a period of 1 year. The beginning of the period is the legal beginning of the limitation period (emergence of the claim).In the event of defects, we shall be entitled at our discretion to subsequent perfor-mance (rectification/replacement) up to the amount of the order value, unless there has been intent or gross negligence by ourselves or our vicarious agents. If a twofold attempt at subsequent rectification or replacement fails twice, or if rectification or replacement is impossible or unacceptable to the customer, or if we definitively refuse to said subsequent performance, the customer is entitled to demand a reasonable reduction in the price or withdraw from the contract.After fruitless expiry of a time limit previously fixed for subsequent performance, the customer is entitled to claim damages under the conditions set forth in § 437 No. 3, § 634 No. 4 BGB (German Civil Code), to the extent we are responsible for intent or gross negligence (with the exception of bodily injury).

VIII. DamagesWe are liable for all damages arising from culpable breach of contract if we ourselves or our vicarious agents are at fault, but only in case of damage by intention or gross negligence (with the exception of personal injury). The above also applies - insofar as legally permissible - also in the event of default or impossibility of performance. Liability for indirect damages is excluded should we be also liable for damages due to breach of contract based on minor negligence on our part or that of our vicarious agents. For damages caused by delay in our performance, we shall only be liable up to the amount of the order value (self-rendered services minus advance performance and material) if we or our vicarious agents are only culpable of minor negligence.

IX. Acceptance The customer shall accept the goods on the agreed completion date. If the customer is in default of acceptance, notwithstanding Section II. 3, the price agreed upon shall be due immediately. The customer is obliged to pay in advance any costs incurred for storage and insurance. If the customer does not meet this obligation, we are entitled to withdraw from the contract and to make other use of the goods, whereby the sales revenues gained in this case are credited to the price agreed upon. We are entitled to receive compensation for the lost profit.

X. Property The operating materials used by us for the manufacture of the product to which the contract relates, in particular special means of production (tools, devices, etc.) remain our property and shall not be delivered.

XI. Set-OffA set-off may only be exercised with a claim that is undisputed or determined by law. The customer shall only have a retention right as regards claims from the same con-tractual relationship.

XII. Applicability of German Law The law of the Federal Republic of Germany shall apply exclusively.The application of the uniform law governing the international purchase of movable objects and the law governing the conclusion of international purchase contracts for movable objects is excluded.

XIII. Place of Performance and Jurisdiction Place of performance and exclusive place of jurisdiction for business with registered traders is Heidelberg. However, we shall also be entitled to take action at the general legal venue. Should any provision of these Terms and Conditions or a provision within the framework of other agreements be or become invalid, the remaining provisions or agreements shall remain unaffected. The invalid or unenforceable provision shall be replaced by a legally effective provision which comes closest to the meaning and purpose of the invalid provision.
