With the EQUITONE [textura] and EQUITONE [pictura] facade panels, you can choose between two large-format board types for soffit or verge boards. The facade panels, which are up to 3,100 mm x 1,250 mm in size and approved by building authorities and certified under private law, are available in 40 standard and supplementary colours. The colour specter

ranges from white to gray, beige and various shades of brown to bold colours and black. With EQUITONE [textura] and EQUITONE [pictura], discreet or colour accentuated soffit or verge boards can be made to match facade panels CEDRAL or CEDRAL click. We are happy to send you samples for free.

General

Delivery timesThe items in the price list are provided with delivery times. These consist of the following: S = Standard article,

product in stock (changes reserved)

F = Finished product, no standard stock items, delivery time on request.

The sale and delivery are on the basis of the general Terms Delivery and Payment, conditions unless otherwise stated in this price list. The general terms of delivery and payment are on pages 18. Product orders cannot be changed after the order confirmation. This applies in particular to finished products. Post-orders after production are considered a new order.Orders with finished products must be accepted in full extent to the confirmed delivery date. In the event of a delay in acceptance by the purchaser, we shall charge the resulting additional expenses at the latest after 4 weeks with 25 € / pallet per week commenced. The assertion of any further damage remains reserved (see General Terms). A reservation or postponement of these orders is not possible.

Cancellation of finished productsThe cancellation for ordered and already finished products is not possible.

Cancellations of standard stock items Cancellation of orders via standard stock items is not possible, as long as the delivery time is already confirmed.

Surcharge for incomplete pallet In case of incomplete order, an additional surcharge of 15% will be applied, otherwise incurred for the acceptance of an entire pallet.

Product return The possibility of a return of standard stock items must be agreed with our office staff. Only undamaged and whole pallets are taken back, no opened pallets. Upon return of goods, a processing fee of 15% of the value of the goods, but at least EUR 25.00 will be charged plus the resulting transport costs. A return of the MTO products is not possible.

One-way pallets The delivery of our facade panels CEDRAL and CEDRAL click is carried out on disposable pallets (3,62 m x 1,03 m).

Product quality When installed, the CEDRAL facade panels can be protected by massive environmental influences e.g. you can apply green cover in a highly natural location - just like all other outdoor materials. Complete protection against vandalism and other extraordinary effects cannot be guaranteed. A perfect function of the individual products can only be guaranteed with proper processing, taking into account the currently valid processing instructions of from www.cedralsidings.com.

StorageWhen stored in a stack on a flat surface, the panels must be protected from moisture and direct sunlight with a tarpaulin.

The DNA of Cedral

The ideal low maintenance, rot free alternative to traditional timber weatherboarding.Fibre cement offers both contemporary and flexible design options, and is used by many architects

to create stunning facades. The simple combination of wood cellulose, synthetic fibres, water and

cement make fibre cement one of the most ecological and universal building products on the

market.

Hard as stone easy as woodThe material’s multi-layered fibre structure supports the cement and other solids, which gives it

impressive strength, and means that it can be far thinner than concrete. It is also far more malleable

than comparable natural products, which means it can be easily cut to form products for cladding

applications.

Sand, water, air, cement, textile fibres, wood cellulose.



General delivery and payment conditions of Creaton South East Europe

I. General information, Area of application 1. These terms of delivery and payment are part of all CEDRAL offers

and contracts for deliveries and services of Creaton South East Europe. They apply exclusively. We do not accept terms and conditions of the customer that are conflicting or differing from our delivery and payment, unless we have expressly agreed in writing their validity. Our terms of delivery and payment also apply if we carry out the delivery to the purchaser without reservation, despite being aware of terms and conditions of the purchaser that conflict with or deviate from our delivery and payment terms.

2. All additional agreements, ancillary agreements or changes, even if they have already been made orally, must be recorded in writing. Post-contractual agreements can be effectively concluded only by an authorized representative.

II. Offers, prices, samples 1. Offers are subject to change until the conclusion of the contract.

Intermediate sale reserved.2. Unless a written agreement on the price has been made, the list

price valid at the time of the conclusion of the contract shall apply. Notwithstanding the above, the list price valid at the time of delivery or self-pickup shall apply, provided cost increases, in particular for energy, personnel and duties, have occurred in the period between the conclusion of the contract and the delivery or pick-up were predictable.

3. Prices are in EUR, without VAT, and include the transport - in case of a minimum order of 2 pallets of CEDRAL boards, delivered in the country of residence of the distributor. In case of orders below 2 pallets, the distributor will have to additionally pay the transport of the goods. For small orders of accessories, the transport cost of express deliveries will be re-invoiced separately to the customers. Taxes, customs duties and other costs are not included.

4. Samples are, unless otherwise agreed, as non-binding illustrative pieces. Minor deviations from our offer or sample in terms of size, quality, weight and colour reserved.

5. Prices expressed in the price list, are for complete pallet of CEDRAL boards. In case of incomplete order, an additional surcharge of 15% will be applied, otherwise incurred for the acceptance of an entire pallet.

III. (Partial) delivery, transfer of risk, acceptance and debtor delay 1. Binding delivery dates require a written confirmation. 2. We are entitled to partial deliveries within the specified delivery period,

if these are reasonable for the purchaser. 3. Force majeure and other unforeseeable extraordinary events, which

may include among others shortages of materials, energy, labour and transport, production disruptions, labour disputes, delivery delays of our suppliers, traffic disruptions and dispositions which render us unable to fulfill our delivery obligations shall exempt us for the duration of the effects or, in the case of impossibility of delivery completely from our obligation. We will inform the buyer about the occurrence of such a case without delay.

4. If the goods are delivered to the purchaser at his request - also free on site or free of charge - the risk of accidental loss and accidental deterioration of the goods shall pass to the purchaser upon delivery to the freight carrier / forwarder; this also applies in the case of partial deliveries or self-pickup. The agreed delivery requires the accessibility of the unloading point with trucks up to 40 t as well as a suitable ground-level unloading possibility.

5. The signer of the delivery note accepting the order is deemed to have been authorized to accept the goods.

6. If the purchaser is in default of acceptance or if he violates other obligations to cooperate, we shall be entitled to demand compensation for any damage incurred, including any additional expenses. Further claims are reserved.

7. If we are unable to fulfill our obligation to deliver or pickup the goods for delivery, on time, we shall be liable for the damage resulting from the delay only in accordance with the following clause. Nr. V. Par. 1.

8. Insofar as the validity of Incoterms clauses has been agreed, the terms of incorporation in the current version published by the International Chamber of Commerce shall prevail.

IV. Material defect1. The purchaser is responsible for examining the delivered goods

immediately upon receipt. Recognizable defects, quantity deviations or wrong deliveries must be reported to us immediately in commercial transactions no later than within five days and in non-commercial transactions within two weeks in writing. If the timely announcement is omitted, rights due to material defects are excluded. We have the opportunity to jointly identify the reported complaints and to be

present at withdrawals for material testing. 2. A prerequisite for the assertion of claims due to defects is that the

purchaser properly treats and stores the purchased goods and the on-site installation, laying, assembly or other further processing in accordance with the applicable technical rules, guidelines, standards, the Conditions of the approvals and our factory regulations.

3. As a condition of the goods, basically only our product description is agreed. In addition, public statements, suggestions or advertising do not constitute a contractual specification of the quality of the goods. These descriptions of the condition of the goods or other explanations on the goods are not to be understood as a guarantee. The customer can only rely on a guarantee if it is declared in writing and expressly as a guarantee.

4. Slight colour and other surface changes (esp. efflorescence, micro cracks) on the goods as well as other deviations in their appearance (minor irregularities, deformations), which do not adversely affect the usability of the goods, shall not be regarded as a breach of contract. The same applies to the commercial break. Age or weather-related wear is not a material defect.

5. In the case of justified and timely notice of defects by the purchaser, we are entitled, at our discretion, to remedy the defect or to deliver a replacement. If the supplementary performance fails, the customer may demand a reduction of the price (reduction) or cancellation of the contract (resignation).

6. Our advice is non-binding, the liability for this - as far as legally possible - the reason or the amount excluded.

V. Damages1. Claims for damages are excluded, regardless of the legal nature of the

asserted claim. Excluded from this are damages resulting from injury to life, limb or health if we are responsible for a breach of duty and for other damages that are based on an intentional or grossly negligent breach of duty on our part. A breach of duty of Creaton South East Europe is equal to that of its legal representatives. If Creaton South East Europe is responsible for a breach of duty, the purchaser is entitled under the legal conditions to rescind the purchase contract, as far as it is not a defect of the purchased item.

2. The above applies in particular to claims for negligence in contract negotiations, violation of a secondary obligation or other legal claims.

3. Claims for damages due to impossibility or impotence remain unaffected. The same applies insofar as liability is mandatory due to the provisions of the Product Liability Act.

VI. Packaging 1. If, at the buyer‘s request, the packaging deviates from the standard, in

particular in the case of export, this will be charged separately. 2. The standard packaging of our fiber cement products takes place on

Euro pallets or VdFz industry pallets (VdFz: (Association of fiber cement Industrie e.V.).

VII. Payments, right of retention1. Invoices are payable in advance, if no different specifications in written

on the confirmation document and invoice. The customer shall pay the value in the currency indicated on the invoice. Loading will be done after payment confirmation by our Hungarian bank.

2. If a direct debit mandate is agreed, we are authorized to collect payments from the buyer‘s account by direct debit. The buyer instructs his bank to honor the direct debits drawn by us. The collection of the direct debit takes place on the due date. If the due date falls on a non-bank working day, it will be redeemed on the next bank working day. At least one bank working day before moving in, the buyer will be informed about the collection (Pre-Notification). The customer assures to take care of the account. Costs incurred as a result of non-payment of the direct debit shall be charged to the customer as long as the non-payment or the rebooking was not caused by us.

3. Bonus, discount or other performance agreements in favour of the purchaser or third parties are conditional for the case of non-payment or incomplete payment of our claims irrespective of the reason for the non-payment of the purchaser. In the event of payment arrears of any kind, the offsetting of claims of Creaton South East Europe is already determined with claims of the customer from bonus, discount or other performance agreements.

4. If the general court of jurisdiction of the purchaser is outside the Hungary, the payment shall be made by means of a prepayment account or an irrevocable letter of credit, confirmed by our Hungarian bank.

5. The purchaser only has set-off rights if his counterclaims have been legally established, are undisputed or acknowledged by us. In commercial transactions, the purchaser can only assert a right

6. In the event of doubts as to the creditworthiness of the purchaser based on the information provided by a bank or credit agency, even if the purchaser already insisted on the conclusion of the contract, we are entitled to refuse the service to which we are entitled, unless the purchaser continues to do so or providing us with security in the amount of our contractual claim. If the customer is unwilling to do so despite being requested to do so, we shall be entitled to withdraw from the contract, without prejudice to any other rights.

VIII. Retention of title, securing of claims1. The delivered goods remain our property until the complete payment of

all claims from the respective underlying purchase contract (retention of title). The customer is obliged to ensure the care of the goods.

2. In commercial transactions, this reservation of title extends to all claims arising from the business relationship with the customer, including ancillary claims.

3. In the event of breach of contract by the customer, in particular in the case of late payment, we are entitled to take back the delivered item. In the withdrawal of the item - unless the buyer is a non-merchant - there is no withdrawal from the contract, unless we have expressly declared this.

4. The customer is obliged to treat the delivered goods with care; in particular he has to insure them adequately at his own expense against fire, water and theft damage to the replacement value.

5. The treatment or processing of the purchased item by the purchaser is always taken over for us. Will the purchased item with other objects, not belonging to us, inseparably mixed, we acquire the co-ownership of the new item in proportion to the value of the purchased item (final invoice amount, including value added tax) to the other processed items at the time of processing.

7. The customer is entitled and authorized to sell the purchased goods in the normal course of business. However, he hereby assigns all claims in the amount of the final invoice amount (including value added tax) of our receivables, which accrue to him from the resale against his customers or third parties, irrespective of whether the goods were purchased without or after loading or unloading, processing, compounding or blending has been resold. The purchaser assigns to us to the same extent the claims (including the right to grant a security mortgage) which accrue to him from the connection of the object of sale to a property against third parties. If the purchaser is the owner of the property, the advance assignment shall cover to the same extent the claims resulting from the sale of the property or real property rights.

8. The customer remains entitled to collect the claims assigned to us ourselves. In the event of default of payment by the customer, however, we are entitled to revoke the right of collection granted to him in respect of the claims assigned to us. In this case, the purchaser must provide us with the information required to assert the claims assigned to us. The assignment of the claims arising from the sale of the reserved goods to third parties is only permitted to the purchaser insofar as it takes place for the purpose of debt collection (factoring).

9. If the realizable value of the realizable securities granted to us by the customer exceeds our claims by more than 20%, we shall be obliged to release the securities to a corresponding extent upon request. The choice of the securities to be released is within our scope of responsibility.

IX. Copyright and trademark rights, technical specifications1. We reserve all copyright claims to the illustrations, drawings and other

documents provided by us. The distribution of our products is only permitted under the existing, predected trademarks.

2. We provide technical information and design proposals to the best of our knowledge in the context of our customer service, taking into account the applicable building legislation and the rules of the building trade. The purchaser must check the suitability of the ordered goods and the proposed design for the intended use. We are entitled to change the technical data of the ordered delivery item as far as this is reasonable for the customer.
