We all know what we need from commercial refrigeration. Equipment that does the job, does it well, and doesn’t break down.

We’ve built a company around a no-nonsense approach that gives customers the best possible product – including stainless steel exteriors and interiors, the latest technologies and the lowest running costs – at the best possible price. By combining innovative R&D with practical solutions, we’ve created products that deliver what today’s foodservice operator wants.

We’ve taken it further by developing manufacturing techniques that allow us to be truly flexible, allowing us to tailor standard models to individual customer requirements. We offer over 16,000 potential product configurations in this price list alone.

Business isn’t just about products, it’s about people, too. That’s why we’re committed to delivering the best possible customer service, working in close partnership with our dealers. And it’s why we offer a two year, no quibble warranty with 85% next day call out turnaround.

Our approach has proved popular: since 2009, Precision has achieved sales growth of at least 25% per year, every year.

Precision, MEPS, Ecodesign and Energy Labelling

Following the implementation of Minimum Energy Performance Standard (MEPS) in July 2016, all relevant Precision products now have energy labels, along similar lines to those found on domestic appliances. At this stage MEPS does not apply to products such as blast chillers, bottle coolers and prep counters with ingredients wells.

As a result of extensive upgrades across the range, our products are amongst the most efficient on the market. Although many look the same, behind the scenes nearly all the components have changed and use the latest, most energy-efficient technology throughout.

Most of the new products will have eco-friendly and ultra-energy-efficient R290 hydrocarbon refrigerant as standard – we plan to be as close as possible to 100% hydrocarbon during 2017.

The new MEPS tests are tough and, unless a product scores a minimum ‘G’ or above, it cannot be sold on the market. The upgrades we’ve undertaken mean that, for example, our top-selling MCU211 two door counter, HPU150 undercounter refrigerator and LPU150 undercounter freezer are all ‘A’ rated.

Precision – a brief history

1968 Precision Tools Thetford Ltd is founded as a stainless steel fabrication company. 2008

The company is acquired by Nick Williams and changes its name to Precision Refrigeration.

2010Precision helps develop and is the first refrigeration manufacturer to use Envirofoam, a ‘green’ high performance insulation based on vegetable oils rather than petrochemicals.

2012Precision Refrigeration Shenzhen is founded to serve the Chinese and Asian markets. 2014

Precision works with Honeywell on a new HFO-based refrigerant that is not only safer than hydrocarbon, but also has an even lower GWP.

2015Precision Refrigeration (Middle East) FZE launches, based in Dubai and serving the Middle East markets.

2017Precision aims to use 100% hydrocarbon refrigerant across the range.

2016Precision launches Retro Refrigeration, combining vintage looks and ultra-modern technology.

2011Precision launches Cyberchill, a sales and distribution subsidiary for the Australasian market.

provide energy efficient and reliable mobile

refrigerated and heated storage solutions for


The refrigerator model is designed to operate

between -2ºC and +4ºC and is capable of storing 24

x GN1/1 65mm deep pans of refrigerated product.

The heated model operates between 78ºC and

82ºC to provide storage of 30 x GN1/1 65mm deep

pans of pre-cooked food product. A humidity tray

is also fitted as standard to increase the humidity

within the cabinet when required.

besubjecttotheDeliveryTerms.4.2 EachdeliveryofGoodsshallbe

accompaniedbyadeliverynotewhichshowsallrelevantCustomerandSupplierreferencenumbers,thetypeandquantityoftheGoods(includingthecodenumberoftheGoods,whereapplicable),specialstorageinstructions(ifany)and,iftheOrderisbeingdeliveredbyinstalments,theoutstandingbalanceofGoodsremainingtobedelivered.

4.3 WeshalldelivertheGoodstothelocationset out in the Order or such other location asthepartiesmayagree(DeliveryLocation)atanytimeafterWenotifyYouthattheGoodsareready.

4.4 DeliveryoftheGoodsshallbecompletedontheGoods’arrivalattheDeliveryLocation.

4.5 Youshallberesponsibleforensuring

thatYouhavesufficientresourcesandmanpowerattheDeliveryLocation,atYourownriskandcost.

4.6 IfYourequirenotificationinadvanceofthearrivaltimeoftheGoods,thismustbestatedintheOrderandagreedbyUsinadvanceinwriting.

4.10 IfanOrderforSparePartsisplacedandthepartisnotinstock,Youwillbenotifiedofthisinwritingandthepartwillbedeliveredassoonasisreasonablypracticable.

4.11 WemaydelivertheGoodsinseparatedeliveries,whichshallbeinvoicedandpaidforseparately.EachindividualdeliveryshallconstituteaseparateContract.AnydelayindeliveryordefectinanyonedeliveryshallnotentitleYoutocancelanyotherinstalment.

4.14 YouareresponsibleforanydeliverycostsassociatedwithreturningtheGoodstousundertheWarrantyTerms.

4.15 IfGoodsarebeingreturnedtoUsforbreachofthewarrantywhereWeareliableforthesame,assetoutintheWarrantyTerms,WeshallberesponsibleforanydeliverycostsinreturningtheGoodstoYou,ifapplicable.

4.16 Weshallnotberesponsibleforanyincidentalorconsequentialdamagewhatsoever.

5. QUALITY5.1 SubjecttotheWarrantyTerms,forUK

Ordersonly,Wewarrantthatondelivery,andforaperiodof24monthsfromthedateofdelivery(warrantyperiod),theGoodsshall:

5.1.1 conforminallmaterialrespectswiththeirdescriptionandanyapplicableSpecification;

5.1.2 befreefrommaterialdefectsindesign,materialandworkmanship;and

5.1.3 beofsatisfactoryquality(withinthemeaningoftheSaleofGoodsAct1979).

5.2 Subjecttoclause5.3,if:5.2.1 YougivenoticeinwritingtoUsduringthe

5.3 WeshallnotbeliableforGoods’failuretocomplywiththewarrantysetoutinclause5.1inanyofthefollowingevents:

5.3.1 thedamage,defectordeteriorationarisesinrespectofconsumableitemsincluding,butnotlimitedto,lightsandgaskets;

5.3.2 YoumakeanyfurtheruseofsuchGoodsaftergivingnoticeinaccordancewithclause5.2.1;

5.3.3 thedefectarisesbecauseYoufailedtofollow Our oral or written instructions as to thestorage,commissioning,installation,useandmaintenanceoftheGoodsor(iftherearenone)goodtradepracticeregardingthesame;

5.3.4 thedefectarisesasaresultofUsfollowinganydrawing,designorSpecificationsuppliedbyYou;

5.3.5 YoualterorrepairsuchGoods,orauthoriseathirdpartytoalterorrepairsuchGoods,withoutOurwrittenconsent;

5.3.6 thedefectarisesasaresultofaccidentaldamage,fairwearandtear,wilfuldamage,negligence,orabnormalstorageorworkingconditions;

5.3.7 theGoodsdifferfromtheirdescriptionasaresultofchangesmadetoensuretheycomplywithapplicablestatutoryorregulatoryrequirements;

5.3.8 thedamage,defectordeteriorationarisesasaresultoffire,lightning,floodoractofGod;

5.3.9 thedamage,defectordeteriorationarisesasaresultoffailuretomaintainandservice the Goods in accordance with Our operatingmanuals,assuppliedwiththeGoodsondelivery;

5.3.10thedamage,defectordeteriorationarisesasaresultofrepairsmadeusingSparePartswhichwerenotmanufacturedbyUs;or

5.3.11theGoodsaresecondhand.5.4 Weshalldeterminethecauseandliability

fortheGoods’failuretocomplywiththewarrantysetoutinclause5.1

5.5 WeshallatOurdiscretionperformatest,inspectionorotherexaminationoftheGoodstobesuppliedundertheContract.IftheGoodssatisfysuchtest,inspectionorexaminationtheyshallbedeemedtobeofthequalityspecifiedintheContract.

5.6 Weshallnotbeliablefordefects,damageor deterioration in the Goods which are apparentoninspectionunlessYougivewrittennoticetoUsoftheallegeddefectswithin3BusinessDaysfromthedateofdeliveryoftheGoods.OnbeingsonotifiedWeshallhavetherighttoinspecttheGoodsbeforeYouuseorsellthemintheordinarycourseofYourbusinessprovidedthatWedosowithin14BusinessDaysofreceiptofnoticefromYou.

5.7 Weshallnotbeliablefordefectsinthe Goods which are not apparent on inspectionunlessYougivewrittennoticetoUsoftheallegeddefectswithin30daysofthedateofdeliveryoftheGoods.OnbeingsonotifiedWeshallhavetherightto inspect and test the Goods before You

useorselltheGoodsinYourordinarycourseofbusiness,providedthatWedosowithinareasonabletimeconsideringthenatureofthedefectalleged.

5.8 Exceptasprovidedinthisclause5,WeshallhavenoliabilitytoYouinrespectoftheGoods’failuretocomplywiththewarrantysetoutinclause5.1.

5.9 Thetermsimpliedbysections13to15oftheSaleofGoodsAct1979are,tothefullestextentpermittedbylaw,excludedfromtheContract.

5.10 TheseTermsshallapplytoanyrepairedorreplacementGoodssuppliedbyUs.

5.11 AnywarrantiescontainedhereinorimpliedbylawapplytotheoriginalCustomeronlyandarenottransferable.

5.12 Nootherwarrantyastofitnessforparticularpurpose,evenifsuchpurposeisknowntoUs,orofsatisfactoryqualityshallapplytothesupplyofGoodsbyUs.

5.13 IfYoure-selltheGoods,YoushallsupplythebuyerwithacopyofOurWarrantyTerms.

6. TITLE AND RISK6.1 TheriskintheGoodsshallpasstoYouon

completionofdelivery.6.2 TitletotheGoodsshallnotpasstoYou

untilWereceivepaymentinfull(incashorclearedfunds)fortheGoodsandanyothergoodsthatWehavesuppliedtoYouinrespectofwhichpaymenthasbecomedue.TitletotheGoodsshallpassatthetimeofpaymentofallsuchsums.

6.3 UntiltitletotheGoodshaspassedtoYou,Youshall:

6.3.1 storetheGoodsseparatelyfromallothergoodsheldbyYousothattheyremainreadilyidentifiableasOurproperty;

6.3.2 notremove,defaceorobscureanyidentifyingmarkorpackagingonorrelatingtotheGoods;

6.3.3 maintaintheGoodsinsatisfactoryconditionandkeeptheminsuredagainstallrisksfortheirfullpricefromthedateofdelivery;

6.3.4 notifyUsimmediatelyifitbecomessubjecttoanyoftheeventslistedinclause8.3;

6.3.5 giveUssuchinformationrelatingtotheGoodsasWemayrequirefromtimetotime;and

6.3.6 acceptliabilityforanylossofordamagetoordeteriorationoftheGoodsfromwhatevercausefromthedateofdelivery.

6.4 Subjecttoclause6.5,YoumayresellorusetheGoodsintheordinarycourseofYourbusiness(butnototherwise)beforeWereceivepaymentfortheGoods.However,ifYoureselltheGoodsbeforethattime:

6.4.1 YoudosoasprincipalandnotasOuragent;and

6.4.2 titletotheGoodsshallpassfromUstoYouimmediatelybeforethetimeatwhichresalebyYouoccurs.

6.5 IfbeforetitletotheGoodspassestoYou,Youbecomesubjecttoanyoftheeventslistedinclause8.3,then,withoutlimitinganyotherrightorremedyWemayhave:

6.5.1 YourrighttoreselltheGoodsorusethemintheordinarycourseofYourbusinessceasesimmediately;and

6.5.2 Wemayatanytime:(a) requireYoutodeliverupallGoodsinits

possessionwhichhavenotbeenresold,orirrevocablyincorporatedintoanotherproduct;and

(b) ifYoufailtodosopromptly,enteranyofYourpremisesorthosepremisesofanythirdpartywheretheGoodsarestoredinordertorecoverthem.

7. PRICE AND PAYMENT7.1 ThepriceoftheGoodsshallbetheprice

setoutintheOrder,or,ifnopriceisquoted,thepricesetoutinOurpublishedpricelistinforceasatthedateofdelivery.

7.2 Wemay,bygivingnoticetoYouatanytimebeforedelivery,increasethepriceoftheGoodstoreflectanyincreaseinthecostoftheGoodsthatisdueto:

7.2.1 anyfactorbeyondOurcontrol(includingforeignexchangefluctuations,increasesintaxesandduties,andincreasesinlabour,materialsandothermanufacturingcosts);

7.2.2 anyrequestbyYoutochangethedeliverydate(s),quantitiesortypesofGoodsordered,ortheSpecification;or

7.2.3 anydelaycausedbyanyinstructionsofYouorfailureofYoutogiveUsadequateoraccurateinformationorinstructions.

7.3 WemayinvoiceYoufortheGoodsonoratanytimeafterthecompletionofdelivery.

7.4 UnlessotherwiseagreedbetweenYouandUs,Youshallpaytheinvoiceinfullandinclearedfundsbytheendofthemonthfollowingthemonththeinvoicewasdated.PaymentshallbemadetothebankaccountnominatedinwritingbyUs.Timeofpaymentisoftheessence.

7.5 IfdeliveryofanyGoodsisdelayedatYourrequest,WeshallgivenoticeinwritingtoYou of when the Goods will be available fordeliveryandYoushallpayforGoodsattheendofthemonthfollowingthemonthwhentheyreceivesuchnoticeandtheriskof such Goods shall pass to You on the dateofthegivingofsuchnoticebyUs.YoushallpayOurstoragecostsforsuchGoods.

7.6 IfYoufailtomakeanypaymentduetoUsundertheContractbytheduedateforpayment,thenYoushallpayinterestontheoverdueamountattherateof2.5%permonth.Suchinterestshallaccrueonadailybasisfromtheduedateuntilactualpaymentoftheoverdueamount,whether beforeorafterjudgment.Youshallpaytheinteresttogetherwiththeoverdueamount.

7.7 YoushallpayallamountsdueundertheContractinfullwithoutanyset-off,counterclaim,deductionorwithholding(exceptforanydeductionorwithholdingrequiredbylaw).Wemayatanytime,withoutlimitinganyotherrightsorremediesitmayhave,setoffanyamountowingtoitbyYouagainstanyamountpayablebyUstoYou.

8. TERMINATION AND SUSPENSION8.1 WemayterminatetheContractbygiving

7dayswritinginnoticetoYou.8.2 IfYoubecomesubjecttoanyoftheevents

listedinclause8.3,WemayterminatetheContractwithimmediateeffectbygivingwritten notice to You.

8.3 Forthepurposesofclause8.2,therelevanteventsare:

8.3.1 Yoususpend,orthreatentosuspend,paymentofYourdebts,orareunabletopayYourdebtsastheyfalldueoradmitinabilitytopayYourdebts,or(beingacompanyorlimitedliabilitypartnership)aredeemedunabletopayYourdebtswithinthemeaningofsection123oftheInsolvencyAct1986,or(beingapartnership)hasanypartnertowhomanyoftheforegoingapply;

8.3.2 YoucommencenegotiationswithalloranyclassofYourcreditorswithaviewtoreschedulinganyofitsdebts,ormakeaproposalfororentersintoanycompromiseorarrangementwithYourcreditors;

8.3.3 (beingacompany)apetitionisfiled,anoticeisgiven,aresolutionispassed,oranorderismade,fororinconnectionwiththewindingupofYou;

8.3.4 (beingacompany)anapplicationismadetocourt,oranorderismade,fortheappointmentofanadministratoror if a notice of intention to appoint anadministratorisgivenorifanadministratorisappointedoverYou;

8.3.5 (beingacompany)theholderofaqualifyingfloatingchargeoverYourassetshasbecomeentitledtoappointorhasappointedanadministrativereceiver;

8.3.6 apersonbecomesentitledtoappointareceiver over Your assets or a receiver is appointedoverYourassets;

8.3.7 acreditororencumbrancerofYouattachesortakespossessionof,oradistress,execution,sequestrationorothersuch process is levied or enforced on or suedagainst,thewholeoranypartofitsassetsandsuchattachmentorprocessisnotdischargedwithin14days;

8.3.8 anyeventoccurs,orproceedingistaken,withrespecttoYouinanyjurisdictiontowhichYouarethesubjectthathasaneffectequivalentorsimilartoanyoftheeventsmentionedinclause8.3.1toclause8.3.6(inclusive);

8.3.9 Yoususpend,threatentosuspend,ceaseorthreatentoceasetocarryonallorasubstantialpartofYourbusiness;and

8.3.10YourfinancialpositiondeterioratestosuchanextentthatinOuropinionYourcapabilitytoadequatelyfulfilYourobligationsundertheContracthasbeenplacedinjeopardy.

8.4 WithoutlimitingOurotherrightsorremedies,WemaysuspendprovisionoftheGoods,re-takepossessionoftheGoodsandmaydemandprepaymentofthepriceoftheGoodsundertheContractoranyothercontractbetweenYouandUsifYoubecomesubjecttoanyoftheeventslistedinclause8.3.1toclause8.3.10,orWereasonablybelievethatYouareabouttobecomesubjecttoanyofthem,orifYoufailtopayanyamountdueunderthisContractontheduedateforpayment.

8.5 OnterminationoftheContractforanyreasonYoushallimmediatelypaytoUsallofOuroutstandingunpaidinvoicesandinterest.

8.6 TerminationoftheContract,howeverarising,shallnotaffectanyoftheparties’rights,remedies,obligationsandliabilitiesthathaveaccruedasattermination.

8.7 InadditiontoOurstatutoryrights,ifanyoftheeventssetoutinclause8.3occurWeshallbeentitledtoagenerallienonall Goods of Yours in Our possession for theunpaidpriceofanyGoodssoldanddeliveredtoYoubyUs,andpaymentinrespectofanyGoodsinYourpossessionshallbecomeimmediatelydueandpayablenotwithstandinganypreviousagreementorarrangementtothecontrary.

8.8 ClauseswhichexpresslyorbyimplicationsurviveterminationoftheContractshallcontinue in full force and effect.

9. CANCELLATION9.1 YoumaycanceltheOrderinwholeorin

partbygivingwrittennoticetoUs.WemayinOurdiscretionacceptthenoticeofcancellation.

9.2 ShouldWeacceptthenoticeofcancellation in accordance with clause 9.1YoushallindemnifyUsinrespectofanyandalllosses,costsandexpensesincurredbyUsfromthedateoftheOrdertothedateuponwhichWeacceptthenotice of cancellation.

9.3 Wereservetherighttochargeondemandareasonablecancellationcharge.Thecancellationchargeshallnotexceed20%oftheinvoicevalueoftheGoods.

9.4 Cancellationofnon-standardGoodswillbenon-refundable.

10. RETURNS10.1 SubjecttotheWarrantyTerms:10.1.1 the return of Goods will be at Our

absolutediscretion;10.1.2shouldWeacceptthereturnoftheGoods

wewillnotifyYouinwritingandissueYouwithareturnnumber;

10.1.3shouldWeacceptthereturnoftheGoods,YouwillberesponsibleforthecostsofreturningtheGoodstoUs;

10.1.4subjecttotheprovisionsofthisclause10,shouldWeacceptthereturnoftheGoodsWewillrefundYouthepriceYoupaidfortheGoods,providedthattheyarereturnedinthesameconditionastheywere delivered to You.

11. LIMITATION OF LIABILITY11.1 NothingintheseTermsshalllimitor

excludeOurliabilityfor:11.1.1deathorpersonalinjurycausedbyOur

negligence,orthenegligenceofOuremployees,agentsorsubcontractors(asapplicable);

11.1.2fraudorfraudulentmisrepresentation;11.1.3breachofthetermsimpliedbysection12

oftheSaleofGoodsAct1979;11.1.4defectiveproductsundertheConsumer

ProtectionAct1987;or11.1.5anymatterinrespectofwhichitwould

beunlawfulforUstoexcludeorrestrictliability.

11.2 Subjecttoclause11.1:11.2.1Weshallundernocircumstances

whateverbeliabletoYou,whetherincontract,tort(includingnegligence),breachofstatutoryduty,orotherwise,foranylossofprofit,oranyindirectorconsequentiallossarisingunderorinconnectionwiththeContract;and

11.2.2OurtotalliabilitytoYouinrespectofallotherlossesarisingunderorinconnectionwiththeContract,whetherincontract,tort(includingnegligence),breachofstatutoryduty,orotherwise,shallinnocircumstancesexceed100%ofthe price of the Goods.

12. FORCE MAJEUREWeshallnotbeliableforanyfailureordelayinperformingOurobligationsundertheContracttotheextentthatsuchfailureordelayiscausedbyaForceMajeureEvent.AForceMajeureEventmeansanyeventbeyondaparty’sreasonablecontrol,whichbyitsnaturecouldnothavebeenforeseen,or,ifitcouldhavebeenforeseen,wasunavoidable,includingstrikes,lock-outsorotherindustrialdisputes(whetherinvolvingitsownworkforceorathirdparty’s),failureofenergysourcesortransportnetwork,actsofGod,war,terrorism,riot,civilcommotion,interferencebycivilormilitaryauthorities,nationalorinternationalcalamity,armedconflict,maliciousdamage,breakdownofplantormachinery,nuclear,chemicalorbiologicalcontamination,sonicboom,explosions,collapseofbuildingstructures,fires,floods,storms,earthquakes,lossatsea,epidemicsorsimilarevents,naturaldisastersorextremeadverseweatherconditions,or default of suppliers or subcontractors.

13. INFORMATION13.1 Allinformation,relatingtothe

construction,assembly,use,storageordisposaloftheGoodsmadeavailabletoYouatanypoint(Information)shallbesuppliedbyYoutoanypersontowhom

YoureselltheGoodsto,oranyproductin which the Goods are incorporated andYoushallrequirethatpersontodothesameintheeventthattheyreselltheGoodsoranyproductinwhichtheGoodsare incorporated.

13.2 YoushallindemnifyUsinfullagainstanyandallliabilities,costs,expensesandclaimsarisingoutofanyfailurebyanypersonotherthanUstomakesuchInformationavailabletoanyotherperson.

14. DISPUTE RESOLUTION14.1 Ifadisputearisesoutoforinconnection

withthisagreementortheperformance,validityorenforceabilityofit(Dispute)then the parties shall follow the procedure setoutinthisclause:

14.1.1EitherpartyshallgivetotheotherwrittennoticeoftheDispute,settingoutitsnatureandfullparticulars(DisputeNotice)togetherwithrelevantsupportingdocuments.OnserviceoftheDisputeNoticethepartiesshallattemptingoodfaithtoresolvetheDispute;

14.1.2IfthepartiesareforanyreasonunabletoresolvetheDisputewithin30daysofserviceoftheDisputeNotice,thepartieswillattempttosettleitbymediationinaccordancewiththeCEDRModelMediationProcedure.Unlessotherwiseagreedbetweentheparties,themediatorshallbenominatedbyCEDRSolve.Toinitiatethemediationapartymustservenoticeinwriting(ADRNotice)totheotherpartytotheDispute,requestingamediation.AcopyoftheADRNoticeshouldbesenttoCEDRSolve.Themediationwillstartnolaterthan30daysafterthedateoftheADRNotice.

14.2 TheDisputeshallbefinallyresolvedbyarbitrationproceedingsinaccordancewiththisagreement.Nopartymaycommenceanyarbitrationproceedingsunderclause14inrelationtothewholeorpartoftheDisputeuntil60daysafterserviceoftheADRNotice,orifeitherpartyfailstoparticipateortocontinuetoparticipateinthemediationbeforetheexpirationofthesaidperiodof60days,orthemediationterminatesbeforetheexpirationofthesaidperiodof60days.

15. GENERAL15.1 Assignmentandotherdealings.15.1.1Wemayatanytimeassign,transfer,

mortgage,charge,subcontractordealinanyothermannerwithalloranyofOurrightsorobligationsundertheContract.

15.1.2Youmaynotassign,transfer,mortgage,charge,subcontract,declareatrustoverordealinanyothermannerwithanyorallofYourrightsorobligationsundertheContractwithoutOurpriorwrittenconsent.

15.2 Notices.15.2.1Anynoticeorothercommunicationgiven

toapartyunderorinconnectionwiththeContractshallbeinwriting,addressedtothatpartyatitsregisteredoffice(ifitisacompany)oritsprincipalplaceofbusiness(inanyothercase)orsuchotheraddressasthatpartymayhavespecifiedtotheotherpartyinwritinginaccordancewiththisclause,andshallbedeliveredpersonally,sentbypre-paidfirstclasspostorothernextworkingdaydeliveryservice,commercialcourier,ore-mail.

15.2.2Anoticeorothercommunicationshallbedeemedtohavebeenreceived:ifdeliveredpersonally,whenleftattheaddressreferredtoinclause15.2.1;ifsentbypre-paidfirstclasspostorothernextworkingdaydeliveryservice,at9.00amGMTonthesecondBusinessDayafterposting;ifdeliveredbycommercialcourier,onthedateandatthetimethat

thecourier’sdeliveryreceiptissigned;ore-mail,oneBusinessDayaftertransmission.

15.2.3Theprovisionsofthisclauseshallnotapplytotheserviceofanyproceedingsorotherdocumentsinanylegalaction.

15.3 Severance.15.3.1Ifanyprovisionorpart-provisionofthe

Contractisorbecomesinvalid,illegalorunenforceable,itshallbedeemedmodifiedtotheminimumextentnecessarytomakeitvalid,legalandenforceable.Ifsuchmodificationisnotpossible,therelevantprovisionorpart-provisionshallbedeemeddeleted.Anymodificationtoordeletionofaprovisionorpart-provisionunderthisclauseshallnotaffectthevalidityandenforceabilityoftherestoftheContract.

15.3.2Ifanyprovisionorpart-provisionofthisContractisinvalid,illegalorunenforceable,thepartiesshallnegotiateingoodfaithtoamendsuchprovisionsothat,asamended,itislegal,validandenforceable,and,tothegreatestextentpossible,achievestheintendedcommercialresultoftheoriginalprovision.

15.4 Waiver.AwaiverofanyrightorremedyundertheContractorlawisonlyeffectiveifgiveninwritingandshallnotbedeemedawaiverofanysubsequentbreachordefault.NofailureordelaybyapartytoexerciseanyrightorremedyprovidedundertheContractorbylawshallconstituteawaiverofthatoranyotherrightorremedy,norshallitpreventorrestrictthefurtherexerciseofthatoranyotherrightorremedy.Nosingleorpartialexerciseofsuchrightorremedyshallpreventorrestrictthefurtherexerciseofthatoranyotherrightorremedy.

15.5 Thirdpartyrights.ApersonwhoisnotapartytotheContractshallnothaveanyrightstoenforceitsterms.

15.6 Variation.ExceptassetoutintheseTerms,novariationoftheContract,includingtheintroductionofanyadditionaltermsandconditions,shallbeeffectiveunlessitisinwritingandsignedbyUs.

15.7 Governinglaw.TheContract,andanydisputeorclaimarisingoutoforinconnectionwithitoritssubjectmatterorformation(includingnon-contractualdisputesorclaims),shallbegovernedby,andconstruedinaccordancewiththelawofEnglandandWales.

warrantthatondelivery,andforaperiodof24monthsfromthedateofdelivery(warrantyperiod),theGoodsshall:

2.2.1 conforminallmaterialrespectswiththeirdescriptionandanyapplicableSpecification;

2.2.2 befreefrommaterialdefectsindesign,materialandworkmanship;and

2.2.3 beofsatisfactoryquality(withinthemeaningoftheSaleofGoodsAct1979).

2.3 Subjecttotheprovisionssetoutinclause3,if:

2.3.1 YougivenoticeinwritingtoUsduringthewarrantyperiodwithinthetimescalessetoutinclause3.3thatsomeoralloftheGoodsdonotcomplywiththewarrantysetoutinclause2.2

2.3.2 WearegivenareasonableopportunityofexaminingsuchGoods;and

2.3.3 You(ifaskedtodosobyUs)returnsuchGoodstoOurplaceofbusinessatYourcost;

Weshall,atOuroption,repairorreplacethedefectiveGoods,orrefundthepriceofthedefective Goods in full.2.4 Weshalldeterminethecauseandliability

fortheGoods’failuretocomplywiththewarrantysetoutinclause2.2.

2.5 WeshallatOurdiscretionperformatest,inspectionorotherexaminationoftheGoods.IftheGoodssatisfysuchtest,inspectionorexaminationtheyshallbedeemedtobeofthequalityassetoutinclause2.2.

2.6 TheseWarrantyTermsshallapplytoanyrepairedorreplacementGoodssuppliedbyUs.

2.7 Nootherwarrantyastofitnessforparticularpurpose,evenifsuchpurposeisknowntoUs,orofsatisfactoryqualityshallapplytothesupplyofGoodsbyUs.

3. EXCEPTIONS3.1 Exceptasprovidedinclause2Weshallhave

noliabilitytoYouinrespectoftheGoods’failuretocomplywiththewarrantysetoutinclause2.2.

3.2 TheseWarrantyTermsapplysolelytoGoodslocatedinmainlandUnitedKingdom.

3.3 Weshallnotbeliablefordefects,damageordeteriorationintheGoodsunlessYougivewrittennoticetoUsoftheallegeddefectswithin10BusinessDaysfromthedateofdiscovery.OnbeingsonotifiedWeshallhavetherighttoinspecttheGoodsbeforeYouuseorsellthemintheordinarycourseofYourbusinessprovidedthatWedosowithin14BusinessDaysofreceiptofnoticefromYou.

3.4 WeshallnotbeliableforGoods’failuretocomplywiththewarrantysetoutinclause2.2inanyofthefollowingevents:

3.4.1 thedamage,defectordeteriorationarisesinrespectofconsumableitemsincluding,butnotlimitedto,lightsandgaskets;

3.4.2 YoumakeanyfurtheruseofsuchGoodsaftergivingnoticeinaccordancewithclause3.3;

3.4.3 thedefectarisesbecauseYoufailedtofollow Our oral or written instructions as to thestorage,commissioning,installation,useandmaintenanceoftheGoodsor(iftherearenone)goodtradepracticeregardingthesame;

3.4.4 thedefectarisesasaresultofUsfollowinganydrawing,designorSpecificationsuppliedbyYou;

3.4.5 YoualterorrepairsuchGoods,orauthoriseathirdpartytoalterorrepairsuchGoods,withoutOurwrittenconsent;

3.4.6 thedefectarisesasaresultofaccidentaldamage,fairwearandtear,wilfuldamage,negligence,orabnormalstorageorworkingconditions;

3.4.7 theGoodsdifferfromtheirdescriptionasaresultofchangesmadetoensuretheycomplywithapplicablestatutoryorregulatoryrequirements;

3.4.8 thedamage,defectordeteriorationarisesasaresultoffire,lightning,floodoractofGod;

3.4.9 thedamage,defectordeteriorationarisesasaresultoffailuretomaintainandservicetheGoodsinaccordancewithOuroperatingmanuals,assuppliedwiththeGoodsondelivery;

3.4.10thedamage,defectordeteriorationarisesasaresultofrepairsmadeusingSparePartswhichwerenotmanufacturedbyUs;or

3.4.11theGoodsaresecondhand.3.5 Thetermsimpliedbysections13to15of

theSaleofGoodsAct1979are,tothefullestextentpermittedbylaw,excludedfromtheWarrantyTerms.

3.6 Wearenotresponsibleforanylossrelatingto food or other contents stored in Our Goods.

4. WARRANTY CLAIM4.1 IfYouwishtomakeawarrantyclaimYou

5.2 WarrantyworkwillbecarriedoutbyUsduringOurnormalbusinesshouse(8.30am–5pm,Monday–Friday).WorkcarriedoutoutsideofthesetimesischargeabletoYou,subjecttoquotationandorder.

5.3 ContentsriskandinsuranceremainsYourresponsibilityatalltimes.

5.4 AnextendedwarrantyperiodmaybeagreedinwritingbetweenYouandUsatadditionalcost to You.

6. DELIVERY6.1 Youareresponsibleforanydeliverycosts

2.4 SpareParts2.4.1 UKOrdersforSparePartsshallbesentby

samedaycommercialcourier,providedthattheOrderisplacedby1pmGMT,andprovidedthatthepartisinstock.

2.4.2 IfanOrderforSparePartsisplacedafter1pmGMT,theSparePartshallbesentbycommercialcourieronthenextBusinessDay,providedthatthepartisinstock.

2.4.3 IfanOrderforSparePartsisplacedandthepartisnotinstock,Youwillbenotifiedofthisinwritingandthepartwillbedeliveredassoonasisreasonablypracticable.

2.4.4 CostsfordeliveryofSparePartsshallbesubjecttoquotation.

2.5 UnpackingandinstallationoftheGoodsshallbechargedat£125+VATperProduct.

2.6 Kerbsidecollectionofalikeforlike

existingProductupondeliveryofaProductshallbechargedat£55+VAT.

2.7 IfYoupostponeorcancelYourdelivery,Youmayincurapenaltysubjecttoaminimumfeeofthecostsofdeliveryandsubjecttoamaximumfeeof20%ofthevalueoftheOrder,atOurdiscretion.

3. GENERAL DELIVERY TERMS3.1 EachdeliveryofGoodsshallbe

accompaniedbyadeliverynotewhichshowsallrelevantCustomerandSupplierreferencenumbers,thetypeandquantityoftheGoods(includingthecodenumberoftheGoods,whereapplicable),specialstorageinstructions(ifany)and,iftheOrderisbeingdeliveredbyinstalments,theoutstandingbalanceofGoodsremainingtobedelivered.

3.2 WeshalldelivertheGoodstothelocationset out in the Order or such other location asthepartiesmayagree(DeliveryLocation)atanytimeafterWenotifyYouthattheGoodsareready.

3.3 DeliveryoftheGoodsshallbecompletedontheGoods’arrivalattheDeliveryLocation.

3.4 YoushallberesponsibleforensuringthatYouhavesufficientresourcesandmanpowerattheDeliveryLocation,atYourownriskandcost.

3.5 IfYourequirenotificationinadvanceofthearrivaltimeoftheGoods,thismustbestatedintheOrderandagreedbyUsinadvanceinwriting.

3.6 Anydatesquotedfordeliveryareapproximateonly,andthetimeofdeliveryisnotoftheessenceunlessspecifiedinwriting.WeshallnotbeliableforanydelayindeliveryoftheGoods,orfailuretodelivertheGoods,thatiscausedbyaForceMajeureEventorYourfailuretoprovideUswithadequatedeliveryinstructionsoranyotherinstructionsthatarerelevanttothesupplyoftheGoods,orifYoufailtonotifyUsinwritingwithin6daysofreceiptofaninvoice.

3.7 WemaydelivertheGoodsinseparatedeliveries,whichshallbeinvoicedandpaidforseparately.EachindividualdeliveryshallconstituteaseparateContract.AnydelayindeliveryordefectinanyonedeliveryshallnotentitleYoutocancelanyotherinstalment.

3.8 WithoutprejudicetoanyotherofOurrightshereunder,ifatthequoteddateofdeliveryallinstructionsreasonablyrequiredbyUsandallnecessarydocumentsfortheforwardingoftheGoodsarenotavailable,ifYoushallotherwisecauseorrequestdelay,orifYouareunableorunwillingtoacceptdeliveryoftheGoods,YoushallpaytoUsondemandallstorage,deliveryandotherrelevant costs.

3.9 Unlessotherwiseagreedbetweenthepartiesinwriting,allcostsandexpensesoftransportationfromOurstorestotheDeliveryLocationshallbepaidforbyYouinaccordancewithOurstandarddeliverychargesasinforceatthetimeofdelivery.

3.10 YouareresponsibleforanydeliverycostsassociatedwithreturningtheGoodstousundertheWarrantyTerms.

3.11 IfGoodsarebeingreturnedtoUsforbreachofthewarrantywhereWeareliableforthesame,assetoutintheWarrantyTerms,WeshallberesponsibleforanydeliverycostsinreturningtheGoodstoYou,ifapplicable.

4. FORCE MAJEUREWeshallnotbeliableforanyfailureordelayinperformingOurobligationsundertheContracttotheextentthatsuchfailureordelayiscausedbyaForceMajeureEvent.AForceMajeureEventmeansanyeventbeyondaparty’sreasonablecontrol,whichbyitsnaturecouldnothavebeenforeseen,or,ifitcouldhavebeenforeseen,wasunavoidable,includingstrikes,lock-outsorotherindustrialdisputes(whetherinvolvingitsownworkforceorathirdparty’s),failureofenergysourcesortransportnetwork,actsofGod,war,terrorism,riot,civilcommotion,interferencebycivilormilitaryauthorities,nationalorinternationalcalamity,armedconflict,maliciousdamage,breakdownofplantormachinery,nuclear,chemicalorbiologicalcontamination,sonicboom,explosions,collapseofbuildingstructures,fires,floods,storms,earthquakes,lossatsea,epidemicsorsimilarevents,naturaldisastersorextremeadverseweatherconditions,or default of suppliers or subcontractors.
