NUON SELLS NORIT TO INVESTMENT GROUPS Gilde Investment Manage- ment has joined forces with Euroland Investments to pur- chase Norit NV, the world’s largest producer of activated carbon and related services, from Dutch energy company Nuon for 152 million. Founded in 1918, Norit pro- duces more than 150 different types of activated carbon prod- ucts, as well as activated carbon reactivation, carbon change out services, and both granular and powdered carbon systems and equipment. Operating in more than 100 countries, Norit achieved annual sales of 249 million and a net profit of close to 14 million in 2002. The intended divestment is in line with Nuon’s strategy to concentrate on energy and related products and services in North West Europe. Following the announce- ment, Norit management said the company intended to fur- ther strengthen its prominent position in its current markets, a statement supported by the profiles of its new owners. Gilde is a leading Dutch private equity and venture capi- tal firm with 1.7 billion under management. It has invested in more than 150 companies since its inception in 1982, although it has traditionally focused on the software and communica- tions industries. Gilde usually stays involved in a company for a period of between three and seven years, with its objective being to guide the company to a public offering or a trade sale. Consequently, the company says its key considerations when looking for an investment opportunity are ensuring that the target has a powerful and driven management team, inno- vative and/or market leading technologies, and a sound strat- egy and business model. Euroland Investments, meanwhile, is a Dutch invest- ment company in which repre- sentatives of the Norit man- agement team hold shares. Spokespeople for the com- panies involved have stated that employment at Norit will not be affected by the intended deal. It is anticipated the trans- action will be completed before the end of 2003. ZENON FILES SUIT AGAINST USFILTER Zenon Environmental Inc has filed a lawsuit alleging that USFilter’s MemJet and CFM-S immersed membrane products infringe its intellec- tual property. USFilter has rejected the claims and plans a ‘vigorous defence’ against the patent suit. Everpure, of Northbrook, Illinois, is a leading global provider of water filtration products and services for the commercial and consumer sectors. Its products include a wide range of filtration sys- tems and cartridges for vari- ous applications. The compa- ny expects net sales in 2003 to exceed US$60.0 million. “Everpure makes Pentair a global leader in the commer- cial filtration segment, which includes the fast-growing foodservice and vending mar- ket,” said Pentair chairman and CEO, Randall Hogan. “With a portfolio of almost 70 filtration technolo- gy patents, Everpure is posi- tioned as the innovator in commercial filtration and has many exclusive relationships with the world’s leading food- service operators. Combined with our existing Plymouth Products business, Everpure represents a broad platform for growth in filtration tech- nologies and services, and a value-adding addition to our portfolio of water businesses.” Richard Cathcart, presi- dent and COO of Pentair’s Water Technologies Group, said that Everpure is the brand of choice in foodservice mar- kets. “With the largest installed base of filtration equipment, more than 70% of Everpure’s revenues come from sales of replacement cartridges. “Everpure’s strong brand name, industry leading process technology, rapid product development capabilities, and broad footprint in North Ameri- ca, Europe and Asia, will lever- age the strengths of the Water Technologies Group and accel- erate the long-term growth and profitability of our business.” Pentair will fund the acquisition, which it plans to complete at the year end, from its cash flow.
