1. General

1.1 ApplicationofRates,TermsandConditionsofService 1.1.1 ThisPriceListcontainstherates,termsandconditionsapplicabletothe provisionofWirelineBroadbandInternetTransportServices(WBITS),

hereinaftercollectivelyorindividuallyreferredtoas“Service”,byMillryTelephoneCompany,Inc.,hereinafterreferredtoasthe“TelephoneCompany,”andincorporatesbyreferencetheapplicabletermsandconditionsofServicesetforthintheCustomer’sServiceApplication,andtheTelephoneCompany’sPriceList,Tariffand/orCustomerServiceAgreement.Intheeventofaconflictbetweenthesetermsandconditionsandthoseoftheincorporateddocuments,thetermsandconditionsofthisPriceListwillcontrol.

1.1.2 ServiceisfurnishedsubjecttothejurisdictionoftheFederal CommunicationsCommission(“FCC”)pursuanttoTitleIIofthe

CommunicationsActof1934,asamended(47USC§§201‐276),onacommon‐ carriagepermissivelydetariffedbasisavailabletoNetworkService

Providers,asdefinedfollowing,forconnectiontoenduserCustomers. 1.1.3 TheTelephoneCompanyoffersServicewheretechnicallyfeasiblewithinits incumbentlocalexchangecarrier(ILEC)exchangeboundaries.TheTelephone

1.1.4 AssetforthinthisPriceList,theprovisionofsuchService(bytheTelephone

Company)doesnotconstituteasharedundertakingwiththeCustomerforthe furnishingofanyservice. 1.1.5 TheTelephoneCompanymay,fromtimetotime,atitssolediscretion,modify

theRates,TermsandConditionsofService.Anymodificationswillbecomeeffectivethirty(30)daysafterbothmailingbyUnitedStatesPostalServiceacopyoftherevisedRates,TermsandConditionstoallCustomerscurrentlyapartytoanexecutedagreementasdescribedinSection2.5followingandpostingsuchrevisedRates,TermsandConditionsontheTelephoneCompany’sInternetwebsite.

1.1.6 Serviceisfurnishedsubjecttotheavailabilityoffacilitiesandtransmission,

atmosphericandlikeconditions.ByacceptingServicefromtheTelephoneCompany,theCustomeracceptstheseRates,TermsandConditionsasabindingagreementbetweentheCustomerandtheTelephoneCompany.

AsymmetricDigitalSubscriberLine(ADSL)AccessServiceenablesdatatrafficgeneratedbyaCustomer‐providedmodemtobetransportedtoaDSLAccessServiceConnectionPointusingtheTelephoneCompany'slocalexchangeservicefacilities.

Customer(s) Theterm“Customer(s)”denotesanyindividual,partnership,association,joint‐ stockcompany,trust,corporation,orgovernmentalentityorotherentitywhich subscribestotheServicesofferedunderthisPriceList.Assetforthherein,a Customerisresponsibleforthepaymentofchargesandforcompliancewithall applicabletermsoftheregulations,ratesandcharges. CustomerDesignatedPremises

Theterm“CustomerDesignatedPremises”denotesthepremisesspecifiedbythe CustomerfortheprovisionofService.

CustomerProvidedEquipment Theterm“CustomerProvidedEquipment”denotestheterminalequipmentor facilitiesprovidedbypersonsotherthantheTelephoneCompanyand connectedtotheTelephoneCompany'sServicesand/orfacilities. Data‐OnlyWBITS Theterm“data‐only”whenusedinthecontextofWBITSreferstoprovisionof Servicesoveralinethatdoesnotalsocarrylocalexchangeswitchedvoice telephoneservicetotheCustomerpremises.Data‐onlyWBITSisalsocommonly called“NakedDSL.”Data‐OnlyWBITSisData‐OnlyWBITSADSL.

DigitalSubscriberLine(DSL)AccessServiceConnectionPoint Theterm“DigitalSubscriberLine(DSL)AccessServiceConnectionPoint”isa locationdesignatedbytheCompanythatservesasanaggregationpointforthe

collectionofCompanyWBITStrafficfrommultipleDigitalSubscriberLineAccessMultiplexers.

Ethernet Theterm“Ethernet”denotesahighspeednetworkingtechnologyutilizinga packet‐basedEthernetprotocol.Ethernetenablesbroadbandmultimediatraffic (i.e.,voice,dataandvideo)tobecarriedoverthesamenetwork. FederalUniversalServiceCharge(“FUSC”) TheFederalUniversalServiceCharge(“FUSC”)isachargebilledtoCustomerson interstatetelecommunicationsservicesthatarepurchasedeitherbypartieswho arenotcontributorstofederalUniversalServiceunder47CFR§54.709(a)orby contributorstofederalUniversalServicewhousetheinterstate

telecommunicationsservicepurchasedasacomponentofanon‐ telecommunicationsretailserviceforwhichtherevenuesarenotsubjectto

Theterm“IncumbentLocalExchangeCarrier”(“ILEC”)denotesthesamemeaningassection251(h)oftheCommunicationsAct,asamended,47U.S.C.§251(h)(1).

InternetProtocol(IP)

InternetProtocol(“IP”)istheprotocolorindustrystandardmethodbywhichdataissentfromonecomputertoanotherontheInternet.

InternetServiceProvider(ISP) AnInternetServiceProvider(“ISP”)isanorganizationthatsuppliesaccessto theInternet.

SymmetricDigitalSubscriberLine(“SDSL”)AccessServiceprovidestheCustomertheabilitytotransmitdatato(upstreamrate)andreceivedatafrom(downstreamrate)aDSLAccessServiceConnectionPointatthesamespeedusingtheTelephoneCompany'sexistinglocalexchangeservicefacilities.

2. TermsandConditions

2.1 UndertakingoftheTelephoneCompany2.1.1 Scope (A) TheTelephoneCompanydoesnotundertaketotransmitmessagesunder thisPriceList. (B) TheTelephoneCompanyshallberesponsibleonlyfortheinstallation, operationandmaintenanceoftheServicesitprovides. (C) TheTelephoneCompanywill,formaintenancepurposes,testitsService onlytotheextentnecessarytodetectand/orcleartroubles. (D) TheTelephoneCompanydoesnotwarrantthatitsfacilitiesandServices meetstandardsotherthanthosesetforthinthisPriceList.2.1.2. Limitations (A) TheServicesareofferedsubjecttotheavailabilityoffacilitiesandthe otherprovisionsoftheseregulations,ratesandcharges. (B) TheTelephoneCompanyisprovidingonlyfacilitiesandservices associatedwithsuchfacilities(asoutlinedinthisdocument)tothe Customerforcommunicationspurposes. (C) TheTelephoneCompanymaintainstherighttodenyServicetoany Customerwhichfailstoabidebytherulesandregulationsofthese terms,ratesandcharges,orotherapplicableregulations,rules,orlaws.2.2 ObligationsoftheCustomer2.2.1 TheCustomershallreimbursetheTelephoneCompanyfordamagesto TelephoneCompanyfacilitiesutilizedtoprovideservicesunderthisPriceList causedbythenegligenceorwillfulactoftheCustomerorresultingfromthe Customer’simproperuseoftheTelephoneCompanyfacilities,orduetothe malfunctionofanyfacilitiesorequipmentprovidedbyentitiesotherthanthe TelephoneCompany.

2.2 ObligationsoftheCustomer–(Cont’d)2.2.2 DamagetotheTelephoneCompany’sfacilitiescausedbyanynegligenceor willfulactoractsonthepartoftheCustomershallresultintheCustomer reimbursingtheTelephoneCompanyforthedamages.2.2.3 TheCustomershallindemnifyandsaveharmlesstheCompanyfromand againstallloss,liability,damageandexpense,includingreasonableattorney’s fees,duetoclaimsforlibel,slander,orinfringementofcopyrightor trademarkinconnectionwithanymaterialtransmittedbytheCustomer

usingtheTelephoneCompany’sServices;andanyotherclaimresultingfromanyactoromissionoftheCustomerintheuseoftheTelephoneCompany’sfacilities.

2.2.4 IntheeventasuitisbroughtbytheTelephoneCompany,oranattorneyis

retainedbytheTelephoneCompanytoenforcetheRates,TermsandConditionsorcollectanybillagainstaCustomer,thatCustomershallberesponsibleforpaymentofallreasonableattorney'sfees,courtcosts,costsofinvestigationandanyandallotherrelatedcostsandexpensesincurredbytheTelephoneCompanyinconnectiontherewith.

2.3 LiabilitiesoftheTelephoneCompany2.3.1 ExceptasstatedinthisSection2.3,theTelephoneCompanyshallhaveno liabilityordamagesofanykindarisingoutoforrelatedtoevents,acts,rights orprivilegescontemplatedintheRates,TermsandConditions. (A) TheliabilityoftheTelephoneCompanyfordamagesshallnotexceedan amountequaltothechargesundertheRates,TermsandConditions applicabletothespecificcall(orportionthereof)thatwasaffected.No otherliabilityshallattachtotheTelephoneCompany.







2.3 LiabilitiesoftheTelephoneCompany–(Cont’d) (B) TheTelephoneCompanyshallnotbeliableforanydelayorfailureof performanceorequipmentduetocausesbeyonditscontrol,including butnotlimitedto:actsofGod,fire,flood,explosionorother catastrophes;anylaw,order,regulation,directionaction,orrequest oftheUnitedStatesgovernmentorofanyothergovernment,including stateandlocalgovernmentshavingorclaimingjurisdictionoverthe TelephoneCompany,orofanydepartment,agency,commission, bureau,corporation,orofanymilitaryauthority;preemptionofexisting serviceincompliancewithnationalemergencies;insurrections,riots; wars;unavailabilityofrights‐of‐wayormaterials;orstrikes,lockouts workstoppages,orotherlabordifficulties. (C) TheTelephoneCompanyshallnotbeliablefor(a)anyactoromission

ofanyentityfurnishingtheTelephoneCompanyortheTelephoneCompany’sCustomersfacilitiesorequipmentusedforinterconnectionwiththeServices;or(b)fortheactsoromissionsofotherCommonCarriersorwarehousemen.TheTelephoneCompanyshallnotbe

liableforanydamagesorlossesduetothefaultornegligenceofthe CustomerorduetothefailureormalfunctionofCustomer‐provided equipmentorfacilities.2.4 PaymentArrangementsandCreditAllowances2.4.1 PaymentofRates,ChargesandDeposits (A) Deposits Inordertosafeguarditsinterests,theTelephoneCompanymayrequire

aCustomertomakeasuitabledepositinanamounttobedeterminedbytheTelephoneCompanyasaguaranteeofthepaymentofcharges.SuchdepositmayberequiredpriortoestablishingServiceoratanytimeaftertheprovisionofServicetotheCustomer.







2.4 PaymentArrangementsandCreditAllowances–(Cont’d)2.4.1 PaymentofRates,ChargesandDeposits–(Cont’d)

(A) Deposits–(Cont’d) Suchdepositwillnotexceedtheestimatedratesandchargesforthe Serviceforathree(3)monthperiod.Thefactthatadeposithasbeen madeinnowayrelievestheCustomerfromcomplyingwiththe TelephoneCompany'sregulationsastothepromptpaymentofbills.At theTelephoneCompany'soption,astheprovisionoftheServicetothe Customeristerminated,theamountofthedepositwillberefundedor creditedtotheCustomer'saccount,andanycreditbalancewhichmay remainwillberefunded. Incaseofacashdeposit,fortheperiodthedepositisheldbythe TelephoneCompany,theCustomercouldreceiveinterest.Theinterest willbeaccruedfortheperiodduringwhichthedepositisheldbythe TelephoneCompany.Theamountofinterestcalculatedwillbeatthe TelephoneCompany’sdiscretionandwillberepresentativeof reasonableindustryoreconomicinterestbearingstandards. AdepositdoesnotrelievetheCustomerfrommakingadvancepayments orfromcomplyingwiththeTelephoneCompany'sregulationsforthe paymentofbillsinaccordancewiththetermshereinanddoesnot constituteamodificationorwaiveroftheregulationsoftheTelephone CompanyprovidingforthediscontinuanceofServicefornonpayment ofanysumsduetheTelephoneCompanyforServicesrendered.

(B) DescriptionofPaymentandBillingPeriod

Serviceisprovidedandbilledonamonthlybasisinadvancetothemonth ofService.Servicecontinuestobeprovidedandbilledonamonthlybasis

untilcanceledbytheCustomerthroughnoticegiventotheTelephoneCompany.








(C) ProrationofCharges

AdjustmentsforthequantitiesofServicesestablishedordiscontinued

inanybillingperiodbeyondtheminimumperiodsetforthinthisPriceListwillbeproratedtothenumberofdaysbasedonathirty(30)daymonth.TheTelephoneCompanywill,uponrequest,furnishwithinthirty(30)daysofarequestandatnochargetotheCustomersuchdetailed

informationasmayreasonablyberequiredforverificationofanybill.

(D) PaymentDatesandLatePaymentPenalties (1) PaymentwillbedueasspecifiedontheCustomer’sbill.Alate chargeofuptothehighestinterestrateallowablebystatelawwill beappliedtoallamountspastdue. (2) Collectionproceduresandtherequirementforadepositare unaffectedbytheapplicationofalatepaymentcharge.Thelate paymentchargedoesnotapplytounpaidbalancesassociatedwith disputedamounts.Undisputedamountsonthesamebillare subjecttothelatepaymentchargeifunpaidandcarriedforward tothenextbill. (3) ServicemaybedeniedordiscontinuedattheTelephoneCompany’ Company'sdiscretionfornonpaymentofamountsduethe TelephoneCompanypasttheduedate,asspecifiedinSection 2.4.1.D.1.RestorationofServicewillbesubjecttoallapplicable installationcharges.








(E) TaxesandOtherCharges InadditiontopaymentforServices,theCustomermustpayalltaxes, fees,surchargesandotherchargesthattheTelephoneCompanybills

theCustomerrelatedtotheService(s).Taxes,fees,andsurchargeswillbebilledtotheCustomerintheamountsthatthefederal,state,andlocalauthoritiesrequiretheTelephoneCompanytocharge.TheTelephoneCompanywillnotprovideadvancenoticeofchangestotaxesandsurcharges,exceptasrequiredbyapplicablelaw.Allsuchchargesshallbeshownseparatelyonthebill.TheCustomerisresponsibleforallotherchargesorpayments(state,interstate,orlocal)madetotheTelephoneCompanyoranyotherentityassociatedwithprovidingtheService,oranyotherconnectionsthatmayberequiredthatdonotfallwithinthisPriceList.

(F) BillingDisputes (1) AgoodfaithdisputerequirestheCustomertoprovideawritten claimtotheTelephoneCompany.Instructionsforsubmittinga disputecanbeobtainedbycallingthebillinginquirynumber shownontheCustomer'sbill,or,whenavailable,byaccessing suchinformationontheTelephoneCompany'swebsite,also shownontheCustomer'sbill.Suchclaimmustidentifyindetail thebasisforthedispute,andiftheCustomerwithholdsthe disputedamounts,itmustidentifytheaccountnumberunder whichthebillhasbeenrendered,thedateofthebill,andthe specificitemsonthebillbeingdisputedtopermittheTelephone Companytoinvestigatethemeritsofthedispute.







2.4 PaymentArrangementsandCreditAllowances–(Cont’d)2.4.1 PaymentofRates,ChargesandDeposits–(Cont’d) (F) BillingDisputes–(Cont’d) (2) CustomermustcontacttheTelephoneCompanywithinsixty(60) daysofthedateofthebillwhichcontainsthedisputedcharge. Refundsoradjustmentswillnotbeissuedforanychargethatis morethansixty(60)daysoldatthetimetheCustomernotifiesthe TelephoneCompany. (3) Customermaywithholdthedisputedportionofthebillpending resolutionofthedispute,however,allnon‐disputedchargesonthe billmustbepaidbytheduedateindicatedonthatbill. (4) TheTelephoneCompanywillnotifytheCustomeroftheresultsof itsinquiryandeitheradjustthebilling,issueacredit,ornotifythe Customerthatalloraportionofthedisputedamountisstillowed. Withinfifteen(15)daysthereafter,theCustomerisrequiredto paytheamountdue. (5) IfCustomerfailstopaythisamountwithintherequiredtime,the Customer’saccountwillbedeemedpastdueandunpaid,andthe Servicewillbesubjecttotermination,asdescribedpreviouslyin thissection.AnypaymentstheCustomerwithholdspending resolutionofthedisputemaybesubjecttoalatepaymentcharge

attheinterestratesetforthinSection2.4.1.D.1aboveandapplied topastdueamounts.







2.4 PaymentArrangementsandCreditAllowances–(Cont’d)2.4.2 CreditAllowanceforServiceInterruptions (A) CreditforfailureofServicewillbeallowedonlywhenfailureiscausedby oroccursintheCompany’sfacilitiesorequipmentowned,providedand billedforbytheCompany.Creditallowanceswillalsobeallowedforany periodwheretheServiceisinterruptedbytheCompanyforaccesstoits facilitiesforthepurposesofinvestigatingandclearingtroublesand/or maintenance. (B) CreditallowancesforfailureofServiceorequipmentstartswhenthe CustomernotifiestheCompanyofthefailureandceaseswhenthe operationhasbeenrestored. (C) TheCustomershallnotifytheCompanyoffailuresofServiceor equipmentandmakereasonableattemptstoascertainthatthefailureis notcausedbyCustomerpremisesequipmentorCustomerprovided facilities,anyact,oromissionoftheCustomer,orinwiringorequipment connectedtotheCustomer’sterminal. (D) OnlythoseportionsoftheServiceorequipmentoperationdisabledwill becredited. (E) Acreditallowancewillnotbegivenforinterruptionscausedbythe negligenceorwillfulactoftheCustomerorinterruptionscausedby failureofequipmentorservicenotprovidedbytheCompany.Acredit allowancealsowillnotbegivenforanyfailureofperformancehereunder

duetocausesbeyondtheTelephoneCompany’scontrol,including,butnotlimitedto:(1)actsofGod,fires,floodorothercatastrophes;(2)anylaw,order,regulation,directive,actionorrequestoftheUnitedStatesGovernment,oranyothergovernment,includingstateandlocalgovernmentshavingjurisdictionovertheTelephoneCompany,orofanydepartment,agency,bureau,corporationorotherinstrumentalityofanyoneormoreofsaidgovernments,orofanycivilormilitaryauthority;or(3)nationalemergencies,insurrections,riots,warsorotherlabordifficulties.







2.5 ExecutedAgreements TheTelephoneCompanyandtheCustomermayexecuteanagreement (Agreement)settingforth,basedontheCustomer'sapplicationofservice,the specificservicesavailableundertheregulations,ratesandchargesthatthe Customerisordering,thetermsandvolumecommitmentstheCustomeris establishing,andthetypeandvolumeofservicetheCustomerisordering. TheAgreementshallincorporatebyreferencetheregulations,ratesand chargeswhichwouldbethecurrentratespostedontheTelephoneCompany's websiteordeliveredtotheCustomerviaUnitedStatesPostalService.

3. FederalUniversalServiceCharge

3.1 FederalUniversalServiceCharge

TheFederalUniversalServiceCharge(“FUSC”)recoverstheTelephone Company'scontributiontovariousfederaluniversalservicefunds.The TelephoneCompanywillapplyasurchargefactoreachmonthtothebilled chargesforDSLservicesprovidedtoendusersfromthisPriceList. FUSCwillnotapplytoDSLServicespurchasedbyCustomersthatresellthese servicestoendusersaspartofaninterstatetelecommunicationsserviceand arerequiredtocontributetothevariousfederaluniversalservicefunds.In caseofadisputeregardingwhethertheCustomerisresellingservicesand contributingtothevariousfederaluniversalservicefunds,theTelephone CompanymayrequireasignedcertificationtothateffectfromtheCustomer.3.1.1 RateRegulations TheTelephoneCompanywillbillFUSCeachmonthasdescribedbelow.The FUSCSurchargeFactorissetforthinSection5.1,following. (A) FUSCSurchargeFactor TheTelephoneCompanywillmultiplytheFUSCSurchargeFactorset forthinSection5.1,following,againsttheenduser'sbillofinterstate accessservicescharges,whichincludestheDSLServices.






4. DigitalSubscriberLineService

4.1 GeneralRegulations4.1.1 DSLServicesprovidetransmissionservicesoverlocalexchangeservice facilitiesthatcanbeusedforsimultaneousvoiceanddatacommunications. access,withacapabilityof768kbpsupstream/2Mbpsdownstreamwheretechnicallyfeasible.TheequipmentconsistsofaDigitalSubscriberLineAccessMultiplexer(DSLAM)locatedintheCOandthecorrespondingremote“modem”unitlocatedattheenduserCustomer’spremises.

4.1.3 TheTelephoneCompanywilldetermineiftheassociatedlocalexchangeservicelineorfacilitiesaresuitableforusewiththeDSLAccessServiceoptionorderedbytheCustomer.ServicewillnotbeprovidedonlinesthattheTelephoneCompanydeterminesarenotsuitableforDSLAccessServiceoronlinesthatproduceinterferencewithotherservicesprovidedbytheTelephoneCompany.

4.2 Wheretechnicallyfeasible,ADSLAccessServiceisavailableastwoservice

options,i.e.,ADSLVoice‐DataandADSLData‐Only.

4.2.1TheADSLVoice‐DataoptionprovidestransmissionofdatasignalsusingtheTelephoneCompany'sexistinglocalexchangeservicelineatpeakdatatransmissionspeedscapableof768kbpsupstreamand2Mbpsdownstream(wheretechnicallyfeasible),asdeterminedbytheTelephoneCompanyandadjustedfromtime‐to‐time.Voice‐Dataoptionmaybeusedforsimultaneousvoiceanddatacommunications.

4.2.2 TheADSLData‐Onlyoptionprovidestransmissionofdatasignalsusingthe

TelephoneCompany’ sexistinglocalexchangefacilitiesatpeaktransmissionspeedscapableof768kbpsupstreamand2Mbpsdownstream(wheretechnicallyfeasible),asdeterminedbytheTelephoneCompanyandadjustedfromtime‐to‐time.Data‐Onlyoptiondoesnotprovidetheabilitytotransmitvoicecommunications.

4.3.2 TheSDSLData‐Onlyoptionprovidestransmissionofdatasignalsatapeak

transmissionspeedof2Mbps(wheretechnicallyfeasible)usingtheTelephoneCompany'sexistinglocalexchangefacilities.Thisoptiondoesnotprovidetheabilitytotransmitvoicecommunications.

4.4 Installation4.4.1 InstallationofDSLServiceswillbefromtheCOtothesurgeprotectorlocated withintheNetworkInterfaceDevice(“NID”).IftheCustomerrequiresan adapterthatincludesarouter,hub,firewall,otherdevices,orsoftware,they maypurchaseitfromanythirdpartyorfromtheTelephoneCompany.4.4.2 MonthlychargesforDSLServicesareforthecircuitandCOtermination. NetworkInterfaceCard(“NIC”)fortheassociatedhardwareorsoftwareisnot includedinthemonthlycharge.4.4.3 IftheCustomerrequiresanyspecialinsidewiring,theymaycontractwiththe TelephoneCompanyoranythirdpartyproviderforthatspecialwiring. NonrecurringchargesincludetheserviceorderandCustomerpremisesvisit. TheydonotincludeanyCustomerpremiseswiringchargesbeyondthe Protector.4.4.4 DuringTelephoneCompanypromotionsorattheTelephoneCompany's discretion,theinstallationfeemaybewaived.Installation(non‐recurring) chargesaresetforthinSection5.2following.

Specifieddataaccessratesarethepeakdownloadratesavailableonthelocal

loopsegmentofthefacility.PeakspeedsarenotguaranteedbytheTelephoneCompanyduetofactorsthatmayaffecttheactualspeedsdelivered,includingtheCustomer’sdistancefromtheTelephoneCompany’sServingWireCenter,theconditionoftheexistinglocalexchangeservicefacilities,andanycapacitylimitationsinthetelecommunicationsserviceprovider’s(“TSP”)networkdesign.TheTelephoneCompanycannotguaranteeeffectivethroughputbeyondtheDSLcircuit,forexample,atanInternetServiceProvider's(“ISP's”)serverorataLocalAreaNetwork(“LAN”)server.

4.5.3. AvailabilityoftheDSLServiceissubjecttofacilitylimitations,includingloop lengthandothernetworkcharacteristics.4.5.4 TheTelephoneCompanydoesnotprovideCustomerPremisesEquipment

(CPE)inconjunctionwiththeDSLAccessServiceoffering.TheCustomerisresponsibleforprovidingandmaintainingallrequiredCPEwhichiscompatiblewiththeDSLServiceandcomplieswiththeapplicabletechnicalrequirements.

4.5.5 DSLAccessServicemaynotbeusedwithmulti‐pointSpecialAccessService

configurations.4.5.6 DSLAccessServicewillbeprovidedoverexistingTelephoneCompanylocal

exchangeservicefacilities.WhenthecustomerorderstheDSLVoice‐Dataoption,theratesandregulationsforthatDSLAccessServiceareinadditiontoanyratesandregulationsthatapplyfortheassociatedlocalexchangeservicelineprovidedunderthetermsandconditionsintheTelephoneCompany'sgeneraland/orlocalexchangeservicetariffs.TheTelephoneCompanywillautomaticallydisconnecttheDSLAccessServiceVoice‐Dataoptionwhentheassociatedlocalexchangeservicelineisdisconnectedforanyreason.

4.6.3 ACustomermayterminateaTermPlanwithouttheapplicationofa terminationliabilitychargeiftheTelephoneCompanyincreasestheTerm PlanmonthlyratesdescribedinSection5.2.C.2,following,duringthetermof

theexistingcommitment.TheCustomerhasninety(90)daysfollowingsuchrateincreasetonotifytheTelephoneCompanyinwritingofitsintenttoterminateitsTermPlanunderthissection;otherwise,theincreasedrateswillapplyfortheremainderofthecommitmentperiod.

4.6.4 IftheCustomerelectstoterminateitsTermPlan(s)priortotheendofthe

commitmentperiodforanyreasonotherthanthatspecifiedinSection4.5.2orSection4.5.3,preceding,aterminationliabilitychargewillapply.ForeachTermPlanterminatedpriortotheendofthecommitmentperiod,theTelephoneCompanywillbilltheCustomerachargeequaltothemonthlyTermPlanChargeforitsselectedpricingoption,asdescribedinSection5.2.C.2.a,

following,multipliedbythenumberofmonthsremaininginthecommitment period.
