4.OrdiniIlClientedeveeffettuaregliordiniperiscritto,sucartaintestatadell’azienda, ed inoltrarli via fax, e-mail o posta in originale.L’ordinedeveesseretimbratoefirmatodalClientenellapersonamunitadirelativopotere,esaràsoggettoadaccettazionescrit-ta da parte della Società tramite Conferma d’Ordine indicanteprezzi e condizioni particolari di fornitura e pagamento. Nonè necessario un quantitativo minimo di ordine. Tutta la merceverrà fornita e fatturata a pezzi o in misurazione metriche. Sel’ordinevienetrasmessoaseguitoedinbaseaun’offertaprece-dentementeformulatadallaSocietà, iprezzi indicatinell’offertasonodaintendersivincolantiperilsoloperiododiefficaciadellastessa.AlfinediassicurareunatempestivaecorrettaspedizioneènecessarioutilizzareinumeridiCodiceArticolodellaSocietàindicatiinmanierachiaranelcatalogo,osuprecedentiConfermed’Ordine,FattureProformaoFatturediVendita.IlClienteprov-vederà esplicitamente a specificare in un’eventuale confermascritta la natura di mera “conferma di ordine già esistente”precedentemente inoltrato in formascrittaononscritta, ciòalfinedievitareduplicazionidiordini. Incasocontrario, ilClientesarà ritenuto responsabileperqualsiasiconseguenteduplicatodidettoordineesistenteepagheràallaSocietàunimportoperlatransazioneparialventipercentonettodilistinodellamercecompresanell’ordineduplicato,oltreatuttelespeseditrasportoperlaconsegnaelaconseguenterestituzionedellamerceallaSocietà.
5.SpesediConsegnaLa merce viene consegnata “ex-fabbrica”, pertanto la Societànon applica spese per la consegna. Nel caso in cui tra la
Società ed il Cliente fosse stata concordata una modalità diconsegnadiversa,laSocietàaggiungeràlespesedeltrasportosullaConfermad’Ordine,FatturaProformaoFatturadivenditaemessealCliente.LaSocietànonèinalcunmodoresponsabileper eventuali ritardi causati dalle imprese di trasporto rispettoalleprevisionidi ritirodellamercee lasuccessivaconsegnaalCliente.
6.ConsegnaTutteleoreedatediconsegnaindicateinqualsiasipreventivo,riscontrodiordineoaltrodocumentosonoapprossimativeenonpossonoinognimodoconsiderarsiterminiessenziali.
7.ForzaMaggioreQualora l’esecuzione degli ordini sia ritardata o impedita dacausa non imputabile alla Società ivi compresa l’impossibilitàdellastessadiprocurarsiiservizi,materialiodarticolinecessariper l’adempimento del contratto, o di procurarsi i medesimisoloaprezzimaggiorati, laSocietàpotrà recederedagliordinioritardare l’evasionedeglistessi.Resta intesochenelcasodiritardolaSocietàcomunicheràlostessoalClienteequestipotràesercitaredirittodirecessodall’ordinesenzanull’altropretende-redallaSocietà. Inognicaso, l’inadempimentoo il ritardoperle ragionisuddetteed ingenerepercausanon imputabileallaSocietàescludequalsiasiformadiresponsabilitàdellastessa,ivicompresoognipretesodirittodirisarcimentodeldanno.
8.RifiutoomancataAccettazionedellaConsegnaSe il Cliente rifiuta o non accetta la consegna della mercepresentataconformementeal contratto, ononadotta le azioninecessarieper renderepossibili laconsegnae/o laspedizionedellastessa,laSocietàsiriservaildirittodirisolvereilcontrattoconeffettoimmediatoediotteneredalClienteilrimborsoditutteleperditeedeicostiaddizionalineiqualisiaincorsaaseguitodelrifiutoodellamancataaccettazione.
9.IspezioneSarà responsabilità del Cliente ispezionare e controllare tuttala merce immediatamente, e comunque non oltre otto giorni,al momento della consegna della stessa, al fine di verificarecolore,rifiniture,misure,stato,precisionee, ingenere, lacorri-spondenzadellamerceconsegnataaquellaordinata.IlClienteèritenutoresponsabileperl’ispezioneedilcontrollodellamerceanchenelcasoincui,surichiestaespressadellostesso,questavengaconsegnataa terzi. IlClienteè tenutoacomunicareperiscrittoallaSocietà,entroottogiornidallaconsegna,viziriscon-tratieriscontrabiliadunprimoesame,oqualsiasialtroreclamoin relazioneaiprodotti.Nelcaso incui ilclientenoneffettui lacomunicazionedicuisopra,iprodottisarannoconsideratidefi-nitivamenteaccettatieconformiaquantostabilitodalcontrattodivendita.
10.RischioeDirittoLamercerimarràdisolaedassolutaproprietàdellaSocietàfinoaquandoilClientenonavràpagatoallaSocietàl’interoimportoconcordato.OgnirischiosullamedesimamercegraveràinveceinteramentesulClientedalmomentodelritirodellastessaodallapresaincustodiadaterziindicatipersuoconto.IlClientedovràassicurarelamerceinmodoadeguato.Finoalmomentoincuiavverràilpagamento,ilClientesaràesclusivamentedepositariodella merce per conto della Società, in un ruolo fiduciario, ecustodiràlastessainmodotalechelasipossaidentificarecomeproprietàdellaSocietà.LaSocietàsiriservaildirittoimmediatodiriacquistareilpossessodiqualsiasimercesullaqualecontinuiadavere ildirittocomesummenzionato,esuccessivamentedirivenderelastessa.AtalefineilClientericonosceallaSocietàildirittodivisitareisuoilocali,conosenzaveicolo,durantelenor-malioredi lavoro.Questodirittocontinueràasussistereancheincasodirisoluzionedelcontrattodovutaaqualsiasimotivoesenza costituire pregiudizio per qualsiasi altro diritto maturatodallaSocietà.

11.ResponsabilitàLaSocietànonsaràresponsabileneiconfrontidelCliente:(I) per una differenza di quantitativo tra merce consegnata
rispetto a quella ordinata, salvo il tempestivo reclamoinviatodalClienteentroottogiornidalladatadellaconse-gnadellamerce.
(II) permancataconsegna,dannooperditadellamerce,odiqualsiasisuaparte,duranteiltrasporto,(quandolamercevienetrasportatadaiveicolidellaSocietàodauncorrierepercontodellaSocietà)salvoiltempestivoreclamoinvia-todalClienteentroottogiornidalladatadellaconsegna.
(III) perdifettidellamercecausatidausura,condizioniinsolitediimmagazzinamento,imballaggiononidoneoaltraspor-to, uso, o applicazione di qualsiasi trattamento o pro-cessodopol’acquisto (incluso,manonadesso limitato,l’acquistodiqualsiasi tipodispray,coloreotrattamentoanti-fiamma)oqualsiasialtroatto,modificaonegligenzadelClienteoditerzi;
(IV) per altri difetti della merce non comunicati alla Societàentro otto giorni dalla consegna, ed in qualsiasi casoprimachedettamercevengautilizzataovendutaaterzi.
(V) per qualsiasi perdita, danno o lesione diretta o indirettarisultante da lavorazione difettosa del materiale o altro,in qualsiasi modo ciò avvenga, indipendentemente dalfattochesiastatacausataomenodallanegligenzadellaSocietà,deisuoidipendentioagenti.
Quando la responsabilità vieneaccettatadallaSocietàconfor-memente al paragrafo precedente l’unica obbligazione dellaSocietà sarà, a sua discrezione, rettificare qualsiasi ammancoomancataconsegnae/o,comeopportuno,sostituireoripararequalsiasimercecherisultidanneggiataodifettosae/orifondereilClientedelcostoditalemerce.LaresponsabilitàglobaledellaSocietàversoilCliente,pernegligenza,violazionedelcontratto,falsedichiarazionioaltro,nonsupereràinnessunacircostanzail costo della merce difettoso, danneggiata o non consegnatachedaràluogoaquestaresponsabilità,determinatadalprezzonettofatturatoalClienteperdettamerce,inqualsiasievenienzaoseriedioccorrenze.IprezzidellamercestabilitidallaSocietàtengonocontodeilimitidiresponsabilitàsopraindicati.IlClientepuò, mediante avviso scritto, richiedere alla Società di accor-darsi suun limite superioredi responsabilità a condizionechesipossaottenereunacoperturaassicurativa.Lepresenticondi-zionigeneralidelineanol’interoambitodellaresponsabilitàdellaSocietà riguardo ai prodotti, con esclusione di qualsiasi altragaranzia,condizioneetermineespressioimpliciti,previstidallanormativanozionaleedinternazionale,inordineallaqualitàoallaidoneitàperqualsiasiusoparticolaredeiprodotti.Rimanesalval’applicazionedellegaranzieinderogabiliperlegge.12.Resi(I) PerlariconsegnadeiprodottiallaSocietàdovrannoesse-
re applicate le specifiche condizioni indicate di volta involtaeperiscrittodall’operatoredellaSocietà.
(II) LaSocietànonaccetta la restituzionedinessunamerceincambiodell’ottenimentodicredito,salvounprecedenteaccordoscrittointercorsofraleparti.
(III) DopoaverricevutodallaSocietàl’autorizzazioneallaresti-tuzione dalla merce, sarà cura del Cliente riconsegnareo far riconsegnare al reparto di controllo della Societàmedesima i prodotti perfettamente integri ed adeguata-mente imballatientroventottogiornidalladatadi fatturainportofranco.TuttelepartieventualmenteaggiuntedalCliente ai prodotti dovranno essere rimosse prima dellarestituzione.LaSocietàsaràautorizzata,incasocontrario,arimuoveredalprodottotuttelepartiaggiuntesenzanullariconosceree/orestituirealCliente.
(IV) I prodotti sono riconsegnati a rischio del Cliente ed èpertantodaintendersigravantesullostessoognirespon-sabilitàperperditaodanneggiamentodellamerce.
(V) LaSocietàsiriservaildirittodiapplicareunaddebitoparialtrentapercentodelprezzodellafatturaperiresiinferiorialvaloredi1000,00Euro,edunaddebitoparialventipercentodelprezzodellafatturaperiresisuperiorialvaloredi1000,00Euro.Iresiinferiorialvaloredi300,00Eurononsarannoaccettati.
13.AccostamentodiColoreediRifinituraLaSocietànongarantisceenonsiassumealcunaresponsabi-litàinmeritoallaconformitàdelcolore,tonalitàerifiniture,dellamerce consegnata al colore, tonalità e rifiniture dei campionimostrati in qualsiasi pubblicità, campionario, campionatura,catalogo,oaltrove.Fermoquantostabilitoalprecedentecapoverso,nelcasoincuiilClienterichiedaunaccostamentoaccurato,lostessodovràcon-segnareallaSocietàuncampionedicolore, tonalitàorifiniturarichiesti,oppurechiedereallaSocietàdifornireuncampionedelsuostockattuale,seesistente.14.CampioniIcampionidimerceverrannospeditidallaSocietàviapostaocorriereprevioaccordotraleparti.IcampioniinvisionerestanodiproprietàdellaSocietàesonodarestituireentro trentagiornisalvodiversaautorizzazionescrittadallaSocietà.Nelcaso incui ilClientenon restituisca i suddetti campioni invisioneentro i30giorni,ocomunqueentro ladatastabilita, laSocietà si riserva il diritto di addebitarli al costo in vigore alladatadiconsegna.
15.InsolvenzaeInadempienzaSeilClientesiimpegnainunattodiconcordatooentrainban-carottaosiaccordaconisuoicreditori,osevieneemessounprovvedimentocautelaredi sequestrodelpatrimoniocontrodiluio (investedisocietà)vieneemessounordineovienedeli-berataunarisoluzioneperlaliquidazionedellasuaazienda(permotivi diversi dalla fusione o incorporazione precedentementeapprovata per iscritto dalla Società) o se viene nominato uncustodegiudiziariodeibenidelClienteodellasuaazienda,oseinsorgesserolecircostanzenecessarieaffinchéiltribunaleouncreditorerichiedanolanominadiuncustodegiudiziarioodiunamministratore,oconferiscanoaltribunale ildirittodiemettereunordinedi liquidazione,ose ilCliente intraprendeosubisceun’azionesimileodanalogaqualeconseguenzadidebitoocom-mette qualsiasi violazione di questo o qualsiasi altro contrattotra la Società e il Cliente, la Società può, senza pregiudicarenessun degli altri suoi diritti, fermare tutta la merce in transitoe/o sospendere ulteriori consegne e/o recedere dal contrattomediantenotificascrittaalcliente.
16.RinunciadiDirittiLamancanza,dapartedellaSocietà,dieserciziooapplicazionedi qualsiasi diritto previsto dal presente atto, non costituiscerinunciaalcuna.
17.NotificheQualsiasinotificamenzionatanelpresenteattoverràconsideratadebitamentecomunicatase inviataamezzo lettera raccoman-data,fax,corriereoqualsiasialtromezzodicomunicazionecheassicurilaprovaeladatadiricevimentodellacomunicazione.
18.LeggeVigenteeGiurisdizioneIl contratto verrà regolato e interpretato conformemente alleleggiitalianeconesclusionedelleconvenzioniinternazionali,elepartimenzionatenelpresenteattosisottomettonoallagiurisdi-zioneesclusivadeitribunaliitaliani.
19.ForoCompetenteIl Foro di Padova, Italia, sarà competente in via esclusiva perqualunquecontroversianascentedall’applicazionedellecondi-zionigeneralidivenditaairapporticommercialiintercorrentitralaSocietàedilCliente.

1.ApplicationThefollowingTerms&ConditionsofSales&Tradingconstitute,togetherwiththoseexpresslyfixedatthemomentoftheconclu-sionofthecontractofsales,theentireexistingcontractualrela-tionbetweenPataviumartsrl.(the“Company”)andanypurcha-ser(the“Customer”)andsubstitutedivergentagreementsexceptforagreementssignedbyalegalrepresentativeofthecompanywhichhavetobewrittenontheCompany’sletter-headedpaper.TheseconditionsapplytoallsalesofgoodsbyPataviumartsrl.toanypurchaserandshallapplyinplaceofandprevailoveranytermsorconditionscontainedor referred to in theCustomer’sorder or in correspondence or elsewhere or implied by tradecustompracticeorcourseofdealingandanypurportedprovi-siontothecontraryareherebyexcludedorextinguished.
2.TermsofPaymentTermsareperemptoryandareagreeduponwhen theorder isreceived by the Company, which, however, will indicate suchtermsonitsrespectiveorderconfirmation.Paymentsofinvoicesshall unless otherwise agreed in writing by the Company bemade in full without any deduction, set-off or any further sortofrequest.AnyexemptionofV.A.T.oftheCustomerhastobeexpresslyindicatedontheorderandmustbeprovedadequately.AnyextensionofcreditallowedtotheCustomermaybechangedorwithdrawnatany time. If in theopinionof theCompanythecredit-worthinessoftheCustomershallhavedeterioratedpriortodeliverytheCompanymayrequirefullorpartialpaymentofthepriceprior todelivery.TheCompany reserves the right toholdbackanyorderpendingifanaccountisoverdueforpayment.Intheeventthatthepaymentsarenotmadewithintheagreeddate/dates,theCompanyreservestherighttochargedelayintereststotalling the“PrimeRate”publishedon“IlSole24Ore”on thedateofinvoicemarkedupby4percent.
3.GoodsandPricesThepricespayableforthegoodsshallbethosecontainedintheCompany’spricelists, thereforecurrentat the timeof the fulfil-mentof thecontract.TheCompanyshallhave the rightatanytimewithoutpriornoticetoup-dateand/orchangeitsprices,tomakeanytechnicalandaestheticalchangessuitabletoimprovethe products and/or to withdraw any goods from the range ofproducts offered. If not specified differently, all the prices are“ex-factory”fromtheCompany,goodspackedtobeshipped.AllpricesexcludeV.A.T.whichwillbeaddedaccordingtotherateapplicableonthedateofinvoicing.
4.OrdersOrdersmustbesenttotheCompanyinwritingonClient’sletter-headedpaperbyeitherfax,e-mailorpost.Thelatterhastobean original order document; copies are not accepted by post.Theordermustberubber-stampedandsignedbythepersoninchargeofthepurchasedepartmentintheCustomer’scompany.Thereisnominimumorder.Allorderswillbesuppliedandinvoi-cedwithmetricmeasurementsorapiece.OrdersmustconfirmedinwritingbytheCustomerandareinallcasessubjecttoaccep-tancebytheCompany,whichwillsendawrittenorderconfirma-tion to theCustomer. If theorder refers toanoffer previouslymadebytheCompany,theconditions,termsandpricesofwhichare still applicable, theCompanywill confirm thepricesof theoffer.Incasetheofferisnotapplicableanymore,theCompanywillchargethecurrentpricesforallgoodsregardlessofthepri-cesquotedontheoffer.InallcasesshalltheCompanyquoteonanyorderconfirmationtherespectiveprices,paymentanddeli-verytermsandconditions. Inorder toguaranteeapromptandcorrectdeliverytheCustomermustonallordersclearlyindicatetheCompany’sArticleCodewhichisusedbytheCompanyinitscatalogues,samples,orderconfirmations,proforma invoicesorsalesinvoices.Noadditionalinformationordescriptionsmustbeaddedbythecustomerunlesstheyareabsolutelynecessaryforacorrectidentificationoftheorderedarticle.Ifanyconfirmation,writtenororal,ofanorderbytheCustomerdoesnotexpressly
and prominently state that it is a confirmation of an existingorder, the Customer shall be responsible for any consequentduplicationofthesaidexistingorderandshallpaytheCompanyahandlingchargeequaltotwentypercentofthenetlistpriceofthegoodscomprisedtheduplicateorderplusallcarriagecostsarisingfromthedeliveryorconsequentreturnofthesaidgoodstotheCompany.
5.DeliveryChargeGoods are delivered “ex-factory”; therefore, there are no tran-sportcosts.IncasetheCompanyandtheCustomeragreedondifferent delivery terms and conditions, the Company will addthe transportcosts to theorderconfirmation,proforma invoiceor sales invoice and charge the Customer consequently. TheCompany and its suppliers are under no circumstances liableforanydelayscausedbythetransportagentwithregardtotheloadingandthedeliveryoftheCustomer’sgoods.
6.DeliveryAnytimeordatefordeliveryisapproximateonlyandnotofanycontractualeffectandtheCompanyshallnotbeunderany lia-bilityinrespectofanyfailuretodeliveratanyparticulartimeordate.Anydateandtimementionedinanyacknowledgementoforderorelsewherecan,undernocircumstance,beconsideredessential.7.ForceMajeureIncase it is impossible for theCompany tocarryoutanorderbecause of obstacles or hindrances beyond any reasonablecontrolof theCompany includingtheCompany’s impossibilitytoobtainthenecessaryservices,materialsorarticlestocarryouttheorder,exceptforpriceincreases,theCompanymaydelaytheproductionofthegoodsand,onceinformedtheCustomeraboutthedelay,thelatterhastherighttocancelthetotalorapartofhisorderwithoutbeingchargedanyamountorcompensationbytheCompany.TheCompanyshallinnocasebeliableforthisdelayorthecancellationoranyothercasewhichmakesitimpossiblefortheCompanytocarryouttheorder.TheCompanyshallundernocircumstancebeliabletocompensation.
8.RefusalorFailuretotakeDeliveryIftheCustomerrefusesorfailstotakedeliveryofgoodstende-red in accordancewith thecontractor fails to takeanyactionnecessaryonitspartfordeliveryand/orshipmentofthegoodsthe Company shall be entitled to terminate the contract withimmediateeffect and recover from theCustomerany lossandadditionalcostsincurredasaresultofsuchrefusalorfailure.
9.InspectionItshallbetheresponsibilityoftheCustomertoinspectallgoodsimmediatelyondeliveryandinanyeventwithinthesubsequenteightdays.TheCustomermust check thecolour, the finishes,thedimensions,thestateandaccuracyofthegoodsandensurethat the goods correspond to those ordered. The Customer’ssaid responsibility shallnotbe inanywaydiminishedorextin-guishedinthecaseofgoodswhicharedeliveredtoathirdpartyon the instruction of the Customer. The Customer must notifytheCompanyinwritingwithineightdaysafterdeliverynotedandnoticeablefaultsanddamagesoranyotherclaimregardingthegoods. Incase theCustomerdoesnotnotifyasaforesaid, thegoods are considered definitely accepted and correspondingtothesalescontract.HiddenornotapparentfaultsordamagesmaybecommunicatedtotheCompanywithinthefirstyearafterdelivery.Suchhiddenornotapparent faultsordamagesmust,however, be communicated in writing to the Company withineightdaysaftertheyhadbeennoted.
10.RiskandTitleThe goods shall remain the sole and absolute property of theCompany as legal and equitable owner until such time as theCustomer shall have paid in full to the Company the agreed

price therefore. Until such payment the Customer shall be inpossessionof thegoodssolelyasbailee for theCompanyandin a fiduciary capacity and shall insure them accordingly andstorethegoodsinsuchawayastoenablethemtobeidentifiedasthepropertyoftheCompany.Afterdeliveryoracceptanceincustodyofthegoodsevenbyathirdpartyontheinstructionofthe Customer, any risk related to such goods shall entirely beonCustomer’sside.TheCompanyreservestheimmediaterightof re-possessionofanygoods towhich it has retained titleasaforesaidandthereaftertore-sellthenameandforthispurposetheCustomerherebygrantsan irrevocable rightand license totheCompany’sservantsandagentstoenteruponalloranyofitspremiseswithorwithoutvehiclesduringnormalbusinesshours.This rightshallcontinuetosubsistnotwithstandingthe termi-nationofthecontractforanyreasonandiswithoutprejudicetoanyaccruedrightsoftheCompanythereunderorotherwise.ThisaccessmustbegrantedtoallowthewithdrawalofthegoodsforwhichthepaymenttotheCompanyisoverdue.Anywithdrawalof goods does not entail that the Company retreats from theexistingcontract.11.LiabilityTheCompanyshallnotbeliabletotheCustomer:(I) for shortage in quantity delivered unless the Customer
notifiestheCompanyofanyclaimforshortdeliverywithinfourteendaysofthedateoftheCompany’sinvoiceforthegoods;
(II) fornon-deliveryofthegoodsordamagetoorlossofthegoodsoranypartthereofintransit(wherethegoodsarecarriedbytheCompany’sowntransportorbyacarrieronbehalfof theCompany)unless theCustomershallnotifythe Companyof suchclaimwithin fourteendaysof thedate the Company’s invoice for the goods and in caseofgoodsalloranypartofwhichare receiveddamaged,unlesstheCustomershallsignforthemasdamagedandshall immediately notify the Company of the damage inwriting;
(III) fordefectsinthegoodscausedbythefairwearandtear,abnormalcoditionsorstorageoruseortheapplicationofany treatment or process whatsoever to the goods afterpurchase (including,without limitation, any spray, colou-ringorflameproofing)oranyact,neglectordefaultoftheCustomerorofanythirdparty;
(IV) for other defects in the goods unless notified to theCompany within fourteen days of the date of theCompany’sinvoiceforthegoodsandinanyeventbeforethegoodsarepassedonorsoldtoathirdparty;
(V) forany loss,damageor injurydirector indirect resultingfromdefectivematerial,faultyworkmanshiporotherwise,how soever arising and whether or not caused by thenegligenceoftheCompanyitsemployeesoragentsSAVETHATtheCompanyshallacceptliabilityfordeathorper-sonalinjurycausedbythenegligenceoftheCompany.
WhereliabilityisacceptedbytheCompanytheCompany’sobli-gationshallbeatitsoptiontomakegoodanyshortageornon-delivery and/ or as appropriate to replace or repair any goodsfoundtobedamagedordefectiveand/ortorefundthecostsofsuchgoodstotheCustomer.TheCompany’saggregateliabilityto the Customer whether for negligence, breach of contract,misrepresentationorotherwiseshallinnocircumstancesexceedthecostsofthedefective,damagedorundeliveredgoodswhichgiverisetosuchliabilityasdeterminedbythenetpriceinvoicedtotheCustomerforthesaidgoodsinrespectofanyoccurrenceorseriesofoccurrences.TheCompany’spricesaredeterminedonthebasisofthelimitsofliabilitysetoutinthisCondition.TheCustomermaybywrittennoticetotheCompanyrequesttheCompanytoagreeahigherlimitofliabilityprovidedinsurancecovercanbeobtainedtherefo-re.TheaforesaidandfollowingConditionscovertheentirelimitsofliabilityoftheCompanywithrespecttothegoodsandexcludeanyotherliability,warrantyorconditionsexplicitorimplicitfixedby law referring toquality orqualificationof anyparticular useof thegoods, save thosewhichby forceof lawcannotnotbeabrogated.
12.Returns(I) ForallreturnsofgoodstotheCompanythespecificcon-
ditionoftheCompanymustbeapplied.(II) No goods can be accepted back for credit unless the
Company’s prior written agreement for their return hasbeenobtained.
(III) After having obtained the authorization for returning thegoods it is the Customer’s responsibility to return thegoods to the Company within twenty-eight days frominvoice date. The goods must be adequately packed,intactandprotectedfortransportandreturnedtothecon-troldepartmentoftheCompanyonCustomer’sexpenseswithin twenty-eight days after invoice date. Any addedparts must have been removed completely before retur-ningthegoods.FailingthistheCompanywillbeauthori-zedtoremovealladdedparts.
(iv) TheCustomerbaresallrisksrelatedtothereturningofthegoodsandthereforewillbeliableforanyloss,shortageordamageofthegoodsortheaddedpartsreturnedtogetherwithsuchgoods.
(v) The Company reserves the right to impose a thirty percenthandlingchargeonthe invoicepriceof returnswithan invoiced value below 1000,00 Euro and a twenty percenthandlingchargeonthe invoicepriceof returnswithan invoicedvalueabove1000,00Euros.Returnswithaninvoicedvaluebelow300,00EuroswillnotbeacceptedbytheCompany.
13.ColourandFinishMatchingAll Conditions, warranties and representations expressed orimplied by statute common law or otherwise that the colours,shades or finishes shall match accurately the colour, shade orfinishofanysampleorcuttingorofgoodsshowninanyadver-tisement, pattern book, display card, catalogue or elsewhereareherebyexcluded.Withoutprejudice toparagraph (i) of thisCondition, in theevent that theCustomer requiresanaccuratematch, theCustomershalleitherdeliverasampleorcuttingoftherequiredcolour,shadeor finishtotheCompanyorasktheCompany to supply a colour, shade or finish sample from itscurrentstock,ifthelatterisheld.
14.SamplesSamples will be sent by post or carrier on application to theCompany. The samples on approval remain Company’s pro-pertyasperCondition10oftheseTerms&ConditionsofSales&TradingandnotreturnedtotheCompanywithinthirtydaysorwithintheagreedperiodwillbechargedatthepricepersamplerulingatthedateofdespatch.
15.InsolvencyandDefaultIf theCustomerenters intoadeedofarrangementorcommitsan act of bankruptcy or compounds with his creditors or if areceivingorderismadeagainsthim(beingacompany)anorderis made or a resolution is passed for the winding up of theCustomer (otherwisethanfor thepurposesofamalgamationorreconstructionpreviouslyapproved inwritingby theCompany)or ifareceiver isappointedofanyoftheCustomer’sassetsorundertakingor ifcircumstancesarisewhichentitletheCourtoracreditortoappointareceiverormanagerorwhichentitletheCourt tomakeawinding-upOrderor if theCustomer takesorsuffersanysimilaroranalogousaction inconsequenceofdebtorcommitsanybreachofthisoranyothercontractbetweentheCompanyandtheCustomertheCompanymaywithoutprejudicetoanyofitsotherrightsstopanygoodsintransitand/orsuspendfurther deliveries and/or by notice in writing to the Customerdeterminethecontract.
16.WaiverFailurebytheCompanytoexerciseorenforceanyrightshereu-ndershallnotbeawaiverofanysuch rightnoroperatesoastobartheexerciseorenforcementthereofatanytimeortimesthereafter.
17.NoticeAnynoticehereundershallbedeemedtohavebeendulygivenif

sentbyprepaidfirstclasspost,telex,faxorbyanyothermeansof communication to the party concerned if proof and date ofdeliveryareguaranteed.
18.GoverningLawThecontractshallbegovernedbyandconstruedinaccordancewiththeItalianLawandthepartiesherebysubmittothejurisdic-tionoftheItalianLaw.Anyinternationalconventionsareherebyexcluded.
19.PlaceofJurisdictionThe Court of Padova, Italy is the only and exclusive place ofjurisdictionforanydisputerelatedtotheapplicationandinterpre-tationoftheGeneralTermsandConditionsofSalesandTradingbetweentheCompanyandtheCustomer.20.TrademarkLaws&CopyrightsPataviumart®isaregisteredtrademarkofPataviumartsrl.Allpro-ductsoftheCompanyareprotectedunderItalian&InternationalCopyright Laws, trademark laws, industrial laws or otherwise.Any partial or complete publication, transmission, copy or anyotherduplication ofproducts,data, texts,graphics,photogra-phies, images etc. is strictly forbidden without explicit writtenconsentbyPataviumartsrl.Allrightsreserved.
