2. Strategic Cooperation between Kingdee and Alipay

On January 12, 2012, Kingdee Software (China) Co., Ltd. and Alipay (China) Network Technology Co.,

Ltd. announced the start of their strategic partnership in Shenzhen. The two partners have built a

connection between Kingdee’s ERP system and Alipay’s products, and launched a solution of “direct

online payment access for enterprises”. This marked the industry’s first information integration

between an ERP system and a third-party payment solution. Currently, direct online payment access for

enterprises is widely recognized in the enterprise application market. Companies including China Life

Insurance Company, Happy Valley, mangocity.com, have adopted the solution for financial settlement.

Kingdee’s ERP software enjoys a huge client base in China, and has retained the largest share of

China’s SME ERP market for seven consecutive years (according to data from IDC in 2011). Alipay

provides the nation’s largest third party payment platform. Analysts believe that the alliance between

the two leading companies in the areas of e-commerce and management software will break the barrier

between “online” and “offline” information. The partnership is expected to reshape the integration

service market for enterprise management and payment, and create a new IT service model.

3. Mr. Feng Guohua Resigns as Executive Director and President of Kingdee

Group and CEO of Kingdee China

Mr. Feng Guohua resigned as executive director and president of Kingdee Group and CEO of Kingdee

China for personal reasons. Kingdee Group will appoint him to advise on its strategy from February 2,

2012.
