Qualified Person’s Statements and CertificationsAs the qualified person, I certify that:

A phase one environmental site assessment of the RSC property, which includes the evaluation of the information gathered from a records review, site reconnaissance, interviews, a report and any updates required, has been conducted in accordance with the regulation by or under the supervision of a qualified person as required by the regulation.

As of 2014/06/16, no phase two environmental site assessment is required by the regulation for the RSC property and based on the phase one environmental site assessment for the RSC property, in my opinion, it is not necessary for any other reason to conduct a phase two environmental site assessment for the RSC property.

As of 2014/06/16, in my opinion, based on the phase one environmental site assessment, there is no evidence of any contaminants in the soil, ground water or sediment on, in or under the RSC property that, if the RSC property were put to any of the types of property uses listed in subsection 1 (2) of the regulation, are likely to interfere with any of those types of property uses.

I am a qualified person and have the qualifications required by section 5 of the regulation.

I have in place an insurance policy that satisfies the requirements of section 7 of the regulation.

I acknowledge that the RSC will be submitted for filing in the Environmental Site Registry, that records of site condition that are filed in the Registry are available for examination by the public and that the Registry contains a notice advising users of the Registry who have dealings with any property to consider conducting their own due diligence with respect to the environmental condition of the property, in addition to reviewing information in the Registry.

The opinions expressed in this RSC are engineering or scientific opinions made in accordance with generally accepted principles and practices as recognized by members of the environmental engineering or science profession or discipline practising at the same time and in the same or similar location.

I do not hold and have not held and my employer TRY ENVIRONMENTAL SERVICES INC.does not hold and has not held a direct or indirect interest in the RSC property or any property which includes the RSC property and was the subject of a phase one or two environmental site assessmentor risk assessment upon which this record of site condition is based

We are counsel for 712953 Ontario Limited, registered Owner of the Property. We can confirm that attached as Schedule “A” is a legal description of the Property and that the Sole Owner of the Property is the Ontario Corporation, 712953 Ontario Limited. The municipal addresses for existing structures upon the Property are: 555 and 565 Sherbourne Street. The Property is assessed under two Assessment Rolls with the following numbers (which include other lands):

The Property enjoys subsurface rights beneath lands owned by the City of Toronto and being PIN 21086-0105 (LT) and municipally known as Earl Street, which lands have been illustrated on Plan 66R-27409.

We understand that a question has arisen as the most recent Transfer to the current registered owner, 712953 Ontario Limited recorded in 1987. The reference to a municipal address in a Land Registry Office document is not determinative of the property which is the subject of the Transfer. Land Registry Office records are not maintained on the basis of municipal addresses, as addresses change from time to time. The Land Registry Office records are maintained by reference to a lot and plan, and currently, also to a Property Identifier Number (“PIN”). To determine what property is the subject of a Transfer, the legal description within the Transfer must be examined. The lands may also be identified by a survey. The only two municipal addresses identified on the Survey are 555 and 565 Sherbourne Street, referencing two existing multi-level brick and precast multi-storey apartment buildings constructed upon the Property. The municipal addressing of properties in the City of Toronto is administered by the Department of Engineering and Construction Services. Where a new development takes place on an existing property, the owner may apply to the Engineering and Construction Services Department for the reservation of new addresses for new buildings to be constructed. In connection with this Property, an application was made and as of April 17th, 2013, the Engineering and Construction Services Department confirmed the assignment of 561 Sherbourne Street to the new proposed residential tower upon this Property, and also, an additional thirty-four addresses upon the Property, reserved for the future entrance addresses for proposed townhouses and a proposed grocery store (see letter enclosed dated April 17, 2013). While these addresses have been “reserved”, at present, none of these “addresses” have been constructed and accordingly, these addresses do not presently “exist”. The letter, however, is a perfect illustration of how municipal addresses assigned to properties, and referred in a 1987 Transfer, may not be the current municipal addresses at any point in time. We can advise that the Survey and our examination of the title to the Property as described in the Transfer verifies that the Property includes, at this moment in time, solely the municipal addresses of 555 and 565 Sherbourne Street. The letter from the Engineering and Construction Services Department confirms that many other municipal addresses have been reserved for this site, but as those buildings have not been constructed, those addresses are not presently applicable to the Property.

1 PHASE ONE ESA CONCEPTUAL MODEL

Based on our review of gathered information, records review, and site visit, no PCAs or APEC were identified on the Site and Phase I Study Area as noted on the conceptual model provided herein as Figure 1 (555-565 Sherbourne Street).

1.1 Areas Where Potentially Contaminating Activities Have Occurred Areas where potentially contaminating activities have occurred were not identified on the subject properties at 555 and 565 Sherbourne Street. The following PCAs were identified within the Phase I Study Area as noted on Figure 1:

• PCA1: A former gasoline service station was located to the west of the subject site on the west side of Sherbourne Street at 526 Sherbourne Street from the 1930s until the 1970s. The property is now a residential apartment building and would not likely have had an adverse impact on the subject property as the former service stations were cross-gradient to the subject site and located on the opposite side of Sherbourne Street.

• PCA2: A former ginger ale manufacturing facility (Chas Wilson Ginger Ale) was located adjacent to the south side of the subject site at 545 Sherbourne Street from the early 1900s until the 1960s. The former beverage manufacturing facility would not impact on subject site as the former facility was downgradient from the subject site and located on the south of Earl Street.

1.2 Contaminants of Concern

COC were not identified on the site. 1.3 Potential for Underground Utilities to Affect Contaminant Distribution Underground utility trenches are located along Sherbourne Street to the west of the

site; along Howard Street to the north of the site; and along Bleecker Street to the east of the site.

1.4 Regional or Site Specific Geology and Hydrogeological Information

The topography of the general area slopes in a southerly direction and that local groundwater would likely flow in a similar direction towards Lake Ontario at a distance of approximately 3.5 km.

The subject site is situated in an area of beveled till plain in the Iroquois Plains physiographic region as stated in the “Physiography of Southern Ontario” published by the Ministry of Natural Resources, 1984. The subject site is situated in an area of relatively permeable Lake Iroquois shallow water deposits of sand and silty sand. Ontario MOE Well Records indicated that static water levels in wells in the vicinity area were recorded between 33 and 56.61 ft below grade. Subsurface materials were noted to be sand, gravel, clay, and silt. The subject site is situated in an area where the bedrock has been identified as Georgian Bay Formation grey shale with limestone interbeds. Based on the well records in the area, bedrock would be encountered at a depth greater than 109 ft (feet) below grade.
