1 . The Articles of Incorporation of101e101 the Corpor ati on for

community Televioion. the "Corporation", is hereby amended bythe deletion of section 1 of IV in its entirety and Bub-st i tut ion of the following therefor:

Section 1 . The purpose(8) for which the Corporation i sorganized;

( a ) This Corporation tix organized exclusivly for charitable,

religious, educational, and scientific purposes,including, for such purposes, the making . of distributionsto organizations that qualify as exempt organiZationsunder secti on 501(0)(3) of the In terna l Revenue Code, orcorresponding OeCtion of any future federal tax code.•

In furtherance of its purposes, the corporation intendsto promote the oreatiom, production and caLaecasting of

programs by, for and about Hawaii. Such programs will be aimed at the preservation, development and enhancement

of the diversity of thou9hL, culture and heritage withinHawaii. Through thlawu activities the corporation willfacilitae lifelong learning and the community's

ParticiPation in the democratic process. To this end theCorporation chain

(1) maintain those cable channels dedicated to public,educational. And governmental use in a manner t hatis free of censorship and control of program content, except a.5. '

- neciamsary to comply with stateor federal

(2) provide a range of resources for program pro ductionfor the users of these channels; and

(3) deVolop and enforce such rules and policies thatwill unsure equitable aCCesm to these channe1s. and

production conslotent with applicable State [krFederal law.

Upon the dissolution of the Corporation, all of theremaining ameets of the Corporation, shall he distributedfor ono or more exempt purpo.ses within the meaning ofSection 5U1(0)(3) of the Internal Revenue Code, orcorresponding ocCtion of any futurs federal tax code, orshall be distributed to the Department of Commerce andConsumer Affairs which is an excwati n e department of theState pf Hawaii, or to the Federal, state or localgovernment, for a public purpose.
