TheEssenceofSuccess2010hasbeenanincredibleyearforSwiber,aswemarkedseveralbigmilestones:ForthecorporatesidewehadtheverysuccessfulKreuzSubseaIPOandtheacquisition of Vallianz; for the business side,we had various contracts awarded,markedcompletedprojectsforMOGEandShelland launchedthreeconstructionvessels:SwiberPJW3000,DLBAzizand1MAS300.

OneofthemostremarkablegrowthsthatInotedwasinourcorporategiving:wehavelaunchednewscholarshipprogramsinYangon,MyanmarandinNias,IndonesiaandhavesupportedJaneLeeinherquesttoclimbtheSevenSummits–inadditiontotheCSReffortsthatwearecurrentlyinvolvedin.Thisjustgoestoshowthataswegrowasacompany–theabilitytohelp–tomakeanimpactonotherpeople’slivesalsogrows.Thisistrulytheessenceofsuccess:thatwesucceednotjustforourselvesbutforothersaswell.

SwiberannouncedtheofficiallaunchofAziz–500MTDerrickPipe- lay Barge (“DPB”), held 29 November at the NewcruzShipbuildingandEngineeringShipyard,in23TuasCrescent.

TheAzizisa500tonDerrickPipelayBargejointlyownedbythetwopartners,SwiberandRawabi.Withanoveralllengthof112meters,itiswellequippedwithpipelaycapabilityofupto60”diameter,andaccommodationcapacityof300men.

On29November2010,RawabiSwiberOffshoreServicesPte Ltd launched its 500MT derrick pipelay barge, Azizwithanamingceremony. Swiber reported a 27.5% increase in rev-enue to US$122.4 million for the threemonths ended September 30, 2010(“3QFY2010”), as the Group recognisedcontributions arising from the projectsawarded to the Group since November2009,concentratedinSouthEastAsiaandSouthAsia.

Gross profit correspondingly surged79.9% to US$26.5 million in 3QFY2010from US$14.8 million in the same corre-spondingperiod inFY2009(“3QFY2009”).Grossprofitmarginwasup6.3%to21.7%in 3QFY2010 as compared to 15.4% inFY2009.

Net profit however declined 51.3% toUS$8.0millionmainlyduetofairvalueac-counting, forex losses and finance costs.Businessexpansioneffortsalsocontribut-edtohigheradministrativeexpenses.

Said Mr. Raymond Goh, Executive Chair-manofSwiber,“Weremainconfidentwiththe opportunities in the offshore oil andgassectorandwewillcontinuetoexpandourpresenceinkeymarketssuchasMid-dle East and Indo China. We have beeninvestingactivelyinvariouscountriesoverthe lastfive years including SaudiArabia,MalaysiaandThailand,andsoon,Indone-sia.We certainly look forward to furtherinvestment opportunities in exciting andgrowingmarkets.”

Other Performance ReviewOtheroperating incomedecreased46.5%from US$14.5 million in 3QFY2009 toUS$7.8millionin3QFY2010,mainlyduetothedropinnumberoftransactionsasmostof the vessels under sale and leasebackhavebeendelivered.

Administration expenses increased by20.7% to US$10.4 million in 3QFY2010from US$8.6 million in 3QFY2009 mainlyduetoaone-offexpenseincurredfortheIPOofSwiber’ssubsidiary,KreuzHoldingsLimitedandanincreaseinbusinessdevel-opment costs, staff related costs, higherofficeandadministrativeexpensestosup-porttheGroup’sbusinessexpansion.

Other operating expenses increased toUS$10.0millionfromUS$1.1millionmain-lyduetochangesinfairvalueoffinancialderivativeembeddedintheUS$100million5%ConvertibleBondsissuedin4QFY2009of US$4.7 million. Net foreign losses in-creased by US$5.1 million for 3QFY2010duemainlytotheunwindingofcashflowhedgesandthedepreciationoftheUSDol-laragainsttheSingaporeDollar.

Share of profit from associates and jointventures declined 76.9% to US$454,000,duetojointventuresexperiencingoperat-ingdeficitduringitsinitialstageofopera-tions.

Financecostswasup55.0%toUS$5.7mil-lion in 3QFY2010 from US$3.7 million in3QFY2009 as a result of the issuance oftheUS$100million5%ConvertibleBondin4QFY2009.

US$8 Million Revenue on 3QFY2010 by Swiber- Gross profit surges 79.9% to US$26.5 million on 27.5% increase in revenue to US$122.4 million- Gross profit margin up 6.3 percentage points to 21.7% Net profit mainly affected by fair value ac counting and forex losses- Strong order book of US$800 million

Overall, net profit margin declinedby 10.6 percentage points to 6.5% in3QFY2010, as compared to 17.1% in3QFY2009.

Cumulatively, Swiber’s earnings andrevenue for the nine months endedSeptember30,2010(“9MFY2010”)wasUS$30.4 million and US$313.8 millionrespectively.

TheGroupmaintainedastrongbalancesheet with a healthy cash position ofUS$106.8 million. Net debt to equitystoodat0.86timesasatSeptember30,2010 as compared to 0.84 times as atDecember31,2009.

Swiber’s basic earnings per share,based on its 3QFY2010 results,was1.4 US cents from 3.2 US cents in3QFY2009,whilenetassetvaluepershareroseto64.0UScentsasatSep-tember30,2010,from58.9UScentsasatDecember31,2009.

Growth Strategies & OutlookCommenting on the momentum in2010,Mr.Gohadded,“Weareencour-aged by the increasing activities in theoilandgassectorsupportedbystableoilprices.Wewillcontinuetolookforwaystounlockthevalueofourbusiness.Therecentlistingofoursubseabusinesssetsamajormilestoneforusandweremainexcited about Kreuz Holdings’ plans toexpanditsrangeofservicesthroughac-quisitionofnewoperatingassets.”Swiber’s order book of approximatelyUS$800million is expected to contrib-ute to theGroup’s resultover thenexttwo years, barring unforeseen circum-stances.

Last Octobe, Swiber conducted a series of tests and talks in its smoking cessation campaign. Soon after, a bowling tournament, movie therapy for Anxiety Management and health and fitness screenings were conducted among oth-ers. All such activities successfully executed were geared towards helping employees develop awareness and take initial steps towards a healthy lifestyle.
