Call to Order Mr. Dennis Lynch, Chair of the Board of Trustees of SCH (South County Health), called the meeting to order at 6:05 PM.

Mr. Robinson said that it is an honor to be here at tonight’s Annual Meeting. He thanked everyone who has so warmly welcomed him to South County,

starting with Lou Giancola. From the beginning, Lou has been very generous in sharing his time and wisdom with me. I have seen many healthcare

cultures across the country, but none like South County Health. Mr. Robinson continued to say that they say “culture eats strategy for lunch,” and for the

culture that Lou helped to create, I am exceptionally grateful. For this and for his exemplary leadership over the last 18 years – I say thank you. I learned

quickly that the community feels a tremendous sense of ownership of our hospital and health system. As the incoming President, this was incredibly

welcome news. The community – and in particular many of the people in this room – have helped to build South County Health into what it is today. He

said that he came from a much larger system in Florida and during the interview process and emphasized that bigger is not necessarily better. What I

have come to learn is that this health system shares that philosophy and does not let its size dictate its ability to bring exceptional and unique programs

to this community – this is what has made this such an exciting opportunity for me.

• Part of our success comes from being able to walk down a hall, pick up the phone, or meet someone in town to discuss important issues that

can shape the future of health care in South County.

• South County Health has been successful because of a strategic vision focused on delivering exceptionally unique care, oftentimes with

innovation that is unmatched in Rhode Island or the nation.

• I have met with people from all over the state; from the Governor to the average citizen in the community. To a person there is a universal

acknowledgement of the sterling reputation of this health system. That is something to celebrate and embrace!

• You are incredible advocates for South County Health; our best ambassadors.

• With all of this said, these are challenging times in healthcare. Revenues fall as expenses rise. The regulatory environment is constantly shifting,

often driving the above. State budgets are strained and healthcare becomes the target.

• We will continue to rely on your support as we navigate these challenges. What I am extraordinarily confident in is that the culture, and our

unwavering community support will help us rise to meet these challenges as effectively as they have over the last 100 years.

• I’m incredibly honored to be leading South County at this time and I look forward to working with each of you on our shared mission of high

quality, access, and growth.

Ms. Ferguson said that another responsibility of the day is to re-elect those board members who are willing to serve another term on the Board of

Trustees. She said that in accordance with the By-laws of the Corporation, the Nominating Committee submitted the following nominations for re-

election to the Board of Trustees of the South County Hospital Healthcare System and the South County Hospital Healthcare System Endowment for

terms as indicated: Eleanor Ferguson, John Howland, Jason Marshall and Austin Smith for a second, three year term to expire in 2022; Ted Almon and Dr.

Richard Del Sesto for a third, three year term to expire in 2022.

She also said that in accordance with the By-laws of the Corporation, the Nominating Committee submitted the following two nominations for election to

the South County Health Board of Trustees for terms as indicated: Rogean Makowski and Dr. Robert Dyer for a three-year term.

Ms. Ferguson asked for a MOTION to approve the nominations to the Board of Trustees; the motion was SECONDED and APPROVED.

Chair’s Remarks

Mr. Lynch said that his key responsibility at the Annual Meeting was to report to on the health of our organization. Mr. Lynch said that our organization is

financially sound as you can see detailed in the Annual Report. He went on to say that it might surprise you that our little independent health care

organization preformed almost 7,000 outpatient surgeries and over 6,000 Operating Room surgeries last year. There were 27,000 patient visits to our

Emergency Department at the hospital and another 25,000 visits to our Express Care facilities in East Greenwich and Westerly and our Home Health Care

unit made 78,000 home visits. We have done all of this while AGAIN ranking first in the state for quality and patient satisfaction.

Of course no conversation regarding SCH is ever complete without recognizing the contribution made by our 280 volunteers who collectively provided

37,000 hours of service – just because they are good people.

Not everything is sunny and bright We are continually pressured by reduced reimbursements by the federal government, and competitors both north

and south get larger and larger.

Our response to this is a continuing investment in growth. In the past 3 years we have invested $28M in expanding or updating our capabilities.

We are presently increasing bed capacity, building a new operating room, we’ve renovated and relocated our Wound Care Center, have purchased a

state of the art CT scanner as well as a best in class spinal robotic thingy….we are taking all the steps necessary to continue to provide the highest quality

LOCAL care while maintaining close coordination with larger, more highly specialized health care organizations when care is required for exceptional

cases.

Oh yes, and then there is parking…. a byproduct of our growth is that at certain times of certain days finding a parking space at the hospital is akin to

winning the lottery. However, We have instituted FREE valet parking, so please take advantage of that service if you are stressing out. But for a longer

term solution we are working closely with the town of South Kingstown to buy or lease additional adjacent land that should go far to alleviate our parking

issue.

Additionally, under the heading of a lot going on, we are in our centennial year, having been founded in 1919…hopefully many of you have read the

excellent multipart article in the local papers by Betty Cotter that describes the origins, history and twists and turns our hospital took, as it came to be.

As always, our success depends upon the support of our community. We appreciate your belief in the institution thru thick and thin over the past 100

Dr. Salvatore Abbruzzese, President of the Medical Staff, said that On behalf of the three hundred plus medical staff members, welcome to this amazing

annual event tonight. When Ms. Claudia Swain sent me the event list I knew at some point I would be following Mr. Lynch, so please bear with me as I

attempt to follow suit.

He said he suffered some serious questions in putting this together. “Do I start with talk about the robot? The one that can see President Lincoln on a

penny? Yes, the da Vinci. I’m not sure your aware but if you Google “surgery on a grape “ Up pops the da Vinci robot pealing the skin off a grape and

stich it back together. I like the shark one, the mako ? Soon she will be re-surfacing my hip after all those years of lacrosse. .. Yes we are truly creating a

“robotic center of excellence.” And of course I need to mention the success of the orthopedic program; urology has been on an absolute tear, and the

solid growing spine center.”

Then he said he thought they know the current success of the hospital. The many accreditations, accolades, and honors it has received. The awards

around patient care, opiate sparing pathway, reduction in hospital acquired infections both Cather associated and surgical site: Our stroke center status

with twenty-four hour neurology call and coverage, a growing surgical line that includes intervention radiology service. Changes made to the emergency

department to ensure both patient and staff safety: many strides in the highest levels of patient satisfaction. A peer review committee comprised of

staff physicians to ensure that highest quality of care is delivered to our community. Significant administration shifts. A new Chief Medical Officer and

vice president of medical affairs, our new hospital president. The addition of urology to the medical executive committee, several new chairs in both

family practice and surgery-- All of this point to a new hospital tact, and direction …not one prepping for a merger or acquisition but that of

unprecedented growth and organizational efficiency of our independent hospital. And he said “if I forget to mention … the addition of five new parking

slots ….”

He said that we have continued to attract the highest quality of physicians. The environment that a small independent community hospital provides

allows for constant daily physical interactions between physicians. My ability to pick up the phone and know that my surgeon, my nephrologist, my

cardiologist, internist, and neurologist will ALL be there—this is a paradigm lost elsewhere in our state. We know each other on a personal level. We see

each other both inside and outside of the hospital .When it comes to our work environment…we all share that one committed goal: delivering the

highest degree of medical care to our community.

A majority of our draw is due to our independence, strong reputation and our desirable brand. That’s correct, our thriving brand.

It is not only becoming a national rarity but also a privilege to work in a self-governing hospital. We as the medical staff intend to keep it this way and in

working with administration hope to promote the highest quality of care, while maintaining financial viability into our constantly changing, medical

landscape.

He continued to say that he has been blessed to be a part of this amazing and hardworking team, including the board members, its chair, Dennis Lynch,

Dr Lisa Rameaka ,our medical executive members , the physicians, Mr. Giancola and of course our new president Mr. Robinson .

Dr. Abbruzzese said that he is looking forward to the following eighteen months as president of the medical staff, continuing to maintain the highest

quality and safety that south county medicine can provide.

Thank you very much for listening, may everyone have a safe and wonderful night. It is not only becoming a national rarity but also a privilege to work in

a self-governing hospital. We as the medical staff intend to keep it this way and in working with administration hope to promote the highest quality of

care, while maintaining financial viability into our constantly changing, medical landscape.

Mr. Lynch said that we have two trustees who are retiring from our Board -- Rob Panoff and Stephanie Chafee. He said that Mr. Rob Panoff was invited

to join the Planning Committee in August of 2004. He had run his own strategic planning firm, RPM STRATEGY, which focused on the telecom industry.

His strategic planning skills aligned well with our needs at SCH. He also served on the Visiting Nurses board of trustees, now South County Home Health.

In 2010, he was asked to join the South County Health Board of Trustees. His work on the Planning Committee made him familiar with the need for South

County Health to provide enhanced Cancer services. In 2013, he was asked to head up the Campaign for Cancer Care. Mr. Lynch said that Ms. Stephanie

Chafee is well known to many of the people in this room and across the state. For SCH, she has been a Board Member since April of 2010. Ms. Chafee

served on the Governance Committee and on the Staff Nursing Practice Council. She describes herself as “a nurse first”, so all these committee

assignments made sense. She also has an MBA so it made great sense that she serve as well on the Audit and Regulatory Compliance Committee.

Mr. Lynch presented the Chairman’s Award to Mr. Louis Giancola, Retired CEO, and President of SCH. Mr. Lynch presented her with a gift as a token of

appreciation from SCH.

Ms. Anne Schmidt, Chief Nursing Officer, presented the President’s Award to is Josh Guerin, Pharm-D, MBA. for his work in integrating the

pharmaceutical services at the system level, including hospital, ambulatory clinics, as well as support for our home health agency. Ms. Schmidt presented

him with a gift as a token of appreciation from SCH.

Mr. Louis Giancola presented the Physician of the Year Award to Dr. Robert Marchand, an Orthopedic Surgeon at South County Health. Mr. Giancola

presented him with a gift as a token of appreciation from SCH.

Mr. Lynch introduced the performers from Trinity Repertory Company who brought 100-year history to life with an original play.
