Minutes of the Advisory Committee on Investment Responsibility
Scott Hall, Guild Lounge – Evanston, IL
November 7, 2019
The quarterly public meeting of the Northwestern University Advisory Committee on Investment Responsibility
(ACIR) was held on November 7, 2019, at Scott Hall’s Guild Lounge in Evanston, Illinois. The chair, Philip
Greenland, called the meeting to order at 4:02 p.m. A quorum was present.
The chair welcomed the Committee and asked each member in attendance to introduce themselves: David Uttal
(Faculty);; Hussain Sangji (graduate student); Mihir Bhagat (graduate student); Jonathan Sun (undergraduate
student); Keala Uchoa (undergraduate student); Jared Spitz (Secretary of the ACIR); and Michael Borchetta
(Alumnus) via phone. Approximately 150 members of the Northwestern community were present in the
audience.
The chair gave a short statement about the history of the ACIR and its purpose. The committee serves in an
advisory capacity to the Board of Trustees, and evaluates proposals related to the investment policies of the
Northwestern Endowment brought forward by members of the Northwestern community.
The chair provided an update on the divestment proposal submitted by Fossil Free NU in the Winter quarter of
2019, which was recommended for approval by the 2018-2019 ACIR in June, and submitted to the Board of
Trustees. The Board of Trustees had not yet issued a statement about this proposal.
The chair recognized Sarah Fernandez, who read a statement (Appendix A) on behalf of Fossil Free NU. The
statement expressed frustration with the amount of time taken by the Board of Trustees to review the Fossil
Free NU proposal, which was perceived as excessively long, as well as the absence of communication between
the Board of Trustees and Fossil Free NU since the ACIR vote. The statement included several demands for the
Board of Trustees and for ACIR, related to issues of transparency in the Northwestern Endowment’s
investment decisions as well as the perceived lack of communication between University officials and student
groups. The chair stated that the issues raised in this statement would be discussed by ACIR members at the
next internal meeting, and the ACIR would include the statement in the public minutes. He also stated that the
public meeting was an opportunity for communication between the community and the ACIR, and any
actionable decisions would only be made at ACIR internal meetings.
The chair recognized Ross Patten, who read a statement (Appendix B) on behalf of Students for Justice in
Palestine (SJP). The statement provided a brief history of a 2015 Associated Student Government (ASG)
resolution which called on the University to divest from “companies complicit in human rights violations in
Palestine.” The statement included several demands for the Board of Trustees to communicate their rationale
for not accepting the ASG resolution and increase transparency around the decision making process. The chair
stated the SJP statement would be discussed at the next ACIR internal meeting, although the issues raised by the
group seemed to be beyond the scope of the ACIR mandate. Mr. Patten and other members of the audience
stated that the ACIR mandate was unclear to the public, and seemed to be a bureaucratic barrier to activist
student groups. The chair reiterated that the role of the ACIR was advisory in nature, and the ACIR mandate
was to review and discuss full proposals submitted by the Northwestern community. ACIR graduate student
representative Hussain Sangji also stated that ACIR format and proposal process was similar in design to
advisory committees established at many other universities globally. Mr. Sangji followed up with Mr. Patten
asking for him to share his opinion on why the SJP had not summitted a proposal to the ACIR from the time
the committee was founded in 2017. Mr. Patten stated that he believed their efforts in creating a proposal would
be wasted as the previous ASG resolution was ignored by the University in 2015. An audience member also
stated that the proposal process was onerous for students and they found it to be overly bureaucratic.
The chair then opened the floor for questions.
Audience members asked several questions, many of which related to disclosure of the Northwestern
endowment’s financial holdings and transparency about the endowment’s decision-making process. The chair
stated that while the Investment Committee would provide information about direct stock holdings in specific
companies at the time they receive a request, a complete list of all holdings would not be useful as it may be
continuously changing on a short term basis. The chair also stated that the previous year’s ACIR had concluded
that proposals from the Northwestern community should focus on general policies rather than specific values of
stock holdings, as those may become quickly outdated.
An audience member asked what a reasonable deadline for the Board of Trustees would be to respond to the
Fossil Free NU proposal. The chair stated that due to complex nature of the Board of Trustees, which consists
of many members, and meets once a quarter, he could not provide such a timeline. He reiterated that the role of
the ACIR was to serve in an advisory capacity, it and did not control the procedures of the Board of Trustees.
The chair also stated that the ACIR had requested the Board of Trustees to issue a policy statement around how
they would review divestment proposals, and that the Board may first issue such a statement before responding
to the Fossil Free NU proposal which would extend the overall timeline. Undergraduate ACIR representative
Keala Uchoa then asked the chair for clarification about the ACIR mandate related to such requests, and the
chair offered to bring it up for discussion in more detail at the next internal meeting.
Students from the Feinberg School of Medicine said that they wished to submit a petition signed by 454
members of the Northwestern medical campus related to action on climate change (Appendix C). They stated
that their petition showed that members of the Chicago campus were aligned with Fossil Free NU divestment
proposal. The chair said that the petition would be discussed at the next ACIR internal meeting, and would be
included in the public minutes.
Audience members asked additional questions about whether the ACIR would relay the demands of the present
student groups Fossil Free NU and SJP to the Board of Trustees. The chair reiterated that the purpose of the
ACIR public meeting was to communicate with the Northwestern community, and any decisions on specific
actions would be made at the next internal meeting.
Due to lack of time, not all audience members were able to ask questions. The chair provided the audience with
the ACIR email address to ask any additional questions, as well as a link to the ACIR website if they wished to
contact individual ACIR members. The meeting adjourned at approximately 5:00 PM.
Appendix A Fossil Free Northwestern’s Statement
Members of ACIR, we stand here today as student organizers from Fossil Free with more than 10
years of labor and history behind us. You have already voted in support of our divestment proposal in
June 2019 and today, 5 months later, we still stand without a decision or even institutionalized
comment regarding our proposal from the Investment Committee of the Board of Trustees. Given
the time sensitivity of the global climate crisis, Fossil Free demands the following:
Fossil Free Northwestern Specific Demands
1. ACTION: We demand that the Investment Committee of the Board of Trustees acts quickly and
deliberately regarding their decision on the current Fossil Free Northwestern divestment proposal.
2. INFORM: We demand that the Investment Committee of the Board of Trustees publishes a public,
institutionalized statement regarding their decision-making process and reasoning behind their
decision on the current Fossil Free Northwestern Divestment proposal. Summarized information
regarding Fossil Free Northwestern’s proposal in ACIR’s annual report will not suffice.
3. ENGAGE: We demand the Investment Committee of the Board of Trustees meaningfully and
substantially engage with Fossil Free Northwestern during their decision-making process and post-
decision implementation of and/or negotiation on the current Fossil Free Northwestern Divestment
proposal.
Additionally, Fossil Free recognizes that all oppressive systems this institution funds and perpetuates are
interlocking and compounding. As such, we stand in support of other student organizations that are fighting
for divestment from companies and industries that inflict social injury. Our proposal, despite being
monumental considering it was the first and only to be recommended by ACIR, is still a gross underestimate
of the extent to which Northwestern is implicated in fossil fuel investments. This is because of the overall lack
of transparency regarding the University’s indirect and direct holdings. Likewise, transparency beyond what is
contained in the University's annual financial report1 regarding the University’s indirect and direct holdings is a
prerequisite to sufficiently accomplishing ACIR’s scope of responsibility as chartered by the University2 to
research, assess, and ultimately recommend issues related to investment to the Investment Committee of the
Board of Trustees.

As such, Fossil Free calls on ACIR to co-demand the following:
100% Transparency Campaign General Demands:
1. DISCLOSE: We acknowledge that transparency is an unequivocal prerequisite to ensure that
Northwestern University’s endowment meets both the principles of the University and the
Northwestern community it serves. We demand that Northwestern University publicly disclose all
companies part of current and on-going direct and indirect investments in an annual, fiscal year
document, as well as reasoning for why these companies are being invested in.
2. INFORM: We acknowledge that academic and financial jargon are intentional barriers to members
of the Northwestern community and the general public seeking critical information regarding the
University’s investments. We demand that the Investment Committee of the Board of Trustees and
ACIR co-produce a transparent and accessible information guide that goes beyond the insufficient
proposal guidelines provided on the ACIR website3 in a timely manner, given the magnitude of social
injury currently inflicted by the University’s investments. This guide must be continuously updated
with the apportionment of direct and indirect holdings and the corresponding companies that
comprise them,, the Investment Committee’s investment processes and protocols, and the Investment
Committee’s comprehensive expectations regarding the parameters and content of divestment
proposals.
3. ENGAGE: We acknowledge that the Board of Trustees has a tremendous responsibility to guide
Northwestern University and its global impact, affecting students, staff, faculty, alumni, and the
broader communities Northwestern University is situated within alike, yet members of the Board of
Trustees remain largely anonymous and inaccessible to these aforementioned stakeholders and the
general public. We demand that the Board of Trustees engage the Northwestern and broader
community by publicizing their annual meeting dates and holding quarterly , open, and public
forums,both on campus for those who can attend and virtually streamed, for stakeholders to vocalize
their opinions and interact with the Board of Trustees.

Appendix B
In 2015, Northwestern University passed an
ASG resolution, calling on the administration to divest all stocks, funds, and other monetary aid from
companies complicit in human rights violations in Palestine. It was through community building, radical
solidarity work, and student organizing that divestment passed through our student body. The legacy of this
labor by student activists in 2015 allowed for the passing of the ASG Divestment resolution, and it was
ultimately that same labor that led to the creation of ACIR.
Although we are grateful to have created a platform where the student body, faculty, and staff can voice their
concerns regarding proposed changes in investments — we are deeply concerned with the lack of
transparency surrounding ACIR, the lack of proposals put through, and the lack of necessary investment
knowledge available to us as students. As a result, SJP demands the following:
Students for Justice in Palestine Specific Demands:
1. ACTION: We demand that the Board of Trustees release quickly and deliberately any meeting minutes
and or internal recorded statements from the meeting in which they chose not to comply with the 2015
ASG divestment resolution.
2. INFORM: We demand that both The Board of Trustees and President Morty Shapiro publish a public
statement carefully outlining the reasoning behind the shutdown of ASG’s divestment resolution.
3. ENGAGE: We demand the Board of Trustees to willfully and repeatedly engage with the SJP
Northwestern Chapter in order to create an institutionalized process for presenting student demands
and questions related to divestment from companies complicit in human rights violations in Palestine.
Given the mass amount of power that The Board of Trustees holds both in terms of their representation of
Northwestern University globally and their management of its endowment, it is our responsibility to demand
our university make ethical investments. Student activism at Northwestern has a long history that includes
divestment: divesting from apartheid in South Africa in 1985, our 2015 campaigns on behalf of the Palestinian
people, and the current proposal from Fossil Free that is in deliberation all being examples. From this history, it
becomes clear that student political advocacy is key for any kind of tangible progress. It is for these various
reasons that we as SJP are demanding a comprehensive and robust change to communications between both
ACIR, The Board of Trustees and our student organizations. We commend the statements just made by Fossil
Free and stand in solidarity with their efforts. We want to reiterate the vast need and urgency for transparency
from The Board of Trustees, and specifically The Investment Committee. We co-demand all of the
aforementioned transparency demands and wish to reiterate the urgency for the release of this information. We
demand ACIR respond and/or relay our demands to the Board, given that this is the labor and the community
that this committee was born out of.
Appendix C
To: Northwestern University, Board of Trustees
We, as stakeholders of Northwestern University’s Feinberg School of Medicine and affiliated hospitals,
recognize the critical, time-sensitive nature of action on the climate crisis - especially given its injurious effects
on our patients and our health care delivery.
Several Feinberg students put together a petition on behalf of our communities to instigate action on climate
change from the level of Northwestern University, Feinberg School of Medicine, and Northwestern
Memorial HealthCare.
Two of our requests were divestment from fossil fuel companies, as well as transparency regarding such
actions (#1 and #6 on our petition).
In just 5 weeks, we have gathered support from 454 members of Northwestern’s Feinberg School of
Medicine - across students, faculty, staff, administration, and physicians. This number continues to grow
every day.
This support from Northwestern students based on the Chicago campus proves alignment with the
divestment proposal set forth by Fossil Free Northwestern.
We hope that such increasing support garners the attention and action of Northwestern University’s Board
of Trustees in a manner that endorses the proposal set forth by Fossil Free Northwestern.

Petition from Feinberg School of Medicine and Northwestern Memorial
HealthCare Communities: Action on Climate Change
Introduction
We, as members of Feinberg School of Medicine and Northwestern Memorial HealthCare,
recognize climate change as a significant risk to human health and recognize the importance of
addressing this crisis at an institutional level. Recently, climate change has been cast as a
political issue in America, but it is a scientific issue, not one of beliefs. The Intergovernmental
Panel on Climate Change (IPCC) reports that the “human influence on the climate system is
clear” and that if not acted upon, climate change will have significant adverse impacts on human
health, including but not limited to, an increased prevalence in vector-borne diseases, increased
heat-related morbidity and mortality, and increased food insecurity[1,2]. Fossil fuel pollutants have
been shown to cause increased birth defects, lung disease, nervous system dysfunction, liver
damage, and hormone imbalance[3]. The IPCC also reports that sustainable efforts, including
reducing greenhouse gas (GHG) emissions, can curb climate change and its effects[2].
Given Feinberg School of Medicine and Northwestern Memorial HealthCare’s roles as
influential, research-driven institutions, it is our responsibility to advocate for and model
sustainable practices. Research estimates hospitals as the second most energy-intensive
commercial buildings in America, as the healthcare industry accounts for 8% of our country’s
annual GHG emissions[4]. Institutions of higher education account for approximately 2% of our
country’s annual GHG emissions[5]. Taking action against climate change aligns with the
missions of Northwestern Medicine - “to improve the health of our community” - and Feinberg
School of Medicine - “advancing collaborative research and education that improves health and
well-being for all individuals and their communities.”
Accordingly, we demand the following actions to be taken against climate change through
external efforts, internal efforts, and research and education:
External Efforts
1. Conversion of investments in fossil fuel, oil, and gas corporations to investments in
companies that develop renewable resources, following in the footsteps of the
University of California public school system[6]. This will discourage the production and
use of non-renewable energy resources, many of which directly cause GHG emissions.
Additionally, this will set an example for other institutions and individuals to follow suit.
Finally, this may have financial benefits as well. From now until 2050, wind and solar
energy is predicted to make up 77% of the world’s energy generation[7].
Internal Efforts
2. Expansion of SustainNU to include at least one full-time employee dedicated to
Northwestern’s Chicago campus. Currently, there is just one employee of SustainNU
based in Evanston working for all of Northwestern University, leaving Chicago efforts to
be driven by students. When asked about her work, this employee specifically indicated a
need for SustainNU to be given more resources and staff as she felt she was being spread
thin. A dedicated Chicago office would be able to respond in a systematic and effective
manner to Chicago campus sustainability issues and divert workload from students. The
purview of this office would include recycling, education, and composting initiatives,
ongoing investigations into reduction and optimization of energy use in Feinberg
buildings, etc.
3. Employment of a team dedicated to sustainability for Northwestern Memorial
HealthCare. This team would work on quality improvement programs, recycling and
composting initiatives, reduction of energy use, etc., using as a model Gundersen Health
System, the first health system to achieve energy independence with renewable energy
that is saving the system 35% of energy costs annually[8].
Research and Education
4. Concerted integration of climate change and its effects on patient health and health
care systems into the curricula of Feinberg programs, including MD, PT, PA,
doctoral, and master’s, as supported by the American Medical Association resolution on
climate change[9].
5. Funding towards sustainability-related research that intersects with patient health and
health care, again supported by the AMA resolution on climate change[9].
6. Transparency regarding the actions taken by Northwestern University Feinberg
School of Medicine and Northwestern Memorial HealthCare to address the
aforementioned demands.
